They found pursuant to florida statute that good cause exists for such changes and accepts this revised agenda. MAY have a motion and a second to close the agenda. so moved. moved by MR. Zeman and seconded by MS. -- the agenda is now closed with MS. Alhadeff and MS. Hixon are on the line. Board members I advertise that the general council would like to request an attorney client session, I ask that everyone not asked to attend the attorney-client session leave the room. would I like to request a attorney-client session. 004at this time. [Board in closed session] [School board in attorney-client session] so moved. ?Fm moved by DR. Zeman. Seconded. Is there public comment on number 1. no ma'am. board debate. DR. Zeman. is just have a question, I wonder, if you can give us a little bit more for the motivation to do this. I feel very very good about this idea. I feel great about having you. thank you, DR. Zeman. I feel like you'll make broward schools a better place. But I wonder if you can give us a comment or two about these actions. I need 4r0 percent more people and you recognized that there is a backlog. I'm wondering if you can tell us a little bit about the motivation that caused you to bring this particular solution to us? absolutely, thank you, DR. Zeman.

005I've had an opportunity to watch all of your board meetings since DECEMBER and have heard some of the conversations and concerns that the board maz brought forward with regards to contracts and moving them through the system. I've had an opportunity to speak to our counsel jacques adams who did a great possible making me prepared and being able to address things from the get-go and I've had discussions with the chair and administration, DR. Hepburn, so based on all of that, I do feel that there is an urgency to see what we can show up in legal as as much as possible. The board had approved 12 attorney position approximates, for the legal department which is comparable. Out of the 12, we have five vacancies right now. We also have two clerk specialist vacancies. All of that

006put strain on legal because we're not operating at full capacity, we're operating under 60 percent. That natural has some bot many necks that will naturally will cause some delays and more importantly it can put the district at-risk when we're not fully staffed. In addition, I do think that a process or having some individuals who have, significant background with the contract process would be helpful to the district. Having some support staff that is a little bit, more familiar with legal operation left side also help the district. So that's why I'm bringing forward the two scrippssing, one is for legal paralegal, that individual will be responsible for the lifecycle of contracts within the legal department from the time it comes in through our in-take process all the through when it is signed. We are also going to

007combine that person with a new software called concord which is a contract life management software. And between that person plus we have somebody else in the office that actually works with contracts, between the two individuals plus concord, I think it's going to help significantly with the process in moving the contracts forward. Right now, we have 66 contracts that are in the queue plus others that just need to be finalized and we are going into our high contract season. So that's any concern and why I want to move quickly to try to get these individuals in place to see sure up legal. The legal operations administrator is important. It's position to help the department with work flows, processes, assistance with the administration of the legal department and the most firms will have a firm administrator. I

008know that a lot of other districts have people in the same two positions to be able to provide some assistance to the legal team and make us stronger. ?Fm terrific, and I appreciate your diagnostic and it's consistent with what I've seen on the board the last three years and the solution matches how you diagnosed. The tool that you're buying is if you don't find? -- mind? concord. and I heard about concord, it's a longstanding program used by paralegals and law firms which is great. My own assessment is is there is an opportunity to use ai better. And if there are lawyers that experienced 5-x experience by using some basic ai tools, I hope that you can think about that as well. Tt not just a back up in the 66 contracts, it's really, you know,

009kind of cohesion of the group make sure it has the right skills and flex and do things well. I was very excited in our conversation yesterday about your approach to what the general council can do for school board county. thank you, DR. Zeman, if I can add, we have west law as our legal platform for research. One thing to add is to include some ai function nz there. There is a portion of west law that is called co-counsel and that is an ai feature. Ai helped me when I was in lee county so I was hoping that it can help our team and go a little faster with the specific legal ai. MS. Hixon? thank you, thank you so much. I'm glad you came boots on the ground and try to resolve some issues that

010we've been having and bless you for watching all of those meetings since DECEMBER. Really appreciate that. Also would like to thank MS. Jacques adams for stepping in and holding the floor down until you can get here. I really appreciate the change and how the office is going to be run. And this makes sense, we really need somebody to watch over the contracts from beginning to end. So si appreciate for what you bring forward. Thank you so much. thank you. thank you, MR. Cervera. thank you, chair. First off, I would like also like to welcome MS. Dufre-brunie. Is it hot up there? hot, the hotseat. thank you for your service to the board during the last few months. I have a question regarding the or chart. It seems you're limb nathan assistant counsel going from 8

011to 7, right? yes. and when you look at the executive summary, we're talking about, elimination of two vacant positions in the general counsel's office. Was that meant to be elimination of two attorneys or two staff positions or one and one? What is the specific for the benefit of the public, this too specific position that's are being eliminated from the office of general counsel? so there are two positions one is an attorney position, that's why you see the 8-7 to and the other one is a clerk's specialist b position. Which normally is is not part of the organizational chart. So the combination of those two positions will fund the administrative legal operations and paralegal contract administrative position. so would you classify as a wash? that's more than a wash. There is a saving of about 2

0122000 by moving forward with this. and that's obviously a great thing in a district like ours to save money. Soy appreciate the efforts and the explanation. In closing, you have to forgive me I'm not as enthusiastic as DR. Zeman is with with the ai stuff, especially in the legal field. I tell you you're having to put in disclaimers and any type of filings that you make in court, indicating whether or not you used ai. Now somebody like me who is a non tech savvy, perhaps I'm doing something wrong but even when I toy around with the ai stuff, and the legal in the legal space, I always seem to be given case that's for whatever reason, they don't exist or they don't stand for the proposition that the chatbot is telling me, it's standing for.

013So while I'm pro ai for the students in the classroom, I would just encourage that we exercise some caution in the office of general counsel with ai I've seen it gone side ways on many accounts. I just got done running an opinion where a lawyer was admonished for using ai and stating things in a legal brief that was the opposite of what the case law said it was. My two cents on the ai stuff, thank you, chair. so thank you, MR. Cervera for that. Just to be very very clear, I'm very familiar with the cases that you've discussed and it is our obligation in the legal department to double check, triple check and ensure that everything is accurate. The ai feature that we'll be using is through west law and we're going to use that

014because that is that platform and we, it only uses west law material. So it's continue like Chatgpt that can make up because they're just trying to please us to find the case. I just want to make sure that is clear. any other board discussion? All in favor of item 1 say aye. aye. any opposed say no. item pass wz MS. Alhadeff and MS. Hixon online. and MS. Rupert. MS. Alhadeff is not here anymore. MS. Alhadeff is not on the line. So with hixon and MS. Rupert on the line. at this time, does anybody have any student successes so share. we've exhausted the time on agenda? yes. MAY I have a moment. I would be interested MR. Superintendent in asking to you take some time to come back and provide us a formal report on our

015hiring practices in broward county. And in particular, with any steps that you think we should be taking to ensure that when this board approves hires which we do but we have no role in the selection of anybody that works for you or for our general counsel or for chief auditors, that the process that was used by them violates no law and solely based on the merits on the individuals that are applying for the job. There is a lot of liability that this board carries around but one that is extraordinary large is if there is any, actions that are taken from people who feel like, they didn't get it done the right way. I as a board member would like to feel confident that everybody that participates in the hiring process is willing to say that

016they violated no laws in the process and they chose people based on merit solely so we can make sure that we're doing the best job that serves our school and students. I would like to open that up for a little conversation and at the end, make a motion to ask MR. Superintendent maybe in three months or so if we can get a report like that back, is that a reasonable amount of time? well I have a question to MS. Dupre-bruin other, can we make a motion with no item on the board. there is no reason why a motion can't be made but you have practices and policies that are limited your ability to move forward unless it's an agenda item. The board has authority to request the superintendent to look into different matters. DR. Holness.

017thank you, MADAM Chair. so I am very and thank you, DR. Zeman, I think that's a great suggestion. I'm very supportive of that. I think it's important that when we hire individuals at any level that the process is objective that there are no subjective layers in the entire process. So I think what DR. Zeman is asking directing the superintendent is to look into our hiring practices to make sure they're objective. So make sure that it results in choosing the best qualified person. As opposed to any other reasons, and you know, and I' heheard, ififrent of ditch individuals who MAY have had concerns that the process was not as objective it it could be. That we're taketion a second wlaok at hao irg practices to make sure that DR. Hepburn that we're getting the most qualified individuals

018in this county, for the positions that we're we're looking for. So I am supportive of DR. Zeman's suggestion. At the very least, DR. Hepburn MAY come back and say, I looked at it and I don't see any issues or I, look at it and there are areas that we can improve to make sure that we're being completely objective in the process. So yes, I'm supportive. MS. Hixon? Sorry. MS. Thom pson, you were up next. I have a question, I brought that issue at the last meeting and I said I couldn't make a motion because there was not a item on the board. I know it's different leadership but it's frustrating if you're doing one thing for one member and not the other one. Are we going to allow this and that's fine or do we

019have to submit items with back up information and planing, et cetera? That is what I would like an answer to because I'm frustrating because I went home over spring work to work on an item because I was told that that was process. your board policy 1020 does talk about the board members being able to move forward with agenda items. My interpretation, law indicates that the board has the ability to move forward with directing the any of its direct reports, that's your obligation, that's your right to do so. You have a policy, that talks about agenda items and board drinking them forward. However, robert's rules also says for the good of the order, a board MAY bring any item forward as well. I'm stepping in here, on day 7, so I need to clarification from the

020board. I've spoken to some board members they have told me that sometimes we do this, sometimes we don't. So I also will need some clarification of what is direction of the board and moving forward and do you also need some procedural protocol for the board to be able to follow? So I need some direction from the board as to how you want to proceed with that? anybody want to speak to is that DR. Zeman. sole responsibility of the school members. And in the pecking order of law, state law supercedes district policies. While you're policy says that we MAY bring items and gives us categories and things like that, all consistent with state statutes, there is still state statutes that says this is only what the school can do. I would view it as violation of

021state statutes if a school board member could not do those things. We cannot unwrite policy that sets law. We approve attendance records and 23 things that we can do. This is the only time that we can do them in workshop we're not allowed to bring actions we're only allowed to talk. And we get some things moving forward but we don't take formal action and we can in the meeting. Soing the previous decisions have been inconsistent and now we're moving back in state law. Second point, this is what other school boards do all the time. They have meetings and at the end of the meeting, they talk about things that need to be done. This could be an item, I'll be perfectly happy, not perfectly happy because it has to be state law, if we end

022upbringing formal items, I think that would tie the hands of school board members in a way that does not make sense. This particular item is not one that would take like a lot of back up material just asking the superintendent to bring some data and to think about whether or not we're falling the other laws about discriminating and hiring practices and whether or not his staff can think about way to see guarantee to this board that in fact the process has been followed as legal and based on, merit for selection. Also, codified in state and federal law. So there is nothing in this that is particularly spectacular that I would think needs a lot of back up material we're just asking for some data and making sure that what we're doing is following the law.

023But the bigger issue is that state statute says we're responsible for doing these things. I don't think policy can restrict us to do things that the law requires us to do. MS. Dupuy-bruno, let me ask you, if I wanted make a motion to fire the superintendent, can do that? so based on my experience, my prior experience, which is a little different than broward county but different policies, yes, because during good of the order, a board member can bring forward a motion, that's normally how it has been been done from the districts that I have worked with and those that I have also had the pleasure of getting counsel from, however, you can restrict as a board, however you want to restrict yourself through policy. It's not a legal issue, this is more of a how

024does the board want to operate? One of the things I'll just give you an example, motions in lee county is is not through policy but our board manual. The board member trying to bring forward a motion, does not bring a agenda item but as a courtesy advise within 24 hours and our policy, the protocol manual says please speak to the board attorney and make sure we get the language right and that's how we will do it within 24 hours of the meeting. But again, this is how you speak, how do you want to come port yourself? How you want to address these things? One of the things that I would have, there MAY be an emergency situation that needs to be addressed and you MAY not have a formal agenda item and you're in the

025middle of conversation where you feel you need to have attention. Again, it's the board that needs to decide how it wants to move forward. To MS. Thompson's point, however you want to move forward, you need to be consistent. So if if it's been the practice not to have these types of motions unless there is an agenda item, I suggest we do that. And if the board wants to review the practices, we can do that and I can provide any guidance that you MAY require. MS. Thompson. thank you, chair and thank you for that inside, MS. Bruno. My concern and I do I was equally fr uft ated last week when I was told I had to bring in an item. But for public inside, it's important that it's an agenda. I don't want to put

026that in the air, if it's something big that a lot of people will be interested in communicating about, and then we just slip it in at the end. Imagine, if we try to close schools at the end of the meeting, that would be, unforgivable. And while the majority of the items are not like that, but for consistency sake, I think it's important that we choose a way we governed and live by that. So, if it's, that we can do this, I think that's problematic, because of public input. But I do see that it speeds things up. But I just wanted to throw that out there, that I think we are a public serving board and if we are allowed to just introduce motions at the end of it, that could cut out a lot of

027public speaking. Thank you. MS. Hixon? thank you. And I kind of follow along the same lines as MS. Thompson. There have been things in the past where things have come up that weren't really appropriate in terms there was no, public comment because no one knew it was coming forward. So we do have policy and as policy-makers I would hope that we follow our policy. If we want to change the policy, my suggestion is to have the policy come back where we can have a discussion about, you know, do we want to make that more laxed or want to keep it so it's a true conversation about it. But, as a person who makes policy, I would hate for us to be the ones oh our policy does not matter and that's kind of what it's

028sounding like here. So if we want to change, i would ask the superintendent if he can bring this back to a workshop at some point and we can have a discussion and see how many people do want to change because we should always be following our own policy. Thank you. MR. Cervera? thank you, chair. First of all, I am in support of what DR. Zeman is proposing in regards to the hiring practices. Overall, I do see a tremendous benefit in allowing myself and my colleagues topo tensionly bring things like this at the end of a meeting in order to be efficient and in order to better address the business of this county and this board. To address, MS. Thompson's concerns, I certainly hear you and I can see how that would be problematic if for

029the sake of argument something quote unquote big was slipped at the end of the meeting. But realistic, anything that is big or major, if somebody tries to slip that in, I don't think they will get enough support to pass anywhere. Especially something like a school closure, we need the public participation. The reality is this is a fast moving business that we're in. Things happen, sometimes it's not within the 7 days prior to an agenda being released in which we need cause from the chair and all of those things to have an agenda item, added to an agenda that has been published for a certain amount of time. I would be in favor of this. Obviously some of the most drastic things, like the school closures, certainly I would urge my colleagues my colleagues to exhibit

030restraint and not do anything like that. But the major things that would require public comment and having the ability to come in and speak to us, should not be slipped in at the end of the agenda. But what DR. Zeman here is a good example of something that should be permissible. On this policy versus state law situation, policy is great. The fact that we are governed as a school board and district by a set of policies, I think is a, -- is my mic on? Hello? Sorry about that. I think that's a good thing. However, we have to appreciate that the state law is the state of the land and not our policy and if we're doing anything, that is preventing frus exercising a duty understate statute, that policy needs to change because we follow

031the law first and then policy. And if there is a conflict, I'm sure you would agree with me MADAM General counsel, that the law is going to jump out. We must appreciate that the state law would trump any conflicts that we have with that. Going back to my to my colleague MS. Thompson in light of what you heard today, perhaps you want to rebring your item from the last week, if you think that would be appropriate or if you wanted to wait because I'm sure you put in a item and I'm sure it's fantastic. but I don't want to you feel discouraged about bringing motions at the end of the meet ing. MS. Dupuy-bruno? I want to to be clear, whether or not I can direct DR. Hepburn to look into policies. So your subsection

0323c specifically says, that no official action is taken -- no official action during workshops. School board members MAY make reasonable requests that are limited in scope without bringing them an item to formal meeting. That's what your policy makes. So when you're directing your direct report, that's one thing. School closures is something different. Because then your policy also talks about what kind of items the board can bring forward. Now the question I was asked whether or not I can bring a motion to fire the superintendent, that's a other type of issue, that is something that affects your direct report and that MAY be some very interesting things that are going on at at the time when a decision must be made. So those are different buckets, that's within your policy. It says you can bring it

033up at a workshop, it does not require an action if it's limited in scope. And then you have directions in what needs to be brought forward and then you have a motion based on circumstances that need to be addressed quickly. That's how I have compartmentalized. hold on, I have I am confused I want to make sure that I have a full understanding of your legal opinion. DR. Zeman's act was to give a directive to the superintendent. The chair then asked if it would be appropriate at the end of the regular school board meeting to make a motion to do something, and her obviously, example was to fire hepburn. MAY I make a clarification, DR. Zeman, made a motion. so in your, answer which I believe was in the affirmative, can a school board member make

034a motion at the end of a school board meeting to address issues from firing the superintendent? To giving the superintendent directives to on the one extreme to use MS. Thompson's example of closing x-school, is all of this appropriate at the end, generally have come to good-will hour when we're done at the end of the meeting. I want to make a motion, let's close ten schools. right, so good of the order per roberts rules is a time when these things, not necessarily closing schoolsing or anything specific but something that affects the body during the good of the order, you're allowed to make motions. You have some limitations in terms of agenda items. So the, depending on what the board wants to do, this is a board decision, wants to move forward, you can do that. let

035me go at this at a different angle. Can a school board member myself and my 8 colleagues, do we have is the ability at the end of a meet ing, to make a motion for whatever we want? Understate law, florida statutes am I allowed to make a motion to paint the building pink if I wanted to? so slong as it is tied to your school board responsibilities. okay, so any responsibility or duty that I have as a sitting board member, I can make a motion for? yes, and you told me don't look at policy and not on robert rules, that's the answer based on statute. so we know I have that ability under the statute, are you telling me now, MS. Dupuy-bruno that there is a policy that affect the law. I don't think it's

036a policy to follow law. I think it's a policy that requires you to bring an item if you want to talk about rezoning, if you want to talk about different things. It's outlined in the policy. I don't see the policy of limiting you, but I do understand that's been your practice and my understanding from speaking to individuals, that it's waivered, and gone back and forth, depending on time. you said, if I want to talk about rezoning any of my schools in district 6, I would have to bring an agenda item and follow procedure about the advanced amount of days to put on there, right? Now we can agree that rezoning would be considered the business of owner? State statute? right. there is a restriction that from me bringing up an issue that I'm obligated to

037have as a part of my governance. I'm not saying that it's restricting you. I don't see it as restricting it's giving guidance on how the board can conduct himself. but I can't do it yeah you could, but bringing an item. The board voted on this policy and voted to make it more restrictive. but at any time that different. the board can restrict itself anyway it wants to. State law is state law, you want to bring a motion forward but your agenda item specifically says that these are certain things that you can bring forward as an example as to what must be submitted in your agenda item. okay, so it's, is it your opinion then that our policy can restrict a board member's right to bring something as long as it does not take it away

038completely? so long it's in compliance with law, you strict w yoyo do sosomeinin y you can ve a unifd way ofof how you do something, and that's kind of what this policy is saying. It's not, necessarily restricting you from bringing an item forward. but it's making it more difficult. yeah, you have to go on agenda item. and that's permissible. based on what you voted for. I'm not talking about the policy which MAY not be violating. I'm asking you in a legal context. If I have a state law that says I can run around and do jumping jacks anytime I want and then I come to the district and it says, we have a policy and if you want to do jumping jacks, you have to give everybody a week before you do jumping jacks, so

039now you have restricted me. if the board decided to do that, the board speaks and board creates its policies and gives direction. Not individually as a cervera but as a board, as a collective. okay, all right. Thank you. MS. Bulman. sorry, this got off the rails for what I was going to say earlier. I mean, listen, I agree with what MS. Thompson said earlier about having public comment and MS. Hixon also said that, I support that. I don't think we're restricting anybody's right to or the use of the statute. And I do, I do bringing the item because there is a little bit more time to vet it and think it through and I think there is some like for this particular motion, I think there is some things that we need to be thinking

040about that can have repercussions based on timing and things of that nature, I don't know that we're really at liberty to discuss right now but that would be discussed when you're bringing an item. So, that's my comment. thank you. MADAM Chair. can I, make a comment. Go ahead, DR. Holness. no problem. Thank you, MADAM Chair. So I just have a question, I understand that DR. Zeman wants to bring a motion can he simply just as a board member at the end of the meeting ask or direct the superintendent to come back with information as opposed to making a motion and if there is no objection, it goes through? yes. so, if it's limited in scope, MS. Bruno as the policy says, which the board can in the moment determine if that's limited, if what he's

041asking is limited in scope and he can simply direct the superintendent to come back with, suggestions on improving hiring practices, if the board deems that to be limited in scope, why do we need a motion? we don't. so why are we having this conversation? I asked when DR. Zeman asked the motion, I asked MS. Bruno. so he can get what is done by directing the superintendent and if there is any objection, and then it goes forward. Right? right. so don't make a motion. just two quick questions and then I'll go to MS. Hixon. Is MS. Bupuy-bruno is it violation of state law? no. I just wanted to state it on the record because that claim was made. And okay, go ahead, MS. Hixon. i just had that one. Go ahead. and just one for clarification

042to what DR. Holness said, if it's going to require significant staff time, then your policy requires si motion. -- ation. -- a motion. Just to be clear. but will this require significant amount of time? And right and the board can determine if there is any objection? that would be the superintendent whether or not it's going to take. It's his judgment as to how many time and whether or not it's going to be significant. so we would rely on his decision? yes. MS. Hixon. thank you, and I was going to point that out, we often give the superintendent direction with a date to bringing something back and he either says yes, that will work or I need more time. So I think that makes sense. But I will reiterate based on the conversation. I think it's

043a very bad look for us as board members to be saying, we shouldn't be following our policy. I mean that's the whole purpose we exist is to make policy why would we expect everyone else to follow it when we say, we don't need to follow our own policy. If there is an issue what the policy says and what it guides us to do, it behooves us, but to sit on the die as and say we don't have to follow our policy, is embarrassing. I would ask the superintendent if anyone agrees and see if there needs to be changes in the policy to bring that back b.You I do not agree with saying to the public, we as a board are not going to follow our own policy and I have something else for good of

044the order when you get to that part. yes, I've got you on the list. so if I'm understanding correctly the interpretation of our policy is that this would be admissible, it falls in line with our policy because as long as it's not a motion, he's directing the superintendent to look into it and as long as it does not require a significant amount of man hours then it's permissible to be directed like this. So I don't think we visiting the policy, if that's how we want to go forward. We need to bring a policy back at this point.
