and Saturday the February 7th, 2026. The time right now is 9:15 a.m. and I am calling this meeting to order. Prior to taking care of business, I would like to do a roll call. Okay. District one, Jasmine BS. District two, Mr. Christmas is absent. District three, Miss Dr. Jesse Dory. >> Present. >> District four, Miss Victoria Williams. >> District five, Dr. Dane. >> Doc. >> District six, Miss Mary Baker. >> District seven, Miss Sabrina Hill. >> District 8, Miss Joy Telis Cooper. >> Present. >> And I am District 9, Benjamin Strager. Okay. Um, Jasmine BS and Miss Sabrina Hill are present, but they're on Zoom. I'm going to read the ethic statement before we get started. In accordance with board policy BH, it's the duty of every board member to avoid both conflicts of interest
and appearances of such conflicts. Does any board member have any known conflict of interest or appearance of such conflict with respect to any matter scheduled to come before the board at this meeting or appearing on our proposed agenda? If so, please identify the conflict or appearance of conflict and refrain from participation in the matter involved. I forgot a few people on the um roll call. Um Dr. Douglas Hendrickx, interim superintendent. Assistant to the superintendent, interim superintendent, Miss Dawn Biles. >> Attorney Clint Doyle. >> Board lon Kim Blackwood. >> And who am I missing? And and special projects assistant Miss >> Val. >> All right. And um I think we have an attorney present for executive um session. Um Danielle, last name Machardi. Are you there, Miss Matardi? >> Fantastic. All right, let's get into our
business this morning. This morning, we're going to discuss just two topics today. One topic we're going to discuss um which is the convocation center and the operator agreement. Then we'll go into a brief executive session to discuss um land matters, legal matters, and personnel if we if we need stuff. All right. So, with that being said, I will first ask the attorney. There was an email that was sent from one of the board members. Can you just kind of review that? Give us an idea of what that is. After that, I then will go around the room to um to entertain any questions that the board members have. And at that point, we will then ask the the um superintendent for his recommendation and then we'll move forward with a vote on this matter. >>
M. >> Thank you, Mr. Chair. Good morning, everyone. Apologies. In the last few weeks, you probably have gotten tired of getting long emails with lots of for me. So, um hopefully that will subside very soon. Also, thank you, Mr. Chair, and thank you, Miss Gore, for questions that you've asked there. Apologies for some confusion on whether we were going to discuss it. Doesn't matter. I wanted to get information I did last night to you um about those questions. First off, there was one provision that needed to be updated. picked up a provision from an older draft where the super the interim superintendent is the contact point not the board chair u so thank you for that there was also several other questions you all have this email we've also for those of you here uh
we have printed it off for your review there was questions I'm just going to go down the list kind of in rapid fire Mr. Chair if that's okay and then you all can certainly ask me questions if you like um article Why do we have that provision? It's entitled representations and warranties. It's a very short paragraph that basically has both parties saying we have the authority to enter into this agreement. It's a very common provision. It's in virtually all of your procurement contracts. Um I'm going to skip around here a little bit. Uh why do we limit the board's usage? I explained that in exhibit B revenue sharing there is a reference to schoolboard only having 20 days and as we analyze it we didn't think the board would need more than 20 days. It's
not that we would have exciting things that could take place there. There's a financial consideration. will still have to pay significant amount of money to do events there for just the hard costs of doing those events and that is um that is going to be something that particularly in the first couple years would come into play. So the 20 days was not a problem. We understood why the promoters would want to have some fixed cap on that so they could look at longterm sometimes they're booking acts I understand you know a year plus out um so that's how that one landed there >> addressing that question why does it say the school board shouldn't that say the school district >> right that is that's that's one that I've also addressed Um it's just a common
way we do this in contracts. It it can kind of skip over well wouldn't that couldn't that be said to be the district but because the board is a contracting party and we lay that foundation the board owns this asset board is in charge of this asset and it just it just picks up throughout the contract. So we typically will have contracts that say that and that that's why that is there. So I guess my question why wouldn't it say school district or something because I don't think that that you know when the question was raised that the school board that us we weren't we weren't asking about 20 activities for us. We were just trying to find out what about the district that they would need to do. Why would the number be the
same for them as the uh commissioners when I mean basically it looks like we're equal when the district is the one who put the money in for this building. So that was I think our concern >> right I I think in this case from our perspective that that was a matter of semantics. >> Okay. Um and you know the the nature of this is that um it was negotiated. So with ne you know heavily negotiated documents is sometimes a little more tricky and just more tedious because you got to take it off track and you got to approve it with the other side. Inevitably the other side and you know these guys are are very good at what they do and they are negotiators professionally. That's what they do. They are not going to say
yeah that's okay. they come back with, but we have a few other things we'd like to add. So, that's why we we shut it down at a certain point just to keep it on track so the board could could weigh in and consider approval of something. Um, and then um what I'll say overall about the agreement, it was our intent and I I think I can speak for the group because uh we got in the room. Uh thank you for the encouragement from the board chair to say let's let's kind of focus on getting something that sides can agree to that at least board members can consider. So we you know figuratively locked ourselves in a room and Dr. Hendricks had everyone to his office. Miss Bivvens was able to uh negotiate uh very uh
firmly on some procurement aspects and and Dr. Hendricks took the lead on just you know school district perspective and I had my piece there attorney was there so we had some legal back and forth and we really knew that our board had different thoughts about this but we wanted to get a document that we were comfortable enough with that those who wanted to proceed with with TRP could say okay that is a recommended document and we can consider that for for approval. Um Just like anything else that's negotiated, we could have been differently. We could have pushed harder on this or pulled harder on that. But at the in the end, what we were really comfortable with was this facility needs to open. It is going to be a different We're going to learn so
much in year one and year two. What are we going to be able to adjust and change terms and terminate if it's not in the best interest of the district? The answer is yes. You have a right to at the end of every year that was the most important one. It probably made us accept things that we might have had to say we're going to need to take a few more weeks to to go back and forth on this. That was like the overarching umbrella protection that we had. And then I think um lastly I will talk about the Oh, I mentioned that too. >> You just something about in the year we have a chance we're going to learn about this year and we'll have a chance to change or so you do have
the option to go in and say okay this is not working >> can you talk a little bit about that like what that would look like >> yes I think it's I think it's a great question and I think it's actually the greatest question because biggest protection of the district. Um, but it's also something that all the board members and the district should prepare for. Each September you will have the option to notify the vendor that termination will take place December 31st. And so I was thinking like year one, it's really like half a year from now on. And um there's no expectation that it's going to be terminated, but we all need to have protections here. And I think a more likely scenario would be both parties realizing these provisions are working well. This
provision is not working well. This provision is not protecting the school district in the way we need. And so, uh back to the drawing board. Here's a draft. I don't want to send us back into this phase, but I just feel like we'll know a lot more. We'll know what is working. And just to reiterate, this is a very new venture. It's very exciting venture. It should always be a little bit scary when you're doing something big and important like this. Um, but that is the work that is to be done. And even if there's a provision that I'm sure Dr. Hendricks doesn't like some of these provisions or Idaho or Miss Divis, you know, you know, there's a lot of provisions when when we're looking at the finances the finance is not going to
like but we'll have we'll have other opportunities to address that. So thank you for that later and I have a question about something that Great questions and I think um I just have one more piece I'm going to email and then um you will have a lot of questions but I think also you want to hear from Dr. It's just this is quick tape maybe or long tape. Um a lot of that >> he'll do that before his recommendation. >> Okay, great. >> I appreciate this being added and we'll be looking at September and it'll put a fire under them. to impress us what they can do. They don't have time to say, "Oh, I'll do that." They're running at this point. We are so I appreciate that. >> Well, just one last piece and
then I'll turn it over to you guys um just from the email and that is article 12 conflict of interest. Um and U the question had that come in well why do we need that because school board members are bound by the ethics laws of the state of Georgia and so why is that provision even in there is is the question and it's the same question we had during the negotiation um why is this provision in your draft and what what is the history of that the answer was they wanted to be able focus on promoting events and they wanted to have a very clear channel of communication and they had had experiences that made them want to have this provision. We basically mentioned what um you know the question that was lied is that
really needed but I'll tell you in the context of where we were in the negotiations and we were having select some things to push very hard on termination um revenue sharing splits and we kind of or I should say I prioritize certain things over others. I also felt like the fact that this is a new commercial endeavor. It's it's far beyond public education which the ethics laws are really meant to tie to that. This one has a lot of other things that you know that are just not very conventional and it didn't seemed like it was a great time to push ahead to peel back that article for those reasons. Wasn't that we liked it. We certainly wouldn't have put that in, but it just didn't seem like it would land when we wanted to
save our save our amition or other other things we were pushing for. So that Mr. Chair um kind of goes through some of the issues. Happy to entertain any questions, but otherwise turn it over back to you. Before you do that, there is one other mention. Okay. But since the company says speaks of keep my issue still with that is the fact that you're saying that what you're saying now is the reference to the school board is the same as the school district. So that still means the superintendent and the superintendent has to have the authority to have some say in the operation. But you know we as you said we'll go back and change some things but that that would be you know because we keep using the word school board that would mean
that we're also talking about the superintendent as well. Miss Corine, I thought in 12 when I read it, it did make reference to the fact that the superintendent would be that contact person to the operator, which is exactly what you're stating right now, is that he would be involved in assisting them in their in their um in their decisions. I thought that was there as well. And but but also um also want to acknowledge Miss Gord's point that there was a provision that will be changed uh that the inter superintendent will be the point of contact not the uh not the board chair to underscore that point of contact for >> well the the certain things need to be figured out so it's going to be better for the coming months. And then you think
of like the superintendent or >> designate it'll be me on my >> the superintendent or designate and and down the road that >> this is going to be the begin. This is the first step to get this thing open. You still the expectation my understanding from administration is staff will need to be hired including a position which might be called a manager or a liaison and I have no idea the superintendent may or may not choose to name that person or you know other administrators. We just didn't need to get to that issue at this point. It was felt like in these negotiations, >> right? But he's going to you're correct. >> He's going to make that determination. >> Right. And he's going to, you know, he'll figure it out and communicate with us exactly
what that's going to be. But for contract purposes, it'll it'll state that he's the contact for the or his design to be that that person. But you're correct like he will communicate that with us at a time which is why you know that stuff should be put in writing somewhere so that we understand it does not necessarily be it's not necessarily part of this contract but for our own for us to understand this before we go on just had a conversation here we as We've been asking for a meal for a long time. The board members have. We wouldn't even be sitting here today if we had been afforded the opportunity to have everyone sitting at the table because of course this morning I'm thinking that TRP would be sitting here. But again, they're not
not just to negotiate, but to have some some questions answered. And I'm just going to tell you how I'm feeling right now. I have an issue right now with trust because it's like I understand you're saying that you all negotiated but because we asked you Mr. Chair for a meeting whatever y'all negotiated and you weren't in the negotiations. We didn't know what the negotiations were but you want us to go for it. I'm ready to do what's best for the district but we cannot not being allowed some type of communication for exactly what is going down because we're in this situation because there is no communication and once we figure this thing out the next thing that needs to happen is to deal with the foundation because that's been laying on the table and that's
not today but I'm hoping that we are going to communicate better because you can't go in and say you're negotiating something for me but you didn't even come back and tell me what you negotiated But I appreciate what you did. I'm just telling you, you know, that's why we're here right now. >> Okay. So, now what we're going to do is we're going to hear from each individual um board member. Um Miss Hill and Miss BS will be last. So, I'll start with you, Miss Miss. >> Well, before we start with me, I think Miss said something about 71. I just wanted to hear what she had to say about So we've already >> sent an email to but anyways a couple of things that um I have some questions about maybe we can get
some answers on. I know emails have been going back and forth back and forth. I'm over it as far as this congregation center, but uh one of the things that kind of caught my eye in one of the emails was the response that with this money that we're going to have to give TRP, I think it was like the 3 million, we're going to have to find this money some kind of way to give it to them. And uh what caught my eye is that it may affect number one positions being frozen and number two the possibility that our teachers may not be able to get like raises or bonuses and that's a little concerning to me too because I remember where we were at last year trying to fight >> I agree >> for
our teachers and giving them raises and then to have to explain to them now we're in this situation where we have this money, this obligation, and looks like we're about to get tied up into a contract. I'm just a little concerned because I don't want to be in that same position trying to explain to some of the hardest working people in the district why we're having to do what we're having to do. So, I'm just I I just want to just hear, >> right? I think that's that's an excellent question. and I shared the exact same concern as you did and we'll let Dr. Hendrickx speak on that just a little bit. So, he'll directly answer that question. >> Good morning, uh, Mr. Chair, madam vice chair, members of the board, colleagues, and community. Um,
first, let me acknowledge the fact that I share um the sentiments of Dr. Gore when she says that we should not be here right now. Um, to my knowledge, has been in process for about a year and a half. You all named me on the 14th. On the 15th, I jumped in because that something had to be done. And we began negotiating in good faith on your behalf. Um what was against us were memorandums all over the place and agreements and people not knowing uh which way they were supposed to go and who we were up against were people who not bad people. They're just a business trying to get what they can get and they needed to be negotiated with because we didn't feel like it was in the best interest of our district.
Promises and steps had already been made for this to happen. It seemed to me that it was a definite that some of you may be interested in this happening, us getting started, us having this convocation center going, us having the events with the intent to make revenue so that we could support our students and our staff. Some of the planning was missing in those steps. As you know, when we came to the last retreat, uh the foundation, uh I guess he's the chair let us know about $5.2 million. I personally had not heard that before until that moment. And that was right within this 3we window that I'm talking about that we've been involved. Well, very quickly we understood that they didn't have any resources because I don't know what their fundraising had been. We
realized very quickly that we probably were going to need to step in and no longer would they be basically the liaison for the district between the district and the operator. We were going to have to take that responsibility. And so on your behalf, that's what we did. Now, to the point that's been raised by uh Miss Joy Telis Cooper, this is the middle of the year. You've already approved a budget for this year. This money that we have to pay for the operator to be functional. We did not want to pull from the fund balance. We did not want to create an extra expense to the general fund. And so there are evasive measures that we figure would be better. When you have vacancies, you affect no one. And if you can pause those vacancies
for a period of time, there's revenue that you've already approved that wouldn't create a hardship to your fund balance or to your general fund that we could use. That's where we are. That's what we're attempting to do. Now, there are a host of things that could affect what we do with our employees. We're just coming off the Christmas break, leaving the Christmas break. One of the things I came away with is employees need an extra check during this period just because of our operational piece. They they need additional money, but in order to give additional money, you have to have additional money. And so, we're going to have to look to make sure that we can afford that. There may be legislation coming down that says that certain employees within our organization get $2,000 this
year. I hope that we can agree that we are an organization that should not be bifurcated. That we don't say these employees are important and these are not especially when it comes to our top employees because that's your retention. That's what retention looks like. Those people stay with you and they rise to those points. Also, I think not included in that would be your facilities people. We've heard from them and their interest to be included in the $2,000. I agree with them totally. And so, there are a lot of decisions that we have to make. The want to do this these concerts, this this enterprise does not come without us having to challenge our regular business. Even with what Dr. Simpson is leaving on February the 11th with a wrestling tournament. We are having to
utilize some of our staff to do this. You know, I understand the questions and I welcome the questions. I welcome the accountability respectfully. We need to ask questions from beginning to end. We need to have it from the very beginning. We're running up against situations where people have basically been given the complication center. That's expense to the school district. I didn't do that. Dr. Simpson didn't do that. You all probably didn't do that either. And I'm not trying to place blame. I'm just trying to express that there are challenges. And so we can want a thousand things. But can we do a thousand things? Can we afford a thousand things? My commitment is to try along with a team to do as much as possible. But know that a lot of this has been not
done up to the standard that we all would have wished. So what we'll be able to do for employees, I'm not ready to tell you that today. Does this create a hardship? Of course it does. You have to pay $1.5 million and in two point two months you got to pay another $1.5 million and then for the rest of the year you have to pay about $50,000. This happens until they generate funds. This is what you all agreed to when you said, "Yeah, we want the convocation center. We want to take on this work." That's what you agreed to. And so, here we are trying to make that happen. That's all. That's that's what's going on right now. So, when we talk about confusion, I join you because I've inherited the confusion. I jumped off
the diving board into a pool that you told me I could jump in and there was no water. >> You agreed to. >> I agreed to. >> I didn't know it was no water. I didn't know it was no water. >> Don't blame it on that. >> I'm not blamed. It's Christ. And I'm just saying those are the trials and tribulations of leadership. You in the pool, too, by the way. So, yeah. So, we are we are in here. Well, hold on to me cuz I can. But but but the fact of the matter, this does not come without challenge. We we going to face the challenges. We believe in what's going on. We believe that we can turn what you wanted to do into something that's good for everybody, but a lot of patience
has to be put forth and a lot of trust. No reason not trust me. I just got here >> and I'm going to do my best. But this is this is what's already in motion. And a lot of these questions should have probably been asked along the way. So I agree with what you said totally and I'm ready to answer all of them because I did agree to this. But let's just let's let's remember what we're up against and let's all remember the part that we played in. >> Well, can I ask you a question since you mentioned that? I know we're supposed to go around, but since you brought up something about this money that you're saying that we have to pay >> and you can help clarify that as well. Now, are you
sure that I know we're we're an amount is in this contract, but what happened to the $70,000 that the foundation is supposed to be paying based on the uh RFP RFQ. So are are they still >> that ends at the end of this month? >> Okay. So >> that's between the foundation and TRP to my understanding. I don't know if there's more to add to that. >> That's correct. And this is the end of theou. You're >> correct. >> And I would add to that and I think one of you actually was you Dr. Murray mentioned and I think there's agreement foundation we have to There are several issues that have to be dealt with. This just had to be the first step and the next step is a positive working relationship with the foundation
that allows them to to tap into their strengths and um you know where their skill sets can be and allows the school board to to be able to do what it needs to do. So that is the next conversation to have. Um and and it won't just be the foundation. There's going to be other issues that come up as well, but this this would be the start, >> okay? Because we should also be clear here in in with TRP, let us not make it seem like they're trying to get over on us. They legitimately earned what they're supposed to be doing. The problem is the foundation because these free events that you're talking about are through the foundation and there not being any communication between the foundation and the people that they have working for
them and us not using our oversight through those bylaws. >> So, it's all a ball of confusion. As you said, Dr. Hendris, we all play a part. >> Yes, ma'am. >> And and I would just say from the part. I I blame the not any individuals or any organizations. I blame the structure. I just don't think it was a structure that was a winning structure. And so it's not to say that there was not hard work that was done because I I have as I've kind of gotten into this in the last three weeks, four weeks. Um I've seen the hard work and there's been good work and uh so you know I just want to acknowledge that. But the more important thing is the structure of this so that this facility can be successful.
>> Agreed. >> All right. Joey, are you satisfied with the answer? >> Yes. >> You are. >> Okay. Um, right now I just want to say I appreciate all the hard work that's been done in the last three weeks, four weeks. Um, as it's been said, if we had done that a year ago, we wouldn't be at this mess. that at this point we can't we we can't keep hashing that out. We've got to move forward. And for me, the sooner we get this up and rolling, the sooner the operator can get um events going, talent coming in, money coming in, um the the quicker they get money coming in, the less money we're going to put out. Um we also need to keep our eye on that naming rights because that should be a
nice chunk of change, which again will go into you know, us not having to pay and having that out there because at the end of the day, you know, yes, I wanted this for our students for their graduations, but the other part of that was any money that we can bring in that we can give back to our students and our staff because we're not City of Atlanta. We don't have that tax base that they do. We don't get 40ome mill, you know, that 40 million dollars per mill. That's not us. Our print shop won't print me money. That's another problem, but that's another day. But, um, with that being said, we need to get this up and going so that we can get that revenue so um, there's less tax on our own budget.
>> Yeah. Really quickly, I didn't have anything to say, but I just want to piggyback off of what Kylie she's making a lot of sense, Joy, where just imagine if we get this sponsorship deal. I'm not saying that we will, but imagine if we diligently go out there and get a company to give us $2.5 million for the naming rights. At that moment, we immediately put a a relief on that $3 million that we have to put up. So, there's tons of opportunities that are out here that I think will get us to a a neutral point. Another thing is is that if we don't, this is just my opinion, but if we don't stop the operator from moving forward and they happen to luck up on a new edition concert, which is selling out
throughout the entire country, that's a ton of money that will come in that will also put relief on that $3 million that we have to put up. So, those that's kind of what I'm thinking is I know I'm I know I'm gambling and I'm betting, but if that happens, then that $3 million is not going to look as bad. >> Good morning, everyone. My questions are regarding the event that's taking place on next week. Um, who's funding that is that the district or the foundation? How does that work? >> Dr. And if you don't mind, I would ask you to come up and talk a little bit about that. I can tell you that uh the district is funding that Doc can tell you a little more. Thank you, Dr. Good morning, everyone. Yes. Um
to Dr. Hy morning. Thanks for that question. Yes, the district is funding this event in this entirety which begins competition on Wednesday and concludes on Saturday, but there's a move in starting on Tuesday morning. So what that looks like in terms of day-to-day, we're using our custodial staff, our security. We're using staff members for ticket takers who are experienced and trained ticket takers that work at our events throughout the school year at our athletic events as well as concessions. We made an investment of course to do the food. We purchased the food and we'll be selling it. But we had to have staff that had to use I mean to to work the concession areas as well as additional staff of ushers and monitors and wanders that we'll be utilizing all throughout the day and
going to pick up drop off food and things of that nature. So this is an event that's being fully funded and run by our district staff and employees. Those individuals will be reassigned to the convocation center to the arena on those days um in which they typically would have gone to their assigned duties and responsibility at their place of location of work. >> And the reason for that is that offsets cost as well. Instead of reporting here, they report there and they continue to get paid. We're trying to offset cost. >> What does the parking look like? >> I'm sorry. >> Parking like based off us not having this contract. So, we've already had a conversation with with uh the mayor of the city of Marorrow. Um the parking spaces that typically would have been
available to us had this agreement been in place. There's an understanding and the mayor was with us on this past Thursday as we walk through. I did a walk through with Georgia High School Association officials that there would be some use of the parking obviously for our staff that's been designated. but to anticipate and expect heavy traffic on those particular days mainly Thursday, Friday and Saturday um until that agreement is forthcoming and we'll we'll agree on that. >> Okay. Also, you said so these employees that would be working those events will not be any of our instructional good that's what I need to know. So just facility safety and those who said experienced it. That was my concern. I didn't want anything take away from construction time coming over there. Then my question was you
already elaborated. I'm just going to put my questions out there and Dr. Hendricks already explained they would be reporting there rather than so we won't have to pay overtime. Is that what you're saying? Because I don't want that to come out of another budget bucket that we have to pay over time. >> Absolutely. Well, unfortunately on Saturday right so we were intentional about that and certainly through our CFO Miss Bib and Mr. Harrington and and Dr. Andrew's recommendation, we were intentional about making sure that those individuals instead of working the eight hours, let's say here at business services, that they would report over there to work 8 hours. Obviously, anything over those eight hours, they would have to be compensated for. There are a few anomalies out there obviously that will be working the entire
event from the start to finish, but anyone that's paid or excuse me, anyone that's working above their 40 hours will be paid over time. Saturday obviously is a day that they don't report to work that they have to be paid. But we minimize that cost >> extensively by being intentional about the individuals that do not touch children. >> To your point, >> taking away from instructional time, we stayed as far away from that as we possibly could and I think we did avoid it 100%. This is a great opportunity to plug something really with the use of the operator because they have RFPs and we talked to them about this in the negotiations because something big for us was our employees having extra pay opportunities to be paid >> that they would get some of
the not first deals because I don't want you to think they're going to place the people but they would advertise the jobs internally in the school district first but because they're working through RFP because they're working through a different company, they would be paid and it would just be a different >> entity paying them. So it would be a separate job >> and so that would be one of the benefits of the operation. I just wanted >> that's an extreme benefit. >> Yes. And you know that >> why isn't uh since the operator is still getting paid through the foundation and this is an event that's happening under that whatever it is. agreement. Why isn't the money coming out of that $70,000 to pay our employees? >> Well, I'll let Dr. Simpson touch on it,
but this is a school district event, not a foundation event. This Georgia High School Association wrestling tournament, please let me let me go ahead. I'm going let you finish. Go ahead. Go ahead. >> Okay. I'm sorry. So, it's this is a school district event. Their agreement with them, to my knowledge, they are assisting with some of the the how do you say consulting or however it is there is a consulting type role they're earning their money they're doing the RFPs they're doing all of this >> but this is pretty much our event now they can't sign anything insurance any contract until they have a signed agreement with us because the foundation doesn't own your building and so there are a lot of things that they're they can't do right now am I saying that correct
>> but let me say this that the reason that we have wrestling event is because of the employees of the foundation. >> So this is how how we have this event. >> Dr. Jeter and Smith and and Mr. Smith are the ones that got this event for us. >> They work for the foundation. >> But that doesn't make it the foundation's event. They just have >> I didn't say that. I said they work for the foundation. >> They do. >> So if they work for the foundation and foundation is supposed to be paying TRP $70,000. Why isn't the money coming out of that amount of money to pay for the employees? >> So, Miss Gory, are you saying why is TRP not paying? >> Why wouldn't it come out of that? I mean, I I
don't know what because the money that's being paid to the TRP is coming from the foundation. I don't know what money they are spending. But I still see that in the relationship. So the $70,000 that TRP has been earning to to to the mockup to the building uh opening events, pre-opening events, repairing, you know, securing contracts through vendors, through an RFP process. All of what it takes to make this a a a building to operate is what that that $70,000 speaks to. That is not even close to a fraction of enough to cover the expense that we'll have that will be incurred as it relates to employees working this particular event. That is completely separate. That is just a monthly fee that's paid to them for their work in making this operable. >> Okay. I
don't think you're getting I got a question helps us or >> um is the revenue 5,000 is that the payment HSA is 5,000 and what is the hard cost of >> 50,000 >> about 50,000 >> about 50 operating cost >> and the operating 70,000 doesn't relate to those events we still have to and the county would have to pay hard I call them hard costs of the event >> correct >> um and so your graduation is not going to be free >> no and we thank I'm still if we had signed this we are already in an agreement right now with them, >> right? >> They would have to be handling this court. >> So, I'm still saying, you're saying that they're doing this to operate, but what are they operating this month? >> They're
not operating anything. >> So, so something like what? They're not building the building. No, but they're not. >> So, although a contract has not been signed, they're still operating under that temporary, their work has not stopped, >> right? >> Even during the negotiation process, >> I don't think y'all get it. I don't know what if whatever work that they're doing >> that uh you know, we're having an event. the event was happening this month and there should have been something that they were doing. If anything, you should be splitting a cost share because there's still if there if they're working to do something with this building, some of that money should be coming to us. We shouldn't be burying the whole thing. >> Well, we're not. We are we there we will be invoicing high
school association for some production costs. That's an understanding. So we will >> Can we get any ticket sales off of this? >> No. No ma'am. >> This is a marketing this is a marketing tool. >> Okay. I would like a list of how many events got promised by I don't care who. I can take guess but I'm going to I know we're being recorded. So I would like to know who we who's been promised something that we're not going to fulfill because whoever made that promise shouldn't have made it. >> Sure. And I don't and um telling you the information that I know because I've had entities come to me and say that they've been promised to be able to do their graduations, other things there for free and I've shared with them I cannot
fulfill those promises that when you start talking about contracted things. We're talking about the the wrestling tournament. We're talking about the SIA U tournament. Is that basketball? >> That is sac basketball. I think it's already contracted. It's $5,000 for them. And uh my understanding is that was to draw them in to do more. At this point, all we can do is is is make it happen. Um because it's already been codified in agreements and had nothing to do with those. I just found out about them in the last three weeks. So >> Dr. Hendrick, that being said, Dr. Simpson, was staffing wise with that as well? Not our I hope depending on how this will go. >> Correct. >> Can Can I make a statement about that? That that's a very good answer. And and
to Miss Gore's point, if this was done a month ago or two months ago, right now, we would not be having this conversation because the operators would be putting on that wrestling event. So it it gives you an indication of how how important it is if we decide to move forward because at this point we would have never had any of these questions because they would have been responsible under that $70,000 to actually manage the building and the event and all the contracting that was required with that. Our staff would have never had to been involved in this because they would have had that staff out of that $70,000. What was that? >> I think they're saying it's not staff. That's >> No, but I'm saying they would they would have contracted, right? They would
have contracted >> anything. Money should come from the foundation. >> The foundation could be not the right separate from the low they got. >> Got a two further questions. >> Okay. Um the next question and I wraps up and maybe Dr. S can see this. Brian is not here, but my concern is the construction still happen. You know, it's still happening and we have these people coming on Tuesday. My concern along with some of the community already called how I address the measure keep still building over there. It's going to happen. I just want to make sure for safety purposes for our safety and my safety from construction that it's going to be okay come those days because I don't want guests coming over saying we stepping on cars and all this kind of stuff
and then this malls act saying parking lot and all this. I just don't want that foolishness to come about reflecting on us. So that would be security taken care of. Am I correct? >> You're absolutely correct. And I'm not running first. >> All right. I've been over there, >> but I I' I've been over there every day and I've been in conversation with Ronic. He's uh you know had walkthroughs with the fire marshal. Nothing is going to be approved by way of a temporary seal or a seal for us to operate the building if it puts anybody in in hazard or safety. And so what you see might be it's cosmetic right now is where we are. It's more clean. Exactly. And so but yes to your question we'll be ready to go. >> And
the next question um to to Mary's point if Dr. Hus and yourself your squad you get this together give us those list of those events whether however it came about. I could care less because we know I just need to see it on paper. the list of events, the cost of those events so that we can better because this is all if you look at it in totality what we're going through they have already this is a blueprint. So if we move forward we know what to do what not to do and what to avoid so that we can be better suited to handle future because if we have a clause in us that we can terminate that that helps us to better say okay this is how we're going to better structure this right
here moving forward. So if you all would give us that list those contracts with the cost even with our because I want to know how much it actually costs for graduation. I'm tired of hearing the murmuring. This is what it cost. What is the cost of CCPS's graduation? Doc, I mean, Arton is always talking about the food. Put the food in there. You know, I want to see everything itemized. Please, I'm going to take away from day to day. >> No, no. >> Because I don't want people stacking paper just getting board members. Something that could be done just like that. >> We already have that. we we just looked and discussed the graduation amounts. Uh and so we can we can itemize that or whatever we need to do. We know we know what's
been budgeted. We know what we have to do. So we know that. But as it relates to uh if we're talking about promises that don't have a codified contract, those don't exist to me. You know what I'm saying? We talking to those people and saying, "Sorry, we can't help you." But for the ones that actually have a contract, there's only two. There's the SIA situation and then there's Georgia High School Wrestling Association. >> Will that be future that you know of that could go on that list or we still working out those negotiations? >> Well, I'm not I I can't I in great conscious I can't get first of all we can't give school district resources as gratuitity anyway. >> And so uh we're not going to step into that. We're going to be working
from the lens of this is >> where's your water? So okay. So yeah. Yes, ma'am. We more than happy. >> Don't let it take you away from day to day. >> No, ma'am. Getting your information. One of those additional is Clayton State University. We have a contract with them and they're 5,000 to check the amount. I'm not certain 5,000, but we do have a contract with them. >> Okay. So, we'll that may >> Yeah. Just so we can see so I can kind of like squash minimize the noise. >> But they're not hitting us next year for that price. >> That's understood. Okay, >> we appreciate our partnership with everyone, but yes, ma'am. We got to move into the future. >> And I wasn't trying to crunch you out, Eugene. It's just a matter of
this is money right now. We got to get this down because this is ridiculous. >> Yes, ma'am. >> Okay. Just ask the question. >> Yeah. Whatever. Whatever you want before answer, but I know like for graduation, they still getting out 10 tickets for the first school, but somebody asked me about it for the We should be able to charge that after 10. Don't give out no more free tickets. After 10, that's enough. 10 per family is enough tickets. You don't even like people that never pay for the school that never seen you in school. None of that. >> As long as you be a way to make some money. >> As long as you all going to come back and ask us for >> Yes, ma'am. >> So, you might can I have a question?
I'm saying to the graduation they bring out people that had nothing to do with their kid in school or they want to bring people that never even seen the kid in school. >> Can I have a question? >> So I think they don't, you know, if they want to go, they get paid to go. 10 is what you feel like your immediate family, whoever might have been there with you. Everybody else, it ain't got to be high, but it's going to be a lot of people cuz we had 6,000 people over there. If you charge $10, that's still bringing some revenue. >> Yeah. >> I have a question for Miss Williams. This question is only for Miss Williams. Please, nobody else pitch in. >> Can I state this really quick? >> Go ahead. Go ahead.
>> It's hard to charge people for >> It's not hard. >> I should I should have let him talk. I shouldn't have let him talk. He messed me up. He messed me up. Miss Williams. Um, so when Miss Gor when Dr. Gory comes to me and say, "I need 50 tickets." >> What? How should I deal with that? >> That's my question. >> If she's not on board, give her >> She's not on the board. because it still can't be a womanating uh article 12. He's not going to go back and forth. >> Back on my question for with the Williams family. >> He wasn't doing that many of us. I don't >> I mean my son Dad came he should have paid too cuz he was the whole time. You didn't come no games.
No, you know what I'm saying? Like people come to graduation people that were having contact with your child. >> Don't be pulling out people. I ain't I'm glad I didn't. Good luck with that one. >> I'm not part of your family. >> I I would say this. I I hope that you all support uh the limits we have to put. >> Yes, we have to. >> Now we in the same situation we don't. >> Plus, you talking about the wrong people cuz we don't want to talk about some of them elected officials that show up. >> Oh, they got too. >> Yeah. >> We'll let you know um how many tickets we are giving. I only >> Yes, ma'am. >> Miss Williams, >> I'm okay with the contract and putting up the money and telling
letting the teachers know that bigger is coming later if they hang over. Everybody know we have to do this. They know it cost money and they head. They think it's already here, but they know they know it's not here like that. As long as we not taking money back. Somebody asked me about us going back on the scale >> and that that has been done before and I told them I don't think that's the issue that we'll be going backwards. So hopefully we're not taking any money from what they already have and we're pushing this that we know you can make some extra money for now but once we you know start generating it then you get a couple of bonuses. It might not necessarily have to be on your check depends on how it's
going but then eventually >> taking money from the teachers they saying here they got bonuses taken back. >> They got salaries dropped back. Yeah, all of us got it. I >> that's that's the question I'm getting. >> No, we never >> But I'm letting them know it's going to cost money to start. So, you might not see nothing next year >> and they might need to I mean that's that's what you think >> conversation. >> That's what the kids Christmas. Hey, they they ain't you know they ain't going well this year. You might get one present 50 presents. >> But I'm okay with going forward and looking at the contract as we go to see what we need to change in six months. And what else I have? Y'all messing me up. >> So, I
don't know. Y'all can come back to Smith. Oh, and how how are they getting how are they putting in for vendors and other stuff? Like people ask me about that. How can they get in to to to work at there or to be a vendor? >> The the operator advertised uh uh process uh vendors for about four or five different areas from concessions, janitorial, >> right? So where is that information at asking me about that? >> That's a site that should I think it's on our website. It's link on our website. >> Okay. We didn't know that. I'm like, I don't know. >> I'm going to dismiss the comments of my colleague about graduation because I will be coming up. I might try to go recruit a hundred for them just because she said that.
But, uh, I'm I'm going to say this. Uh, I think I my questions got answered this morning and I appreciate that. But I'm going to make a statement about since we're talking about not using the fund balance. I'm going to tell you right now that I disagree with uh anything that takes away from educational experiences for our children. I know that that's really a battle we'll have in a couple of I'll say a month or so because we'll start our budget process. But the money as far as I'm concerned should have come from the fund balance to um take care of this particular thing. had someone listen to me in the beginning with we're talking about enterprising uh there was the issue of like if you go all the way back it's the problem again
is really with the foundation because I said this before there is a building that we have right now called a performing arts center that is an enterprise they make money they rent that place out and that is what I I never understood why we even engaged another party to do this. That's what had this started this whole thing. So, I think once we get that taken care of that uh I think we'll be all right. We do, you know, in order to make money, you got to spend money and uh I I appreciate everybody's work around the table. Uh today, I guess we'll have a resolution as to what we're going to do. I'm always going to vote for what is best in the best interest of the district as far as was concerned here.
And if we could get information on the prices cuz you all are talking about the prices for graduation. In hindsight, I guess I can give a little I'm going to use the word grace on whatever uh uh events that we have now because I don't think anybody thought about what it would actually cost to have an event in that building. You know, we're just thinking, oh, we bu we got this building just like at the pack. You know, we got this building and I know at the and what I do question the $5,000 because it cost $10,000 to rent the pack right now, right? >> If you want to rent the pack, you got to pay $10,000. So, I don't I think we were just thinking, oh, we can open up this building and we
can hire people and they can run it. And I am a little upset that I know that we could have had the boys to men concert. We could have had that the day we had this um our um retreat. When was that? On >> January 12th. Yeah, we some they wanted to get in. Then I'm going just I guess go ask back to you and let uh other people. >> So Gory brought up something that I'm curious about. Now just question. She said we could have done this the way that we do the pack. And just for my information, I would like to know how is the pack run on a like dayto-day operation? Yeah. >> So just like all absolutely uh we use our internal staff to run run the pack. >> Uh we
don't have that what was introduced into this and a kind of a liaison or intermediary the foundation i.e. the foundation that is not a part of that they use through booking or reservations a digital platform that we started called facilitron. So anyone wanting to rent the pack has to go to this particular website and put in all the information and of course it's approved through our system Dr. Bully approves it >> and everything is run through uh our internal staff in terms of custodial services security. We provide all that >> and let me add that we also it's not some people are we have what you call house managers >> just don't serve >> so they are not our employees >> right >> so the house managers and I mean I mean it's it's smaller
but it's it's not as big as what what happened in the complication center but the rationale for using the foundation was that they kept saying that they were a nonprofit and that you know we were trying to whatever money avoid taxes. >> Yeah. But you can't avoid taxes because technically the what is considered the nonprofit is now going to make money. So they don't have the the nonprofit status would come if somebody is donating to the school district. But once you put that building up and you start making money, you're not necessarily a nonprofit then because you're forprofit. And the guy said that to us when I was on the uh found when I represented the foundation board, but the foundation kind of overlooked that. >> So, uh yeah, the the uh pack makes money
every all the time because people rent that building throughout the week and they're what they call house managers and they go and they come in and they're the you know like the uh what do you say the general >> the general handle everything. You know, we pay for the technician. I mean, they're technicians. They all make money. They're the ushers >> and all that type of stuff. So, it's it's just on a a smaller scale. They their rationale was just that, you know, we'll give out the money to the foundation and it won't but it but it it was that's not the case. >> Okay. I have um um Miss Hill, you're up. Miss >> is your mic on? >> Pardon me. I just um I'm not going to be stuck in the snow and
listen to this conversation. Um wow is all I can say right now. A lot of great stuff. Joy, thank you for raising the issue regarding the impact this will have on our employees and the lack of being able to give them what they so justly deserve. In addition to that, I find and I thank you, Miss Bury, for raising a question that we could have been from the beginning and we would not be here now. Great point, Dr. Hendricks, thank you for bringing the financial aspect into all of these things because at the end of the day, our core business is education, ensuring that our employees are paid and making sure that they have and earn a living wage. I I really really love the idea of the complication center. Thought it was wonderful. Know
the importance of it, the impact it will have on our community. I still stand firmly that there should be no rush when we are having a conversation and the conversation have gone in many different directions. But when we have a conversation and there are no good options for the board of education who actually owns this property, I find that very concerning and don't understand how that could even be a consideration. If it was your own personal property, surely you wouldn't want to be the one on the losing end of any of it. I think the contract should be either beneficial to both parties or one party coming out better being the owners of the property. I heard Clen indicate that this PRP, this is their job. This is what they do. They're hard negotiators and
the best we could do was put ourselves in a position if we didn't like what was going on that we can terminate. We know that we are a board of nine and anything to come before the board. If five people agree, then it is what it is. Hence the fact that we're having this special call meeting at the last minute and we're still talking about the same thing. But nobody is talking about how we got here. So to Miss Gore's point, how could we negotiate anything over a year and then it's thrown in our lap? Dr. Hendris the last 15 days, Clim who was our board attorney that got in on the last of the things. I'm just not clear as to how we got here and how anyone thought that that was okay to
do. Well, again, we need the complication center. The intent was wonderful, but not at the expense of our children, not at the expense of spending our fund balance. Spending money we don't have. I love the hypotheticals. That's all great when the economy is good and people have money flowing. I don't know about you, but I never thought it was financially wise to spend the last that you have on a possibility. We are willing to get in an agreement knowing that we're going to come out on a deficit. And we just as Julie indicated had our staff very upset with us because they felt like we were mishandling funds and not thinking about them. And so for this position, I stand firm. Not now. Should we have an operator? Should we get into an agreement? We
cannot sustain it as employees. It is not our core business. I know Dr. U Simpson is making it happen for these two events. And again, I hear is money, money, money. We're spending money. I don't know where it's coming from. So to Dr. Hayden's point, I would like to see an itemized statement on the cost of everything and how it will cost to operate and what we are paying now. I mean, when we're giving deals for $5,000 and it cost $10 just $10,000 to open up the door. We got the moral city city want money from us. We got the mall want money from us. Where are we getting this money from? And if we have a surplus that somebody hasn't told me, please inform me. I am all for it. I'm all for making
the community better, ensuring that our children have what they need. But if I understand correctly, JA will still be placed there. CTA will still be placed there. The second school will still be about our students and graduation will happen no matter what. So, somebody please help me. How we are paying an operator $70,000 every month and I can't see the fruits of their labor. And so, I'm saying no to this agreement. I think it's rushed. I think that it doesn't benefit us. I think that we don't have the best outcome. And if we're looking to get in this situation, it's hope for next year. If we don't September, we're not saying we get to say no. But if five of us say yes, we're still going to be in the same situation. Um, so my
position stands firm. I thank all of my colleagues for great insight. I thank you, Dr. Hendris. I thank you, Clint, for the great work that you guys have done at the last minute. I just have to say for me, it doesn't feel right. It doesn't look right. And until we have clear set boundary, clear and concise agreement and how this is going to benefit the board of education, the owners of this property, I have to say no. >> Well, you know what? She she brought up a good point about JA and that's a whole another conversation. >> Miss Bree, >> good morning y'all. Um I I couldn't have said it better. Um, I agree with much of what Miss Hill said and I too am um really disappointed that we're here and even this conversation,
but several comments, lots to react to. I want to give um gratitude and appreciation for Dr. Hendris for jumping right in. Um there are issues that we are part of from the beginning and there's issues we inherit and um I just want to applaud the the urgency here. Um and thank you for everyone's work up to this point. As I mentioned, I agree with what Miss Hill said, but I also agree with several of my other colleagues. Um, you know, I want to thank Miss Jesse for her point about the origin of this project and how a lot of the gaps not only are because there wasn't enough involvement at the beginning, but the foundation needs our attention. Um, I really want to thank De for her comments about the non-instructional staff. I think that
is a really strong point. I was also concerned about that for next week. um as well as the source of compensation for those people. And I do want to learn more at another appropriate time about where any revenue that is generated at these events will be going. And I also am curious to hear at another time how and when these events were scheduled prior to this body's agreed upon opening of the building at all. Um I do want to clarify one thing I heard which was that nonprofit organizations um some of the question about what their limits are and I just wanted to name that nonprofits can have revenue generating um portions of their budget. So just wanted to clarify that like that's not an exclusionary thing when it comes to a nonprofit. um working
to diversify their funding. Those things aside for now when it comes to the matter of today I find that one of the other origins of this whole problem for me not only are at the foundation level but it's at the part where we inserted ourselves with this sole source RFP and any related I believe that those original documents um are some of the original if you will, in this scenario. And in addition to the concerns that have already been raised by many of my colleagues, I want to lean in on why I will be unable to support this. I'm thinking not only about sustainability, but someone earlier um did a great job of raising some of the matters at the legislative level. One of them being the newly released fiscal year budget and some of
the commitments that the current leaders have in place that does include a $2,000 raise for um many staff members. And not only is this true Oh, it was Dr. Hendricks. But not only is that true, but I really like the point about are we expecting to do for them when that when that bill passes and not for others in our district because a lot of folks you know, deserve equitable increases. And that's great. That's great in this budget. But here's what happened. Often those are one-time gifts and school districts are expected to sustain these every year and not reduce salaries. But along with salary increases, there are proportional investments for fringe for fringe benefits. Like when you pay people more, there are equal and opposite increases. other places and the rise in healthc care premiums
right now sometimes double and triple um output in these areas and so I love our convocation center I really appreciate our vision for it but when it comes to today's matter which to me is a relationship agreement this feels extractive and irresponsible and it is my belief that this particular partnership is not in the best interest of our scholars, our staff, or our fund budget, fund balance, excuse me, and ultimately our budget. Um, I don't have much more to say about that. And I'm just really um again disappointed in not what, but how. And I think I also want to affirm this whole point about how important it is we don't just skip over that. I appreciate everybody wants to futuristic and forward thinking, that's great. But at the same time, it does matter um
that we investigate how we got here so that we can learn from those wrong moves and commit to improvement in the future. >> Right. Okay. So, thank you very much, Miss Bolt. Thank you very much, Miss Hill. At this point now, I think we've discussed this in totality. Um, I'm looking for a motion from I'm sorry. I'm sorry. >> I need a recommendation. >> Yes, sir. So, I I I want to add just a bit of commentary before I give this recommendation before the board. Uh, as you can hear in your conversations, are are two selections. There's a selection to do nothing and there's a selection to do something. That something comes in two different flavors. We act as the operator temporarily ourselves. You can see with what we have going on on February 11th,
what that entails and then you understand that we could work with the operator and that be different and they should have the expertise to do this. doing nothing means we wouldn't have the cost. Um but then doing uh events as our goal was to present something for everyone. We heard that a lot of board members would like to get this thing started. I think that that's part of this. If that is the wish, then the best thing to do is to go with the operator option. And so that's the selection that I have for you. That's why we jumped in. That's why we tried to make it very viable. It's not perfect. It will take some time. Most things in education do most things in the world. But what we offer to you is as
my recommendation that we go with this operator as soon as possible. >> Okay. There's been a recommendation. Um, can I have a motion?
