I pledge allegiance. >> I aliance to the flag of the United States of America and to the republic for which it stands. One nation under God, indivisible, with liberty and justice for all. Okay, let's take a moment please for shout reflection. Thank you. Okay. Item C, a meeting with notes. Have a board faculty meeting at 7:30 a.m. on November 4th at Herwood Walker Elementary School. Four or more board members may be in attendance. Uh we also have a board faculty meeting at 7:30 a.m. November 5th at Bernardine Sits Intermediate Center. Four or more board members may be in attendance as well. >> Yes, please. >> Okay. Item D, agenda with the following amendments. D1, additional classified personnel action for consideration. Item E3. Then item D2 at item E4F on the consent agenda. Other the board
of education is asked to consider and approve the request for qualifications for a professional architectural service. >> Mr. President, I move to approve the meeting agenda as amended. >> Second. >> Motion and second. Is there any further discussion? All in favor raise your hands. Motion carries. Okay. the consent agenda. >> I move to approve all consent agenda items as amended. >> Second move and second. Is there any discussion? All in favor raise your hand. Motion carries. Okay. Okay. Item F, unfinished business. First thing we have is F1. It's the Honeywell one-year update and consider action on year 2 measurement and verification services. Thank facilities Brandon Anderson. >> So, good evening board. I think in front of you, you have u some information that answer a few of the questions that came up from last time
when we talked. Number one, um it will not affect our financing. Uh you see that in the top paragraph. And then you see the payout for the next 20 years if we were to stay with the M&V reports. Uh that totals approximately 650,000 roughly uh over the term of those 20 years. Also ask uh Jordan Bali, I hope I didn't mispronounce his last name, but I'm sure I did. with Honeywell to be here via Zoom. Jordan, can you hear us? All right. >> Yeah, I can hear you. All right. Are you guys able to hear me? >> Yes. >> Yep. Sounds good. So, um again, still uh and I reached out to Jordan after our meeting last time just to reaffirm some things that he and I had talked about. Um, obviously the first report
came back and we are in the plus about $100,000 was what the report was that we gave you uh at the or I gave you at the last uh board meeting that we had. And the way that this will work is if they continue to show a savings, if we pay this money and get the report, that savings will then be banked. um if they were to come and do the report and they find that okay, we're in the negative, they would they would eat they would go off of the banked positive gain already before they would actually ever end up having to pay in. Also attributed to that, they would come in and work on the system. they would check all the set points and and maybe make some adjustments and tweaks so that
again we could get back to that efficiency max uh that they guaranteeing with uh with the product. So all in and I think Jordan will tell you that typically most uh projects that he works on like this they'll go maybe three or four years getting this M&V report. I feel like since a big majority of our project was LED lighting fixtures, which is which is a big efficiency upgrade, um I think long-term we're going to be banking a lot of positives before we ever even would hit the downslide and it take us a while to get there. I can't guarantee anything. Um, obviously if we go in and change some set points or do some things with the project that could affect it. Uh, but I think Jordan will also tell you that they bank
uh they're very conservative on the revenue side of this or or the and they want this project to work. So on the front side when they're budgeting um you know it it's they're very conservative to make sure that they don't have to get into a spot where they do have to face. So, uh, Jordan, have I miscluded anything or do you want to add anything at this point? >> I think that's a great summary, Brandon. Um, what you all saw in the year 1 report from our measurement and verification team, uh, was in excess of $12,000 of energy savings in that year 1 period. Um, so well above the guarantee for that year, which was $414,000. Um, so you you've got uh I'd say 25% excess savings in year one. Um, based on the discussions
I've had with our measurement verification engineer and the team who developed this project, um, to Brandon's point, the savings on the lighting is very consistent. It's a very easy calculation. There really should be no change in the excess savings you're seeing from the lighting installs. If there was any opportunity for there to be risk in our energy guarantee, it would be related to some of the complex HVAC upgrades that we made. Um, and because we've seen such an excess of savings in year one, um, unless, as Brandon mentioned, your team goes in and changes some things drastically in your scheduling and your set points, you should be trending in the right direction for excess savings for the next 20 years. Um, so at this point in time, you you are kind of left with the
decision of is the the cost of this uh continual measurement verification program worth what you're getting out of it. uh do you feel assured enough that the savings are going to continue to progress in this direction? Um if that's the case, then I I think Brandon's recommending that you take this money for uh the measurement of verification fee and put it towards controls or other upgrades uh in your building. So um great summary, Brandon. I think that that hits on everything. >> What's his name? >> Jordan. B L O L I. Is that correct? >> Yes, that's correct. Yeah, it's Italian. >> It is pronounced how >> uh Baloli. >> And Jordan, a couple questions I have. What do you expect? What's the typical life uh span of an of these LED light fixtures that
have been reinstalled as part of that project? >> Sure. So, the the light fixtures are all based on uh run hours. So, it's hard to really put a number of months or years to it. Uh that I I can tell you confidently that these light fixtures are positioned well to [clears throat] last throughout the 20-year term of this contract. Um and you actually had some operational savings in the contract as well because your team will be changing out light bulbs and fixtures at a less frequent rate than you had been with the previous technology. So um that the lighting is is positioned to carry uh the bulk of the savings for this project throughout that 20-year term. So, you know, it's not expected that any fixture or replacement is going to need to take place
in the 20 years in this 20 years span. >> No, no. If and if if there is an unexpected issue, it would likely fall within the warranty of the project. So, um if if you'd like us to follow up with some additional [clears throat] information on the warranty uh for whatever products um were implemented here, I'd be happy to have our team follow up with that. in that warranty, even if we don't elect to continue to do the verifications, the warranty that you just spoke about stays in place. We don't we don't that doesn't go away. >> So So Honeywell has a a blanket warranty on these projects where I believe it's a year past project acceptance. We cover just about anything that goes wrong. Uh but then because we do work with vendors and
subcontractors to implement these measures, um their warranties also apply. So, I I would just have to check with the original manufacturer of the the lighting equipment and they could send over their warranty information as well. >> Can you uh speak a little bit to so this reoccurring cost to pay for this verification every year? Um why is it structured instead uh to where that has to be paid yearly in lie of 20 years of of of providing this being included in the initial cost of the project to >> I think it's it's going back to the point that Brandon made earlier that um some of these projects are much more complex than others and come with more risk. Um, this project had a healthy balance of low-risk measures like lighting and more complex measures like
HVAC. Um, so oftentimes our customers will uh carry that measurement verification through the entire term of the contract and and often uh times that's because they have financing that's dependent on the energy guarantee. Um, if that's not the case for you all and your financing for the project wasn't dependent on having an energy guarantee tied to this, then it's it's ultimately in the district's hands. If you're if you're comfortable with the savings that you're seeing um and and you trust that that's going to continue trending in the right direction, then ultimately it's it's a decision of uh whether or not the the the money that you'd be putting towards year two and beyond is worth the report that you would get. And as Brandon also mentioned, in addition to that report, our measurement verification engineer
serves as kind of a sanity check uh person of contact where they're keeping an eye on your systems, how they're running, and making sure that they're continuing to perform within the the bounds of how the project was designed. So, if somebody's in there messing with thermostats, messing with schedules or set points from the district's perspective, we can catch that before it becomes a measurable issue um with with your energy bills. >> If we uh don't elect to do this and we essentially kind of opt out, uh is there an opportunity to opt back in in a few years if something starts to just not look right on our end? If savings start to diminish, do we have the ability to come to get to to get back into the verification and and revisit the saving
and or we opt out, are we out for good? >> Yeah, if you opt out, we lose that visibility of your systems for that period of time and and there's no good way to really kind of pick up where we left off. Uh but what we do oftentimes with our customers, whether it's a school district or a municipality that we work with, um oftentimes we're coming back every five years to conduct another no cost assessment of your facilities to identify if there's additional room for improvement, additional projects you might want us to take a look at or any kind of, you know, deferred maintenance needs that you might need help with. So [clears throat] you don't lose our support. Uh but yes, if if the measurement and verification contract is canceled, uh you're you know,
effectively left with a project that is just like any other uh bid and spec construction project, right? >> Thank you. >> Any other questions? So to continue in in my conversation that I had with Jordan, again, I I would stand by my recommendation that I feel like that money could be better served. One way I think we could be better served, especially on the five sister schools, is to take that money and consider making an upgrade to our control system that's there. The control system that we did get is very minimalistic and basic, and we have very limited ability to utilize those controls. Um, and he's actually already set up a meeting or or is going to set up a meeting uh with that group with Honeywell um because we would need to stay with
Honeywell um through the 20-year term as well. >> And you would you would not need to. That's that's an option for you, Brandon, if if you guys do want to look at controls upgrades or a service contract with that Honeywell team. that's that's your prerogative. If you would like to partner with a third party uh who is uh you know well-versed in the equipment that you have, you you have every ability to go do that. So I I'll connect you with the Honeywell team if that's a route you guys want to go down, but uh we could also give you some other recommendations for contractors who could be just as helpful. >> Okay. I misunderstood. I thought there was part of that that said if any of the of the parts were were damaged or
or uninstalled that it the all the warranty would be avoided. >> Uh nope. No, I think you're I think you're okay there. >> Any other questions? and a recommendation for staff to to move on, >> right? >> Yeah. Basically not approve year two. >> And then the invoice for the 25,563 is not something that that is due now or anything. It's something we we can >> actually looked at. We've got to make the decision by we it was good for 30 days and we got it the first of this month. So, I was looking at the date do. >> Yeah. >> Okay. >> Just [clears throat] want to make sure we're not liable for this. No, we make this decision. We are not. George, continue. >> Did you call me Brandon? I couldn't quite hear
you. >> Yeah. We're not liable for this year two bill at this point. We still have one more day. >> So, this is a a pay in advance uh fee. So because this uh this invoice is passed due for PY2, our measurement and verification team just has not provided any services for year 2 yet. Um so if if you choose not to pay the invoice, then everybody washes their hands and and walks away. Uh you don't you don't owe us any anything in a rear. >> Thank you. >> Anything on the system still upgrades and everything? >> Yeah, we'll we'll continue. I mean, yeah, that's to the 20-year plan that was that's tied into our 20-year note. [snorts] >> Okay. >> And we this will not affect our financing or anything like that. >> No,
we check with like Bank of America. It's on that first paragraph on that sheet. >> Okay. Well, they're looking they're looking for action. So, if anybody >> Mr. President, I move to discontinue the agreement for the year two report measurement and verification services contract not pay the invoice presented. >> Second. >> Move and seconded. Is there any further discussion? All in favor raise your hand. Opposed same sign. Motion carries. >> Thank you sir. >> Thank you everyone. Hope you have a great evening. Okay, next item G, next board meeting, next board of education meeting will take place on Monday, November 10th at 6 PM here in the board meeting room at the educational point center five on item H executive session. >> Mr. President, I move we go into executive session for 10 minutes to
discuss contract liability pursuant to the exception for matters which would be deemed privileged in the attorney client relationship under KMA beginning at 518 and and the open meeting will resume in the board room at 5:28. I'd like to invite Josh Gman, Drew Ton, Steve Norby, Jessica Northern and Jennifer Cunningham to join us in the executive session. move and second. Is there any discussions of integrated motion cars? >> Red is hot. Green is not. Yeah. >> What? >> On the mics. >> When they're red, they're hot. >> No. No. >> Green, they're not. >> You know, green is on. Green is off. >> Green means go. Green means go. Well, then these then those are wrong or those in the back. They don't >> I've been watching those. >> Yeah. [clears throat] Call me back to
work. There's action. >> Okay. make an appointment for the 15 minutes. Let's test. Test test test. What's Test test test. ghost. >> Yep. >> That was it. I don't know. >> Is green on or off? >> Keep them on. We've been having problems with >> green was on. >> Yeah, because I was watching those turn them all on. So I was like, "Oh, they have >> Okay, I'll call the meeting back to order. >> Check. Check. >> All right, we're ready. Well, I move that the board of education offer the position of superintendent to Joshua Gman subject to the success successful negotiation of an employment contract. Furthermore, I move that the board president is authorized to negotiate an employment agreement with Joshua Gman under terms consistent with those discussed in the executive session and presented
to this board with contract to be approved at the next regular meeting of the board of education. >> I'll second that. >> It's been moved and seconded. Is there any further discussion? There is none. All in favor raise your hand. Oppos same side. Motion carried. Okay. I will move for an second. Move and second journey. All in favor raise your hand. Motion carries. meeting is adjourned. >> Thanks for reminding
