001call this meeting to order. This is a regular board meeting of the North Oakland Transportation Authority. Um we're meeting today at Oxford Township. Um it's 5:30. Um I ask you now to uh take a role, please, Lynn, and then we'll have the respects to the flag. >> Sure. Um Mr. Barnett is excused. Mr. Brefield >> here. >> Mr. Mador is excused. Mr. Um, right >> here. >> Mr. Moore >> here. >> Mr. Lamb is excused. Mr. McDonald >> here. >> Mr. Flood >> here. >> Mr. Curtis is excused. Miss Kemp >> here. >> Mr. Ferrari excused. Miss Waffle is excused. >> Very good. >> We still have a quorum. Correct. >> Yes. >> Okay. Now with that u the flag. >> I pledge allegiance to the flag of the United States of America and to
002the republic for which it stands. One nation under God, indivisible, with liberty and justice for all. All right. The board has before it an agenda. Um, >> just so there's no confusion, uh, we'd like to adopt or approve the agenda that includes an item with 10A. If you didn't get one, Lynn has plenty of them up here. Also move. Okay. Sport. There's no questions on the motion. All in favor, please say I. >> Oppos, please say no. Okay, we have the minutes from the February 12th regular board meeting. Are there any questions, changes, or corrections, Mr. Curtis? >> Yeah, the uh for the present, you can put alternate after my name and alternate on there. >> Okay. And then on the uh township members, we're we are for four year terms instead of two-year terms.
003That's uh on page three at the top. And with that, I'll move to approve the uh February February 12, 2026 not meeting minutes as amended. >> Second. Okay, >> I've got a question for Mike. Aren't didn't Addison Township four year as well. >> Call us before technically it's for the term. >> So when Mr. Wright made correction for Oxford is the same with Addison just for the record >> for any elected official >> and Orian too. >> It's on there. >> Just the way it's written it works. >> It works for all of them. Orian's always right. >> Okay. Uh, all in favor of the minutes, please say I. >> Oppos, please say no. >> Your time to shine, Lynn. >> Oh, good afternoon. >> Overall, operations are going very well. Demand uh is remains
004strong. February writership came in at 8,821 rides, which is pretty consistent to last month. We kicked off two major projects that we've been waiting for last week. Our vehicle camera installs and our building renovations. Both are progressing really well and we're really pleased with how things are going so far. Uh the camera system uh is been um already providing valuable driver feedback and the installation should be completed within the next week. Um we've also had great experience working with the installation teams and um happy with the results of the video of clarity and actually there's se select administrative staff are receiving real-time safety alerts including short video clips for events like hard breaking or fast corners. Um and drivers are also receiving immediate invehicle feedback both audible and verbal coaching which is um you know
005so it's been um it's going to be a training process going through and tweaking things but it's been really helpful. Uh construction's begun. We've um broken up our concrete and we've got the new drains um being installed right now and we've had to make a few field adjustments, but things are um moving forward as expected. And despite all of our activity, our service levels have remained stable. There's no disruption to the riders. Some of our um dispatchers and driver trainers are working out of our not um which our rental area which is we're really happy that we had that when the power we lost internet and power at the main one but we were able to um have internet at at the not north so it was great didn't um it kept us working just
006um did very well and then lastly we had a leadership transition this week I made a decision to move in a different direction with our deputy director role and uh currently evaluating our structure to ensure we're set up for long-term success. I feel we're feel very good about where the organization is headed right now overall. Thank you. >> I'd like to make a motion to receive and follow the uh director's report. >> Very detailed. Thank you, >> Mr. Ray. I'm just curious uh for the renovation project, what's the procedure for change orders? Do you just approve those administrative program to the know the board? So we have a 10% retainage that was approved within the budget. >> So as long as it's within the budget, we can go ahead and authorize. So um and that's
007what why we had that little extra there in case uh and if anything goes above that budget, then we have to bring it to >> it's worked pretty well for us in the past. >> Yeah. So that that's not >> you know so Lyn doesn't make a decision and not that. So she has comfort she's making good decisions. Then it sounds like the AI thing worked out well. What's the drivers pretty receptive to that? >> Um, you know, it's a learning process. So there I think um we're going to be having uh training next week with Motive for the admin team to kind of learn how to to process it. We're also have like things in our signs in our vehicles and whatnot to alert alert people. But I think a lot of it we're
008tweaking with some of the sometimes it's almost too sensitive. you know, I think that they're looking at the video, we haven't really seen anything shocking or anything. So, it's I think it's a matter of uh setting them at the right >> um points to to bring up um an issue that we think that it's going to be >> uh worthy of. And I think um but it's overall it's going to be good. I think the drivers are just were shocked. They're like, "Who's talking to me?" you know, at first, you know, so it's just going to be hard getting used to it. So, >> yeah, you got a buddy with nobody. >> Exactly. Does that does that uh affect insurance rates going down? >> It does help. >> Yeah, because I was amazed. You got
009105 drivers. That's a big big >> huge >> and I actually applied for a grant to help offset some of the cost of that through MMA, our insurance company as well. So even though we have some grant funds covering the smart vehicles, I applied for one through MMA because that was one of those that So it should help with that as well. >> Awesome. We're going to have a safety model not where safety meets the road. >> I like that. >> Something like that. Fire the fire. Sure. >> Okay. Um if there's no further comments, is there a motion to receive and file >> Ed? I'm sorry. >> Mike second. >> Ed. Mike. Y. All in favor of the motion, please say I. >> I. Oppos, please say no. Right. There's an opportunity for public
010comment. Hearing none, we'll move on to uh number eight on the agenda. Approval of financial activity. Financial activity through February 2026. What's the pleasure? Mr. Right. >> I just I'm just curious are the are these the balance sheets and all that? >> Yes, there's a balance sheet and then the budget to actual All right. I was just curiosity. >> Yes. >> Um the under the assets for ADM Robinson Capital, there's $4.2 million in there. >> Yes. >> Is that like uh fixed? Is it is it liquid? >> That it's actually liquid and it's um it's a it's individual CDs that are under $250,000 each. And so that's it's >> FDIC insured, >> right? So that's completely insured through the FDI. That's um >> is it a sweep or is it a uh >> it's it's
011totally liquid. We could um we can get it within a day. You if you need to draw on it, you just you just um it's kind of like Michigan class. Um but Michigan class is not FDIC insured, right? >> But this is 100% insured. So, and it has a pretty close um return to Michigan class. >> That has been my next question because right now Michigan class is like 3.87%. >> And it's it's like a point or two away. >> That's good. You got 80% of your monies there, but you got 80% divided by 250 divided by 4,000. >> Yes. >> In there. My my other question was uh in the other prepaids 1301. Why is there a negative 2,800 in there? >> There's it's just we we're working on budget adjust or all our
012year end adjustments. So, it just hasn't. >> All right. >> That's next week, right, Rachel? Yes. >> Fun followup on capital Robinson. >> I'm sorry. >> There's no penalty for withdrawing. No, >> exactly. No, >> no, no, no, no, no. And um >> yeah, >> it's really easy to use. >> Yeah. Yeah. >> Okay. Pleasure of the board. >> Um vehicle cameras that doesn't include what we just purchased from Provision in there. >> Provision what? 91,000 >> somewhere in there. >> Yeah. >> So that was for the smart vehicles. >> Yeah, that's just for the smart. So those are in there. >> It's just a different line item. >> Okay. the 91,000 for smart vehicles will be reimbursed with the grants. So, that one we paid out, but we're going to be getting it back
013in and then then we'll have to pay out for our not vehicles. Okay. So, the not vehicles are the ones that we'll be paying out of like our our um budget. >> All right. Right. >> So, then on the uh >> Oh, on the uh this is the budget versus actuals. How come uh Brandon Ortonville Village Portland don't have any municipal credits. Do they not get any? >> So that's the one community that Oakland Transit they they did not sign them over to not. So it's one of those things that and Oakland Transit has decided to just ignore that for now. They were hoping that they would just come on board along with everybody else. Um but they have not yet. So um so Oakland Transit Eli is basically well let's just hold off on
014that. I mean, they have they still have their smart vehicles that they operate out and they're the only other >> community in Oakland County that doesn't work within all the other organizations, but um he's just hoping >> he's hoping that it'll all flush out eventually and then those those will keep coming towards us. I think it's a small amount in total. So, I think it's >> Yeah. And since the county is man, you know, the our contract and everybody's contract is with the county, it's not on us to force to try and force participation. It's a county call. If the county is willing to let them do that, >> then it's on them. >> Okay. Right. So your hands are kind of tight on that one, >> right? We do service Brandon still, >> but
015they still see service district they're in. It's like, well, they're getting municipal credits. Everybody else is giving them. Why aren't they? they get them >> right. >> When do you do your budget amendments? >> We do them monthly if we need them. Like next week, like next month, we may need to do some budget amendments. So, we do them as as needed. >> We're on a calendar year, >> fiscal year. >> Yeah. So, Monday right now, you you got you basically uh a lot of these are going to be all you do you do them when you're over 100% budgets? >> Yes. Yes. And um yes, like the professional services actually includes the cameras that's going to be backed out. We choose to do an adjustment when we get back from the from the grant
016and whatnot. So >> refresh my memories. When did we do our audit? >> It's in the process. So that's our project for next week is to finalize that to get kind of get that going. So >> she's doing our audit right now. So >> Okay. So Oh, she's with you go. All right. Send her over our way. >> I knew that, but I just wanted to raise the question. Yeah. So, I'm like I'm sure I'm surprised she hasn't reached out yet, but yeah, we should be next on her list hopefully. >> Right. Okay. And then then Lynn on the uh help me out here too. Oh, on the uh >> afraid to make budget versus actuals on page three of three. >> Yes. >> Right at the bottom. It says total other expenses and then
017it says net other income. They're both basically the same. And you can see that $1 billion percentage. Is that What am I missing? >> I think it's >> Yeah, that's just >> the wrong check the formula, >> right? >> Yeah. So, look at that. 1 billion%. >> Right. >> I wanted to get into that investment get in >> I know I I missed that part too. >> Now, is this the the transaction list time as well? questions or is that another um >> it's proceeding file first and then the checks are next. >> Okay. So that's a check >> if you want to >> are you asking about an expenditure? >> I will be yes for curiosity. >> You would probably want to raise that you know during the uh approval of checks and stuff.
018>> Okay. Is there a motion then to receive the file? I'll make that motion. >> With notes >> with the correction add a couple corrections. >> Yeah, with the corrections. >> Is there a second? >> I'll second. >> We have a motion and second to receive and file with corrections. All in favor, please say I. >> I. >> Please say no. >> Okay. Uh now we're at the approval of checks, debits, and payable for February's uh budget. Can I ask Mr. Wright? >> You can >> if you want to. >> Sorry to prolong the meeting, but I got I'm curious. >> Um, you need indeed for the uh for hiring stuff like that. Does that work out pretty good for what you pay for it? >> Yes. Yeah, we get quite a few um job
019applications through that >> our fire department uses that too. Do they? >> Yeah. With good with good results. open if you have any other suggestions because we we're always on a constant hiring process. If you know any other ones like to know >> I'll talk to Jack and Joe because they're supposed to be there and not me. >> Okay. >> But uh then uh you get I'm taking the the Zad Co. Those are all oil changes. >> Yes. >> Okay. All right. Do they give you like a discount for quantity or anything? >> They kind of negotiated a lower price than what they I forget what exactly it is, but they Yeah. the price around it's there in planet oil planet or oil >> planet oil okay >> planet oil the ones that they were
020able to negotiate with lower rate >> of any oil changes or >> yes it's all synthetic I would imagine >> yes >> whatever it is let's see right >> oh the wax is that is that like uh oh I think asard Those are the ones we normally have our fuel at the in the lot, but the wax are for ones that um are diesel or for our Clarkston vehicles that can't come back to Oxford to use up our gas station. >> Okay. As long as the station takes wax, they're good to go. >> Yeah. Thank you. >> U Coronal, too. Is that >> That's our on site. >> They they they deliver. Okay. >> They don't solve future, do they? That's right. I'm like, we should be stocking up, right? >> I don't know whether
021I miss that sense of humor, Kirk. >> I know. And then uh the last uh entry is Coran. The next one is Tim Hortons and the explanation says repairs and maintenance fuel. >> That's just misc coffee fuel. >> But it's in it's in the right line item though. >> It it's not. It should be like for our training. That's what we purchased that for. >> And uh on the the checking run here, road commission for Oakland County, what do we pay them for? >> Uh salt. >> Oh, salt and water. >> So we we buy it in bulk. We have our snow plow. We have our own like plow and filter. So we just take it down there. They fill it up. So we don't actually keep salt on site. We just go there. >>
022Yeah. So, >> then with with um >> they give us any deal for washes. >> Not very good. No. So, we're looking forward to our own internal. We're going to have similar station. You're going to have a >> on site. Yeah. It's cool. >> Yeah. Yeah. They don't um really give us a deal at all. >> Then they who you going to like hire somebody to do the washing? >> I think we're going to get a porter is what we think about having a I think it's going to be safer to have someone that's just set to do it. But we're hoping to do that and and then make sure the vehicles are all kind of cleaned and keep things going. >> Concerned about the tight turn and the bus wash and getting out, you
023know, >> usually >> until uh in place. It's a convenient place. >> So if you get a porter to go and do the washing, would you get I mean they don't care. I'll stick note on the side of my card. >> Okay. Does anybody want to pay the bills now or are we set? >> I saw go. It's set. So, I'd like to go ahead and make that motion to accept the bills to be paid and an amount of 743,77866. >> Any questions on the motion? >> Yeah, I made the motion. Allison whispered a sport. >> Yes. >> Oh, I heard it. You did? >> Yeah. >> Good hearing. >> I read it. >> Okay. >> Yes. >> So, we have a motion in a second. Are there any further questions? >> If not, I'd
024like a roll call vote, please. >> Yes. Um, Mr. Brafield. >> Yes. Uh, Mr. Wright, >> yes. >> Mr. Moore, >> yes. >> Mr. Lamb, >> yes. >> M. McDonald, >> yes. >> Mr. Flood, >> yes. >> M. Yes. Mr. Ferrari. >> Yes. >> Do we have uh Jill and Mike? What time they entered the meeting so we can get that? >> Yep. >> Because earlier they were absent. So, >> okay. Thank you. >> That's noted in the minute. >> Thank you for highlighting that. >> Yeah, I know. We didn't say anything on the board. Somebody comes in late, we try to >> That's right. >> have it in the minutes. Correct. >> All right. Uh we'll move on now to uh agenda item number nine, old business. Um Lynn touched on both vehicle camera
025installation and updates on building renovation. Is there further that you want to bring forward? >> No, I just kept them on there in case anybody wanted to discuss them. >> Does anybody have any particular questions? >> You said it'd be done by the end of this week. the vehicle camera installs should be done by the end of this week. And um >> yes, and then the building renovation, the only the the one thing that we realized this week that we're going to have to make an adjustment for is the drainage for the um sweet B we're going to have with the bus wash doesn't have enough pitch to have um a drain into the sewer. So, we have to have a pump station. Yep. >> Um set up. So, that's what they're looking at doing
026that. And um they're also looking at right now kind of fighting the how the architect uh put um the the drain they have a huge drain like 750 gallons of oil interceptor and on the other side we have a 70 gallon and so they're trying to negotiate can we do a medium like a 350 because it it's like overkill so because it costs so much. So Bob's always like fighting on our behalf to try to lower the cost and be reasonable. So, I think um there's been a lot of conversations um with the civil engineer this week and whatnot to try to work through those >> on the vehicle cameras. Would we get a uh rate discount with our insurance company having those on there? >> We we Yes, Grace brought that up and um
027yes, and I actually applied through MMR for um a grant for the vehicle cameras as well um because it's one of their grant programs. So, I did apply for that. They said as long as you know I I applied before we started the project. It's possible. I think they reduce them every quarter or something to see, but it should reduce our rates as well. >> Awesome. >> So, the little sewage is is it just a little sewage ejector croc like $500? It's not a big pump station. It's a little package. >> I haven't seen I just know that they're talking about the specs. >> It's just for like a couple toilets. >> No, it's not. It's for the drainage of the whole area and I want to guess. >> Oh, storm water. >> Storm water.
028>> Still that could be a few thousand bucks. >> So sorry for your loss. We do have contingency and we've got a not here but we discussed earlier is there is a system of authorization so that when we run into things when we're doing construction Lynn has uh boundaries or regulations on how that can be handled so she doesn't have to come back to the board each and every time something comes up. >> Yeah, it sounds good. I read the book that the contingency was pretty large. So >> 10% contingency and and we have credits that are coming. So talking to Bob, Bob's like we are going to a bunch of credits and we're going to have extra. So you know it's a lot of it will wash out but it's probably like it probably
029will be a little extra but not >> going along with the uh storm water there. You're going to have to oil and all that. You got to have that separator in there too before you can discharge into the >> Yes. And we wanted the separator. >> So that's all that's all part of the package when they bided that all out. Yes. >> But this is just because it because your lines aren't running gravity, >> right? >> This is what happened. >> Exactly. >> So the oil interceptor is different. That's that's the 750 galon one they think is >> like 5t deep, 8t. It's just >> bigger than the other one we have on the other side is just a small it's it's a 70 gallon versus 750 gallon. So, we were looking at maybe a
030medium one that we probably need because um they they were saying the most water that's going to go through the car wash is three I think 200 be plenty. So, 750 is just overkill. So, >> there's the design criteria for water flow versus the size of the separation. So, that's a done deal. They'll tell you >> they will they're just discussing with it. >> That's great. >> Okay. >> I'm learning a lot. We we need a motion on that or we don't need a motion. >> No, no, no. >> Everybody's satisfied. We'll move on to uh 10 10 A which is the organizational structure update realignment. And I'm going to turn that over to Lynn. Um she did me or you could read in her directive report where we're looking at going in a slightly
031different direction rather than having an executive director. >> She she it's on your charts there so I won't de labor. >> Yes. So like I said we had a transition leadership transition. So, um, we decided to move in a different direction with our deputy director, um, role. And so, what I did is we kind of step back and try to see what is it that we really want and what's best for our organization. And, uh, so what I have two of these orc charts here, the small one is a kind of was our old or chart and the bigger one is kind of what the proposed org chart is. And um you can see with the old or chart we had a deputy director and the deputy director had under it um all of the
032dispatch and dispatch team and then also the driver which is a lot. It's just a lot. So, I'm proposing with the new um structure to separate that, have dispatch under Rachel, actually having um her be like a director of finance and strategy, have her lead the dispatch team, as well as a safety officer, which is a new position. We we had hired a safety officer before, but he did not work out and we've not been able to replace him yet. That was a couple months ago. Um but that is currently we've been hiring looking for director of operations or not for that either. >> And so the two new positions are the the ones that we're hiring that are not >> They're not filled yet. So this is what instead of a deputy director like
033what we the previous position you know that Emma was and what Marcus was that we are moving more to the a director of operations. It would just be with the drivers and the driver team. So that um because it's a it's a big team. one of your three here. Could you make that deputy attitude? Just let's say something happens to you. God forbid, right? Who runs the show? >> I mean, just in case something like mean something happens to me, Tracy runs the show, >> right? >> Same thing with you. If you decide, heck, I need two months off. I go in for axe, >> right? >> I mean, would it be Danielle, Rachel, or the new person? Maybe Rachel >> you might functionally >> it will fall to the management team >> to to
034keep things going. We've been through that before >> that she stressed what each person's role would be, >> right? >> Who what would the director of admin HR finance and strategy and operations do >> exactly? >> This one would do this function. This one would do that. Then at least the things happen. You come back, get it all back together. >> Right. And that's what we want to do is just this is just happened this Monday. Okay. So, um what we're doing is what we want to do is develop really um break down each of those roles and have more of a of a thought process. So, >> two two questions following Joe. Uh do you have a uh uh job description for these new two new positions which that would help spell out too
035the procedure in case of your absence. >> Yes. >> In your job description, >> right? We have them, but we have to redo these because this was just done today. So, I mean, I just wanted to bring this to the board to say like this is really fresh and new and wanted to come up with something to kind of show what we're thinking of doing and and I think it's good for us to step back and just review this and uh and I think our our admin team wants to come together and go over the details and whatnot, but this is the this is the >> way we're heading separationally. Second, this is more efficient because having a a executive director deputy is hasn't proven as efficient as it would with each responsibility spelled out
036and reporting directly to the executive director. >> A second question, as these new positions, did we budget for those? >> So, what we were looking at it and I think we're going to be able to keep it within the same budget, but I'm not sure. We might have to come back next month for a budget adjustment. So, based on after we review it more, we might have to come back because we really um this additional role there. So, we've been trying to shuffle and see if we can keep it within the the budget, but we might have to come back for a budget adjustment next month. >> And I would suggest once the new director of operations is hired. >> Yes. >> Or he he or she spec strengths are work down with Rachel and
037Danny Alfred how you want to handle that in your absence. >> Yes. >> I think that's important. I think you you need to have one person accountable chief less >> even if they share responsibilities someone has to make the call to be the say Mike has an issue I got to give somebody to talk to >> it's an easy fix >> on your board chart move the director of administration and director of operations block back just a little bit behind Rachel's >> and then it'll just say you automatically know that Rachel is they wouldn't have to ask because their block is just a little bit behind it >> even though they answer to you but they'll know right there is the arrow. >> That's right. >> I like the arrow. >> Makes for good graphics.
038Joe, >> I think a lot of defense as hard as director of operations here or she's a real whippers snapper. It's like wow I want him or her to share the dues with Rachel. >> You already got whippers snapper. She's sitting right there. Yeah, that would Rachel's going to have her own functions to do, >> right? >> How much time here would you do? Stay here all night. Put your C over there. >> Our culture, at least as far as management goes, is we're still at the top of the top of the charter, first in the chart. >> So, we'll have to manage if there is anything happens within this that would affect operations. >> So, it's not like we're out of the picture and that >> you're not going to have you're not going
039to have support. The board will be there. >> I'd rather have it internally first and cut out. No, >> I don't see any harm in that either. >> So, this is work in progress. It is just proposed. >> Yes. >> This is where we've been moving in that direction, but this again >> then you come back to us and get final approval and all that. Yeah. >> So, the budget. So, we've noted what you're bringing to us as far as to our management, to our executive director. So, you'll take that into account. So, is there anything else that the board wants to discuss regarding this administrative organization? I think we've made really good points, Curtis. >> Yeah, looks like you got pretty good longevity on the people that are in the matrix here. Um, just
040one comment. It says driver trainer weekend on the old one, but you don't have one on the new one. >> It's still something you're planning to do. >> Yes, we are. We just have not hired one yet. So, um, it's kind of in process. Yes, >> we were debating between hire a separate one or have them alternate is what we've been discussing because we're having a hard time finding. We've we've advertised, but nobody wants just the weekend. that we might we might alternate all the driver trainers every week, every five weeks or just take a day or something. So, we're just debating through >> just wants to come. Um, do the drivers do a daily inspection on their vehicles? >> Yes. >> Pre and post. >> Okay. Duly noted. And we'll look forward to seeing
041the modifications the verbiage for the descriptions for the job. If that's all we can public comments hearing none, we'll move on to receiving and filing the monthly rider and mileage reports. >> I move to receive and file the monthly rider and mileage reports. >> I'll second. >> We have a motion and a second to receive and file. All in favor of the motion, please say I. >> I. Opposed, please say no. >> Okay, motion carries. Board member comments. I will start with Mr. Lane because he's new to the board. So, welcome to not. >> Thank you. Well, I made it to my second meeting. Sorry I'm late. We're I'm programmed for 6:30 meetings now. So, I didn't set my timer. I thank Nancy for telling me about the >> Yeah, this is all great. I
042like your the fact you're trying to develop a good organizational structure. I think that's important. There's a lot of people here to manage and God bless you and good luck with that. >> Thank you. Well, the Saturday thing is the same as a grocery store. So, I have people in my family that manage grocery stores and they have a lot of trouble finding this the like dedicated weekend people. They have a rotational especially middle management. They have a mandatory weekend rotational schedule. >> So, I guess that's where you're headed. So that's >> other than that, it's good to see Mr. Flood this time and the rest of you. Thank you, Mr. Ferrari. >> I apologize for my tardiness. I was on the Sun meeting in Detroit. >> I got back to it. >> Did you
