001Okay. If um I'm going to call this meeting to order. This is the regular meeting of the North Oakland Transportation Authority or NOTA as we lovingly refer to ourselves. Um this is the town the board meeting. Thursday, January 15, 2026. We're meeting at Oxford Oxford Township Hall. We appreciate they're hosting us. Um, could we have a roll call for attendance, please? >> Sure. Um, McDonald >> here. >> Flood? >> Yes. >> Breakfield >> here. >> Joe Furry is excused. Curtis >> here. >> Phil Moore's excused. Also, Stan Ford, >> yes. >> Uh, Curtis Wright >> here. Uh, Chris Barnett >> here. Joe Mador >> here. Excused. And Okay, >> Bill. Yeah, Bill Moore is excused. >> Bill Moore is excused. >> Okay. All right. We have a quorum. Um, we'll have respect for the flag.

002Former veterans leader. >> I pledge algiance to the flag of the United States of America and to the republic for which it stands, one nation under God, indivisible, with liberty and justice for all. Thank you. Okay. Um, the board's been uh there's a proposed agenda. I'd like to ask the board's indulgence that we add an item 9D, which would be uh workers comp case informational. Is there any other changes to the agenda? >> I move to approve as amended. support. >> Okay, if there are no questions on the motion, all in favor of the approval of the agenda as amended, please say I. >> I. >> Opposed, please say no. >> Motion carries. Uh the board was furnished with the minutes of our regular meeting held December 18th, 2025. Are there any questions, changes, corrections?

003If none, a motion to approve would be in order. >> Mr. German, I moved. No second. >> We have a motion and a second. All in favor of the motion to approve the minutes of December, please say I. >> Opposed, please say no. Carries. I'm sorry. >> There you go. >> We got another table. >> We usually don't. >> Unless one more person shows up. Sure. Okay. >> Um, uh, where was I? Here. >> Yeah. >> Okay. Uh, approve the minutes. So, we'll have the director's report now. Lynn, please. >> Good evening, everyone. Happy New Year. Hope everyone had a nice holiday. Um, our wrership for 2025 was 107,778, which is up 11% from 24. Um our our deputy director, our beloved Emma is uh retiring. Her last day is tomorrow and um we're having

004a little goodbye farewell party for her tomorrow. Uh if you are around, please stop by. Um but uh Marcus Garvin is is um our new deputy director. He started um January 5th and is off to a great start. We're really excited to have him on board and who's get to know him after the meeting. Um, our building renovation RFP is in process. We've, uh, pushed out our proposals for the subcontractors to January 23rd so that the architect can answer some questions. Um, still hoping to start construction in February. And our vehicle camera RFP, we'll go over that on a separate item. Um, just wanted to say a big thank you to Rachel for also being our project manager on this project and as well as the building renovation RFP. She's kind of uh, she does

005it all. So, I appreciate you, Rachel, with all the help you've done. And we do have a selected a vendor to uh hopefully be approving um tonight's meeting. And uh some other updates, Oakland County is now requiring in our new contract that we um provide quarterly uh performance indicators. So, we're um going to be keeping track of things such as on-time performance, uh misrips, uh uh late trips, you know, reasons for cancellations and whatnot. So, uh, Marcus has been, uh, kind of taking that on and trying to create our our new, um, processes for that, which is, um, an undertaking because our reporting with our Qide system isn't ideal. So, um, and we're also going through a lot of driver training, uh, trying to educate to make sure that people understand if the driver gets

006there more than 15 minutes early that he doesn't hit arrive, otherwise it's not on time. So, there's a lot of education and whatnot. And >> say, say that again. So you would think so if a driver gets there maybe 20 minutes before the pickup time when the ETA is and if he hits arrive uh it has to be within a 15-inute window. So you have to wait until the 15 minutes and then hit arrive otherwise it comes up is too early. So it has to be a late >> then it becomes it's just a not on time. So it's like goes against your percentage. So we're take we're keeping track of percentages by drivers and the goal is to be 85% you know and so our first report we did we had people in the

00730s 40s and a lot of it is just education but now the average is >> yeah if if we remove people who are reporting arrivals early and just look at it we're we're well within I believe 92% on time. >> Yeah. >> So it's just a matter of educating our drivers to not hit that arrive button until 15 minutes that 15 minute window. >> Yeah. There were some of the drivers have tried to explain that to to some of the passengers and we're getting phone calls. Oh, okay. >> Wanting to know why do I have to sit for if they get there early, why do I have to sit 10 minutes in the bus or or whatever. >> So, >> um I'm we don't need to answer it, but >> you can understand why I'm

008asking or bringing it up. So, yeah, >> that's part of it. And uh so if they're way early, we just are saying drivers call dispatch. We can change your time. >> I was going to say, can you amend the time? That was the next question, >> right? But they don't want to be inundated with a whole bunch of little ones. But um but if it is like, hey, we're we're here early and they can come out and they just have to adjust the system. So it's being >> I know, but everyone wants to know what's my score, what's my score today? They all like and now it's like them. So anyway, >> what's what's the window for arrival versus when they scheduled >> the pickup? >> 15 minutes before and 15 minutes after the promise

009time is considered a non-time arrival. It is. Unless it's an appointment, then it's 30 minutes before that appointment time. So, so that's something we're working through. >> Waiting at the gate to get your airplane. >> Yeah, exactly. >> And at some point, we want to weigh the difference between continuously changing the arrival times in the computer versus being transparent with our actual statistics. >> It'd be nice if they could have two different things that were triggered by that too early versus too late, >> right? Or even a delayed algorithm to where we could hit it, but it doesn't report. Well, that would be sweet. >> I like what I'm hearing. >> Although [laughter] it this is all part of good business, but how much of a is it uh putting a load on our administrative

010abilities? I mean, are we are we going to be able to handle this without making big >> Yes. investments in time or >> it's it's just a matter of driver education at this point getting getting the buy in from them to understand how the process works because they care more they care as much about their score as we do. >> So they want to be able to do things right. They take a lot of pride in doing things right. So the driver education component >> um is going to be key. >> Okay. And we're going to be tying it into um like raises too, like uh performance measures and also like if you have any um atfall accidents, which we've never really had them u accountable for, but we're kind of tying in not this

011year, but next year like uh to have those uh targets that uh so um yeah, a lot of lot of changes. the we we we started a new safety committee has been formed with our our trainers and that's um they're going to be doing monthly meetings to review incidents, accidents, go over safety issues and address them. Doing safety um blasts on a weekly basis to kind of update things that are um uh if we have like some issues. We had some issues with drivers uh vehicles going underneath um pull around and hit the the what do you call it the overhang or whatever. So it's like you know just driver awareness and whatnot. Yes. Do we hold safety uh training locally here and stuff on a on a >> on a >> what monthly basis

012or something? >> Yes, we we have been doing that right along, Mike. >> Yeah. For quite some time. >> We're keeping records of it and everything. >> Yes. And then we have a safe this like a safety committee too that we're we're there's going to be meeting separate from the drivers and just trying to come up with other issues. But yes. Okay. >> Part of like the driver training continuing development. >> Thank you. And um OCN uh we're trying to negotiate a contract. We had a meeting today actually and they um we were having a problem. We were disagreeing. They wanted to sign us to sign the 64-page agreement to uh do services for them. And um they wanted us to to agree to recipient rights and HIPPA and a lot of things that would

013cause us to have a lot of training for all of our drivers and whatnot. And and we were just kind of fighting back on that. So we said we want those removed. So, we had a a conversation with their attorney today and they agreed to remove those items from it. Um, so we still are working out some little nuances relating to billing um and whatnot, but but it is still, I think, a good contract because we're getting paid over $17 a ride for those rides. So, it adds up to like 150,000 in a year. So, I don't want to give that up. So, I think we're starting to get >> You said you talked to the attorney and then HR also. >> Yeah. They were all included in the on the on the Yes. Yes.

014So, and uh writing some grants this weekend because we're due Tuesday. Haven't started them yet. Um and our survey results. I uh right now we're at 95% uh overall excellent rating. I did include a couple things from my dashboard um just so you can see some of the comments and um reviews that we've received. So, thank you. >> I move receive and file the director report. Thank you. >> I'll second. We have a motion and second. No objection. All in favor of receiving and filing the director's report, please say I. >> I. >> Oppos, please say no. Motion carries. Your files, you're filed. Okay, I'll open the floor to public comments. No public comments. Moving on then to uh approval of financial activity. What is the pleasure of the board on receiving and filing the

015financial activity? So moved. No second. >> Any questions on the motion? Hearing none. All in favor of receiving and filing the financial activity, please say I. >> Opposed, please say no. [clears throat] >> Okay. Motion carries. Approval of the bills. What's the pleasure of the board? >> Approve the bills in their amount of $622,736.80. >> A second. We have a motion and a second to approve the amount. Approve the bills in the amount stated. And any questions on the motion hearing? None. Roll call, please. Lynn, >> yes. McDonald, >> yes. >> Flood, >> yes. >> Breakfield, >> yes. >> Curtis, >> yes. >> Kemp, >> yes. >> Ford, >> yes. >> Wright, >> yes. >> Barnett, >> yes. >> Mador, >> yes. >> Okay. Um, moving on then to old business. Um Lynn, could you

016update us on the subcontractors and the building RFPs? >> Yes, the the um subcontractor RFP is out for bid right now. They're um the original due date was going to be this was going to be tomorrow. It's been changed to next Friday. The um architect did come back with some question answers to the questions um uh today. So, we're hoping to finalize that tomorrow. And uh then the Bob Ayat who is our construction manager will be reviewing the proposals and um selecting the vendors uh which he thinks will take two to three weeks. So and then we can start the construction. >> Very good. [clears throat] Um under new business um Lind as most of us have already met Marcus but he's our new deputy. >> Mr. Chair, we have 9B. You added >> nice

017work. >> My apologies. >> Somebody want to do this job? [laughter] >> Um, >> you can't quite even. >> Yeah. Um, we received notification uh from our workers comp that they had settled one of our outstanding workers comp cases. There's no action needed and if you need details um we can talk about it uh or you can check with uh the office and follow up on it. Okay. Uh, now 10 new business. Uh, introduction Marcus, you've met him. We or most of us have met him or shook hands. So, uh, we're looking for big things. You know, we got a really, we're proud of our organization here and, uh, we have pretty high standards. So, >> I'll do my best by you. >> Very good. um the uh 2026 uh contract amendment with Oakland County.

018I'm going to let Lynn explain that. It's not complex, but it's just >> she's dealing with it. >> It it's it's um it was just one section that was left out of the contract for 2026. It it had been previously put into 25. They just forgot to include it. and it's actually relating to facility expenditures and all the things that I had to do to get go through this building um process. So um Eli's like you you know we're we're very familiar with it. We've um there's nothing new. It's just the [clears throat] fact that they've omitted it and it's just the processes um that are necessary to get reimbursement for facility expenditures. >> So is there a motion then to approve the uh contract amendment to our current contract? I'll make that motion >>

019support. All right. >> Okay. Are they doing this with the other providers? >> Yes. Okay. >> Yes. It just wasn't an oversight. >> Okay. Uh we have a motion in a second. There are any questions on the motion? Can we have a roll call then, please? >> Sure. Uh McDonald, >> yes. >> Blood, yes. >> Breakfield, >> yes. >> Curtis, >> yes. Kemp, >> yes. >> Ford, >> yes. >> Wright, >> yes. >> Bernett, >> yes. >> Uh, Mador, >> yes. >> Okay, motion carries. Uh, the next item is the vehicle camera RFP. Um I it it appears that we're asking for authority for our executive director to move forward subject to attorneys and smarts um approval of our choices and etc. So Lynn, you want to go ahead and >> Yes. Um I'm happy

020to be bringing this finally. It's been a long long road um talking about vehicle cameras and uh we we did post the um RFP October 31st and we received six proposals. Two of the six did not meet our stage zero requirements. So they were eliminated from the demos and the interviews. We um had a committee with our admin team um that reviewed all of the uh four in detail. We had demos with them um a couple of them. Uh we also had scoring sheets and we all individually scored them and then we met together as a committee and um came to um recommend uh it is uh provision. We're all under we had to sign um because there's federal grant dollars involved with this. We have to follow smarts procurement procedures. So there's lots of

021checklists and um things that we have to do to to follow. One of them is confidentiality um conflict of interest and whatnot. So uh smart suggests we do not mention the other vendors and all the other information. Um that's generally what they do just for confidentiality purposes. So this is uh what we the vendor that we did select was um it's actually a partnership. It's Provision and Motive. So, um, Provision is a company that's been around for, uh, 30 years or so, and they are the ones that are doing the cameras in the back of the vehicles, and Motive is, um, is doing the dualacing driver and the camera that goes faces out to the road. Uh, Motive is the one that has the dashboard included with um all of the um, uh, for like

022the driver AI behavior. It can detect um if you have your hands off the wheel, if you're using your cell phone, if you're eating, you're drinking. Um there's coaching that comes and it actually verbally talks to the driver. It'll say, you know, you are, you know, >> you know, please keep your hands under, >> right? That's it. It detects yawning. it. There's um if you near crash, it'll detect and then it actually sends emails to whoever you send it to with little uh clips of video so you see it live. >> Um it also includes live video feed. Um >> and uh and it's the nice thing that I liked about this one is that we don't need to have a separate cell phone thing. We don't have to have a separate server. It's all

023done on the cloud. But also in each of the vehicles there's a DVR that has up to um I think it's 200 hours of uh uh storage. So if for some reason the cloud doesn't work we can always go and get it from um from the um the DPR in the vehicle. So it's kind of >> it's a loop system. >> It is and uh so >> right right over >> right over it. Yes. Yes. >> Got a question. >> Yes. On the a motion, do we include provision as well as motive? >> It is provision, motive. >> Provision and motive. And I I did have the attorney. He got back to me this afternoon right after I talked to you all come in at the last minute. Um and he he saw no issues

024with the contract. Um >> so the attorney has seen the contract, but he hasn't got back with us yet. >> Just right before like like a half hour before the meeting. Um he did say that he doesn't see any issues with it. Um my the the only issue that I had a question of it is because it's a new partnership. So this is something we're kind of a a guinea pig between the two of them, but it's kind of unusual to have an RFP written for the cameras and also this driver AI. And it also does fleet management. So it'll manage if there's any issues with the vehicle. um if there's any uh codes that go off um it'll alert and so if we have a maintenance department eventually it'll let you know like these

025are the codes for the vehicles that are having a problem. So it's a new partnership. Both of them have been um in business for years. Um and they both are agreeing to a five-year contract pricing and actually excellent pricing. Um and uh it's my we're actually very excited about the opportunity. So >> Mr. Right. >> I was wondering I don't know nothing about this but um was what's the basis for the division between smart own vehicles and node owned vehicles? >> It's because of the federal grant money. So the federal we have have $130,000 of federal grant money and smart is the one um that we have to go through to to utilize those funds. They won't uh allow us to use that money for our vehicles. It has to be SMART's vehicles. Um, so

026unfortunately that they said basically because we don't have control of it. So we will only use our grant money for our vehicles, not yours. So that's why we have to build se have it build separately. Um, and so actually the smart portion, we don't have to pay anything for that one. It'll be covered by grant funds and then we'll have the 96,000 or so that we'll pay with um ours. >> What's your what's the smart own versus non-owned vehicles? >> So the smartowned vehicles we receive through grants. So, they're 5310 uh vehicles that we that we receive. We don't pay for them. Um they're they're they're received um through grants. So, we have the use of them, but we don't have the ownership. So, we don't have title for those. They um Smart keeps the

027title for those vehicles. So, there's just some that we receive grants, and the ones that we bought outright are the ones that we have the titles to. >> How many do you have? >> 26 are smart vehicles. >> Mhm. >> Out of a total fleet of >> 64. 64. that that's why the difference. >> Yeah. >> Same. Yeah. All the same equipment, everything. It's just who's paying for it. >> Yes. >> Regulation. >> Okay. Mr. Chair. >> Yes, Mr. >> Um, so and I see you have a resolution pre-made as attachment. Um I' I'd make a motion to approve the note board resolution, but may I suggest we you number it like 2601 or >> Okay. >> So you can keep track of your resolutions like so not a board resolution 2601 as presented. >>

028Sure. >> I'll support motion. >> That's a question. >> Yes. >> Um does it in like what does it look like on in our office? Is it who's watching the live feed? So, it just goes right to your computer. Like, it'll be a um an app that you download and so you can download it anywhere. You can look it on your cell phone, you can look on your computer, whoever you're access. >> Yes. And actually, right. >> Right. Right. So, we'll probably have Jeff Bzendine who's our driver um manager, you know, uh and trainer, you know, and potentially. Yeah. the I guess the question is is how's this going to impact the administration? Are we going to have a dedicated I mean are we going to be watching our people driving live or are we

029just going to use this in the event we need um to see what happened or what didn't happen. >> Right. I think that um because we're going to be getting emails if there's any alerts, you know, so I think it's we'll we receive an email with this little tiny clip. And so depending on if we're concerned about what that is, you can look at it a little further or not. So I'm thinking that that's probably where we start is in if if we have any emails of near misses or whatever and use them as training. So we uh if we have some then we can use our trainers to say okay can you review this or with our our team like Jeff to sit down and review it with the the drivers to be aware.

030>> So if you get more vehicles would it just be like a per vehicle cost? >> It is. It is. And uh actually part of um once we pick this vendor, we have eight vehicles that we're going to be purchasing, which I should have had that on the board meeting to to think about that. But so um because we want to get those in as soon as possible because we can use these extra vehicles that's in our contract. Um and then they can put them in during production like through Hogto. If we do go through the state contract, um then they can do it during >> will they be coming into your garage now and doing all the installation? Yeah, normally they would be, but because our RFP with our construction, they're ripping it up,

031but because we have our new facility um that we're renting down the street, that's where the uh installation's going to be. >> Okay. >> Yes. And they said that they can get it installed uh within it's supposed to be within 60 days, but they think that it could be within 30 days, which is good because we have um the end the grant money expires in February. So, we have to have an invoice separately. So, there's a a little bit of a time crunch in getting it all done. And one more for me. Sorry. Yeah. >> Um the non-grant eligible equipment. Um have we talked to talked about applying for a um a wrap grant through MMR? You familiar? >> We have uh looked at MMR and uh trying to but I had didn't think about

032the >> I would I I I mean um I'm on the board. We had our meeting today and we approved $2 and a half million dollars for the RAP program for this year. >> Um, which is risk avoidance program. Um, >> and if it qual if it's a qualifying expense, which we've got a grant for our cameras at our township, Paul, I'm assuming cameras and vehicles would be qualifying expenses. >> Yeah, that's what I was wondering too because >> So, I would I would um I mean I I would definitely It's a pretty It's a It's like a two-page application. It is. Does it turn around quickly or is it a >> Well, I think you could move forward with the I wouldn't slow the purchase down. I would just do it in conjunction. I

033I would probably submit the application for the grant before you actually >> like even if it's the day before you sign the purchase agree or sign the contract for the stuff. >> Um it it's a it's like a probably a 10-minute application process for the wrap grant and then >> then they we review them quarterly. I think I think we re them quarterly. So you could still move over the purchase and just if we get the grant later, >> right? >> We it just goes back into our general >> reimbursement grant anyways, right? So you have to put up front buy it already anyways. >> Great. That's a great >> um but it should be right on the the main website of um >> MMA. It's pretty easy. >> I've looked at the form. >>

034Yeah, we we've gotten a handful of the township. So, there's a limit each um entity is able to get, but if we haven't gotten them before, we would more than likely get money. And we just approved two and a half million this morning for our members. So, >> fantastic. Thank you. >> Well, thanks for that. >> Yes. >> Would you have to do a conflict of interest? >> No. No. I I I don't review them. Okay. >> I'm not on the committee that reviews them. So, and >> I have been before and I've had to like not vote on the stuff we submitted, but Yeah. >> Right. I'm not on that committee this year. So, >> okay. >> If there are no more questions, uh we'll have a roll call vote for the authorization to

035proceed with the uh video ca vehicle camera systems purchase installation uh subject to the uh well, we have the attorney's approval and I guess we'll wait. We'll have to get smart, but uh this will authorize the executive director, Lynn, to proceed once everything is satisfied. So, could we have a roll call then, please? >> Yes. McDonald, >> yes. >> Flood, >> yes. >> Breakfield, >> yes. >> Curtis, >> yes. >> Kemp, >> yes. >> Ward, >> yes. >> Wright, yes. >> Bernett, >> yes. >> Mador, >> yes. >> Okay, we got this done before Emma retired. [laughter] >> Within hours. >> Okay. >> Made that motion. I'm sorry. >> I did. You did. >> I land in a second. >> Thank you. All right. Okay. Um, great progress this meeting. Public comments hearing none. Uh,

036what's the pleasure of the board on receiving >> receive file the monthly rider and mileage reports? >> I'll second. >> All those in favor of the motion to receive and file the monthly rider and mileage reports, please say I. >> I. >> Opposed, please say no. >> Board member comments start with Mr. Brafield. Great meeting. Very good to meet you. Okay, Mr. Kemp. >> Happy New Year. Thank you all. >> Mr. Ford, >> um, still being new. Um, uh, I might be the as of our next meeting in place council. I might be the permanent, not an alternate. >> Okay. >> Just uh, >> thank you for that. >> Yep. >> Mr. Mador. >> Um, and yeah, and right prior to the meeting, Welcome, Marcus, for one. >> Thank you. Um, prior to the meeting

037I was asking Lynn about the I wasn't here December. I believe all the contracts or all the signatures were done one way or another. So everyone the new contracts should be in effect now. Right. The interlocal agreement. >> Well, when reviewing the it talks about what it says within 30 days of that everyone signing that you have to appoint your members. Township members are four-year terms. Village members are two-year terms. Once those governmental members are in place, they then choose the non-governmental members. You can choose up to three. It looks like we only have two now. There's my me and Miss Whipple showing >> and um Tanya. Yeah, Waffle and and uh >> Okay. Well, I didn't see her on the minutes last time. I didn't see her as being absent or not. I was

038trying to >> was here last time, >> but I didn't. So, okay. >> No. >> So, I thought there was three. So, technically once a new contract in place, I would assume then you had to appoint three new non-government members. So, and >> you don't have to. Those are optional. >> Yes. I mean, again, that's why today I wasn't sure if I should be voting today because if that wouldn't place, maybe I'm not here or to vote, but I have been >> um and maybe and they says there are one-year appointments. So maybe each January you want to have those on as a >> we're >> annual appointments. We're uh Joe and I supposed to be voting together as the village. >> You're you're the governmental member. I'm the non-governmental member. >> Okay. >> But

039non-governmental members don't have a vote. >> I thought in there it does. >> They do. I think they do if they >> I think only if >> if you're absent. >> I am absent. >> Yeah. Yeah. We ran into that one >> in the new Okay. I didn't know that part in there. >> Yeah. [clears throat] >> Sorry, Joe. >> All right. >> You're out. >> Well, because then we haven't chosen an alternate yet. We'll try. >> Brings up a good point though. If we just made if if if we just made the motion for for the RP camera, should someone else make that motion? >> Yeah, >> I'll make that motion. >> Okay. We have should redo just make sure I mean just so that good point. >> No, no. I was glad I

040thought I didn't know I should be voting at all today. I was I was looking at more of the terms and to be reappointed and I didn't sure if I was reappointed. No, >> that's a good point. Thank you document. We better have >> because it says the governmental members and the non-governmental members shall together compose the entire note of board. Correct. So for >> I didn't see about the part about voting for the non-governmental parts, but it's in there specifically. It says villages have one vote. It doesn't matter. Even though they're you can have a citizen rep, you have villages have one vote, townships have two. >> So such Okay. So the partition governments also appoint alternate government members. Those are voting government members at any time. Yeah, that's the the alternate it says

041are the governmental members are can vote if the member is absent or when a vacancy exists. Um but in the vacancy but when it talks about once the non-governmental members have appointed they may appoint up to three additional additional voting members of the not board non-governmental members. >> So I am so the non-governmental members are voting. Yes. >> The alternates can't vote unless the regular member is gone. >> Correct. So my my motion so I just wasn't sure if this thing all reset. >> Yeah, >> I have been reappointed yet. That was my question >> because it says within 30 days of everybody signing this all the municipalities appoint their members and then once all those governmental members are in place they then may appoint three non-governmental members. If you guys haven't appointed members, since

042you'll still >> Yeah, I carried over, but since it was since it was reset with a new agreement, you should probably go through that procedure of applying or choosing whether you not want those three N members and moving forward on them. >> Thank you, Joe. And I was discussing before we talked about me throwing it on the agenda and it kind of got away from us. That was good. >> But the village of Lake Coran, is that been decided? They're have they chosen their members yet? You said that? >> Yes. Nancy Moer. >> Okay. >> Was appointed. All right. >> Mr. Ford was appointed as alternate >> and he served last week, last month and this month >> as their representative for Lake Oran Village or Orient Township. We have Carrie Higgledor our alternate, >>

043right? >> I one of us can't be here, right? >> Yeah. We haven't chosen an alternate at the village yet. She just have a regular member. >> Okay. >> And then again, the board chooses the non-gular members. So you guys chose last year but >> so we just navigated a conundrum and thank you Chris. >> Yeah. >> So >> well should we maybe just vote again redo the motion? Right. >> Well Allison just took the credit >> Well resent. >> Yeah because I'm a voting member if I've been reappointed but I when this thing reset with a new agreement. >> So we'll add that to next agenda to do that. But for now, >> you're here in But maybe you just redo. Maybe you make it. >> Yeah. >> Right. >> I'm looking for uh

044the motion. Well, motion maker. >> Technically, he couldn't make the motion. >> You could validate the motion. >> Yeah. Why don't you just make the motion invalidate? >> We can support it. Just >> make the motion as presented. >> All right. The resolution resolution court and life support. Yep. Continues to support. >> Yep. You said section four. Once non-governmental members have been appointed, they may appoint up three additional voting members to the note to board >> which are quote quote non-governmental members. Yes. But when this agreement was in place, >> when you could once the agreement was reset and redone, it says that within 30 days of signing this the all the members governmental members should appoint their governmental members. So it's kind of like a resetting and a restarting of the agreement. Once the

045nine members are in place then they have the option to choose non-governmentals. >> So >> past past practice has been to proceed as >> yes and that's why >> previously >> would you at least clarify it I thought >> and mo um I know in the village I don't know about in the township but we used to appoint as appointee unless um a successor is appointed. Well, in some cases like planning that state statute says so or DDA statute says so. They remain until the replacement is appointed >> but they serve at the pleasure of the village council. So >> yeah but this >> in your case. >> Yeah. Okay. But I don't I serve only at the not board. >> Yeah. But you couldn't be an alternate if you weren't >> I'm not an

046alternate. >> I don't think I don't the village of Oxford is not specifically appointed an alternate. >> Not yet. Okay. >> But again, I was on as a non-governmental member, not as an alternate. >> That's right. Right. >> And my only reason I brought it up is because had this not had this redoing of the IG, I it wouldn't have been an issue except for now, I don't remember what the term was before of the non-governmental members. Might have been >> I think it changed. >> Okay. So, it was one year I think year. >> Okay. So, that still remains the same. So, each year you're going to have to decide whether you want to continue with those and reappoint them every year. If so, >> well, thank I think this is the great breath

047of it. Maybe we just add this to the next to make sure we're tight. We'll review it. make sure we're doing what the language says. >> I was going to try to slip it in before we got going today and add it on. We So, should we add it to today's agenda? We probably should have. >> I just sat here. >> Okay. Well, you can spearhead that say hindsight's better than foresight. Right. >> Right. Well, I just put it on next month's agenda for >> as long as all the communities have appointed their governmental members. No action needs to be done by the board. But then now the board then once all those nine members are in place, they decide whether they want to do three and then they have to do those three annually.

048>> Okay. >> I think Mr. Sure, you just call the vote one more time because we have a new motion maker and >> that's a point of order and I like it. Yeah. >> Okay. >> So, um the uh motion was has been made by um councelor uh board member Kemp and seconded by board member flood. Does anybody need to hear the motion repeated? >> Oh, please do. No, >> I know you're kidding. Okay. But not >> Okay. So, that said, we'll have a roll call v roll call vote on the camera RFP vendor approval pending final review. >> Okay. Uh McDonald, >> yes. >> Flood, >> yes. >> Breakfield, >> yes. >> Curtis, >> yes. >> Kemp, >> yes. >> Ford, >> yes. >> Wright, >> yes. >> Barnett, >> yes. Again, >> uh

049Mador, >> I don't vote. >> Oh, you don't vote. >> No, he's vote. [laughter] >> You're out. Sorry. don't have rabbit hole. >> It's not like you, Lynn. What's going on? >> I know. Well, I I should have spoke up and had it bad amended the agenda and then it got by me. >> Okay. >> We could have handled it better. >> Thank you for that. >> I think um >> public comments hearing none. >> What? >> We went to board. Oh, we already went to Joe. Now, [clears throat] Mike, >> I think the loud mouth was next. >> Okay, Mike. >> All right. Uh first of all, I want to welcome Marcus. >> Thank you, sir. >> Love your resume. Thank you for your service to our country. >> Amen. Thank you. Amen. >>

050Appreciate that. Uh for the township officials here, this might be new to our some of our village people. We all belong to the Michigan Township Association, MTA. Right now, we have our annual conference in April and right now is the time to get your registrations in because the housing opens up the end of this month. >> And you want to get that housing done the day that they open. >> It's the 26th, I think. >> 26th 27th. >> 27th. Anyway, I just want to remind everybody in uh the classes are in this January a lot to do with your hot topics right now. A lot to do with the uh data centers that are going in uh AI some on transportation, a lot of stuff on the lecture. So, a lot of lot of good

051stuff to learn uh while you're there. And you'll have someone there to give us a Judy Allen usually does one of them does the stuff on state legislature stuff. And uh unfortunately I'm going to miss all your smiling faces in February. >> The wife forces me to go to Florida. >> I knew it. Makes me sick. >> Uh play golf every day. >> Chrisell Chris I'll I'll turn into all the legal eagles still. But uh anyway, that's it. Thank you. >> Okay, Mr. Wright. Well, I'm not I'm this is a first time rookie shot for me, so I would have more questions if I need more. And other than that, I do have a request to send me a meeting calendar for 2026. >> Oh, sure. >> Very good. Thank you, >> Mr. Barnett. >>

052Marcus, welcome. Look forward to working with you. Great work, everybody. Um I uh a couple things. the the email from Alyssa today about the addendum. I'm curious has has Oxford or Addison signed this addendum or about making it automatic the transfer of the smart dollars? >> No, but if I if I would be willing to get it in front of our board if if I could get a if you have a template >> she just sent it well she sent it to you too. Um, >> professor, >> but it was your sign. >> It was your She has our She said, "We do have your fully signed." She sent it to me that um municipal credit, community contract credit, but then it was if we want to initiate this automatic basically we want to delegate

053to not um it says it it's not mandatory but it streamlines the streamlines the funds getting released quicker. I'm not opposed to it if ever if you all were doing it but if we're the only ones I wouldn't do it. I'm just curious. Have you guys done it? >> I haven't seen that. We signed our form for No, we just that I printed a copy, >> but not a continuous. >> This is This is to automatically let Martin send it. Yeah, I >> I'd need to put it on my board agenda. I haven't yet, but um I'm not opposed to it. >> You've already done it. >> We have you. We have not. >> Oh, this is from 5 hours ago. >> No, no, we have not seen it out back in June. I thought

054that it was all done but um but apparently >> the office it'll be on your computer. It's been >> we just have to sign the agreement every year. It's not a lot of work but >> no although it is a lot easier having it just all done because trying to get the signatures from everybody and >> I'm I'm not opposed to it for that reason except I just get nervous about all the stuff the countyy's doing and not having that one like >> reminder coming through [clears throat] >> like that little flat spot on the wheel. Okay, we do have to stop for a minute and >> Yeah. Yeah. Just take I I was just curious if Addison and Oxford had done it. Um, >> no. >> Okay. >> Well, I would say we would

055probably be open if everybody was doing it, but if it if Warren's only one, we probably >> Well, we can if we can get a we'll get the information from >> I can resend it all out. But it >> Well, I you're already on >> We can have our attorneys look forward this to Jack, >> please. Cuz I >> it would be way easier. >> So, >> okay. >> All right. Um, and then the only other thing for me is, um, I see that our next meeting is on the fourth Thursday, the 26th. I was good for the third, but I'm not for the fourth. Mike's in Florida. The fourth, we have our our, um, MMR meeting, a meeting, the insurance meeting board that I'm on um, in Lancing that day and it goes till

056till 5:00 p.m. So, I will not make it here by 5:30. So, we'll have to make sure Carrie's here. >> Okay. >> Um, and I I didn't catch that before. Is there a reason we changed? I'm on vacation that week and I just had made it like a few years ago. >> What would be super helpful >> in a lot of the boards I'm on is if someone in the organization sent calendar invites for the year like was mentioned >> uh >> in an email. That's a good idea. >> That makes it so nice because then um I just looked I had it scheduled to obviously it's on here to read but I was I was on the 19th of February which I was good and I just moved it to the 26th and realized

057I'll be in Lancing. So, we'll make sure Carrie can be here hopefully. >> Okay. >> I'll send her a text. But, um, >> I've got a question. Did Did you just say you're going to be on vacation? >> Yes. >> You just got off a vacation. >> It was in September. >> Pictures. We just got [laughter] >> How many What do you go on vacation once a month? >> God. >> Okay. >> All right. That's my comments. Thanks everybody. Happy New Year. >> Point taken, Chris. Thank you. >> Um, Mr. Curtis. >> Uh, welcome. And I asked Rachel to change your email address, [laughter] >> right? >> I know. >> We love you anyway, Rachel. >> We do. No problem. >> Okay. If there's no further comments, um, what's the pleasure of the board? >>

058Move to adjourn. >> I'll second. >> What time? >> Right now, >> the 15th. >> I. >> All in favor of the motion, please say I. I. Opposed, please say no.
