Please. Mr. Cerrone here. Dr. Martin here. Dr. Mario here. Dr. Pock. Miss Robinson. Miss C here. Miss Wenmouth present. Okay. Everybody stand for the pledge of allegiance. To the flag of the United States of America and to the republic for it stands one nation indivisible and justice for all. All rightas. Okay. We will welcome our board members to join us out in the middle here. Okay. We have an exciting evening here to bring forth a record setting first for our district um with our OS girls football champion. Okay. So this evening we are going to acknowledge um as we do often the award-winning efforts of our students who have received state or national recognition. This evening, the board of education and Dr. Kgatti are proud to recognize the outstanding accomplishments of individuals from the OS
girls softball team who competed at the IHSA state class 4A softball championship and came home with the trophy. Students, as your name is called, we're going to invite you to come up here, receive your certificate, shake hands with everybody, and then just stay up here. We're going to do a group photo at the end. Okay. Maya Alonso, [Applause] Jaylen Anthony, Bin Broton, [Applause] Kaia Chavez, Adeline Fugit, Aubrey Gabriela Garca, Kennedy Gendler, Betsy Jack, Bella Lyall, Mattaline Lurman, Ra Levingsson, Rihanna Martinez, Leah McKenzie, Natalie Muiner, Olivia East, Savannah Paige, Abby Schwab, Emily Thomas, Maya Zamora and Sabrina Zamora. Okay. And I believe we have a number of coaches joining us this evening. We'd like to welcome up you up so we can congratulate you as well. Paul Netzel, Tiffany Murphy, Haley Morland, and Annie Scarosi. Congratulations.
Congratulations. Congratulations. And I think we're joined here this evening with our athletic director and your principal. So, we're going to invite them up as well. We're going to try to do one giant photo up here. Okay. Someone want to grab your trophy? I love it. I know that's what I mean. I don't know. I'm good. Look over here, Teresa. They're behind you. Can Can we have the team captain? Team captains, would you step up for a second? Just love to have you step up. Like team c seniors. All right, if you guys want to just grab the mic. Um I I know what a sacrifice this was as well. Uh you are celebrating and we are just so proud of you. I I think it's really worth acknowledging the moment just a little more if
it's okay with you. Sure. Uh Mr. President. Um just just what what it feel like? What was the the pinnacle? Um, tell us something about your experience. I mean, this is just incredible for us. Um, what made it happen? Um, one. Okay. Um, no pressure. Here we go. Yeah. Hey, you've already won, so trust me. You you you got it. We got you. So, you played a game every day. Yes. Yeah, we did. We had more runs. Um, I think that our family like culture of the team really helped a lot. Um the dugout was never quiet at all. Uh our emergency PBJ was good. That that was the best. Um for those don't who don't know, we had a PB&J sandwich made by our head coach, Coach Annie. And halfway through the game when
we felt like we were need a little extra boost, we'd pull it out and everybody would take a bite. Yep. One sandwich. Not Jaylen. One sandwich, one team, one champion. Here we go. I love it. Yep. Um, but yeah, I think that as a group, just the energy that we brought to every game, whether we were on the field or in the hotel or hanging out in the lobby or in the bus. Um, hostage that what hostage? Okay, you have to explain the hostage thing a little bit more detail, please. Mr. Grace, do you want to step up on it? It's like It's like a game of hideand-seek. It's like tag and hide-and-seek mixed together. Got it. Um but yeah, like pregame rituals really help. I think that like once again just the what? Oh
yeah, yeah, yeah, yeah, yeah. Um you know, wait, let's not tell the team other teams all our secrets. Keep some of them internal. Yeah, put a little black magic in there, you know, just mix that in. But but yeah, no, overall I think just having a good bond as like a group. We didn't really have any drama at all, I would say. I mean, yeah, I think that like this group has all grown up together pretty much. I mean, I've known some of these girls since I was a eight. So, yeah, just a good group. Wonderful. Well, we thank you and we congratulate you. Oh, you want to add, please jump in. Um, this is more focus on like we're like our state run. I felt like last year when we went to state, we
didn't get the um like the ending we really wanted. And so, I felt like this year it really pushed us to do even better and perform even better every single game. Wow. Yeah. We set a goal and we made sure that we accomplished it. Like at practices, we'd always be like, "State champs do two laps." Even when we didn't want to do two laps, we did two laps Every practice. Two laps around the field. All right. I don't think we want her on the mic. Yeah. Well, congratulations. We're so proud of you. Yeah. Thank you. So, I' I'd like to just recognize a couple things. Uh, as a head coach, co-head coach with Annie. Uh this group has an exceptional amount of talent. Three of them are going D1 players. So that's that's special in
itself. But four of the girls were uh named all state. Uh two first team, one second team, and a third team. Am I right? Okay. I'm I'm gonna say that. Uh last year we had four all sters. This year same thing. Uh four of the girls uh I just received the certificate. They made all area from the National Fast Pitch Coaches Association which includes Illinois, Wisconsin, Indiana, and Michigan. Uh they were all first team. Wow. Adlin Fugat, hand up, please. Aella Garza. Adelyn was our second baseman. Uh Aella was a pitcher, second baseman. She got utility first team. Uh Jaylen Anthony, uh first team pitcher, and Kaia Chavez was our first team catcher. Uh the voting started today by the coaches in the NFCA for all American honors, and I'm hoping that those four, since
they were on the first team, they automatically are in that voting. So, there's a chance they may get all-American status, and I will let you know if that happens. Thank you. Uh we also had uh Jaylen Anthony. uh she was named the uh Max Prep uh Illinois High School player of the year 4A uh for the state of Illinois. So, Coach Annie and Coach Murphy and Coach Morland and I would like to say it was all the coaching, but I think they did a pretty good job. So, thank you All right. Yeah. Yeah. You don't have to stay. You can. You don't have to. All right. Thank you again. Good night. Thank you. Hey, we're going to move on to action item uh 5.1, approval of building administrator contract. Uh can I have a motion,
please? Just I make a motion to approve the building administrator contract as discussed and presented. Second, Mr. Cerrone. Yes. Miss Wenmouth. I. Dr. Mario. I. Miss C. I. Dr. Martin. I. Motion passes. 50. Moving on to 5.2. Action item. Uh, approval of district administrator contract. Can I have a motion, please? I make a motion to approve the district administrator contract as discussed and presented. Second. Miss Wenmouth. I. Miss C. I. Mr. Cerrone. I. Dr. Martin. I. Dr. Mario. I motion passes. 5-0. Okay. Dr. Do you have anything? Yes. Okay. Good evening, Board President Cerrone, Vice President Dr. Martin, members of the board of education, and superintendent Dr. Kilgotti. These are the recommended candidates for this evening. First, we have Spencer Brown as a dean at Asiggo High School where he will serve under the leadership
of principal Chris Grace. Spencer brings high school dean and other leadership experience to the OS team. Throughout his career, Spencer has demonstrated a deep commitment to student growth, school culture, and collaborative leadership. One of Spencer's greatest strength is his ability to build meaningful connections with staff, students, and parents. He understands the importance of open communication and actively creates opportunities for dialogue and engagement. His approachability and active listening skills foster trust which has proven essential in cultivating a positive school climate. Please join me in welcoming Spencer Brown to the team. [Applause] Katie Rens uh we are recommending her as the director of special education K through8 and deaf and heart of hearing where she will serve under the leadership of Dr. Ivet Dubiel. Katie is an excellent candidate based on her extensive experience in special education
and our district. Katie has 20 years of experience in special education, including oversight and support at Hunt Club, Trober Junior High, East View Academy, early childhood, and the deaf heart of hearing programs. Katie's strengths and her ability to collaborate, communicate, innovate, coach, and support for continuous improvement make her an ideal candidate for this role. Katie was unable to join us this evening. However, we'd still like to welcome her to her new role in 308. Welcome Katie. All right. Um 7.1 superintendent report. Dr. Katti public. Oh. Oh. 6.1. Do we have any public comments? No public comment today. I knew that. That's why I went to Shouldn't skip it though. Um moving on to 7.1. Superintendent report. Dr. Good evening everyone. I'm thrilled to be here this evening. Um, we have uh turned the calendar year
into the new one. 2526, here we come. Um, I hope everyone enjoyed their Independence Day weekend. Uh, hope you found time with family and friends and community. Uh, again, can't be said enough, but we were just thrilled to have our softball team join us this evening. Um, the OSA High School Panthers. Um, what what a what a tremendous achievement. Again, the kudos to their coaching team, their families, and to the the building leadership for their their support for such an incredible achievement. Um, last year it was infectious. This year, you can just feel it everywhere, right? So, it was just just wonderful. Um, tonight I wanted to make a few comments both for the board, but also for the community as you listen in as we are beginning to launch this new coming year. Um,
this will mark year one of our strategic plan implementation. Thanks to the hard work, yes, it deserves an applause to the hard work um of our community. It was a lot of hours um and I want to thank everyone for that. So to support this work, our district team has organized themselves into work focused workg groupoups which are aligned to each of the strategic plans objectives. Each group, each work group will include members of our union, building leaders, district administrators, and will be led by designated facilitators. Together, they will develop work plans that are going to use a change management structure. We're using what we call ACB six building blocks. It's a way to think about how we organize our work in a way that thinks about a collective mission, how we think about data,
how we think about accountability, and how we think about the voices that need to be involved in developing those work plans. Ultimately, the strategic plan kind of gives us our goal and our marching orders. We've got to develop it together with our community and with our staff. Tonight, the board will also be reflecting on our enhancements around the governance protocols that directly support the strategic work. The protocols in a few minutes that the board actually towards the end of the agenda that the board will be reviewing are really important because those formal structures um the board will be reviewing tonight in draft form and then at the end of the month approving those board structures, those govern practices really make a difference in terms of how we think about our work. And I want to
thank the board for its dedication in really drilling down into the way in which the board operates in relation to itself and also in relation to the community. Nothing builds trust better than clarity and transparency and those protocols are really a testament to your work and thinking about the best way to support and to lead our district. The strategic plan is just an evidence of that. The work groups in the strategic planning process that we will be developing will engage in ongoing impact monitoring throughout this year. We will be bringing calendar forward to see this and we'll identify times to evaluate our progress and also to adjust as needed and to ensure that our work remains aligned to the strategic plan. I joked with our team earlier today and I said you know even I
may come up with a great idea and I told the team as we were meeting in our retreat your first question back to me say where does that fit Dr. case is in the strategic plan and if it's not but yet it's urgent it may be an opportunity to reflect on how that plan can be adjusted with the board's review and approval. This process will follow a resort resultsoriented cycle of inquiry with clear timelines and benchmarks. As part of our commitment to transparency and accountability, our district administrative team will present again regular impact monitoring updates at board of education meetings. These reports will be structured around the strategic plans framework organized by priority, by pillar and objective. Additionally, we will be bringing a student outcomes report which will provide analysis about the academic behavioral attendance
and social em emotional data that we are collecting and reflecting on. We plan to have this report disagregated by student groups including race, disability status, English learner and students from low-income households to ensure that we are thinking about how equity is present in our work. This will be a major step forward in aligning our work with the vision and priorities outlined in our district's equity policy as well in our strategic plan which we look forward to shaping and sharing our progress throughout the school year. On a more somber note, board and the community, I think I'm I really want to take this time to extend our condolences to our neighbors in Texas, the people of Texas who have experienced a really significant devastating loss and destruction from the flooding. Our thoughts, our prayers are with
the floods victims and their loved ones during this tra tragedy. I also want to share my thoughts and prayers for those experiencing the effects of tropical storm Shantel. If I could um invite us to join if you would join me in a moment of silence to think about those individuals and to think about how they're um this loss and the struggle they're going through. Thank you. I know that our community will be thinking about ways to send uh support um south and if you hear of things, please share the news of that. I know we we are commute at rallies and so as you hear of things, please send them in to our social media team and we'd be happy to help support those campaigns of supporting any kinds of efforts. Um I will now
invite our board members to share some additional highlights um reflections of celebrations and I want to thank the board. What one of our traditions is because there are so many exciting things is that board members will join in uh sharing some of those highlights that are happening across the district. So Erica, you want to kick us off? Yeah. Uh, congratulations to the Special Olympics uh, Wildcats soccer team for their recent successes at the state competition in Bloomington. The junior wildcats brought home gold while Ben Connelly earned gold and Zach Bey earned silver in the individual skills competition. We are so proud of these student athletes. Right. We also have a lot to celebrate about our student journalists. Uh even over the summer, the Asiggo High School and Asiggo East High School journalism programs were both
selected to receive $1,500 grant from the Illinois Press Foundation and the Illinois Farm Bureau. The money will allow our programs to purchase new equipment that will further their creative possibilities. Congratulations to our student journalists. Calling all families with incoming kindergarten students. The countdown to kindergarten will be taking place in just a couple weeks. Each elementary school will host an event for parents and guardians to receive important information related to this school year and beyond. For additional details, please check the district website. Free and reduced meal applications are available. Please visit the SD308 website to learn more and complete the necessary forms. Alternative pickup and drop off request forms for bus service are also available online and due by July 17th for service on the first day of school. Please visit the transportation page on the
district website for more information. All of our high school students who will be participating in a sport during the school year are invited to complete their sports physicals at Asiggo High School. A number of healthc care professionals are volunteering their time. How nice um and talents to put on this free event. Donations are welcome. The event will take place on Saturday, July 26th from 8 am until noon. Additional information is available on a Peach Jar flyer found on the SD308 website. And then finally, we want to remind families that if you have new or returning students to SD308, registration for the 2526 school year is open. Please ensure that your students are registered as soon as possible to avoid any enrollment issues. You can learn more by visiting the SD308 central registration web page. You
can find everything about everything on the website. Thank you everybody. Moving to uh 7.2 um board member comments. Does anybody have any comments to share today? I can start. Um, I know it's been hot lately, so I want to give a shout out to grounds and um, people working outside uh, to keep our buildings up and running and doing all the summer work and things like that. So, uh, stay safe out there, stay hydrated. Uh, but thank you for that. Um, I just want to also um comment on the non-release of federal um funds to school districts that were supposed to go out on July 1st. Um, I know in the past and I think the future of those funds is unknown at this time. Um, but that would be an impact uh on all
school districts. Um, I would encourage people to contact uh representatives um to um express the need for those funds to support our our students. Uh I know in the past at the urging of past our past board um we've asked to see some budget stuff with or without EBF. I don't know if we'll be at a a point where we might have to see budget stuff with and without you know some federal um funds. So, uh just something definitely uh to keep an eye on uh and to activate um um you know some of your agency um with uh federal elected officials to see if we can get some pressure to get those funds released uh and for future funding. So, I I had similar thoughts on the cash flow um projections. Yeah. Um, I'll
kind of tag on to what you had said um, initially also agree with you on the second half, but I wanted to give a shout out to everyone whether uh, everyone that's working to make improvements in our school buildings over the summer. Um, all you have to do is kind of drive around and look around and there are there's some major work being done. Um, and you know, the the plan is obviously to get it for the most part finished by the time school opens in August. So, um, kudos to everyone whether inside the office or outside that's that are putting in a lot of time, energy, um, especially outside in the recent lovely weather. And, uh, thank you for everything you do. Anything. Um, there's always a lot going on in the district, so
I'm just, uh, I'm going to, uh, bring up some of the things that, you know, the board has participated in over this past uh, month. Uh Erica, Brandy, and I were able to attend the end of year award ceremony for the entire Smiggle High School softball program a few weeks ago. Uh it was a wonderful event recognizing all the coaches, athletes, and supporters. Uh you could tell the teams have great great chemistry and ability. Um as they um brought up, uh the the art of superstition remains strong in baseball. Um to say the least, uh the program is in good hands. Um many students, parents, and staff members joined board members. uh Brandy Rell, um Mary Joe and I as we walked and handed out pencils, balls, sunglasses, and other cool stuff at the Prairie
Fest parade. And then Mary and Joe and I also attended uh the artist the artist recognition event recognizing the talented artist who contributed to the wonderful art displayed high on the lake posts in downtown Asiggo. So that is what I have. So I think everybody Erica, you were good. Okay, we'll move on. uh to information item 8.1 the old robber redevelopment proposal. Okay, I want to invite um uh Mr. Obami to walk us through this process and this evening we have some special guests as well. So they'll be coming up to introduce themselves and then so want to thank you Mr. Obi. Thank you Dr. Katti. So, just to give um a brief uh background on this particular project, the uh Trouble Old Trouble Junior High School is actually been vacant from what I've been
able to ascertain from between 12 to 8 years. It's been sitting vacant. Uh we have not really as a district used it as a classroom or as an instructional center since about that time. And over the years, we continue to spend uh an estimated $250,000 a year just to to keep the building from falling down. We pay for water. We pay for heating. We also power electricity through that building even though we haven't used it for minimally 8 years and possibly 12 years. So there have been attempts in the past to try to repurpose the building and those attempts have not been successful. So at the uh the board's directive back in December, we decided to come out with uh a process to try to see if we can get the building back uh in
repair and also get it back functioning. So what we decided to do is do an RP where we we put down some requirements that we have in order for us to be able to repurpose the building. One thing that is important for us is to make sure that whatever use that comes out of that building from the RP that the uh the succeeding owner of that building put that building back on the tax role because that building is actually in a designated tiff district. So, we need taxes to come in from that building. So, we put in a few requirements when we developed the RFP back in December and then we uh set a February uh submission date throughout that RFP and then we waited at the end of the RFP period, we received a
submission from a team made up of JTE real estate services, a development company, as well as Cartagon Clark architect. those two firms came in together as a team and they proposed a residential development project for that and uh that's what we're bringing to the board for consideration today and before we move forward I will invite uh one of our legal counsel Stuart Wit who has a deep history about the building and all the different attempts that have been made over the years by the district to uh to do something instead of just leaving that building vacant. I'll pass it up to uh Stuart, please. Thank you. Um over the past 20 years or so, maybe longer. Uh old Trober has been used for many different purposes. Originally, it was the the original Trober Junior High
School until New Trober was constructed in the early 2000s. Then it was occupied by the Kendall County Special Education Cooperative until the board of education withdrew from that cooperative. Uh then it housed parts of the district administration. Then it was a transitional learning center for the students 18 to 22 years old. Then it became the Asugo Township Senior Center and ultimately the home of the Asugo Land YMCA. So, it's had a lot of uses over the past. Uh, a few of them related to the education of students. In March of 2018, the board of education made the determination that the property is no longer necessary, useful, or convenient for a school and unnecessary for uses of the school district, which is a requirement of section 522 of the school code. Board of Education directed that
the property be sold at a competitive sale. Again, consistent with section 522 of the school code. Uh there was a minimum sales price set in the bidding. Uh one bid was received by a developer of senior housing under the under the Illinois uh developmental housing Illinois housing development assoc uh agency. um and their bid was contingent upon getting approval uh from the agency. Um ultimately they were unsuccessful in getting that approval. This is a company that's got significant experience in this business. They had recently built two such facilities on Orchard Road on the east side of Orchard Road. Uh through the same u Illinois Housing Development Authority. Um, and so they knew what they were doing, but because the state had already granted certificates for those properties on Orchard Road, uh, they decided to make
the awards to a different community, uh, determining that OSGO didn't need them at that time. And so for that reason, they exercised their rights to terminate the contract and walk away because they couldn't meet their needs. In December of 2018, the board of education employed a realtor, which is author authorized by section 522 of the school code. That realtor brought forth a letter of intent from a nonprofit organization that wanted to uh take the property, again, pay the price that the school district was requesting. uh to have a a church, a community center, uh uh a cafe, a kids indoor play area, co-working remote uh offices, early childhood center, and things such as that. uh that particular user uh didn't realize that that building was in such condition that they couldn't occupy it because it
did not have uh uh up-to-date current ADA standards for a private facility, not for a school, but for a private facility. It wasn't sprinkled and it needed other types of improvements that they quickly learned from the village they had to meet in order to use the property as they wished. and so they walked away uh uh from uh their contract. Um at various points in the past seven or eight years, the school district has made diligent efforts to dispose of the property uh through conventional and and uh uh unconventional ways such as communicating with other local governments, encouraging them to uh use the facility for the benefit of their community and the school community. um and also working with the uh Chicagoland YMCA. You have a local Asiggo land uh YMCA, but property is all
controlled by the Chicago YMCA and we worked and worked and worked to generate interest there and we just couldn't get it generated. And so those efforts basically came up empty-handed. Uh and so the RFP proposal came forth at the direction of the board and the administration. Thank you, Stu. So the proposal that was received uh for is for development of uh high density housing and uh since the district is not in the business of developing houses and that is not what we do. We educate kids and we do that very well. We thought it made sense to uh to work with a partner in this case the village of Asiggo whose uh expertise in the development of property makes it sensible for us to work with them. And so the uh the development that was
being proposed by a developer, we vetted the developer as far as the experience and the ability to be able to follow through with what what they're proposing. We found out that they've done significant work in the area of development and they have their funding lined up JT and Cigan Clark and they also um provide us a proformer. Those are important things that you need in order for to take uh a submission of an RP for development seriously. Can can I know what a proformer is but can you so proform in a development process is uh a financial statement really that shows how much it will cost to develop the property how much uh the developer stands to make and how much free cash flow will be generated from the development I mean you need that
uh from someone who's proposing to develop a property if they can provide you minimally that that means means that they are not that experienced or they knowledgeable in being able to carry forth a development project. So the uh so the request that we're we're making before the board is that the property then be conveyed to the village of Asiggo and and during the process we negotiate uh revenue sharing agreement uh with the uh the village since the property as I mentioned earlier is located in the 10th district and but in order for us to be able to generate some revenue for the village to share with us. There has to be increment which is essentially a growth in the value of the property. With the development that has been proposed, we believe there will be
a growth in the value of the property which should lead to uh to increments in the 10th district. What would be beautiful about that? I say beautiful in that a property that's been sitting vacant for years offers us the potential of putting that property back on the tax role which will provide uh us revenue as well as all the uh all the taxing body in the area too. And as far as the legal process required, I'm going to hand it over to uh attorney uh Brian Crowley that'll be required to make the process go through with the village. I'm sorry you're craning your necks everywhere for this discussion. Um, you can come up here too if you want. Yeah. Do you want to go up there or whatever? Yeah, why don't I go up there
just in case you have questions. Thank you. Hi everybody. Um, so we we are definitely thinking out of the box for this. So as as Mr. what alluded to, typically with a property sale, you have to do an auction process or a bid process. There is an exception where if you convey your property to another local government municipality, you do not have to go through that process. Um, what we're really looking for tonight from you all, this is a this is a multi-step process that will probably take close to a year, frankly. And what we're really looking for tonight is the initial step in that and sort of your comfort level with making a determination that this really isn't property we need anymore and we're interested in this process. The village and I'll let the
village administrator add to this. They have actually both a unique and I think a helpful zoning process. Um there's almost a first bite at the apple with the village where if after tonight you say, "Yeah, this this sounds like a good idea. were willing to acquies to the developer and let them start the process. I believe you call it a concept review process where the village would take sort of an initial informal look at this. We're not deep into the zoning process yet which would typically require the developer to provide all their plans and at it significant expense. So it's an initi it's two meetings where their do you call it a plan plan commission where the village plan commission would initially take a look at this give their ideas their thoughts their feedback and
then the village board would also then give their thoughts feedback etc to see hey is this viable at all what are the different changes you might need etc if that all goes well and let me and actually let me I jumped ahead a bit so tonight what we would look for is yep this is for information this evening the the voting or the acknowledgement would be on the 28th. That's right. That's what I want to be clear on. So, tonight it's very much we think this is interesting. Brian and Stu, go forward and develop a resolution for us for the school board for our July 28th meeting where we would act and say this as our initial blessing developer go forward with the village review process. Once we if that resolution were to pass and
we would have lots of caveats in there frankly to say you know if things go south we can change our mind etc. But if we go forward with that then they would provide their village review process if it looks like it's a go on their part. We would then pass a second resolution. Now I wouldn't expect that to happen and I guess you can if if we say yes on July 28th what is your sense as far as how that initial how long that initial process would take? Um, if Yeah, I want the public to hear your Yeah. Would you introduce yourself and welcome? Thank you so much. Dan de Santo, village administrator for the village of Asiggo. Mr. President, superintendent, appreciate you having me here today. Thank you for coming. Um, so I wrote
down just a couple dates. So depending on when we get the application to go to the plan uh concept review, it could either go to the planning and zoning commission on August 7th or September 4th. Uh those are kind of the next two dates that would be available after this board would vote on the 28th of of July. Uh and then after those meetings, they'd move on to the next month, a village board meeting where the village board would consider the concept plan. So then after that, if all went well and it seemed the village was interested in it, we would have a second meeting and a second decision, a second resolution, if you will, that okay, we are more serious about this to then go back to the village for their more serious process
as far as approving the various zoning approvals that zoning exceptions that would be required by the village. through that time either in conjunction with that after that we would need to be negotiating an agreement with the village as far as the ultimate conveyance of the property and what that would look like but the way this would eventually look what we're providing now is it all goes according to plan the agreement would be between the school district and the village to convey the property to the village for the developer's eventual benefit and their ownership but it's very important to the developer to un to get many approvals in a sense that yes the village is interested in this and the village will approve their actual use. Um, so if I can just uh before we ask,
I just wanted to recap the key things that I think we should consider here. The property is uh located in a tiff district. What that does is if we can get this project off the ground, if it works, what it creates a property that is currently not on the tax role because it's owned by us. we don't pay property taxes has the potential to generate what we estimate to be $700,000 a year uh at least the first year because of the development that is being contemplated. That's number one. Number two, revenues from the development from the sale or the development of the property in addition to the uh tiff increment that can be negotiated with the developer. uh savings of at least $250,000 a year that we've been paying for minimally the last eight years
that we no longer need to pay. And uh yeah, and potential to just uh to generate some other uh some other revenue for the district. That was, you know, I'm going to just ask um I I wanted to give you guys a shot. Impact fees you said uh remain intact. That's is that included in those numbers that you gave? Uh the uh impact fees, we actually didn't touch on the impact fees like any other development. I'm I'm going to Yeah. So that 700,000 per year, that would just be in the property tax increment. The impact fees would be on top of that. Yeah. Okay. 700,000 for the school district or overall uh overall. Overall, so we would get our portion of But we are the largest uh taxing body, so good chunk of that. Sounds
like a be kind of an agreement that we're not really contemplating right now, but it would have to be in the all the caveats that you were talking about. And that would just be for the first year. Like any other property, the value of the property goes up, the the tax revenue, the a projected tax revenue over time will go up too. the value of the property goes up. Can um one of you describe the difference between um or the distinction between the transfer of a property versus a sale of a property or is it the same? It's it's It's essentially the same. Yes. So there's no Okay. So yeah, what what the terms of that deal may look like, but we would be conveying at the end of this you will no longer own
this property, right? Erica, as as uh Mr. Cwley mentioned, there was a specific method that you have to follow when you put property out for sale. You can convey it to the village upon whatever terms you and the village agree. Mhm. This same process uh with these same developers, this JTE and and Cortigan Clark was employed in the West Aurora School District over the last year and a half whereby they took two unused schools that have been vacant for decades and conveyed them to the city of Aurora. They worked with the developer and they're now housing units. They did not demolish those buildings. They repurposed those buildings and made them put them on the tax roles and made them into affordable housing. Mr. Danto, I thanks again for coming tonight. I I want to just
uh I think it's important for the board to hear a little bit about when you think about development projects. This is your you and u Mr. Kaufman's just passion, right? Thinking about the growth of Oiggo and this community. And what are the protections you consider when you think about a project like this in general, right? And what would make and you all have done a lot to attract new business. I mean, some great new restaurants coming into town and so you definitely've got a methodology that you approach and you think about when you consider projects like this. when you heard and when we started to consider this and then we invited you to as part of our speculative process think about this, what were some factors or metrics you were looking for around ensuring that
this was a viable option um that you are even sitting here this evening, right? Because those are not it's not it's it's a little different than magic, right? It's not superstition. This is hard facts. You have economic development. So maybe talk a little bit about the infrastructure first you have on your team um at the at the village as well as then what were the metrics you were looking for to really consider this as a viable pro project um in working with us I would say um I look at this project in in two different lenses. Uh back when the village established our tiff district in our downtown it was 2016 and we did so with the support of the school board. Uh and part of that uh discussion at the time was that the
village made sure that the tiff district included the old Trober property. So from the beginning of the tiff back in 2016, it was always our intention that that tiff district include Trober to be or old Trober uh to help the district and really it's always it was always supposed to be a partnership that hey when you're ready when you find a developer this tiff district will be a tool that will help you find a developer and get the most out of the property back to the district. So that was always the intention. The reason we put it in the tiff district was to help and partner with the school district. It's taken a little longer than we thought. We were hopeful that it would happen quickly. Uh but nevertheless, here we are with a very
reputable developer that is in in front of us now. And so when I say um moving into two parts, what I what I mean is there's the land use decision uh and you talked about the density and the type of housing and how it looks and how it's situated on the site. That's going to be the discussion that the public is going to weigh in on and the planning and zoning commission are going to weigh in on uh pretty quickly. After that, let's say we get past that point, and I don't want to jump over that, but there will be a public discussion on on the site plan, and the village board will weigh in on that. Uh they may not say yes or no. They might say, "We like these parts, but we want
a little change here." They're going to give a lot of thoughtful discourse in the site plan itself. But after we get past that point, then we really get into the nuts and bolts of the negotiation. Uh with the goal being a win-winwin for the village, for the district, and for the developer that that this the sharing of that 700,000 in increment uh can be done so where all three benefit in the end. Uh how we do that, we have our our engineering staff that's going to be looking at the public infrastructure that's required to go into the property of which is substantial. Uh we have a financial consultant on our team as well that does all of our tiff reviews for for financial uh information. Uh as uh Mr. Oofme said from day one when
we started talking about this it was all about let's see that proforma let me see that you're financed. Let's make sure this is a reputable company uh that we know we're all going to be you know putting an agreement in with making sure that they that they are what they say they are and that they can produce what they will. Uh but from the beginning it's been show me the money. let's make sure that you're you have the wherewithal to do that. And so we believe between the experts you have on your staff uh and our staff and our consultants that we're going to be able to do that. Um one looking at it from the land use perspective and two looking at it from the financial perspective. Great. Thank you. Uh Mr. Dancho, if
you can explain for the benefit of folks who don't know why does it matter properties in the tip district, what would be the benefits please? So the big benefit I'll try to do a very rough um explanation of tip. did a pretty good job earlier. Uh, but essentially when you create a tiff district like we did in 2016, it it freezes the property taxes that that property generates. So, let's use Old Trober. Old Trober because it's owned by the district, it generates zero dollars in property taxes. So, you guys have never paid a property tax bill on that property. Uh, after uh it's in the tiff district and let's say you sell it uh transfer to the village, the village transfers to the developer. this development gets built and starts um making um people start
moving in. They estimated about $700,000 a year in property taxes. And what a tiff tiff district does is it takes the property taxes paid in 2016 at the base. The property taxes once it's developed and the difference there goes into the tiff district which goes to the village. It's actually goes into a tiff fund that the village controls. So in this case, let's say it's 700,000. It started off at zero. So now you're looking at $700,000 a year that goes into the village's tiff fund. Now because what we're contemplating is is kind of a triparty agreement, a redevelopment agreement between the village, the district, and the developer. Uh that agreement would dictate, well, we're going to take this increment in the $700,000 a year, and we're going to split it up this way based on
a financial perform that our financial consultant is going to review. Uh part of it is what's called the but for test. And so that the reason for that test is to show that a developer is not making an obscene um uh profit on this project. And so what what our consultants are going to do is to make sure that they're getting a reasonable profit and that but for village incentive or tiff incentive this project would not be would not happen. And so we believe that will be the case in in this event. I mean it's going to be a very good cost to tear down that building. There's some environmental remediation. A lot of public improvements will go into it. And so the consultant's going to verify that yes, um the increment going to the
developer is necessary for them to make a profit. Uh but at the same time, there's going to be pro uh the idea being that there's going to be revenue shared with the district and possibly the village as well. Just want to add something to that. So because it's in a tiff and it's at zero, obviously if you had a net nonprofit going there, it would stay at $0 even when the tiff's gone. If you were to put this to auction and had a number of developers come in and provide your best price and such without village agreement, you would still see none of those dollars from that developer until the tiff was expired. So what we're talking about here is an potential agreement with the village to revenue share in that tiff. How long is
the current tiff district in place? it goes until uh 2039 or 2040. Okay, so TIFFs are 23 years. And so by the time this project will get built, you might have 12 or 13 years left in the TIFF. Uh so that that's about the amount of time that that 700,000 per year would be shared. But then once the TIF expires, uh you you would get your proportional share that you would typically get 70% of the of the tax bill uh in this case roughly. when there's a moment, could you get the exact year that that tip is out so that we kind of know? Yes. Uh the reason I say 39 or 40 is because property taxes are collected in a rears and so I think 20 39 is the last year but then it's
collected in 20 240. Okay. Is it basically what we're asking is to convey the property so that the developer can build on it, but we're not actually going to get paid for the property like a direct dollar amount. We're going to wind up getting property tax money. I think that's to be determined. Um, right. But I think from what the developer originally had said, they didn't come up with a a large number for upfront to pay for it. But I I think we would all agree, at least those of us that have kind of been in the numbers so far, the benefit the district will probably get is on an annual basis. But again, all that all that's yet to be determined, right? But our current benefit would be we don't have to pay for
the property anymore. Correct. We're not actually going to get a cash dollar, but we won't be spending money. And I think those are all deal terms to be worked out as we go down this process. But to your point, once you convey the property, you're right, you will not have that responsibility anymore. 250 will certainly fall off. And at this point, the developer is planning on taking care of all the demolition, all any environmental work. Yes, the developer is planning on taking care of it, but but some of that work might be TIFF eligible. And so some of that tiff increment might go back to the developer. That's why it's all kind of in the details that we have yet to work out. And again, we have not dove into the financials quite yet until
we know the land use kind of is acceptable to the village board because once the village board says, "Okay, we're good with this land use," then we're going to kind of dive into the numbers because the plan could change. Right now, the plan is X after the planning and zoning commission, the public, the village board all provide feedback. That site plan might might, you know, reduce a unit here, change a type of building there. So, things are going to change. We want to wait till that happens before we jump into the numbers. And as this process proceeds, the school district can vote to not go forward and each incremental step. So if the negotiations are done and we're not thrilled with it, we can pull the plug. Yeah, we we have several steps. So tonight
is merely start put a resolution together. Okay. July 28th is we act on a resolution to start with the zoning proc the initial step of the zoning process. After that, if the village says, "Hey, we like this initial concept." There's another bite at the apple to say, "Keep going." Go through the more thorough zoning process and then finally an agreement with the village. Does Yeah. Okay. No. Um, you were trying to say something. I was uh affirming something. Stu was as as Dan was sharing, you were very much involved in this process as Mr. Danto was describing the kind of the history here. Um, you were nodding your head quite a bit. So, were you involved at the table during those the kind of the history of the tiff work and and was that under
your direction or or leadership at that point? Do you recall? Um, no. I was asked to review the uh TIFF documents at the time. Got it. that they organize them. Um, okay. Often often tiff districts are created and we are skeptical of them. Got it. Um, in this instance, it was clear to us that not only did the village want the tiff district, but the board of education administration wanted the tiff district. Okay. So yeah, while we raised some questions, we were said, "No, the school district is good with this because we see this as a viable use for Old Ter I conversations with board members and yeah, basically I think we were collecting $10,000 from the parking lot that was there, you know, the old uh lumber yard or whatever." And um so you
know it was either we're going to collect $10,000 for the next 23 years and then still collect 20 $10,000 or we could that would turn into millions a year you know so that was right I don't remember the exact math but that was the idea and that's the idea right in general um you know I was I was on the planning and zoning commission for a few different mayors and um or presidents I should say I stepped down once I became on this board because it's just driving my family crazy. Um so I'm very happy um you know that if we were to approve you know the next step that it would go to the planning zoning commission for concept. I know that that's um not necessarily always a step. Um I think that we
generally do it um and then for the board for concept um and then get their input and you know it becomes very transparent and um lots of steps if we do that and you know there's so um being on the board and when I was on planning zoning commission I I liked hearing from the public so um we're trying to continue that tradition and that's kind of that's my input there. I really didn't have any questions. You guys did a really great job of uh informing us of the process, I think, and um seems like we're we don't have any other questions, but I really appreciate you being here. Yes. So, thank you. So, there's there's no vote required, but it appears we have a consensus for me to move forward with the resolution for
action on July 28th. Yeah. Yes. Great. Yeah. Yeah. Great. Thank you for that as well. You know, is obstruction in my line of sight, you know. Um, okay. All right. Thank you. Um, 8 point. Oh, yep. Moving on to uh 8.2. Copier machines and maintenance services RFP uh for information. And I believe that's again, Mr. If if I may just uh again, this continues the board's vision um u of really thinking about how we coordinate our resources in very thoughtful ways. And so I want to thank Mr. Obami and his team for leading the work and uh increasing our ability to coordinate our support. So thank you Dr. Katti and thank you Mr. President. So um I know for a while as far as anyone can remember we've always used the same copy company and
the way it's gone is uh we signed fiveyear contract and at the end of the five year they come back they increase it and we just sign the agreement. So one of the things that I looked at when I got here copier expenditure is a big chunk of what we spend money on. So, I was chomping at the bit to find out when the copier contract was going to be up. When I started, I'm starting my third year now. I was told that it wouldn't be up till this year. So, I was waiting for that to be up. So, when that uh before it came out the current copy, it was like, "Hey, we would like to meet with you. Want to have lunch?" I'm like, "No, we don't need that. We'll do an RP
process, which is an process." and which we did which as far as anyone could remember is the first time we've done RP for copier service in the district. So there are two components of copier service. We have um regular uh copy fleet that we that we deploy all over the district in every building and also in the administrative building where we are charged a set amount for copying. And then we have the uh copier center where the copier provider actually have employees that staff there and we use those for high quantity copying. So, we developed an RFP and we sent it out and uh there was some trepidation on the folks who've been around here for a while that there will be responses and part of the process was for us to have um um
an a required in-person pre-bid meeting and there were minimally 18 companies that showed up. It was standing room only in the conference room at Stonehill. And then we receive um I believe we received uh eight or nine submission at the end of the RP and then we graded them based on meeting the requirement that we needed and then we narrow it down and at the end of the day the same company that we've been using for years ended up winning the bid and what is remarkable is that the savings that we got for the next five years is actually going to result in $1.4 $4 million in savings on what they currently charge us. So, so this is just a way that we're leveraging our scale. We're the seven largest school district in the in
Illinois. And what I what I explained to our team is that, you know, it would take the company, the copier company, probably 5 10 school district to be able to make the kind of revenue that we they can generate with us. So, we have the ability to use our leverage to be able to get better pricing and that's what we did in this case. It's amazing. Nicely done. Yeah. Well done. I also see we're getting a lot several new machines as well. We're replacing the old one, too. Yeah. Other questions? Mary Joe, any questions? Heather, Erica. Okay. No. Um, my only comment is Copy machines are not cheap. No, very expensive. I I never, you know, I nobody looks at how much copy machine, you know, in the general public. And I was like, how
can you even save $1.4 million, let alone? So, anyhow, um, so I thank you for that. And, uh, that'll be coming to the board of approval only 28. All right, moving on to uh 8.3 uh 20 25 26 facility rentals and student fees. Okay, thank you. I have a few things to share regarding fees tonight. Um I'm happy to recommend that student registration fees not increase for the 2526 school year. Um however, as I've shown in previous meetings, there has been a sharp decline in fee payments over the past few years. That being said, in the future, we may need to discuss other opportunities to collect these fees, including athletics and activity fees. We look forward to that dialogue. We also recommend that meal rates not increase this year. Just a quick side note, we
did have an impressive administrative review audit on our district food service program with ISBY last month. We are pleased at how our relationship with Aramark has progressed over this past year and we look forward to more things to come. Um, as far as facility rentals, we are proposing a small CPI increase of 2.9% overall to support our systems. Thank you for your consideration. Uh, the it cannot be um understated or overstated the the impact of that audit that you described. This is a huge win for our district. Yes, we haven't received a good audit in quite quite some time and the auditor who gave us the audit um has done it in the past several years and she said she was very impressed. So um so kudos to you and your team. Thanks for that
context. And it happens uh every three years. It's supposed to happen every three years. It I think it was five years ago before CO, but CO kind of messed up that schedule. So thank you. Thank you. Any questions? Okay. No. Um, next we have our intergovernmental. Go ahead. Intergovernment agreement with Oiggo Fire Department, Mr. Bell. So, this is4. Yep. Uh so this is a revolving um IGA um with ASGO fire for ambulance use at our home football games at Asiggo East and Asiggo High School. This is an annual uh IGA that can be renewed for an additional year with just a simple uh in writing. Um but we try to take it to the board every year. Um what's critical about this is they're not increasing their hourly fees. So, it's staying at that same
rate, which they have done for us for over the last couple years. Again, any of those ways where we can pinch some of those pennies to uh and still maintain the same level of coverage is good. Um, so this is the only IGA that we would be looking at renewing for right now. Is just out of curiosity, is this just varsity football or is it all all football games, all home football games? That's a great question. I think it's just the Friday night games. I don't know. Well, I would have to look at the invoices to be specific. I can get back to you though. Okay. Thanks. Any other um just want to thank the fire department. Yeah. So, and then uh all right, moving on to 8.5 uh board protocols and we met on
June 21st and we discussed these protocols and uh they put some of the suggestions that we made um into writing. um you had a chance to look things over and you know we're we're here to kind of uh finalize this document and can you explain to the public um kind of the purpose of board protocols? Yes. Sorry I was looking beyond you. Yes. The purpose of board pro protocols, it's it's in essence an informal agreement of your group as to how you're going to treat each other and how you're going to deal with the public and how you're going to deal with various matters that come before you uh comply with the open meetings act, comply with um requests from the public, etc. and that when things go ary, you can point that if you
have board members, and I don't think that will ever be an issue with this group, but if board members uh go ary of those, you can point to those um as your working arrangements with one another. Thank you. And um we did this, you know, in consult with the um with a representative from the Illinois Association of School Boards as well. Um these are relatively relatively standard with little tweaks um you know for our board in particular. Um did anybody have any suggestions um comments questions? I thought we had a good discussion at our retreat about some of the protocols and I think that discussion really helps us fortify what it is um we expect for our our of our fellow board members. Uh and it's something to point to. Um I think it's you
know important to note these are a car a lot of them are a carryover from a pre previous boards with just tweaks. So it's something that has worked in the past um or has been utilized in the past. Uh and um so I think it's helpful to always you know uh discuss them. Um and these I think can be um a living document as many of our work much of our work is you know if there's something that's not working for us as as a board we can bring that forth and have a discussion about it and discuss these protocols um at at really any time. Um thank you. And if nobody else I do have, um, number three, um, it's just board members communication via email. I know we had the discussion during that
is and to include texts. I know it's the word texts are included in the um, A, B, C, or D. Um, but we we're looking to add the word text into the where it says number three. Is everybody I remember that. Yeah. Yeah. Um, then I had there was also um a question about engagement on social media. it was uh when if the relationship between so if if board members you know many of us are involved in social media communities um Brian can you speak to a little bit about in the event if a board member we have a softball celebration right and our communications team post celebrating 308's win at the state right there are guidelines around board member for let's say communication in those instances. Are there any of those things that we'd
have to does the board have to be aware of? Yeah. And I tried to reflect that in some of my changes to the board protocol. So one thing to keep it's it's a it's actually a first amendment issue. So you and and boards are unique animals. You are a board. Yeah. We're also highly governed. Right. Right. So, but when you are regulated, take that h when you are using social media on your own with your own account to the extent you put yourself out as a board member and appear to be speaking for the school district and the board, first amendment rights can be implicated. So, an example would be if a board member used their social media account and spoke said, "Hey, I'm speaking for the board right now." and members of the public
made comments to that, you may not be able to shut down those comments. So, it's important to have clear lines that when you are out when you are speaking for yourself on social media, you are not speaking for the board. You're speaking for yourself as an individual and the board protocols attempt to address that issue. I think that context helps. I don't I really don't have the bandwidth right now to look through this and see if I agree. Um maybe somebody else does. I think one I think it points to um like the discussion that we were having um at our retreat um was about I think we were in agreement with this idea that you know as you're on social media you have to remember that you're part of this board. Uh, but we
can still share like if we wanted to share something tonight that said tonight at today's board meeting we talked about this, this, this, and this. That'sformational. It's not really that seems appropriate protocol for our board. or or what would be inappropriate would be if we passed blah blah blah and then I as a as a rogue board member posted something that you know I disagree with this and this is why and it's it's a terrible thing on the board's part that's something that would not be allowed. I I think what I would also even even to your example which I I don't disagree with that that's that seems to be an appropriate comment. What what's important as far as I would lace your social media with this is my social media account. I am talking
as an individual. I am not talking as a board member here. And then it's fine to share some of that stuff and some of that more innocuous one of those more innocuous things. That's that's the important thing to frame. So I I now with the board president it might be a bit different because the board president is seen at many times as the board spokesperson. Um, so that's another way, another thing to think about and to look at. But I just is you're using your own social media account. You just need to be aware of that. And you're saying that pretty much all social media accounts, even if you label it as this is my board of education account or my person like their personal accounts. They're not board of education accounts. If if it's
clear to the world that it's your personal account, then I'm comfortable you have not opened a first amendment issue for the district. If your social media account is not there, it appears that you are speaking for the district or for the board. That's where it gets murky. Can can so well just just because you said board president is different you know I want to um um so my personal account really speaks nothing of me being you know it says I work at in my the company I work at you know um so is that like obviously personal you know what I'm saying I mean that's what I'm trying to get at yes to the extent you start speaking about board and district is because of your role board president, that may be more interpreted as
he's speaking for the board of the district. But if you're speaking about things that have nothing to do with the district, nothing to do with the board, or you're very clear and say, "Hey, world, while this happens to be about the district board, this is my individual opinion," you're likely okay and you not open what's called a a forum related to the First Amendment. So maybe we'll just go back to that scenario where I share something that the, you know, the district uh did, you know, great stuff, bad stuff, whatever. Um, let's just I don't usually, but let's just pretend I opined a little bit. Um, my my thought process is you're telling me that that probably is me acting as president of a board. you you may be unless I say this is my
unless I like give that huge caveat. This is speaking as a you know uh an individual to the extent you don't want your private account to be deemed communications of the board of the district I would have that caveat. Okay. Or just share it without opining. Is is that fine? Well, it's still about the district. This is becoming a law school uh seminar. Well, yes. I want it. want it to be clear, you know, because it is kind of like, you know, that's all. Yeah. Okay. I think I think I just I would just I would encourage you all to be as the as you use social media and discuss district and board business. I'd encourage you to be very mindful of that and mindful to let the public know this is my individual. And
I think it's it's it's relevant because in today's world, a lot of our community gathering discussions happen in social media spaces, right? Um whether it's personally as a parent, I'm in networks or community networks where I'm communicating. And so I think we want to encourage our board members in our community to be able to talk about things to celebrate and also create spaces for support. Right? So, I'm I'm concerned that as a parent um how I support my children and I create a group where I'm engaged in community organizing or gathering, right? As long as and the board talked a lot about making sure that those are really aligned with the strategic plan number one, but also that individual initiatives are really, you know, flashing like this is my own individual opinion and it doesn't
get in the way of the board's work um or the district work, but is in compliment is complimementaryary and I think your point about first amendment is really important. And where this all comes into play really is how you're managing your account. So the the risk would be if would be if people make comments to your comments and you want to remove them. That's where the problem might come in. So if you want to be able to Oh, I I don't even know how to do that. So Well, if you don't know how to do that, then you've got no problem. Yeah. Yeah. Good. I mean, I do, but I don't ever, you know. So, hey, anybody want to, you know, um I just gave, you know, big green light to everybody, but um so
that's the first amendment part. They don't care about our first amendment really. Okay. It's the other person. That's right. Okay. Anybody else? So, we've actually submitted that. It's been approved by the state and we we actually um implementing that to make sure this doesn't happen uh moving forward. I'm satisfied. Okay. Um I'm good. Okay. Miss C. I Dr. Martin.
