Welcome. This is our call to order. I'd like to ask everyone to stand for the pledge of allegiance. And now our solicitor will do the roll call for the school board. >> Thank you very much. Mrs. Bullis, >> present. >> Mrs. Hannah, >> present. >> Mr. Kyle, >> present. >> Mr. Mr. Lamber, >> present. >> Mr. Mosscarero >> present. >> Mrs. Peterson >> present. >> Mrs. Schnore >> present. >> Mrs. Snder >> present. >> And Dr. Wetzel >> present. >> All members present. >> Thank you. It is now time uh in the agenda for residents comments. Do we have any residents here to comment on any district related items? I have skipped an agenda item. So, we're going to go back to number three. Mr. Mascara, would you read the mission? >> I'd be happy

to. Developing lifelong learners and responsible citizens for a global society is the mission of the Upper Sinclair School District. Served by a responsive, innovative staff who in partnership with the community provides learning experiences that nurture the uniqueness of each child and promotes happiness and success. Thank you. And now it is time [clears throat] in the agenda for residents comments. Is there anyone here who has any comments to make about the district? Okay, seeing none, we are now moving to item five where we will now recognize Dr. Daphnik. Dr. Roso. >> All right. Thank you, Dr. Ros or Dr. Ros. Thank you, Dr. Wetzel. >> [laughter] >> See, I got Judge Judge Klein over here has me a little rattled tonight. [laughter] Um, it's it's with great honor to recognize um Dr. Daphne Gans who has

served the district for the past eight years. Dr. Gans was unable to be with us for her last board meeting as a board member in November. And so, she was kind enough to come back tonight so that we could appropriately recognize her. And I wanted to just on behalf of the school district, administration, the board say thank you. It's been a real pleasure working with you for the past eight years. Uh we know that you won't be a stranger. Um she has served as vice president during her time president, was very active um with the parent teacher council, continues to be as well as our our district wellness uh program and the PTC wellness uh team. And so those are just highlighting a couple of the many many things that she's been attached to in

this district. um served during some real challenging times. Anyone who served on a school board throughout the pandemic knows what I mean. Uh and she was here throughout that. So, want to thank you for for everything. Um she was one of the few boarding remaining board members who was actually here when I was hired as superintendent. So, I'm forever grateful for that and uh we wish you the very best. Like I said, we know you won't be a stranger and that you won't you'll keep yourself busy, but we're very grateful for everything and congratulations and we wish you the very best in in your next chapter. And I'll turn over to the board if there's any additional comments. >> Mrs. FS, >> Dr. Again, I'd actually like to thank you because I think the the

one point that stands out as the questions that you would ask and I always value that because you know sometimes we can become complacent and questioning is the best because for me it helped reaffirm that what we are doing is right but every now and then we needed to tweak something. So, I' I'd like to thank you for challenging us, for making us better and for actually taking the time out of what you have a very busy life to commit to serve on the school board. So, thank you very much. >> Yeah, I would just like to say um you're going to be Miss Daphna. I feel like when I first joined the board, you really helped me um acclimate to becoming a board member. It was tough times. It was COVID and I was

brand new. So, I always think of you as a mentor to me on the board and um you've also been a really wonderful asset to the district with the PTO and the PTC involvement. So, um I'm grateful to you for those things and um you've left a great mark on the district. >> Dr. Gans, uh the impact you've made in this district in the very short period of time since you moved in here to where you are now is unparalleled. Uh, I think on behalf of all of us, I believe that we're all a better board because of your service. I've learned a lot. When I got on this board, you took me under your wing. Uh, you taught me how to challenge, which is really I want to agree with uh, Mrs. Bolus there.

Uh, so I I think this district and this board has been a lot better with your presence being here, and we wish you nothing but the best. >> Mrs. Peterson, >> you and I have always had interesting conversations and I I respect that. Um, I wanted to say though that it was wonderful. You stepped in when we were having a leadership void and you were willing to step up and take charge of that and that that was a very difficult thing to do and I really want to thank you for that. I second all of that. Um, I will also miss your uh thoroughess and your thoughtfulness with questions and um your preparedness. You were always prepared uh beyond expectations, especially when you were in the leadership role as president. Um, and I will miss

our little sidebar conversations because we used to sit next to each other a lot and so I will miss that a great deal. Although I have two very nice people to sit next to too, but um wish you all the luck and I'm sure we'll see a lot of you. >> Daphna, I first met you at a coffee that I hosted at my house when you were first running for school board. And I remember thinking, who is this professor from UCLA? And how did she end up in my family room in Pittsburgh? But thank God you did because you have done such a wonderful service for my kids, for all of our kids, all of our students, and you've really helped me grow as a person, and you challenged me to run for a school

board member. And I thank you for that, for challenging me, for challenging all of us. I'll miss you. So I just wanted to add um and I is anyone else have a comment before I add? Okay. So Daphna um your knowledge of school policy, you just made sure you knew things and if you didn't know something, you would not let that stand for very long. Um, that's inspirational to me. Also, you have remarkable character and integrity. Um, and I trust everything that you say and do. And I hope I hope I can be a board member for this next term and have that same kind of integrity. Um, and I also want to say for the district, you you don't make it about politics, bipartisanship, a slate that doesn't have to have a particular color.

That's been very important. And um, instead you just look at issues and students first and um, I feel very lucky and blessed to have learned how to do that with you. So I think that's your greatest gift to the to the school. Um, that's about it. >> Thank you, Dr. Gans, if you'd like to say something. I think you think you've earned the right. >> Well, thank you so much. I'm very I'm very very touched by everything that everyone said. So, um, thank you to all of you, uh, for this recognition and for your kind words. It means a lot to me. And um I really do feel honored to have served on the school district and to have this opportunity um for these two consecutive terms and a total of eight years. I think

everyone in the room knows that I said from the beginning I will serve a maximum of two terms because I believe in two uh in a term limit for um elected officials and I believe that I think actually um Mrs. ball as you mentioned I think that the the importance of challenging and really being fresh and um not complacent is very important. So having new fresh eyes um on the board is is important although of course having board members who have been here and have the institutional memory um is is invaluable as well. Um so um the the other thing is that although it doesn't always seem that way, I am humble enough to uh to know that everyone is replaceable and having Mr. Kyle replace um my sit on the board makes it very

easy um to do that. And um just as you mentioned, my time on the board uh felt very meaningful. I was here during um a time [clears throat] that we had to elect a superintendent as you said Dr. Roso which I think is the most important decision a board gets to make and we made a fantastic choice. I think um we are very lucky and I have so much respect for you Dr. Rosa both uh professionally and personally and I feel very confident that um the district is in your hands now and hopefully for many years to come. [clears throat] Um the board was also a partner in selecting your administrative team, a variety of them. Um and especially um Dr. Fender and uh we're so lucky that uh you're a deputy superintendent. Um there

couldn't have been a better choice than the two of you to lead the district with uh the help of everyone sitting in the room and other administrators who are not uh potentially here in the room. Um, so we're very fortunate to have you and I think our administration is what what sets us apart from other [clears throat] I wanted to say lesser lesser districts, but I'll say other districts is that uh I'm sure other districts have talented individuals and highly qualified individuals. But I think what sets you all apart is the fact that you are all here because you genuinely care about kids. And that student centric genuine student centric commitment not just in words but in true belief and in action is something that I think makes our district what it is. Um and

I think that it's the administration that feels this way. our our um school board sup all of you are superstar board members and do exactly what what you need to do which is being s um student first and all of our uh faculty teachers and staff I really do believe that we place the students well-being um at as top priority in addition to success and achievement um so I think that Um, obviously beyond hiring um, Dr. Roso, we also hired the first, I don't know if it's the first ever, but definitely first to our knowledge, uh, school police, armed school police, uh, headed by, um, by Chief Bryson. And what an insightful decision that was. Um, we we obviously had dealt with a lot of complex issues during pandemic, just some societal issues. water main

breaks, a lot of other obstacles, and we always remained at the top of the school boards in Pennsylvania and in the nation. But um to continue to do this, we need to continue to challenge and I think it kind of came across by by all your comments. So I think I don't have to emphasize it because I think it's it's going to stay here that um as a school board our role is to continuously ask the right questions. sometimes the hard questions and then seek together the right answers so that we can move forward and continue to be innovative and continue to lead which is what we've done so far. Um I will always be here for any help that anyone needs and the board of course I'm here forever. Um, and meanwhile, personally, I

continue to serve on other boards, um, and continue with my advocacy for excellent education and career opportunities for young adults with a focus on neurodeiverse individuals. And with um my newly found time now that I'm not here um working on a book and while I did entertain the thought of writing a tell all book titled Diaries of an Upper Sinclair school board director um I like you Jocelyn too much. So uh and we also chose you. That's another thing we did as a district and we're very lucky to have done that. Um, so I will not do that but I am working on a book so that that will will be coming soon. Um, so thank you to the community and thank you to all of you for trusting me to serve. Thank you. [applause]

[applause] Okay, that's hard to follow. Um, [clears throat] and we'll continue to move on with recognition. Um, but before we do, I do want to acknowledge we do have a resident who came here tonight to support uh Dr. Gans and the board and that's former board member uh Mr. Lumaf Free. So, just wanted to thank him for being here. He's served many years on the board and has continued to be a very strong supporter of the school district. And so, uh, the two of you have made a big difference in all of our lives in this district. It's very much appreciated. Moving on, the next item uh recognition as we do annually recognize uh our school board president and for the 2025 school year that was Dr. Wetzel. And so want to thank Dr. Wetzel

for serving as the board president for the past year. It's been a pleasure working with you. Um, I think everyone knows your attention to detail is second to none and um and it it has helped us greatly and we've had a lot of conversations and your feedback and insight is always valued and appreciated and I I hope that doesn't go away. I don't think it will go away. she will continue to serve on the board. But um there is a different job responsibility when serving as a board president and um and you did it very well and so on behalf of the board, thank you for serving as the board president for this past year and and taking time away from your family and from your job. Um and we very much appreciate it. and

we already gave her a gift, but as we do customary with all of our board presidents, even though she has her own personalized gavl from her father, we're not trying to upstage him, but um we do have we did provide you with a a gavl so that you always remember your your time as board president. So, thank you very much. Well, I certainly enjoy serving. Um, how about number seven, Solicitor Kramer. >> All right. It is the first week of December, which means all the school boards in Pennsylvania are reorganizing. This is uh an election year, so we will start with the oaths of office. After the re newly elected and reelected board members are sworn in, we will then move on to uh nominate and elect a temporary president. The temporary president will then

temporarily chair the meeting until we elect a new president for the upcoming year. And then that new president will assume the president's seat and move on to uh um open nominations for vice president. and then we'll approve our meeting dates for the upcoming year. And that'll be about it for reorganization. I'm going to turn to we have the honorable Judge Klene here to administer the oaths of office. So >> yes, I just want to um thank Judge Arie Klene who has uh been here with us many times to to swear in the new board members. Judge Klein is a is a strong supporter of our school district. his three children have gone through the district. His younger is a senior here at the high school, but uh anytime reach out to Judge Klein and ask

him if he'll be here for the board member uh to swear in the board members never hesitates. Uh he's always here for us. He's a he's a great person uh great representative of our community and I want you to know we we appreciate you being here. Um for purposes of this, do we want to maybe it's just best we have Judge Klein go to the podium and we could have the new board members um stand in front of him. Does that make sense? I know I know Judge Klein has a few things he wants to say at probably a joke or two, but [laughter] so do [laughter] >> All right. Do you want to >> No, I'm I'll start here and then I'll go to the podium. So, >> mic. Oh, okay. So, >> I

need that mic. I never used a mic. >> Okay. So again, for the few of you who I don't know, uh my name is Arie Klene. Uh my kids are 34, 31, and 18. And uh Marissa is now a senior in high school. And I hope even though she graduates, I continue to be invited. I don't want Arnon doing everything. I got to do some things. I mean, come on. I got to do some things. Um but I gotta tell you, I'm never normally nervous, but I'm a little nervous. And I'll tell you why. First of all, I don't know in what order I should go, but Dave Kyle's a neighbor of mine of four or five doors down and his beautiful wife Maren's here. You can't pick a better guy. I mean, Dave is

solid. I mean, this guy is grounded. He's smart. He's got common sense. He's going to be a very, very great addition to this board. And I mean that, Dave. And I He golfs way too much. I don't know how Maren lets him get away with it. But so then I have Dave. Then I have Kelly Hannah. I think the first time Kelly was sworn in, I wasn't here. Um Kelly, our kids are the same age, the older kids. So Kelly and I go back like 30 30 years, more than 30 years. >> Yeah. And so it's great to see you. And Mike, Mike's daughter and my daughter are best friends. In fact, there was a sleepover at your house the other night. I don't know if you knew about it or not. I heard your

wife's still mad about it a little bit, but [laughter] they're >> me a little bit. >> They're great friends and uh the school district's wonderful. My two boys, my oldest kind of thought about Virginia Tech from the get-go and my second boy played baseball, Renelier, RPI, so he didn't really make any choices. So, it's been very interesting with my daughter in the college going to visits and that and how highly acclaimed Upper St. Clair High School is and uh it it's a everybody I mean there's so many compliments going around tonight. It's like Kumbaya. I mean, [laughter] I want to tell Mr. Kyle though it's not always going to be this complimentary. So, you better figure that out right now. But anyway, I'll get down to the business. And uh I got four people on

the swear in. >> All right. So, can I have the four of you please stand? You want them here or they could stay there? >> Come on over. >> I want our non to see this. Come on. [laughter] >> Now, I've I swear in a lot of people, and I got to tell you, where's the chief? >> All right. I swear in a lot of people, but the police officer sometimes they screw this up. They I don't know what it is. I don't know what it is, but it's real easy. You're going to put your right hand up and I'm going to say the word I. And you're going to say I in your name. Okay? I in your name. And then I'll say a few more words and you'll repeat after me on the

other few words. You're ready? I >> do solemnly swear or affirm >> swear or affirm >> that I will support, obey, and defend >> I will support, obey, and defend >> the Constitution of the United States. Constitution of the United States >> and the Constitution of this Commonwealth. >> The Constitution of this Commonwealth >> and that I will discharge the duties >> of my office >> with fidelity. >> Congratulations. [applause] >> [applause] >> In the interest of time, we're going to keep going. Um, at at this point we're at agenda item nine and the first order of business is to elect a temporary president to chair the organization meeting. May I have nominations for a temporary president? Mrs. Peterson, >> I would like to nominate Barbara Bolas. >> Thank you. Are there any further nominations?

Seeing none, and if there is no objection, I will declare the nominations closed. And Mrs. Schnore, could you please read the motion? >> Yes. I move that um Mrs. Barbara Bullis be elected as temporary president of this meeting. >> Okay. And it looks like we need to go by name. >> Yeah. >> You could just do a voice vote. >> Oh, sorry. Um >> do I have a second? >> Thank you. It's been moved and seconded. Any comments, questions? Seeing none, all those in favor, please say, "I >> I." >> Thank you. And now our temporary school board president, Mrs. Bolas will take over. >> Thank you. The floor is open for nominations for president of the board of school directors. Are there any nominations? >> Yes. I'd like to nominate Mr. Mascaro. >> Thank

you. Are there any other nominations? Then Miss Norah, since you nominated Mr. Mascara, would you please read the motion? >> Yes. I move that the nominations be closed and the secretary be instructed to cast Oh, no. No. >> Am I reading the correct one? >> Mhm. Yes. >> Okay. Apologies. Let's try that again. I move that the nominations be closed and the secretary be instructed to cast a unanimous ballot for the election of Mr. Mascaro as president of the board of school directors. >> Thank you. All those in favor of Mr. Mascaro is president of the school board. Please signify by saying I. >> I. >> Okay. Thank you. My job is finished. >> Okay. Election of vice president. The floor is open for nominations for vice president of the board of school directors. >>

I would like to nominate Hi Snider. >> There being any other nominations. >> So no second is required. Mr. Lambert, would you please read the motion? >> Sure. I move that the nominations be closed. That's not it. >> Yeah, it is. Yes. >> I move that the nomination be closed and the secretary be instructed to cast a unanimous ballot for the election of Mrs. Snder as vice president of the board of school directors. >> All in favor? >> I get a second for that one. >> Okay. >> Second, >> M. Short. >> I second. >> All right. All in favor now >> I I >> I >> Okay, motion carries. Congratulations. [applause] >> Let's close up. Uh Dr. Razo, >> board meeting dates. >> Yes, thank you and congratulations to both of you. Um, and

congratulations to all of our reelected and newly elected board members. As I as I often say, we are so fortunate here. We have such a great school board and that that does make a difference. So, thank you all. Um for our board dates as we do as we presented last month, excuse me. Um the dates proposed dates for 2026 schoolboard meetings. Uh we did not receive uh any feedback for change and so therefore we are presenting for your approval uh the dates for our 2026 board meeting dates. Uh board meetings um as as we have noted certainly we can add meetings at any time and change meetings with sufficient notice. We typically do try to stick to the schedule that is approved and so we are presenting these dates for your approval tonight. I I

Yeah, I can't see. So, I'd blow this up real quick. I move that the board approve the 2026 board meeting dates as listed below. >> Second. All in favor? I >> I. >> Any nays? >> Okay. And we uh just a reminder, the board reorganization meeting will be held on December 2nd, 2026 in the district administration office. >> Uh no meetings will regular meetings will be scheduled for the month of July. Committee meetings and special meetings may be called as needed in regular meetings dates do not may be modified throughout the calendar year subject to requisite notice and or advertisements. The board secretary is authorized to advertise and schedule the 2026 regular board meetings as set forth above and to include in the advertisements that all such meetings the board may vote on all matters

of general purpose coming from the board. Make a move for an adjournment. So moved. >> Okay. Good evening. Like to call to order the official Upper St. Clair school board meeting for Monday, December 1st, 2025. Uh as per the agenda, are there any comments from residents? And we'll move along to number three, which is the approval of the minutes. Uh, go ahead. Mrs. Bis, would you like to make a motion, please? >> Yes. I move that the board approve the meeting minutes of the November 3rd, 2025 board meeting as attached. >> Miss Snder. >> Second. >> All in favor? >> I. >> Any naysay? >> Motion passes. >> Next up, Dr. Rosary, superintendent report. >> All right. Uh, thank you, Mr. Mscow. Um 4A is going to be the presentation of our annual audit. Um

and Mr. Burchil will be participating remotely along with Miss Lewis from our doozle. So at this time I um the presentation's on the screen. Uh you also have it attached to your agendas, but uh Mr. Burchil, I will turn this agenda item over to you at this point. >> Okay. Thank you. Sorry I'm joining remotely, but uh we had a very we had a positive year. Uh our audit went smoothly and uh we had a slight increase to our fund balance uh on the general fund and in the cafeteria fund. Um hey Ray, Amy's waiting to get in. Are you able to let her in? She says the host is waiting to let her in. Sorry to throw a curveball at you there. Um Amy's going to be on here to present. Uh but like

I said, the audit went smoothly. Uh we will be filing the financials with the state and then also they will be posted for um the federal clearing house and um hopefully we can get Amy on here. Okay, there she is. >> Hello. Can you hear me? >> Yes. >> Okay, perfect. Um good evening everyone. Um, I'm happy to be here or in air quotes be here to present the results of the audit. Um, I appreciate you allowing me to do this virtually. I am currently uh sitting at a service plaza at the turnpike. So, um, making a crossstate trip um, home from my family this weekend. Um, but I'm I'm glad that I'm able to present the results. Um, you know, good news to report tonight um, as always. So I think uh Rey is

going to go through the slides. So we'll work on this piggybacking this back and forth together. So thank you very much. Um just a reminder um something that I always start every conversation with every year. So those of you have have heard this presentation before, this should sound very familiar to you, but it's important that I reiterate this information um you know as part of the audit process. Uh so there are certain things we're required to communicate with you as part of the audit. Um and so most importantly is just to remind you that our responsibilities are you know to conduct the audit in accordance with US generally accepted auditing standards. Uh we also have to follow government auditing standards and the uniform guidance and all of these standards prescribe the procedures and tests that

we have to perform in order to be able to render an opinion on your financial statements. And so there's a variety of things we do covering uh you know your policies and procedures and how that plays into uh the financial reporting um and then as well as procedures that we perform on the actual accounts and balances themselves. So it is a pretty comprehensive amount of testing that we do. Uh we do ask to look at a lot of different documentation. Uh we do look a lot of samples of transactions. um you know really to understand your processes um and then of course you know obtaining supporting information so that we can uh verify the information that's provided to us you know for that's presented in your financial statements. Uh we do all of these procedures

and then work uh with management to draft the report uh making sure that the report contains all of the information that you're required to disclose as part of the accounting standards that you're subject to the government accounting standards. Um and so we work through that process to make sure that ultimately we can render opin an opinion that the financial statements are fairly presented in all material respects. So I say in all material respects uh just to remind you that we don't look at every last uh account. We don't look at every transaction that the uh business office processes but we certainly cover enough information that we're able to provide you with the opinion. And that's really the highest level of assurance you can get in in the course of an audit. So you know all

all you know what you what you would expect to receive um through the audit process. The financial statements are the property of the school district management is responsible for making sure that they too agree that the information is fairly presented and that they provide us with all the information that is relevant um in order to conduct the audit. So certainly, you know, management has to sign off on that and, you know, really be able to to provide us the information that we we request. Um, so, you know, we certainly do work on the drafting together. Um, but, you know, ultimately at the end of the day, uh, the school district has to make sure that they are they take ownership of the information. As far as um any accounting changes that occurred during the year,

uh there were two uh um standards that were effective for governments for June 30, 2025. One related to compensated absences, your vacation and sick days, and then another one just related to certain disclosures. Um neither one really had a significant impact to your financial statements. uh the compensated absences because of the way that you were already accounting for your sick and vacation, the changes that came as a result of the new standard really had a very minimal impact to to your accounting and disclosures. So, uh you know, a big discussion that we had about it, but nothing that actually really changed your financial statements. So, that's good that you don't have to worry about any new disclosures. And then the other standard that became effective this year um is really just you know if you

have those certain types of transactions it was guidance for how to disclose those transactions and there wasn't anything that the school district had that fell into that new standard. So for this year um that particular standard was not um effective for you. You didn't have to do anything for it. But certainly we'll keep in mind in future years to make sure if you do end up having to disclose something that that would get added to your financial statements and then otherwise nothing else that you changed as far as um how you were accounting for anything. Uh as far as the financial statements go we believe the disclosures are neutral, consistent and clear. Um we had no difficulties in performing and completing the audit. We are here right on time. Um able to present to you

the financial statements. Uh you know we were able like I said before we were able to conduct all of our procedures uh to our satisfaction. We were able to get all the information that we asked for. Um you know we appreciate all the time that um Scott and Katrina spend you know on and everybody else in the business office spends in getting information together for the audit. We know it's a big lift um to have everything ready. Uh so we do appreciate all of their efforts um to be able to be here today. Uh no material audit adjustments were proposed. So that's good news. That says that you know you are keeping track of the information in your financials throughout the year. So when we come to do the audit um there's nothing that we

have to come in and you know really correct um because you're not doing it correctly. Um there are things that get um adjusted, you know, as part of the the close out process at the end of the year, but that's all normal as you know, the final information comes through uh you know, after year end um just making sure that you're recording it on the right year end. But that's all stuff that management um is is monitoring and making sure that they're capturing um appropriately. So nothing where we had to come in and you know make any uh significant corrections to your financial statements. So that's really good news as well. Um also uh we um conduct u an audit of compliance um an internal control over compliance as it relates to federal programs um

money that you get through the the PTE. Um we do not have any findings that we are reporting as it relates to that testing that we did. Um and also too we do not have any management letter comments that we are reporting this this year either. So um you know again good news, good testament that uh your systems in place are are working um and and effectively and um you know nothing really that we have as recommendations for you uh for improvements or places where we see weaknesses. So again all really good news. I'll touch on some quick financial highlights um recognizing you know that these numbers are a couple of months old um but just you know just to again remind you what was going on in these particular financial statements. This slide here

is a summary of each of your your funds. Um so it just gives you the total assets, total liabilities, total fund balance, revenues, expenditures, um other financing sources and uses, and then the change in fund balance for each of the funds. So your general fund really had a pretty nominal um change in fund balance this year um of the 831,000. the capital reserve fund um had a slight change in in fund balance of just about 90,000. Uh the biggest thing you know there was some capital expenditures there and um a transfer from the general fund that's reflected um in those uh those are the big numbers in that column that's really showing you the activity um related to that fund. The construction fund um as you know is really capturing all the bond issues uh

the money that you have for for certain capital projects. So you'll see you know money coming in through bond issuances and then the spending of that as you are completing those capital projects and then the cafeteria fund um had a a slight change in fund balance of about $111,000 this year. So really just a quick snapshot there. you can go to the next slide. So this slide just gives you a breakdown of the fund balance of the general fund. So this is a snapshot as of June 30 of what you have in fund balance. Um there is uh a couple of categories where you have assigned fund balance. That is your um option to do that where you have identified future costs that you want to have the fund balance assigned to. So those are

things like security costs, post-employment benefits, and then capital projects that you've identified um you will need to spend that those funds for in future years. Uh the light blue uh pie piece of pie is your unassigned fund balance. So that's about $7.2 million. It represents just shy of your of 7% of your total expenditures, which is really, you know, pretty consistent with the level you've been at. and you know consistent with where we would expect to see that particular type of fund balance at. So that's the the fund balance that you you haven't otherwise assigned or that nobody has restricted um how you can spend that money. So that's you know what what you have available as far as revenues. This uh chart just really breaks it up into very you know very high level

categories um but just shows you a picture of the numbers uh in blue are the are this year's budget versus the orange which is this year's actuals and then the gray represents the prior year the 2024 numbers. Um the only thing really to point out is you know the property tax there was a millage increase. So you'll see that the orange um column is a little bit higher than the gray column to reflect that. Um and then the intergovernmental grants, you had a slight increase in total in intergovernmental grants. Really just a variety of different grants that the the uh funding level was slightly above where it was in 2024. So that just shows, you know, just a little bit of that uptick from 2024. All other categories are really pretty consistent year-over-year. and and

to budget. Same thing but for the expenditures and again really really high level here. So nothing to point out in particular um at this level. Certainly uh your financial statements does present a budget to actual schedule that's broken down in a little bit more detail in the expenditures and obviously I know you all are looking at that in even more detail throughout the year. So nothing you know really to call to your attention. Again, I just want to point out that the general fund doesn't really reflect the capital outlay expenditures. That's all recorded in your construction fund and your capital reserve fund. Um so that's why that particular um category is pretty small. If you're thinking like, well, we had a lot of construction going on, you know, where is that? It's it's because that's

recorded in that separate fund because that's where that funding is is um running through. So that's why that that particular section looks so small here. I always point out the um debt service requirements uh for school districts just because it is a a significant amount of um your payments throughout the year. Uh you did issue the new debt this year to refund old debt. Um so uh 22 million came on but then it refunded approximately $18 million um in old debt. Uh so the this just shows you you know what your payments are that you're required to make every year over the next uh several years until these bond issues are paid off. So you know basically about a $9.3 million requirement each year um unless or until you issue new debt um in the

future. Uh I always mention the pasers just because again it's a big number that flows through your financial statements. Uh you have to record your proportionate share of the peaser's uh pension and um other post-employment benefit liability. Um the proportionate share is uh calculated based more or less on your payroll versus the payroll of everybody that's in the Pasers plan. Um and so you know that calculates out to the 28%. So you take that piece of that liability and then you have to reflect that as part of your own numbers. Um so it goes on as a big liability for you but it does not change how you have to come up with the funding for this that you still just make your required Pasers payments every year as Pasers requires for the employee and

the employers to contribute. um they set those rates, you know, each year based on the back actual v actual valuation that they um have performed um and then they let you know that. So, um you just are required to make those payments, but you're not required to otherwise fund this liability. But, however, you do have to um report that liability. Also, you do get a share of state subsidy to help offset some of um the payments that you have to make to pasers. So uh so that is all explained in the footnotes. Um but you know the the the the liability that you share uh gets recorded on your balance sheet. Um the only other thing I want to mention just really quickly is just looking in the future. Um two new accounting standards that

are coming um up in a in the next couple of years. One is related to financial reporting. it. Uh the the Gazsby, the government accounting standards board has, you know, taken a look at financial statements and are, you know, trying to um streamline some of the information and just make things a little bit more clear um for some of the disclosures. And so, one of the main places where you're going to see changes over the next couple of years is in the management discussion and analysis section, which is in the front part of the um financial statements. That's really the narrative piece that accompanies the rest of the schedules. Um, it's just going to ask for, you know, different some different information included in there. Really focusing a lot more on the narrative of what

happened during the year. Um, and just, you know, trying to get a little bit more descriptions in there, uh, is really their goal there. Um, and then there's just a couple other things that they're requiring uh to to change disclosures throughout the rest of the financial statements just in in the interest of making uh financial statements uh more clear and and easier to find the information that you're looking for. Then there's another um standard coming out that just um changes some of the disclosures that you have for certain capital assets. So again, it will just really change how your footnotes look more or less. um not really anything about how anything gets accounted. Uh it's just really more about making the footnotes easier to follow and understand the different types of assets that you might

be might own um as as a school district. Uh with that, you know, like I said, really no issues with the audit. Everything went, you know, pretty smoothly. Um and so I can take questions at this time. Thank you, Mrs. Lewis. I appreciate you uh being able to call in on the road and while you're going to visit your family, uh drive safely if the hopefully the weather doesn't hit until you get to your destination. >> Thank you. I'm I'm hoping the same, but I think I'm I'm clear. >> Well, that's good. Uh Mr. Schnore, would you like to make a motion, please? I would I move that the board approve the annual audit for the year ending June 30th, 2025. >> And I second that motion. >> Any comments, questions? I do want to

congratulate Mr. Burch on another successful year on a good successful audit. >> Uh all in favor? >> Any naysay? >> Motion carries. >> Dr. Razo, school board. >> All right. >> Thank you. Yes, [clears throat] we have listed here are all the school board committees with their current um representative and alternate. We're listing this for your review since we have had some change in board. We will go through these in January. But if there is anyone as we do each December who is interested in remaining or joining a committee as either the representative or an alternate, please let um myself, Mr. Mascaro. No. And we will have uh that discussion and finalization of the committees in January. There will be two that we have to vote on tonight and those are later in the agenda

and I'll I'll explain why when we get to those. >> Want to keep rolling? >> I will. Uh item C. Um I'm glad to present this item. It is a recommendation for renewal of our chief of school police, Chief Bryson, who was just in the room here. Um but uh we are presenting for your recommend or recommending for your approval a contract renewal of Chief Bryson for the next 5 years. Um I think goes without saying he has been an invaluable asset to this school district, this community. Truly is one of the hardest working people I know. Um and you can't measure how much he cares about uh this place. um he goes above and beyond in everything he does and uh and we're so very fortunate to have him here uh protecting our school

district and and our children. So I I very proudly uh recommend this this um approval or this contract renewal for Chief Bryson to the board. >> Absolutely. I would agree. Mrs. Hannah, >> I am honored to make this motion. Sir, I move that the board approve the renewal of the Chief of School Police contract effective January 1st, 2026 through June 30th, 2031. >> I second. >> Any comments? All in favor? >> I. >> Any nays? >> Didn't think so. Congratulations, Chief. >> Uh, moving on to Dr. Razo again with Parkway West. >> Yes. So, as I had mentioned earlier, um two of our board committees, uh Parkway being one of them does require us to have a vote on it. Um and at this time, we um would be asking, uh Mrs. McDonald will fill

in the names of the individuals. Our current representative is Mrs. Peterson. Alternate has has been Mr. Mascaro. They have um both done an excellent job um excuse [clears throat] me, representing the district's needs with relative to Parkway. And so I would recommend they continue uh unless there is any other interest from the board. >> No, I would agree. Mrs. Peterson does a magnificent job with Parkway. Uh love love to hope to continue to see you there as our representative. Mrs. Wat, Dr. Watzel, excuse me. Would you like to make a motion? I move that the board approve the appointment of Parkway West Career and Technology Center representative and alternate for a term of 2026 to 2029. >> Mrs. Hannah, >> I second. >> Any comments? All in favor? >> I. >> Any nays? Motion passes.

>> Thank you very much. Appreciate that. >> Thank you. >> Okay, I'll keep rolling. Item E is the uh other committee that we do need to vote on. Um, and I should have mentioned Parkway requires an annual vote. Um, Pathfinder is every three years and we are due for backwards, I'm sorry. Parkway's three, Pathfinders. Um, I'm all mixed up tonight. I'm referring calling Dr. Wetszel, Dr. Roso. I It's Judge Klein. See what he brings up. Um, but for Pathfinder, our current um representative [clears throat] is Mrs. Schneder and our alternates have been Dr. Wetzel and Mrs. Peterson. and I will open it since uh Mr. Schneider is now the vice president. Um and we do also have an opening for our parent teacher council representative um with Dr. Gans's uh term expiring with the board.

And so Mr. Schneider, I'll turn it to you for comment. >> Sure. So Dr. Wetszel will now be the board representative at Pathfinder and I will be an alternate and I am going to take on responsibility for the PTC for Dr. Gans and Mrs. Schnore will be the alternate. >> Okay, Mr. Kyle, congratulations. Your first nomine or first motion. >> Here we go. Uh, I move that the board approve the appointment of Pathfinder representative and alternate for a term of one year 2026. >> I second. >> Questions, comments? All in favor? >> I. >> Nays. >> Motion carries. >> Okay. Uh, item F. I'm recommending for the board's approval, updated fee agreement with our solicitor, Weiss Burkhard Kramer. The last time this agreement was updated was two years ago. The updated fee agreement is for

a $10 an hour increase um which is very reasonable and uh our rates are very fair with regard to the market and uh we we do have excellent legal services here. So I u strongly recommend the approval of this fee agreement. >> Mr. Lambert. >> I move that the board approve an updated fee agreement with the solicitor Weiss Burkart Kramer LLC on terms and conditions approved by the superintendent. >> Mr. Kyle second. >> Second. >> All in favor? >> Any nays? >> Motion pass. >> All right, we'll move on to administrator's report. Uh staffing resolution. Dr. Fender. Um this is an approval of a staffing resolution um that Dr. Anler and I do not take lightly. Um but we are at a place based off of an evaluation of ongoing student needs at Streams Elementary

that we need to request an increase in a paraprofessional. Um and this will be funded through access reimbursement. So at this point not an impact the district budget and Dr. Andler will continue to evaluate this as we go through student enrollment and needs um through the remainder of this year and next year as well. >> Okay, Mrs. Peterson. >> I move that the board approve staffing resolution 2025-25 as presented. >> Second. >> All in favor? I. >> Any naysay? Motion passes. >> Dr. Roso and Dr. Fender. >> Yes. Uh Mrs. Mack is was unable to be with us tonight. So, I will present the personnel listing. Uh within the personnel listing, we do have a few retirements and a few um recommendations for hire. In terms of the secretarial positions, we have um at the

high school in the front office, Mrs. Dawson, who has been the principal secretary for many years, will be retiring on December 8th. And then we have Mrs. Dunn who also works in the front office is retiring on January 12th. And so I am glad to say though we have Miss Lisa Hendris recommended as the candidate for Mrs. Dawson. She has worked in the assistant principal's office for many years now and has just been tremendous. And then Mrs. Rigger who has been a pair professional at Eisenhower Elementary um as the recommended candidate to replace Mrs. Don in her retirement. So we're very fortunate. We've had some excellent internal candidates. However, that does create a snowball and we will have several paraprofessional positions. We will actually be advertising for four vacant uh paraprofessional positions. And so, um

we'll continue to do our due diligence. Our hiring team has been very aggressive um with meeting timelines, but we are confident in these two individuals. Also, within the personnel listening, I do want to note um that I'm um honored to be recommending a the principal of Boyce Middle School position to Mr. Tom Kaminsky. Uh Mr. Kaminsky was a teacher. Uh started his career in 2005 in Upper Sinclair at Fort Couch Middle School, worked here through 2011 and he has since been at South FET school district where he was initially an assistant middle school principal and then for the past 11 years he has been principal of their intermediate school in their 345 building. And so we are excited went through the process that we are recommending uh Mr. Kaminsky for the boy principal. Uh as

we have previously communicated to Boyce families um that Dr. Aor will continue um at Boyce with Mr. Kaminsky once his start date is determined to ensure a very smooth uh transition. Dr. Aor will then be transitioning to central office team and his role supervisor middle level education um with our continued expansion of our organizational structure to be presented this spring. Um but in the meantime uh Mr. Kaminsky will work side by side with Dr. Dr. Dr. Miss Smelly at at Boyce and if approved we will send the communication out to families tonight and letting them know that once a date start date has been finalized um there will be ample opportunities to meet ample opportunity to meet Mr. Kaminsky uh and while provide more specifics about his transition and so we uh confidently the administration

confidently recommends uh Mr. Tom Kaminsky as our next voice principal. Miss Snder, would you like to make the motion, please? >> I move that the board approve the personnel listing as presented subject to all required pre-employment history reviews and clearance requirements. >> Mrs. Peterson, would you like to second? >> Second the motion. Thank you. >> Sorry, I didn't know. I forgot we're short on micro. Did Arie steal the other one? >> All right. [laughter] All in favor? >> Any nays? >> Mr. Mr. Kamitzy, congratulations. Motion passes. Welcome back. [applause] >> Mrs. F, Dr. Fender, sorry. >> Sure. Um, in February of 2025, the board approved a agreement for student teaching through Slippery Rock, and we are now requesting an addendum to that agreement to add interns um to that agreement as well. Mr. Bos. >>

Yes. I move that the board approve the addendum with Slippery Rock University for internships for a term of five years subject to final terms and conditions acceptable to the superintendent and solicitor. >> I second >> comments. All right. All in favor? >> Any nays? >> Motion passes. Uh Dr. offender. >> Um, staying with a old board goal of maintaining our board policy manual, I am presenting to you this evening a first reading of the policies listed on the agenda. Um, they are redlined for your reference in terms of the changes. Um, as a highle overview, 102 academic standards are just clarification on um, current standards and grade spans. 105 curriculum is also updated revision um regarding special instruction and mandatory observances under the PA school code. 105.2 2 is exemption from ex instruction. And this

includes updates to address recent court actions regarding parental rights and exemptions um from instruction and regarding um dissection activities and the district's obligation to notify students and parents of their right to decline participation in this activity. 122 extracurricular is a revision and that feeds into um 122.1 because and 122 in terms of 122.1 being a new policy for non-school sponsored student groups and 122.1 was addressed um for student groups that fall outside of the school sponsored extracurricular activities realm. Uh 123 intercolastic activities are updates regarding PIA bylaws and name, image and likeness. 209.2 diabetes management is regarding the notification requirement um around this policy and that did occur already this year. Uh confidential communication of students was updated for clarity and now includes a definition of confidential school personnel. 218.1 weapons um is also an

update and revision and this um gives updates to the definition of weapons and out of act 44 of 2025 regarding notification requirements which will be a change for the district upcoming um once this policy is approved and 320 freedom of speech is also an update for clarity the title of the policy has been changed from freedom of speech in non-school settings to freedom of speech by employees in detail was added to the rights of school employees. In 827, conflict of interest, updates were made to this policy, including the definition for conflict of interest regarding federal requirements. And once again, this is a first reading and if you have any questions or require further clarification, please let myself or solicitor Kramer know. And we will then present these for a second reading and approval absent any

substantive changes at the January board meeting. Okay, you can keep going, Dr. Founder. Good. >> And as the semi director of all performing arts items here in the district, I am requesting approval of agreement with MTI for the Boyce Spring Musical. And this will um be at a cost not to exceed $3,000. >> Mr. Snore. >> Yes. I move that the board approve the agreement with Music Theater International for the Boyce Spring Musical for licensing agreement at a total cost not to exceed $3,000 at terms and conditions acceptable to the superintendent and solicitor. >> I second the motion. >> Any comments, questions? >> I see none. Uh all in favor? >> I. >> Any nays? Motion carries. >> Uh Dr. Fender, you're still up. I'm requesting approval of agreement with Renaissance Learning on behalf of

the elementary um building leaders and curriculum leaders. And this is to engage an agreement with Renaissance for professional development um to not exceed over $3,19. Um funds through this will be through title two and this allows us to begin some professional development um looking at a different assessment tool at the elementary level and that will be part of a curriculum recommendation that will be presented to you as well in January. >> Okay. Uh let's see here. Mrs. Hannah, would you please make the motion? I move that the board approve the agreement with Renaissance for professional development in the total amount not to exceed $3,19 subject to final terms and conditions acceptable to the superintendent and solicitor. >> I second. >> No comments or questions. [clears throat] All right. Uh all in favor? I >> Any

nays? >> Motion carries. >> Dr. Media, you're up. Good evening. U Maximum Healthcare Services is one of the um contracted services that we use to provide nursing services for students who require them per their IEPs. Um this is just an updated fee structure based on an existing agreement. I move that the board approve the agreement amendment with Maxim Healthc Care Services for student nursing services for the 2025 2026 school year at rates listed on the agreement subject to final terms and conditions acceptable to the superintendent and solicitor. >> Miss Hannah I second. >> Okay. Thank you. Uh all in favor? >> Any nays? Motion carries. Keep it going, Dr. Media. >> All right. So, this is a new one. Um, we were made aware of a grant opportunity through New York Life Foundation's grief sensitive

schools initiative that provides a one-time grant to each uh participating school in the amount of $500 for a total of $3,000. These funds can be used for um any efforts that support students who um may be experiencing grief and loss. Uh we do intend to provide some professional development in this area um in in an upcoming February professional development day as well. >> Mr. Kai, would you like to read a motion, please? >> Sure. I move that the board approve the acceptance of funds in the amount of $500 per school for a total amount of 3,000 and participation in the New York Life Foundation's grief sensitive schools initiative subject to final terms and conditions acceptable to the superintendent and solicitor. >> Second. >> Okay. Uh all in favor >> I >> any nays? Okay. Motion

passes. >> I just want to thank thank Dr. Romania for looking into that for the district. I know we have so many families currently experiencing grief and it's so important to keep our staff trained and supporting our families. So, thank you. >> Moving on to Mr. Schneider. The floor is yours, sir. >> All right. Thank you. Good evening, everyone. This evening, the administration is requesting for your approval the renewal of the maintenance agreement with common sales and services to perform preventive maintenance to all eight generators uh throughout the district. That includes six school buildings and the district administration building. This contract is a three-year contract um at a cost of $7,747.74 per year. Thank you. I move that the board approve the renewal maintenance agreement with Cummins for a term of three years at an

annual cost of $7,747.74 subject to final terms and conditions acceptable to the superintendent and solicitor. >> Mr. Kyle. >> All right. All in favor? >> I. >> Any nays? All right. Motion passes. >> And lastly, we going back to Mr. Burchil. You still with us, sir? >> I I am. Um, >> so we have the financial summary uh for the period ended October 31st, 2025. Uh, nothing major of note. I did want to bring to your attention that expenses are slight slightly higher than last year, which uh salaries and benefits of course increase between years. And then we also are buying our way out of the technology leases. So uh for Mr. Kyle this year's budget, we have the full uh cost of the technology uh replacement device costs in the budget, but we also

have some leases that were for the last several years. So once we each year a little a lease will fall off and uh that deficit will decrease. Um, also due to the state budget impass, uh, state revenue is down 30% from last year, but most of that state revenue is flowing in uh before right before and right after Thanksgiving. But there was interest income that was lost uh due to the budget impass and the state not sending funding in a timely manner. So at our January meeting, I'm going to estimate that uh that loss in investment income. Food service uh nothing of note that's there for your review. Uh capital reserve fund um there for your review. construction. If you remember, this fund is projected, this money is projected to get us through the next

construction or project uh season, which would be towards the, you know, through the summer of 26 and maybe into the fall a little bit to finish up the projects. Budget transfers in the amount of $250,71657 are presented for your approval. And the bill list is included in the supplemental financial report report for your review and approval. Any questions? >> Thank you, Mr. Burchil. Uh, Mrs. Peterson, would you like to make a motion? >> Yes. I move that the board approve the treasures report including approval of a depository total bill list and check file listing as attached and as follows. Fund 10, general fund, 2,320,43841. Fund 39, construction fund, $292,18152. Fund 51, food service, $132,2863. >> A second. [snorts] Any comments? All right. For all those in favor? >> I. Any nays? >> Motion passes. Mr.

Burchil, you're up again. >> I am. So, I'm asking the board to declare the marching band trailer. It's a 28ft trailer that was replaced prior to the football season. Uh declare it uh unused and unnecessary and [clears throat] we will um dispose of it according to the board policy 30006. Any questions? >> Okay. Would you like to make a motion, Miss Snder? I move that the board declare the attached listed equipment surplus obsolete and be authorized to sell, exchange, dispose, or donate in accordance with the provisions in board policy 706-1 sale or disposal of sale surplus property, equipment, supplies, and textbooks. >> I second I second the motion. Without any comments, questions, we'll go to a vote. All in favor? >> I. >> Any nays? >> Motion passes. Dr. or Mr. Burchil, I think you

have one more. Uh I do and I'll I'll uh defer to solicitor Kramer here in a second, but uh due to the length of time between this meeting and our meeting in January and we do the same thing in the summer from from June to August, we ask that the board approve uh authorize normal customary and regular payments for salaries, benefits, and other expenses. and also the superintendent to enter into any time sensitive agreement agreements between now and our scheduled meeting on January 12th. Uh, Solicer Kramer, do you have any comments? >> No comments. This is just the annual um annual motion that we do every year over the holidays to keep things going. >> Okay. Thank you. Any questions? >> Mrs. Bis, would you like to read a motion, please? >> Certainly. I move

that the board authorize the normal customary and regular payments of salaries, benefits, and other expenses and authorize the superintendent to enter into time-sensitive agreements between December 1st, 2025 through January 12th, 2026 to be considered for approvalification at the January 12th, 2026 schoolboard meeting. >> I second. >> All right. All in favor? I. >> Any naysay? Motion passes. Uh, our last voting motion is the holiday resolution and I am going to ask Mrs. Schnore to read it because it will sound much more pleasant from coming from you than it will for me. >> I was just thinking I get to read the fun one tonight and six years on the board, I don't think I've ever had a chance. So, it's my big moment. I move that the board adopt the following resolution. Be it resolved

that the board of school directors of Upper St. Claire wishes everyone an enjoyable holiday season as you observe your observe your celebrations and traditions at this special time of the year. May good fortune and warm memories surround you and your loved ones and may each of you have a very healthy and happy new year. >> I will second that. >> Six years was worth it. It almost sound like a Hallmark card. Thank you. >> I've been practicing for six years. [laughter] >> So all in favor? >> There better not be any nice doll humbug. Let's go. Committee reports. Does anyone uh committee member chairs have any reports they'd like to distribute? Mrs. Hannah, would you like to start? >> Sure. >> So, I attended the uh SHASTA, the South Hills Area School District Association um

meeting. It was held here. We hosted it. Um we had solicitor Kramer as our speaker and the um she she talked about the actual name of the presentations was voices online, social media, AI images and the boundaries of free expression. Uh which basically was about the first amendment basic rights in schools as it pertains to students and employees. Um the it was a very interesting presentation. and she put her heart and soul into it. And I have a copy of I made it into a little brochure for you in case you wanted to share. Um but it was um basically about um the evolution of communication in terms of free speech um with the evolution of social media. Now we have AI and the responsibilities that the courts have to impose um whether or not

the responsibility is held at the school district level or if it's held with the employee or the student. So, it was um extremely eye opening um and the courts have a really tough job to decipher whether or not um a school district has the um autonomy to um make some kind of uh decision. Um I did learn that it a decision can be made if it substantially disrupts the educational environment. So for instance, if we had to miss a school day based upon something that somebody did, that could cause um a disruption. That person would have some liability. So um thank you for putting all that energy into it and for sharing that with the group. It was very very eye opening. >> Thank you, Mrs. Hanner. I appreciate it. Thanks for serving. >> Mrs.

Bullis. >> Yes. Just a quick reminder from PSBA that on December 5th at noon, there's going to be um uh legal developments reporting on the what the Supreme Court is going to be looking at this year in regards to Title 9 and equal protection arenas. And that's one CL credit for those attorneys that wish to attend. There's going to be a free AI symposium on December 11th and it's going to look at the implementation area era and it provides a roadmap for AI integration into the classroom and it's provided insights from the industry leaders who are guiding implementations with purpose and care. There's also on January 20th there's going to be a presentation on preventing school violence, improving physical security to protect the K12 community. All of these are available through my PSBA should anybody

wish to register and attend. >> Any other committee reports? >> Okay. Uh recognition of gifts to school. M Mr. Burchil. Dr. Rosa, would you like to introduce that at all? >> Uh sure. So, annually we li we list the uh gifts to the school district. Um Don compiles them, the schools report them to her. We also list all the scholarships and awards that were uh given out last school year. The main thing to take away is our PTO's do such a nice job uh supporting our students and the indivi the elementary schools. Uh you know, you can see in total uh they're just short of uh contributing $70,000 last year to the upper Slair School District. So, uh, kudos to them. We appreciate all their support. Uh, Dr. Ros, I don't know if you have

any comments. >> No. Uh, I think you captured it very well. Um, we're grateful for everyone who donates to our students in our district, but our our parent teacher groups truly are in a league of their own. So, very grateful. Thank you. >> Okay. Uh for a wrap up, uh executive session was held for legal matters and personnel today at 6:00 p.m. December 1st, 2025. Uh thank you Mr. Barat and your team for making sure we connect everybody to the meeting. Thank you administration for the hard work, continued success. I look forward for serving as your president for the next year. And does anyone make a motion to adjurnn? >> So move.
