Good evening. It is 6 pm. Uh glad everybody made it out safely. We are going to call this meeting to order and we will start with prayer. Um Miss Clifton, um please bow your heads. Heavenly Father, thank you so much for this wonderful day. Thank you for allowing us the ability to um make huge decisions for the future of our children and the community that we live in. um please guide us and the direction where everybody benefits and everybody can see the bigger picture that it is all about the kids and one Millington and everybody pushing in the same direction. Um be with us in the next couple of days as we navigate through this ice and snow and just keep everybody safe and get us on the road back to school and back in
the healthiest schedule possible. Thank you. Amen. >> Amen. >> Pledge of Allegiance. >> I pledge algiance to the flag of the United States of America and to the republic for which it stands, one nation under God, indivisible, with liberty and justice for all. >> Roll call, please. Barbara Hallebertton here. >> Teresa Cook >> here. >> Debbie Clifton >> here. >> Barbara Gray >> here. >> Cody Childress >> here. >> Amanda Compton >> here. >> Chris Densson >> here. >> Marissa Briggs. All right, we have a quorum. Thank you. Um item number five is approval of the agenda. >> Salude. >> I'll second. >> All right. Motion by Mr. Jensen and second by Dr. Compton. All in favor? >> I. Any opposed? >> All right, that motion passes. Item number six is the presentation of the
FY 2024 2025 audit results. with the ice farmer administrator team was not in. So you did get the our reports via email and PDF but I did put our summary report to this committee and it's it's in front of you. So um I plan on covering that same presentation I've done in the previous year. Happy to report we had another good audit. So in front of you is our report to the board of education and uh in your emails like I said would be your financial statements. Pleased to report that um we issued a unmodified opinion which is also known as a clean opinion. So another good news on your financial statements. We actually issued two audit opinions. One is on the individual school funds which um we go out to the schools and we
do compliance testing that's required by the state and actually audit those individual um internal school funds which would be your band funds your athletic funds etc. Each school has its own separate audit and uh they completed that audit and um there was no findings which is really good. Um you've had a couple small findings in the past. Most schools have bindings. So, it's it's I commend your your financial secretaries and your principles who are in charge of those um checking accounts and in charge of all the the compliance that's required by the state. So, that's that's really impressive and I think that's two years in a row. And uh so, you know, whenever we had issues in the past, management has always corrected them timely. So, so I commend you there. on the big board
of education audit. Um this is where we audit um your individual funds um on a standalone basis and you're familiar with the budget versus actual schedules. But when we get to year end, there's a balance sheet that that's prepared that has your assets and liabilities at the fund level. And then on top of that, there's the districtwide financial statements. And that adds on your assets for the buildings. That's pretty significant. That's like 57 million dollars for all your buildings. So that's a large proportion of of your districtwide financial statements. Also on those districtwide financial statements that you probably only see um in year in financial statements is your pension and and OPB accounts. U you participate in the state's pension plan. And um your state actually has a $5 million when you get an allocation
of those assets and liabil you have a net asset for your pension plan of about $5 million. So that's really good in the state of Tennessee that that means they're fully funded, actually a little bit overfunded for the pension liabilities. You know, some states like Mississippi, Alabama have large liabilities. So you're in good shape there. Um you do have an OP liability, which is your medical benefits you're providing your retirees. You have about a $5 million liability for OP. Um so it really offsets that pension liability. Um a lot of organizations are underfunded, you know, kind of a pay as you go as they say for um for OPED liabilities. So over overall you hit the districtwide you have a net position of about 80 million. Like I said, the majority of that is um
in the uh capital assets, the buildings, but you also have a general fund that you probably watch on a monthly basis, a general fund um fund balance of about $20 million. And um and the majority of that is cash. You got about at year end in the summer, you have about 18 million of cash in short-term investments. So that's a pretty strong position. Shows you about your for the year in the general fund are about 33 million. And so that that shows that your your fund balance is about 2/3 of your annual expenditures which is which is pretty strong. I looked at um schools across this area about five um districts and some were as low as um you know onethird and I think you tied for the largest at 2/3. So so comparatively when
you look around you have a pretty strong fund balance. That's good. That fund balance actually increased by about by about 1.5 million this year. Um, which was um really looked like you came under budget in a lot of your expenses. Your revenues were a little, you know, right on budget, but a little bit under um but you looked like you saved and um came in under budget for your expenses. So that's that's really good. speaking um to my uh report in front of you. The first page just talks in um in uh just generalities of our responsibilities as auditors and responsibilities of management to prepare the financial statements. On the second page um it mentions that we also perform an audit under governmental auditing standards and that we issue a report on internal control over
financial reporting and compliance. So this will be districtwide our evaluation of internal controls um over financial reporting and compliance. And so we had no findings in that report. So that's a good report. The next step stage of our audit is the uniform guidance um criteria where we audit your federal programs, your federal grants and we do that on a rotation um basis where um we audit what's called major programs and these would be your large programs um like either nutition title one so forth that it's audited on a rotation basis. So we performed that audit this year and also had no findings. So so clearly a good good report. Um, one thing to bring to your attention, um, while we were auditing or while we were talking with management, we determined that the 2024 audit,
you received about $800,000 worth of funds for an FSCS grant, which is basically your K prek funding. And um, in August of this year, 2025, we were notified that that was federal money. And so um, we didn't know that it was federal money previously. So we had to open up the 2024 audit and audit that program and u and so and reissue the report. No changes to the numbers in the report. We just had to say that yeah we this was we didn't know this was federal funding. Management was not informed it was federal funding until you know 13 months after year end after 2024. So we we audit that program and had no findings there. So all that's good news. You know I do a lot of audits and sometimes we have findings. So,
it's always nice to be able to come in in front of this group and say that the management um Taurus and Sharon Harve do a great job in the accounting department and it's it's been a pleasure working with them over the years and and that just kind of gets me to um page three. Actually, I jumped ahead of myself a little bit, but we talk about significant accounting policies. There was no new changes in accounting policies this year. Um in the middle of page how we spend time auditing investments, excuse me, auditing estimates. Um, and that your biggest estimate as I mentioned before is pension, not accounts, useful life, you know, any depreciation amortization related to your capital assets and uh you have right to use assets which be leases or subscription assets that we
evaluate but they turned out to be not material. So summarizing on on page four, overall it's a good audit. This is the page where we would know that there's anything troubling to report to you. And so no no misstatements, no uncorrected misstatements, no disagreements with management, overall good. I'll conclude with that. Thank you for for having me. If there are any questions, I can take them. >> Any questions? I've got one question. Uh going back to the OPED, you were talking about the uh and maybe I misunderstood what you said the first time when you was just doing the summary the first time around before we come back and you was hitting everything. Uh did I you say that our oped was underfunded? >> Yes. So, you're kind of in a pay as you go
method. You do have a trust fund and I think that trust is about a million dollars. I can look. Um, but uh your op liability is $5 million and that's uh the present value of you know future benefits that you promise retirees paying their payments when they retire. So if we're if we're underfunded, we're at a million. What should we be at >> to cover the liability? >> Yes. >> Okay. Your liability is 5 million, >> right? >> And you have a trust, I believe, at at a million dollars. Um, and the way it's set up, you don't have the it doesn't have the right to offset. We have we're showing it as a liability, excuse me, as an asset. trust in your investment accounts and then also get that liability out there. If you
give me a second, quick second, you have two trust accounts, so I don't want to. And you also have two two benefit plans in within Tennessee. One's a $3.5 million liability. I'm sorry. I'm making sure. >> Yeah. One one has a liability school share $3 million. Other one has a liability 2.6. 6 million and I need to find your trust. I believe it's it's about a million. It's not larger than a million. Yeah. Our current oped trust, is that what you're asking about? >> Yeah, it's 453,000. Sorry, it's not 453,000. >> Yeah, we got the latest report in December on December 31st and uh it had increased to our total ending value for OPED for that year. This past 2025 ended at 480 44189. So we have 480,44189 but that was December 31st. So you
know that thing moves up and down um because it is an investment that we do. So we're right at a half a million dollars give or take anywhere from 20 to 30,000 depending on how the markets are doing. And you have another trust fund that's set up for you under TCRS that you set aside and that's about 500,000. So that's how I was getting in my head to a billion together. >> That's how you come up with a million with both trust >> right in my head I made that mistake. One's related to pension other related. That's good though that because TCRS we had that when we had the OPED and OPED is something we should probably revisit at at a later time because I believe in that and I think that'll help us offset
for future generations. It won't do this year next year but it would help us when our staff starts retiring and and we're reimbursing for medical. That's where that oped really play and and the market's done fantastic with this fund. It's part of the TSBA that that we're a part of. So, thank you. >> But need to also revisit how we fund to in order to close that gap. >> Yeah, for sure. Thank you for that report. It's always good when we hear >> no findings. >> Any other questions? >> Thank you. And thank you for making your way out here in this weather, too. I appreciate it. Actually, with the temperature today that I think the my roads cleared up pretty well on the way over here, so no trouble at all. >> Very great.
>> Thank you. >> Y'all have a good evening. >> You too. Be safe getting home. >> All right. Item number seven on the agenda is the consent agenda. recommended approval of January 5th, 2026 board of education meeting minutes and designation that the section 4 board of education policies are correct as listed. I'll entertain a motion. >> So moved. >> Motion by Dr. Compton and second by Miss Gray. All in favor? >> Any opposed? >> All right, that motion carries. Number eight is the director of schools report, Mr. Griffin. >> Thank you, Madam Chair. I'm going to try to be quick as possible. Uh just want everyone to know we will recognize all our students and staff at our next board of education meeting. That has always been the plan. We always love that's the best
part of any board meeting is celebrating uh the accomplishment of our students and staff. Uh just to let everybody know, uh big thank you to the facilities and everybody working. As you can tell, as you drove up today, uh the uh the snow plows are out doing their job. We will have uh snow drifts probably through the 1st of March, just to let you know, but we are working uh they're working as hard as they go. Uh more than likely, we won't be in school till Thursday because the back roads I just got off of them uh over by the primary school. They are still holding hockey triyouts. So, Mr. Cody, you still have a chance to make the USA hockey team if you still want to do that. Uh but it's pretty bad. remember
it was six inches of snow and since it fell last Sunday, it's turned into six inches of ice. It's really bad. Uh but I know that everybody's making adjustments. Uh but other than that, we're just trying to get them all back in school by Thursday. We will make that announcement tomorrow. So, please don't let the cat out the bag because that's where miscommunication happens when people get the early word and start, you know, telling everybody, "Well, I heard this, I heard that." And uh I don't work for Typton County Schools, so I can't tell you what Typton County Schools are doing. I've those calls today as well. But um we're going to try to have CO opened uh Wednesday at 10 o'clock so we can try to get back on board. I know we've been
uh a lot of things going on. I appreciate the board coming out tonight to keep the business of the schools uh going. Uh but at this time uh I have no further report. >> I have one question. >> Yes, ma'am. >> In one of the um updates about school closings, you mentioned the number of snow days that we have allocated and that we were almost at that day already at that m So once we reach that total or if we surpass it, can you just talk a little bit about how that's impacting the calendar potentially? >> Yes, ma'am. that can affect the calendar. However, there are emergencies. Uh our our city uh mayor did declare Millington as an emergency situation. Uh we can petition uh the state, which will be pretty easy to do since
all of West, Middle, and East Tennessee is in the same boat as we are. A lot worse than Middle and East Tennessee. Myself, Mr. Perry and athletic director Hawkins went to the wrestling and they still don't have power in a lot of places in Nashville and won't have power till maybe Sunday. So, we've been very blessed to have electricity. Uh we have had some situations uh with we had a pipe a backup valve burst in the shop, but uh Mr. Leblanc was here Tuesday from about 10:00 a.m. to about midnight with insurance crew getting that taken care of. I've sent I'll send more pictures to you, but they are already working on getting that repaired. It's going to look like when we come back to school on Thursday and Friday, those classes will have to
meet somewhere else, but they're working on that right now. The tile has popped up and the bathrooms uh so forth and so on. But as far as the days go, we are going to be close to using ours up, but uh if if we go over our allotted days, we can uh petition the state to uh be approved that we can We'll be all right. But at the end of the day, mother nature always wins and we'll just do the best we can with what we got. >> We certainly better be safe. >> Absolutely. I don't think anybody wants to put their child, especially if you've never uh rode a roller coaster. Please uh jump on a school bus and try to go down Bethul right now. I promise you, it will be the best
ride at the park you've ever had. It's it's very scary. You think that that bus is all is not It's very scary and to have put little ones on that. I just don't I don't want to put safety of our children, our staff or our stakeholders involved in that at all. So, >> I forgot to add to share that I needed to to piggy back off him for the legislative report. I'm so sorry. >> You do though. Um, does anybody have any other questions for Mr. Griffin? >> Okay. >> Just want to say thank you to the to the parents. I know it's getting uh Kevin Fever is setting in. I do know that and I appreciate that. Uh but like I said, safety and security is our number one responsibility when it comes to
our students and our staff and we're going to make sure it's safe before we go back. So, but >> yeah, >> unfortunately it looks like Thursday is going to be our best bet. >> Thank you for that. All right, Dr. Um I met with the other legislative liaison on Friday virtually and um there was a problem with many of them because they were in middle Tennessee and um parts of West Tennessee that didn't have any power and basically I don't have really have anything to report because the legislature was kind of not in session much last week. So I should have more after the February meeting but um you know if you're interested in a specific bill or a specific um um um thing that is a hold over from last year. I may have
uh some more information back on that later. So, >> and do we have um a legislative work session scheduled for this month? I thought we had one maybe is it next week? >> Am I >> I don't >> I do not have a legislative at this time. I do know that we have joint education committee on Thursday. >> Uh but we have not scheduled legislation. Uh just a quick reminder to Dr. Compton on the legislative side. I do want you to know I sent you the email about the prek. We still have not heard officially if uh the mayor mayor Harris has signed our funding in yet. I do have a meeting with first aid on Thursday at 10 o'clock. So hope that we'll have some good news. But I thank Commissioner Mills, thank Miss
Hallebertton. There will be an article in the daily news just for support for taking care of our kids. So it's very important. Uh but we are working on that. I talked to Mr. Curry about this. We did have our bonus money come in. We talked about it in December. I told Mr. Curry we didn't feel good and I said, "Let's put that money back just in case we do have it, but it'd be nice if we can get we were told we're going to get so we take care of our kids." >> Yes. >> So, >> um I just looked in my calendar. We do have a legislated work session next Thursday 12 >> at 5:30. >> Does that line up with timing for when you expect to have updates or is that >> Probably
not. I don't think I'll have any chance by then, but if I if I let us let everybody know before that, we could postpone that meeting. >> Okay. >> Yeah. But you could let us know by email and then we can >> I mean there's no sense in this meeting if I there's nothing. >> Madam Chair, I almost forgot. We are not streaming tonight. We are recording because of situation. Couldn't get my staff here. A lot of them are snowed in iced in so to speak. I do appreciate Miss Wendy Streel and all the nice caricature she has done with my my image. uh really thought we were going to catch a groundhog today, but he slipped out of our our grass, but uh really appreciate Wendy getting that message out and just getting communication
out to everybody as quickly as possible. So, thank you. >> Thank you very much. We will move on to item number nine, which is public comments. Didn't receive anything. All right, I'll entertain a motion to close. So, move. >> All right. Motion by Mr. Childress. >> Second by Miss Gray. All in favor? >> I. >> Any opposed? All right, that motion carries. Item number 10 is recommended approval of FY26 budget amendment for capital fund. Need a motion and second. >> Motion by Mr. Densen. >> Second by Dr. Compton, Mr. Curry. >> Good evening, board. Again, this is um recognize the $250,000 we received from the city of Millington um increasing our capital fund. Again, this will be tied to the prim primary school's parking lot and the repairs and upgrades they're making there. >> Any
questions for Mr. Curry? >> All right. Thank you. Roll call, please. >> Hi, Chris. Hi >> Clinton. >> I >> All right, that motion carries. Item number 11 is recommended approval of MCMHS 2026 20227 course catalog. I can get a motion to move. >> Motion by Mr. Densen. >> Second by was that Miss Debbie? Miss Debbie Clifton. All right, Mr. Perry. >> All right. Uh there are no new changes since the work session, but um with this year's course catalog, we did remove the statewide dual credit courses that are no longer offered by the state. Uh we we removed those three uh in anticipation of this happening. We have been uh increasing our dual credit with our local colleges and universities. And so again, we're up to 16 dual enrollment courses. um for AP courses
in this course catalog. We did include a section for our AP access for all information for students with the link. Uh there's up to 16 AP courses students could take through AP access for all. We also included a section for KIPP and our modern states where students can potentially clip out take courses and clip out of up to 30 courses uh if they choose to do that on their own. So those were the major changes. I did reach out about the one question about the the fees. We we uh all the teachers that have a fee for their course, we asked them if there were any increases or decreases. Uh and so they made those adjustments and we did reach out to uh the one we talked about and make sure to clarify that. That's
a semester fee. So we'll put if it's a semester fee or a year fee, we'll include that in the course catalog. >> Any questions for Mr. Perry? >> We've got a question, Mr. Yes, sir. >> We had talked about uh the conflict between the ROTC and the uh the band. Did Did we have any success in allowing a student to have both? >> It just didn't in the schedule for an eighth grade student, they have one slot for the related arts and so uh that's just a choice. Seventh grade um band is the option if they want to take band because ROC is not offered. But unfortunately in eighth grade for that one slot they would have to make a choice. It's not just a choice between band and ROC. It would be band ROC
STEM uh the other courses they want but uh they just have one slot in their schedule for that. So >> So what does that do when they go to the ninth grade? >> So for ninth grade it's wide open. They can take there's room to take ROC and band. So, uh, >> so that's our biggest hiccup is the eighth grade. >> Just the eighth grade is the only year where they have that one spot in there. Yes, sir. And and as we talked about at the work session, that's probably just, um, will be an issue for next year will be the last year we have to worry about that because when 8th grade goes back, then unless then we get granted some last minute waiver, then I don't think we'll be able to offer ROTC
down the road. So, we're still looking into that. Um, >> eighth grade >> in the eighth grade. in in eighth grade. In eighth grade, I'm sorry. Yes. Yes. In eighth grade. Okay. Yes, sir. >> Yeah. I think it's important like Mr. Perry says that we are very fortunate that we did get that waiver because we were on the same campus. But I'm just telling you through military intelligence, I've been told that once they we go back to our separate campuses, unless we have a middle school ROC program, then they they won't be able to do that by the rules. So, >> thank you. Any other questions for Mr. Perry? All right. Thank you. Roll call, please. >> Chris Densson. >> Hi. >> Teresa Cook. >> Hi. >> Debbie Clifton. >> I. >> Barbara Gray. >>
I. >> Cody Childress. >> Hi. >> Barbara Hallebertton. >> I. Amanda Compton. >> I. >> All right. That motion carries. Item number 12 is recommended approval to contract with Southern Educational Strategies LLC to develop a strategic plan for the district. Cost will be negotiated by Mr. Griffin. Funding has been identified in the FY26 general fund budget. >> So moved. >> Motion by M. Dr. Compton. >> Second and second by Miss Gray. >> All right, Mr. Griffin. >> Yes, ma'am. Unfortunately, I was unable to sit down at the negotiation tables with U. with the Southern Educational Strategies LLC. Uh but we in our interview process, we actually uh had two very good companies. It just came down to who we thought was best fit for Millington. Uh looking forward to working with Southern Southern Educational Strategies.
Again, they did help us before and a couple things. Uh as you know that Mr. Cody, I know you remember being on the the first group on this board that met with they did the get the municipalities together, but also uh looking at things that may be easier for them to take care of instead of us because we do have to run the day-to-day operations of the school district. Uh it will be easier for them to do such as transport maybe such as transportation, but also looking at all the possibilities of our grade levels. uh want everyone to know as soon as we have this sit down and we come down with this price, bring it back to the board, uh we will uh get information out quickly, this is going to be about a
six-month process. So, we want to get started immediately so we can get that out so everybody can be on the thing. Just to let everybody know, there will be a committee. We'll have parents. We'll have somebody from every walk of life in Mill, so to speak, and that will be my job of getting those people. and I'll be getting that out as soon as I talk with um Dr. Fle and of course Dr. Mitchell moving forward. But uh >> they were a strategic part of the public. >> Yes sir. >> Back to >> looking forward to it. Like I said when we asked you know one of my questions was well how many times have you been through this and both of them have been not only at state level but national level superintendent recognizes
some of the best but I think combined I think they said what Dr. Mitchell been through 25 or 30 of these and Dr. Fight had been through 15 or 20. So, not knowing going into something, but at the end of the day, we know what our what the big goal is and it's going to make it a lot easier easier for us to have that and get that back to you, especially with our new strategic plan because we are revamping that because of this situation. So, thank you. >> Thank you. >> I know that it says the cost will be negotiated, but is there a range? I can't remember. Um, if you >> No, ma'am, not at this time because uh there were some things that once we got into the meeting, we kind of
said, well, we already took care of that. There's some things that we didn't really consider that may be easier for them to do with especially with their data uh team out of Ohio won the best as far as demographics, things of that nature. Uh just going to make it a lot easier for everybody to have sound numbers moving forward. >> Have a question? >> Yes, ma'am. >> So, are we approving your ability to negotiate? You're going to come back with a number. We're not approving a dollar. >> No, ma'am. We're so I can go negotiate. Correct. That's correct. because it was interesting. Cost will be negotiating but funding has been identified but we don't know the costs. >> Yes ma'am. No I I would I you know that's where so I can go negotiate because
at the end of the day it's it's still got to be a number that is relative that we can afford which I feel very confident either one of these companies would have done that. Uh just looking at their past experience. Uh, I think Putham County was the one that we looked at that really showed very similar to what we're doing right now as far as a new building and with adding an elementary and with Mila and then high school. So, yeah, this is just for negotiation of course and I'll bring this back to you as soon as possible so we can get started. >> Directors will be involved in that. I'm sorry. >> Yes, ma'am. >> Can we reward this to clarify that so it doesn't look like we're just giving an openended number >>
or am I the only one that that seems unclear. >> Well, um if you want to amend the motion, you can um to add a number, but I don't know what the number >> No, no, not to add a number, but it seems like this says recommended approval to contract. Cost will be negotiated, but we but it's not recommended approval to sign contract. >> Replace contract with negotiate in the first sentence. Yes. And then maybe it needs to be >> put us for approval anyway. >> This doesn't make it sound. >> This makes it sound to me like we've approved whatever we've negotiated. I just think it needs >> I don't see honestly I don't see a sit u any any issue with change of negotiating. Like I said uh as we know with the
new changes we made up to 50,000. I do feel confident that this will probably be more than $50,000 just because of crunching so much data and so many different departments so that we can have the right numbers so they all fit together moving forward so that it's best for all of us. >> So then I move that the word contract to be replaced with negotiate in the first sentence. >> All right. I have a motion to amend to change the wording to recommended approval to negotiate with Southern Educational Strategies LLC to develop a strategic plan for the district. Cost will be negotiated by Mr. Griffin. Funding has been identified in the FY26 general fund budget. Is that correct? >> She's already made that motion to amend. So your second Okay. >> All right. So we
have the motion to amend by Miss Cook and the second by Mr. children and any question or discussion on that amendment. All right. So, we will vote to accept the amendment and then we will move forward from there. Um, roll call, please. >> Teresa Cook. >> Hi. >> Debbie Clifton. >> Hi. >> Barbara Gray. Hi. >> Cody Childress. >> Hi. >> Barbara Hallebertton. >> Hi. >> Amanda Compton. Hi, >> Chris Denson. All right. The motion to amend has been approved and so now we will vote on the amended motion. Any questions? >> Okay. Roll call, please. Debbie Clifton. I >> Barbara Gray. >> I Cody Childress. >> Hi. >> Barbara Hallebertton. I >> Amanda Compton. Hi. >> Chris Densson. Hi. >> Teresa Cook. Hi. All right, that motion carries. Um, item number 13 is recommended
approval of MMSD 2026 board of education committees. Enter a motion. >> So move. >> Motion by Mr. Densson. >> Second by Miss Clifton. All right. I will read um the committee assignments for the record. um the policy committee and and and also for the record everyone has agreed to serve in these positions for 2026. The policy committee will be uh Dr. Amanda Compton, Terresa Cook, and Miss Barbara Gray. Uh the facilities planning committee will be Mr. Cody Cody Childress, Miss Teresa Cook, and Miss Barbara Hallebertton. Uh the ethics committee will be Miss Debbie Clifton, Dr. Amanda Compton, and Mr. Chris Denson. The safety committee, Mr. Cody Childris, Miss Debbie Clifton, Mr. Chris Densen. The finance committee is Miss Teresa Cook, Mr. Chris Densen, Miss Barbara Hallebertton. Uh, the joint education committee, Miss De Debbie Clifton,
