001This is title four and six. Title six authorized representative Roy Brown and Jody Ib. Children nut nutrition free and reduced hearing officer Colton Pard. District number 25 recreation board representatives Terry Cacher, Terry Cantrell, Hall of Fame representatives Terry Cantrell and Jod Ray. >> Madam Chair, just You know, it's been a while since we've done that. So, I think we need to >> discuss that >> it revived again and so >> make sure that there somebody in the high school is also uh appointed >> which superintendent can take care of. >> Okay. >> Thank you. >> Representative for Fremont County Board Superintendent Meetings, Jody Iba and Bruce Berg. you. >> It'll be me. >> Terry Cira, >> District number 38, communications subcommittee, Lynette Jeff and Carl Manning. Chris crisis management team member representatives Lynette Jeff and

002Jod Ray. >> Public records information officer Jod Iba and Jada White. Signatory for all findings of facts and conclusions of law regarding board student expulsions. Me Terry Cira. Is there anything else? >> Okay, those appointments are fine then. Are there any changes to the agenda? >> There are not. >> Madam chair, I would move that we adopt the agenda as presented. >> Second. >> All those in favor? >> I. >> Any opposed? >> Okay. Okay. On the consent agenda, approval of the minutes of the November 25th, 2025 meeting. Consider payment of bills including late pays and pre-authorization of pre payroll, insurance, utilities, officials, and automatic payments. Adopt amendment policy 2075, inventories, and property management. property or policy R school property disposal policy 5135R district staff supervision and evaluation on second reading. >> Madame Chair, I

003would move that we adopt the consent agenda as presented. >> Second. >> All those in favor? I >> I. >> Anybody opposed? Okay. Round table board members. Let's start with uh Carl. >> Oh, let's see. Went to a middle school wrestling tournament in Thermopoulos. It's great fun to watch. Um all the youngsters, they do it so fast. I mean, they move through the process so fast. I've never been a really a follower of wrestling, but uh it's it's an interesting uh thing that they do. the uh equipment is I guess a traveling cell or a vendor basically that takes them to all these tournaments and uh you know so you see one you see it at one term then you see it the next tournament pretty soon you get so that you can read it

004understand what's going on >> in wrestling Carl come see me >> but you know and uh seeing a lot of young refs uh and a lot of training. And that's that's really a cool thing because you know the uh the process of you know sitting on the uh activities association board referees are a hard to find especially in football. Uh next year I think the the activities association is going to actually do the scheduling for the football for the first time. U and they've made a deal with the ref association to try to make it and so they're sort they're sort of asking you know schools to take a afternoon game rather than an e so that because the the number of refs are so few that uh you they need to do two games

005and so they and then they have to get there. >> Yeah. So, it's kind of a a dilemma espec in football and soccer, too. Soccer is another one that uh is hard to find refs for. I know that Mr. Berg uh's wife is a ref for volleyball. I've seen her on the podium there numerous times, but it is a it is a problem. So, I'm really like seeing all the youngsters uh out there uh in volleyball and wrestling, learning how to do the the job. It's something that uh the state needs, not just District 25, but everywhere. That's that's my pitch tonight. And congratulations, Terry, for uh new job. >> Looking forward to it. >> I'm up for the challenge. >> It's it's good. It's a good thing to to be. I think that having

006leadership in the board uh is important and the more people that do it the more leadership we have. You know, we are all leaders and you know sitting at the chair makes you feel a little bit more like a leader or I hope it does. Uh and then that feeling stays with you uh because you know, we're not afraid to to stand up and lead this district, help this district and the children that we're serving. And that's important. Thank you, >> Christina. >> I don't have anything. Thank you. [laughter] >> Ally, >> I just want to thank all of you for um appointing Vincent and Zafonte as your legal counsel. again. I thoroughly enjoy working with you and I look forward to doing so this year and many years to come. Thank you. >> Thank

007you, Jody. >> Um I did a few things. Um but I also I wanted to thank um Superintendent Iba for hosting the legislators here. Um I found that to be really beneficial um listening to, you know, what they want us to do and you know, they how they would like to receive information from us and that we need to communicate that out to the public that, you know, to pay pay close attention to those those bills and things that are coming along and and u take advantage of when you can come and attend something like that where you get to discuss or hear them discuss and ask question and listen to that back and forth. I also want to uh take time to thank all of the employee district employees and administration who attended. That

008was really nice to see a a room full to be there. And I think that that's huge in how you build, you know, relationships and and start a culture of communication. And so I want to thank you for that. I I really enjoyed that. I attended um the the uh what did you call the little the learning up there at the high school. I had a couple things that I did. Um the showcase of learning that was awesome at the high school. I really enjoyed it. I thoroughly thoroughly enjoyed it. Um I liked going to each of the different stations and learning about things, you know, so that that we can bring forward and into our communicate. Well, like through boies or bois, which which I serve on um we talk about CTE credit and

009you know how it's kind of it's kind of gone for a full circle because it went that way and then it went away and then now we're back you know focusing on that and some of the things that the kids are with the ride initiative if you're if you're watch if you're interested in that um which we all should be um that helps kids be a part of the choice of what they're going to learn and how they're going to apply it outside of the classroom. And so I I really like the agricultural um piece. They had the a center or the a from the college come down and they coupled with with the individuals there. Um the art piece was uh really impressive, but I got a lot out of that day. So Christina,

010thank you so much. Um I truly enjoyed it. Um and then I also attended um which I constantly if I look for for things to do um where I can either recall or relearn or and I always come away with something new. So I've been attending the board chair trainings through Zoom through the WSDA and I find those extremely beneficial because you always learn something new or else you you remember something new. So, we've done a lot of those things, too. But, and um I want to congratulate all of our new officers. I appreciate everything. And I'm really proud that you're going to be the board chair, Carrie. Go class of 77. [laughter] But, um, thanks. That's it. >> Lori, and I just want to again uh kind of piggyback on what Jod said about

011the legislative meeting that we had. Um, and for the people who spoke up, you know, who got up to the microphone and spoke up, I I think that was very helpful and it helps us who are not in the educational system to learn some of the issues that come up with, uh, what's happening in our schools and that's I think that's very beneficial. And other than that, um, congrats Terry. I think it's going to be a great year. So, um, and that's all I have. >> Thank you. >> Any other officers? Sorry. [laughter] I don't really have anything. >> Lynette, um I just wanted to thank the officers that have been serving on our as the for the last year. That's it's a lot. Um and congratulate everybody else. And thank you as well for

012Jada and Jod putting that legislative dinner together. And I think hearing from our staff >> was more impactful to our legislators than hearing from board members and superintendents. they get a lot up from us, but hearing from people who are in the trenches, I think you could see it kind of them go, "Oh, because it wasn't just us." They get they tune us out sometimes. So, um, that was very helpful. And, um, don't have a lot other going on. I hope everybody has a good holiday. I kind of it's hard to believe I have to take my dad to Casper on Thursday for a doctor's appointment and he said, "Oh, I kind of forgot about that, but that's in December." And I looked at him and said, "There's the Christmas tree I just put up

013yesterday, Dad." [laughter] December. So it's December. Hard to believe. >> Christmas tree is December. >> So it's not December at my house yet. [laughter] >> Apparently not going to be December. >> Still November. >> Yeah, >> it goes by quickly. >> Mr. Cantrell. >> Well, I went to that explanation of the right program, too. Thank you for putting that on. That was really >> awesome. interesting and and showed that the right program is is our future. >> Thank you. That's it. >> Jody, do you want me to come back to you? >> You can. >> Okay. Jada. >> Congratulations to everyone before uh I need to get new signatures from Terry Catera, Lori Marorrow, and Jod Ray. So, if you'll just see me before you leave, we'll get the new signatures. And happy holidays. Hold

014it. >> Nothing tonight for me. Thanks. >> Okay, we're back. >> Okay, so um the legislative meeting didn't quite go as we had planned because we did have some people take the mic a little bit longer than we had intended, but that's okay. Um we were able to have them back Friday and they came back here and met with um the other Fremont superintendent and I. Uh Kale Casease was not able to because he had a trip scheduled out of state and Joel Guggen Guggen Moss was not able to but the rest of them did come and we had a a two-hour conversation about all of the bills and we didn't talk much about um recalibration but were able to put some concerns forward. I do have some um more information about that that I'll

015share with you as time gets closer to the legislative session. Uh we are looking at a fee schedule for facility use. Um I just want to plant that seed. We will present that to you and see what your thoughts are in January is the plan. This came about because of the auditorium and with auditorium use for community that is not school related events. We will have to have staff on site and that will be an additional cost to us um plus the wear and tear. So we are just trying to figure out what would be reasonable um and fair and have investigated other districts. Um Kate Swistoix took a lot of that on. She's the one that's really handling our event program which is a software along with Max and so we met today and

016talked about that. So I don't want that to come as a surprise when we bring that. Obviously it's up to you whether we move forward with it or what parts of it, but it's something that we're considering um >> proposing the use of old the old frontier. Um, the last time I brought that to you, RMS had a a solid plan for that. Um, unless I hear any huge objections tonight, I'd like that to go forward with it. They've put a lot more work and effort into their ideas and their thoughts and would like to actually start moving in over Christmas um, and using that facility. So, unless you have any huge objections, >> I'll we'll move forward with that. And that is all I have for you at this point this evening. Thank you.

017Okay. This time we have uh anybody in the visitors or delegation that want to visit with us about anything out there? None of you have anything? I want to say thank you for being appointed as your board chair and I'm going to try to do my very best job. Okay, let's go on to action items. Consider an administrative recommendation to accept the draft audit report for the 2425 physical school year. And >> Yep. >> Yeah. So, he'll speak. >> Okay, here we go. >> This is you, Brian. >> Now, you brown. >> Yep. >> Hi, guys. I think I'm ready. I think this should work. >> Make sure everyone can see it, right? Yeah, you can. Can on that flip side. We're all good there, >> right? Yep. >> Don't know if I can. Ah,

018I think we're good. Okay. Uh, many of you know me. My name is Brian Brown. I'm a CPA at Summit West CPA Group in Lander. Um, I've been doing the audit for Fremont County School District for 25 for quite some time. I don't know how long for sure. I haven't kept track, but I've uh I've seen a few different business managers all the way back to Mike Colin. So, I guess you guys that know that and you know how long I've been working with you guys and been around looking at your stuff and poking around a little bit here. Um, so thanks for having me. Um, maybe riveting crowd, but you probably told me the auditors were coming and all this other stuff. I actually couple I'll commend the board itself on the efficiency. I

019mean, I looked at this earlier. I was talking with Cole and I thought, "Oh man, it's probably going to be a while." Then it's like 6:22 and I'm already up. So, I'm in a I'm in a pretty good position there. But, um, again, uh, I'm here to present the the financial statement audit that that we get engaged to do annually. Um, a couple things to talk about real quick. You can see that it's in a draft format and that you don't have the fancy blue coverage in front of you. The reason behind that is [clears throat] during that whole government shutdown that took place for 60 days or whatever it was the office of management and budget failed to produce a compliance supplement. Um that's one thing that's a key tool in what we do

020to test and and do your federal awards your your single audit portion that that the school district's responsible for. So, uh, instead of trying to issue a separate report for the single audit, um, the Wyman Department of Ed and Department of Audit came out and said, you know, we'll give you 45 days until the compliance supplement gets issued to get the final piece done, but they still wanted a draft copy of the financials by the December 15th statutory deadline that that normally there. So, they did say that they would accept a draft copy, and that's what brings me here today, so that you guys can at least see the draft copy, see everything that we've got done so far, and then if you have any questions or followup, we'll get that. The compliance supplement actually

021did get issued December 1st, so nine days ago. Um, I talked with Colton and Julie a little bit today and we'll probably likely come out hopefully next week if that works schedule-wise, and then finish up the testing that we need to do for that, the grant awards. Okay. Um likely the single audit that we will end up doing this year will be on um ESSER andor title one funds that will look at the compliance and the the cost spent there. Okay. So um that's the reason for the draft thing uh that you can see there. But really uh the numbers I don't anticipate changing so much um in in the financials. So I I'll just spend a little bit of time. I mean, we're only 24 minutes in, so I'll take the next 24 or

022so and go over these reports and then we'll >> go for [laughter] No. Uh, but really the I think um really the key thing that that I'm happy to report on is this uh these first few pages that you can and you guys you might have a packet, you might be looking there, but it's really our opinion on the financial statements. Um these three pages is really what the bread and butter of the things are. Um we can issue three different types of reports. um we can disclaim an opinion on them. We can say that we don't agree with the the financials or we can say we have an unmodified opinion meaning we don't have any material modifications. We'd have to make any changes to the numbers that were presented to us that we we

023have to you know change or or not accept. So again um clean audit clean unmodified audit opinion is is really the the best that we can do and that we can give and that's what we've done yet again for for 25. So yeah, kudos to to you and the staff and Colton really just kind of hitting the ground running on taking taking on the the learning curve that is a business manager, you know, drinking from the fire hose stuff. But >> um and again, you know, not just him, I phenomenal accounting staff, phenomenal business staff that you guys have here and a lot easier to do with a lot of people than, you know, one or two. So keep up the good work there. Okay. Um I will talk about a couple things. Um, again,

024not to not to keep you um too long, but just kind of to use this when this does get disseminated and I can, you know, Colton will discuss, but I can come back and present the final one or we can give it to you and you guys can go over if if anything changes, we can kind of redline and lay that out from the draft format, but >> weirdo that wants to read it. So, I'm like [laughter] [cough] >> uh if there is anything that you will read on it, I really do recommend reading this first section which is called the management discussion analysis. It's like on pages uh 4 through 14. It's the only place in these financials where you'll find comparative information to look from things from this year to last year. Um

025and really just get a good feel for how the district does comparative to last year. Um and and get a a voice from that's why I told Colton this is the spot where it's not really prescribed form. There's certain things that we have to disclose but it's where management gets to discuss what they want to talk about in these financial statements too. Okay. Plus, it's got things like this that, you know, those that don't love to look at numbers, you can look at p by pi graphs and bar and and charts and such to uh kind of see a good feel, you know. So, if you're if you're into that, you know, looking at where the in where the costs are spent, instruction, instructional support, transportation, on andm, so on and so forth, a good

026way to look at it and good user user friendly, easyto read narratives that go along with that. So, some of the stuff that's in the yellow will still change a little bit there on the MDNA. Um, but getting into the financial statements a little bit. Um, one thing that I I do not so much caution, but do talk about uh a lot is the the difference in governmentwide versus governmental funds. So, this is a governmentwide statement which has things in there that really are not in your day-to-day operations, not really um part of what the district would think about regularly. We're talking about like the pension liability that the district has. So at the state level, you know, everybody that participates in Wyoming Retirement Systems has to pick up their portion or what they say

027would be their portion of that liability, which again, great for for transparency at that level, but no one here at the district is worried about what the state thinks they owe for the pension. Okay. Um there's another thing that's unique to Fremont 25 with a it's an other post-employment benefit. Um it's been going on for geez I couldn't 10 plus years maybe on uh roughly 10 years ago that the board and the district uh allowed retirees to stay on the health insurance. Um that caused an issue where there was a a need for an actuary to come in and value what the cost did to your whole retirement or your whole insurance plan based off of that. So that's another post-employment piece that's in here. So if you can see that that if we're looking

028at that again not to bore you just to explain what why this is not so much useful. So because that happened essentially um right here on this line item the district has about a million43,000 liability that that's all actuarial driven and estimates based off of what the overall cost that the district's incurred based off having those retirees on the plan. I think there's still 140 participants and I think there's only two retirees that are on the plan still. But you get an actuary to come in every year, get a get a full report and a and a consolidated report to give to us so we can include it in these financials. So we're full disclosure on what everything that's there. Um, and then lastly on this one, there's there's one other piece that really is

029not um super beneficial on this piece, and it's just that the as property taxes are assessed in January, the collection from June to December is all deferred revenue for these situations because it's not revenue going to be recognized until the following year. But again, as part of standards that we have to do, we do report that on these on these statements. So again, those few things convoluted with a lot of other stuff is not why it's a super usable form. But going through this, so that's on 16 and 17. That's the overall balance sheet. And this would be considered the income statement at that level. Okay. Um I won't touch too much on that, but I will talk about the overall what I think is a is a I did in the draft copy have

030two of the same pages as well. I asked Cole to delete those before and it left me hanging there, man. [laughter] Anyway, so sorry about that. Yeah, this page here is more useful in the governmental funds. Okay, this was what you know um uh I think both Jody and Lori talked about some recalibration and some stuff that that they talk about in the in the funding model and how that's going to go. That this is the number that they're using off of this statement. the statement the department of ed and the department of audit are going off of your overall general fund fund balance right here. So we'll talk a little bit more about it but at the end of the year at 6:30 2025 the unassigned fund balance for for Fremont County School District

03125 was 9 million676,616. Okay, that's the one when Colton and when they're talking about the 30% carryover and the 15% carryover and whether you're subject to recapture, that's really the number that they want to see on there. There's some other caveats to it with some pre97 and some other calculations that Colton can go into more in depth with you guys so you know kind of where you're sitting. But that's basically um that's that's where that sits at 630 2024. Now, so this this being the balance sheet that again this is why I say this is more useful. This is where the cash comes in and out, the operations, uh, you know, day-to-day kind of stuff. Um, and then the major funds that are that the district deals with, major maintenance, capital projects, and then a

032list of the non- major stuff that goes on with special revenue and and the other things that are there. But one of [clears throat] the big benefits really that I have noted on here to talk about is the operations for 630 2025. um you know the district basically if you were going to look at a business model and look at net income for for a business that's basically what this number is showing us right here. So for the time period 7124 through 63025 the district was able to have revenues in excess of expenditures by $2.4 million. So it's incredible. That's really really good. I mean, it's it also is bit bad in the sense of that that structure that we just talked about and the amount that the the WDE and the Department of Audit

033will let you keep as a district, but to be able to come up with that amount of money in one year is pretty incredible. So, again, um I the time period that I've done the audit, I couldn't tell you that I've seen that kind of savings in a in a one-year time frame. Now, again, some of that I know was a coll collection and collaboration of of really kind of making sure that things were under control. Um, but and that's what Cole and I had a good conversation for 45 minutes or so earlier today about needing to make sure that that is now, you know, budgeted appropriately that you that you don't get sub subject to that recapture area to that area where you're not going to get the same funds that you're used to

034getting. Okay. Um, but again, so kudos. So again, if you were to, you know, in a business term, if you guys are more familiar with that, that would be kind of the overall net income for the, you know, the that's what you increased your reserves by in one year is that 2.466. Okay. Um, couple other big things that are still on here. Um, you have about 10.6 remaining in construction in progress at at 6:30. Um, I can bounce around a little bit. These are going back to the footnotes, but basically uh the the district as a whole um has a lot of money invested in infrastructure, buildings, transportation equipment, so on and so forth. Uh part of you are part of what we talked about earlier. I think I passed the note. Right here is

035where I was noting there. So this is basically what the district has as infrastructure as a district as a whole. Every building that you guys own, every bus that you own, every vehicle that you own, all the stuff that meets your capitalization threshold, district has about$120,863$120,863,000 worth of tangible stuff, right? Real property stuff that you have there. Um, and of that about 10 million is is yet to be in process. That's that auditorium build and a lot of the project that's the big part that has now been put into service and we actually got to tour it as part of our procedures. We had to make sure that the monies were being spent appropriately. It's beautiful. It's a very nice facility that they that they put in over there. So kudos to that. But that's

036a big part of the increase uh there. You know 10 mill excuse me [clears throat] $10 million that will go into service and be in the buildings and improvements at the probably now. Actually it's it's in service now. So that has changed since year end. Um, one area that I wanted to point out on there. Um, okay. One other quick thing that I can show you and again as part of the draft situation that we have is the overall expenditures for federal awards. Okay. Um, These are all schedules that are required with those OPED and those other things that are there. But overall schedule for federal awards here. Um you can see that the district spent about $14 million in federal programs. Um that again is this part. This one is is still subject we

037got to do some change some changing to this financial and then the testing that's involved with it. This is the big part that is still yet to come. So we've got the, you know, determination of exactly what was spent and then testing of those major programs. So everything that's over 750,000 gets listed as a major program and we do a risk assessment on that based off the last time we've audited it and how much has been spent. So based off of the numbers that I just s did roughly title one and ESSER will will likely be we have to meet a threshold coverage and since you're a lowrisisk audit we have to we have to audit at least 20% of this federal expenditures that are done. So we have to look at at least $2.8

038million worth of with worth of cost. So whether that's done in one grant or two grants is how that's kind of determined for us. So, >> so it's expenditure of federal dollars that triggers the I know the answer to this, but not everybody might. That that that's what triggers the single audit. >> Correct. And that that threshold at this point at for this audit was 750,000. For the fiscal year that we're in now, it's all the way up to a million. But again, the district this size, you're never going to get away from this type of audit. You're always going to have at least that of federal expenditures. You know, the major programs that you typically that we've typically seen here are 6B, title one, you know, this ESER was new with all the COVID

039money that came in, but all that stuff, you know, any of those the programs that are big that that government comes out, those are typically get audited. Um, sometimes school lunch and school breakfast as they combine into cluster, if they get over that threshold, that will be part of what we'll look at, too. Okay. A lot of compliance based stuff, a lot of checklists. That's what we waited on the government to give us a list of what they want us to look at and then we just go and look at it and make sure you do okay. But again, this is what a draft format I don't anticipate it changing. This is what the end of the day you're going to want to look at is findings and question costs if of those programs that

040this is ideally what it's going to look like when we're there. So the none I can report back happily on the financial statement side of things. You know, we we do we run materiality. So we had a couple hiccups. We had a couple little things. Nothing that merits being in this audit report. Nothing that merits really bringing the attention of anything that I'm concerned about. Just areas that we can, you know, show a little bit of improvements and internal controls and different things that we can do, but nothing that was a material adjustment or or anything that was, you know, that again needs to be discussed any further than what I've already said. So, I mean, kudos again to the business managers and the staff that that have done and and done a great job

041at at keeping track of stuff there. Okay. So ideally when we come back next week I can report off this part federal awards and question cost finding that we we keep this none noted there as well. That's my goal and I'm sure the districts as well. But um any questions for me? I didn't go quite 24. I went 12. >> Oh you did a good job. >> Nothing. >> Again we'll uh and you guys can decide and let Coltton know. He'll communicate with me. We'll get this thing wrapped up hopefully. I'm hoping before the end of this month. It's due, you know, 45 days from the first would be the 15th of de of January. But the goal of of today's meeting was that you guys could see the draft um approve the draft and

042then we can send it to the W or the WDE for the the statutory December 15th timeline. Okay. >> Okay. Thank you. So we'll go ahead and consider administrative recommendation to accept the draft audit report for the 2425 fiscal school year. >> Madam Chair, I move to accept the draft audit for the 2024 2025 fiscal year as presented. >> Second. >> All those in favor? >> I. >> Anybody opposed? Okay. Moving on to action item B. Consider administrative recommendation to give the board chair permissions. Madame Chair, I would move that the board um give the current board chair permission to serve as the signatory for all findings of fact and conclusion of law regarding board student expulsions. >> Second. >> All those in favor? >> I. >> Anybody opposed? Okay. Consider an administrative recommendation to

043award a bid. Madam Chair, I'd move um excuse me that the administration award a bid for the Riftton High School gym floor and bleacher project to Norcon Industries Inc. of Guadalupe, Arizona in the total amount of 1 mill1,143,742. >> Second. >> All those in favor? >> I. Anybody oppose? I'm still amazed at how much >> I know. >> Bleachers cost >> and a gym floor. >> And the floor. >> Yeah.
