[Music] [Applause] [Music] [Applause] [Music] Thank You approval of Board minutes recommend a motion that the board approve the minutes listed below is recommended the regular meeting on September 4 2009 teen second discussion comments questions [Music] thank you mrs. sir so just a few things going on in the school district from my perspective here that I wanted to share with the board this evening number one last week our principals as they always do did a very nice job with the observance and remembrance of September 11th the majority of the schools had a reading and a moment of silence and we really appreciate their their work on that and continuing the remembrance of the victims also so everybody is aware below mimmik room that's the company here typically who does the enrollment studies they also do all

kinds of surveys and studies in the incivil work and teknon has hired them to do survey work on the huckleberry site and around the huckleberry sites so you may see people surveying land out there walking through the wetlands in the Navi Road area up and down the roads getting ready for the traffic study they're going to do but also on the huckleberry property and so they have a protocol and they check in with the office and make sure people know they're there so nobody thinks there's a stranger around the property and there they're properly badged so I just wanted everybody to know that so we're well underway with information gathering studying and designing of the school this week we sent out a VFW contest writing contest update it's an annual program that the national VFW

has for not only an essay writing contest for middle school students called Patriots pen but an essay writing and audio recording contest for high school students and it's called the voice of democracy and there's a different theme for each of those each year in addition to that there's a VFW teacher the Year program and so we also put that out there it's the second year we're doing it we hope we have more participation not only in the contest but nominations for Teacher of the Year so we're really excited about that working with quartermaster mr. Beale from the VFW and it's just yet another one of our partnerships here in town it's going quite well the other thing I wanted to let everybody know that mrs. Y Connick our new director of special education is working

with our middle and high school principals on the developmental asset inventory it's a survey we do every couple of years on development developmental assets for our our upper middle school aged students and our high school students and that's a lot of data that you may hear when mr. Jaffe comes and presents for Brookfield cares and we use that to look at programming decisions and where we might put resources to help and support our students we're really excited mrs. Almeida was in the office the other day mrs. Almeida you may know is the coach coordinator for our Odyssey of the mind program she has a kickoff meeting scheduled in the next week or so joy do you have that one on the schedule by the way for the end of the meeting yes well no no

you can announce it at the end I didn't want to overstate things so yeah that that meanings coming up quite soon and then we also for those of you are aware the Dean Renda also was known as Batman he there was a path there was a bat in the in the seventh grade stairwell this week the bat is gone and the rabies tests came back negative so everything's okay just in case everyone know about that autopsy the bat does not have rabies so we're okay oh no no pest control no no we're okay so uh I'll leave it at that and that's my superintendent reporter I don't know if anybody has any questions or anything you wanted to share yes I actually have a question I've been seeing a lot in the news lately probably

the last year maybe two years about the importance of recess time you know lunch recess for kids and the benefits of that time for their learning can you sort of enlighten us as to how lunch period and recess time has decided particularly in the younger grades there I've been hearing some chatter locally that people feel that there isn't enough time yeah for lunch and kids aren't having enough recess sure sure I just wanted to understand how those schedules are sure well the first thing is the school principals work with their teams and develop the schedules at the school they always ensure that there's enough time for lunch I believe at the elementary schools it's a 20 and 20 typically it's how it works 20 minutes for lunch 20 minutes for recess but those things could

be a little more flexible I also know that at the beginning of the year where you might hear some people talking it's it's usually younger students who are having trouble putting in a lunch code or opening literally opening their de Belgard ins that's why we have our lunch monitors and our lunch mods there to help with that kind of thing or cleanup or whatever it might be the students are never put in a situation where they can't finish their lunch so if it's recess time it's time to clean up and move from the lunch room out to recess or if it was indoors to their classroom for indoor recess a lunch monitor would take them aside and help them and they'd have time to finish their lunch before they go play so we're very cognizant

of that and there's plenty of time I think one thing we need to remember too is I've been an elementary school principal then a middle school principal and I've been a high school principal and and when we have too much time for lunch when students finish their lunch there's a lot of free time and sometimes too much free time it can cause other issues as well and then and then we're looking to react to those situations so we want to be proactive keep the kids moving keep them a relaxed state enjoy their lunch but also have time to get out there and be physical okay mary-rose if I could ask you do you feel that comfortable with the amount of time kids in center school have for lunch and recess or have you had any

feedback from parents about it it's a 30-minute block but it's encompasses their time to travel to and from the cafeteria and in some cases whether allergies that kind of thing watch hands-on that sort of thing and then for recess there are students do have 25 to 30 minutes kindergarten has some extra time they have their developmental play block as well and then in the beginning stages of kindergarten students will have actually actually in first grade while all that they're getting used to kind of routine that lift some extra recess and that kind of thing and then we also our teachers do a lot of movement breaks in the classroom and also you know cuz they know they're going again see we really are working really hard to make sure that kids are not sitting for

more than you know 10 or 15 minutes at the most on the rug at a time that they're going to have been moving back and forth to the classroom so we always like to have more time for kids for physical activity there's no doubt about it but I think that the time that we have now is ample and it and teachers make the most of the other time that they have in the classroom ok great thank you thank you very much thanks ed mm-hmm anything else okay moving on to the subcommittee reports we have facilities he was named Charlie port okay okay so mr. Cole will update us on the extensive summer cleaning and maintenance that was done and Hilliard is up and running they're doing a great job of that he also updated us

on high school HVAC and the generator project so the generator will be shipped on October 1st it's about four to seven days coming from Kentucky so once we get it it'll be pretty easy quick install so we're looking forward to that a group will be meeting with Tecton to begin a design process on the boys locker room at the high school the fire marshal recent recently visited the high school and inspections and inspections of the other schools will be happening soon mr. : Park and Rec also reported on the back turf that it is safe and safe for our athletes to come continue play on it it's been scrubbed and tested it in steam safe went over do school do it work orders and we also got an update on the great hand sanitizers of

hand hand sanitizers that were installed by the Girl Scout troop it seems to be working out really well that's it thank you so we're looking at mid-october probably a generator yeah so it's shipping on October first and then of course 70s for that he's a pretty easy install where he's a constant so I think a lot of pre-work was done to get ready to receive it all right so the Finance Committee met on September 9th and it was actually not a very long meeting but the highlight of the meeting was that we got our final report on spending for the prior fiscal year from mr. post and as a district we actually under ran our budget by a hundred and seventy seven thousand dollars in you have his letter and the final report is part

of the consent agenda tonight so it's in your package but the drivers of the of the under run were a variety of drivers to be frank but we had some some over sentences and understands but the biggest understands were generally in the areas of salary and transportation overall so and they were offset by special ed transportation which was a unique set of situations that drove some overspends and special ed transportation and substitute costs and so it was as we went to the end of the year we we had a we thought we were landing at close to budget it kept coming in slightly better as we scrub through the final the final spending and interestingly enough the fact that we put a freeze on in March and April actually we ended up under running some

of those images as well so so there's you know it's a variety of reasons it's in the it's in the package you guys all have it but it was good news all along we've given that to the Board of Finance and won't be talking to them about a about a non-recurring account so that we could maybe well some of that over and I just I I note that they did the Board of Finance did fund us and the extra teacher this year so we'll have some interesting discussions as we go you know the committee felt we ought to be sure to get back to the town and you know enough money to cover that the teacher that they funded out of the fund balance but the rest would like to roll over and we'll bring

that to the committee we agree with mrs. Marion that we do that after the audit right that finding of that is coming up so yeah there's a very limited time frame between the end of the audit and the final report the other topics we talked about we're updates we had a we got an update on the new online payment option that we implemented this year we had 300 parents use it seems to be moving very smoothly and they're using they're using it for everything from payments for Chromebooks parking permits preschool tuition and the like so it's going along very well very happy those who used it have been very happy with it and it seems to be moving very smoothly not everybody uses it currently it's an option for parents they can still write a

check if that's what they then that was a bit of a confusion about whether they were required to use it or or not but but those who views that have really liked it we will be having an update about the Student Activity fund at our upcoming meeting we talked about that briefly there's a whole end-of-the-year engagement that has to go on with the principal's and mr. Phocis engaging on that we did submit on time or what we call it's called the EFS reports of the state this is the report that breaks down all our spending by the state to find category so they can do the district district reporting I was down on August 31st and it was due a couple of days later than that so that's that was submitted early and there's a

budget transfer request which we will talk about it was on the agenda tonight it's almost sometimes come out of here but it's relatively just cleaning up decisions that we've already made on how we did things for example the sign language course that we're doing differently than the way we had budgeted it for example so so that's it any questions for that I said oppression about the online payment so sir going to be any opportunity besides what's listed here the chrome bus program Hermits and preschool tuition to make payments or or no we're just actually we just finished setting up so that at the high school they'll be able to pay for AP exams on there and we Implanon introducing it for field trips also the big one being the DC field trip at the middle

school so as we go through the year we'll be identifying the opportunities and making it available to parents and it's the same tool basically that they use for school lunches and things like that same basic constructs so they signed into the same place and they choose between the cafeteria or the school store and they can only see the items that we've allowed them to seize for example when we do the DC trip it will only be parents of eighth-grade students will be able to see that in their school store [Music] although if parents from other grade levels want to pay for something on that trip but they could pay for thank you next we have the healthy start okay so we last met on September 10th and really we spent the entire meeting finalizing at

least in committee the surveys so there will be a survey again for students one for parents one for staff and we really we took the survey's apart put it back together took up a part from back together several times we got the language the questions that we want to ask the way we want to ask them we got all that finalized and so sort of the next step that we will do is I have reached out to dr. Nick Freeman he's a parent of two kids in the school and he specializes in statistics and he's going to take a look at the survey make sure the questions are appropriate they're gatherings jected data and that our Likert scales are appropriate really the survey is designed very well so that'll be that's currently happening right now

we'll also be sending them to the principals of the schools so that they can check for especially the student ones so they can check for appropriateness at the language that's understandable up to you know the student survey will be giving to seventh through 12th graders so you need to be understanding for the seventh graders as well so we'll be doing that and we'll be working with Eric Coghlan to format them in a digital space and now I would say that's it but that's a lot of stuff that we'll be doing over the next month and by the next time I report on this or at least at our first meeting yeah in October we should have them ready to show you guys so we can sort of have a conversation and we want to share

that with the whole board and before we do like a real roll out of the surveys so yeah any questions thank you it was a lot of work yes so they're all good things work on that yep next we have the consent agenda recommend motion that the board approve the items listed on the consent agenda is recommended new hires resignations transfers and new assignments second [Music] all in favor by the host [Music] and we are moving on to new business we have the 2020 20 month budget planning hamburger recommend a motion that the board approve the 2019 2020 budget calendar as recommended by the finance subcommittee and director of business and operations can post-op second sorry I was looking for [Music] do you have a copy of a calendar in your pack and it's basically

the the same as last year's calendar something within this year's dates kicking off with Monday September 30th when I'll be sending the instructions and template worksheets out to the principals and administrators and we're actually having a principals meeting a week prior to that where we will be discussing the our budget planning and what our focuses are gonna be this year and now they should be approaching their budgets [Music] other highlight dates are they have four weeks to return everything to me we do internal reviews and compiled everything and but the ultimate goal of presenting to the full board on December 4th your first meeting in December which gives you time to review it and come back with the questions or suggestions the second meeting and then we only have to submit it to the First

Selectman by January 31st and then we go through the whole Board of Finance more segments process so question um if the assumption is that we will have the adoption of the budget on our January 22nd meeting would it make sense to push the public hearing a little bit earlier and I haven't directly before that part of the session only just so that we have time to to reflect on the input that the public is giving with that budget I think that's what we did this year - would you like to do it on the eat that's something you were thinking about yeah I mean it's it's really close to the start of the school year again but at the same time I think that we would be able to better sure use the information typically

we would have had a board meeting a week earlier in January but that's January first resort that's why so we can easily move that that's the suggestion that's not a problem at all migrations wouldn't you okay [Music] okay any other discussions questions so then the motion would be the amended motion is to approve the 2019-20 budget calendar as amended heard this discussion 2021 2021 oh that's true it's it's incorrect in the and emotion you catch [Music] okay any further discussion all in favor aye opposed and then the other thing I'd like to add cut is the letter to the board note is that for we're meeting with the principal's next Monday we're gonna be finalizing we already discussed with the Finance Committee assumptions and priorities we want to go over that with the Finance Committee

and get some input from last week we'll go over that with the principals next week and then bring to the full board for the October 2nd meeting can't believe it's it's already here you know we're talking about this we'll just start it they say it every September but it is amazing so just know that that's coming - thank you can for your work on that alright and next we have a Human Resources update all right so if mrs. Cavanaugh our Director of Human Resources if he comes to the podium Terry's gonna share a little bit about kind of where we've been over the last few months with summer with the hiring and all of that as well as kind of where we're at today and then we're carries taking the department going forward so mrs.

Cavanaugh turn it over to you thank you so I always wonder what to talk about in human resources and kind of what you want to know I want what is what we do so there's a couple things that we do correlations recruiting contract negotiations state reporting teacher certification it's not really I could talk for 20 minutes on each one of those and it would be really exciting for me and really for me for you so I'm going to take my cue from the board I'm going to do a sort of top three main points or main ideas for my summer overview and that's to be recruiting benefits and then where we're gonna go in 1920 so I'm recruiting you guys all met the wonderful teachers that we hired this year we hired 24 new teachers

this year we hired four four four retirements we had 14 reservations and four new positions so we had 20 40 teachers that represented a hundred and eighty-three years of experience which i think is really impressive from you know twenty four people and they were great hires I think our last one starts on Monday which is really exciting we also hired besides just the teaching staff we hired Parris we hired a new director of special education as you know we hired a supervisor and we hired a nurse Shirley twenty-four people takes us about 40 hours of onboarding so we spend about two hours total with each person and then putting them into the system putting them into EDS and all that so we invest a lot of time not to mention the amount of time that

the principal spend interviewing and vetting resumes and going over so it's a really um it's exciting it's a really fun thing to do compared to last year we heard 25 teachers last year so it's about the same as we did last year second thing in recruiting that we did this year is that we got a grant from the from Ed Advanced to cover the next two years of minority recruiting so one of the as you know one of the public acts for the state of Connecticut now is to concentrate on minority recruiting we started doing that before the public act came out we just have a need so we have a grant that will allow us to do a couple of things one to have sort of a focus group because it's not just about

recruiting it's about retention so to have teachers tell us kind of why do you stay in Brookfield why you not stay in Brookfield what is it up or feel that you love teaching here and how can we make that better but also to look at different web sites that we can use they're very expensive the ones we identified are about two thousand dollars apiece and just under that so that's the minority including second part until Jonah we keep it under 10 minutes so the second part is benefits we have the Connecticut State partnership plan as you know we have about 75% of our employees participating benefits it's a pretty high participation rate we have 291 employees that participate they have 489 dependents and then we have 31 retirees so from benefit perspective we talked to

about 811 people for benefits every time you know they're at all different levels the majority of our our staff is at the family level is about 40 percent the family level this is gonna be very non HR kind of a presentation I'm giving you all sorts of stats which is very uh nature ish but I thought a little bit more concise we handled 48 FMLA is last year which represented 40 percent warmer trending these which is pretty exciting for a district I won't try to go how many babies that is but you can figure it out and we are on target this year for the same amount we have 41% are on target for babies this year and that's 70 that they're they're 17 leads so far this year that are either are currently happening

or client workers come we also do workers compensate he claims last year about 13 claims this year as of Monday last thing what's on the horizon so we're going to continue to work on the 4000 series policies updating those for Human Resources updating job descriptions is something I'd really really love to do and as it really needs to be done not exciting to you but probably really exciting to me and then teacher negotiations we're currently doing the teacher ones upcoming contractual negotiations our nurses secretaries and consortiums all all their contracts are up on June 30 of 2020 so we'll start those in the new year I hope Bob's looking at me like Oh your team was just yesterday any questions you all know where to find me if you have questions I'd love to answer

those but it was great thank you so much Terry thank you next we have a new school project update just a reminder for everyone that the first public engagement forum is going to be September 26 the time has been moved from 6 o'clock to 7 o'clock it will still be at huckleberry Hill Elementary there is going to be presentation and an update by tech town this really is a joint meeting between the Board of Ed and the MDC and then Tecton architects so an update on the process and the review and where they stand hopefully we'll have some results of some of the testing that they're doing now and then there will definitely definitely be time for the public to provide their input ask questions there hopefully be some schematics and designs and diagrams as

far as what's happening this really is a time that they're refining the design and then starting to develop the details going into the schematic determine the design development phase see was there anything else yeah I'd like to add is it really is an opportunity for the public to provide their input and ask questions and we have three of these scheduled for the fall in the fall for the reason that this is the design phase and when we're at the the production level here with the architects and designing and moving along and waiting to hear about the state grant and all that process is in a schedule in a timeline so this is this is the time for people to give their input so we'd really love that a great turnout they're part of the reason

a major part of the reason that the referendum passed and in the community is supporting the new schools because of our process leading up to that referendum which include was very inclusive and informative and so we're doing the same thing we want to keep that formula it's very important speaking of inclusivity over the last couple of weeks we've had meetings with different internal stakeholders to once again we did it three years ago but once again get input from our teacher from our administrators from our media specialists in chat with the nurses and really with Tecton there and taking copious notes I'm you know what do you envision what's your program about what are you trying to accomplish what are key areas and key needs that you want to make sure we have in place don't

forget we included homeland security as part of this in the chief of police and so we're really getting input from everyone and teknon takes all of that under consideration so as clubs talking about a presentation tec-9 will on next Thursday have had an updated more detailed conceptual design based on that input so it's an exciting time it'll continue to evolve over the course of the fall so it's important for me to emphasize that for the public but also for the board to know thank you I will say that there was an article in the news times about a another western Connecticut district talking about news schools and it was nice to see that they mentioned Brookfield having and the process that we ran and public involvement and featured as a comment oh that's a that

seemed to be a better way to do that as the way it was implied they didn't say quite that way but it was very positively what we've done was very positive report [Music] okay next we have budget transfers recommend a motion at the board approve two budget transfers as requested by director of business and operations can post second okay this is in your packet also known as mr. Beldon mentioned this these transfers represent decisions that the the board has made the first one is to allocate funds for the American sign language course with virtual high school where we are transferring budget out of teacher salaries and health benefits into professional services and tutor salaries and the second transfer is reflects the decision to hire a nurse to serve the non-public schools in town that we

are obligated to to provide services for so it would be one full-time nurse splitting time between those two schools so it's a transfer again from professional services into nurse's salaries and health benefits both seem very straightforward yes any discussion questions all in favor aye the post thank you [Music] next we have a legal update presentation for going to war communications this is by treaty Dan Murphy [Music] anything so the heart the hardest part for me to do this presentation is I oftentimes will speak on FERPA and forea Family Educational Rights and Privacy Act and the Freedom of Information Act for hours sometimes I've done you know a full day on these topics and already dr. Burrell is saying short shorts so trying to stumble this up into about 10 minutes is the hardest part of

this for me you know oftentimes when we talk about but and that deals with student records are going to go through some definitions momentarily we oversimplify the law it is a rather simple console concept FERPA itself is there for two reasons one is to assure parents and students access to educational records and to protect student privacy by limiting disclosure of records very very simple concept its application becomes very complex I think what we got to keep in mind is there's a whole host of different laws and different roles that board members and school staff play from moment to moment and that can change which documents ultimately are going to be protected and withheld or ultimately have to be disclosed a story that I've told many many times and I'm going to tell it very briefly

now some of the frustrations that happen when we have to share documents where we think we have to share documents or maybe we don't so years ago I was representing a board that had litigation pending a sick building situation and the lawyers that were handling that litigation objected to a whole series of discovery requests okay so the the plaintiffs in that action we're asking for all kinds of documents that the the school district had and following the rules of litigation the attorneys did this wonderful list of objections and said we don't have to turn anything over the next day we got a Freedom of Information request and I said you have to turn everything over and it was really really frustrating I got this great call from the lawyers saying you can't turn any of

this stuff over we said we have to so really a lot of times the way we're going to we need to look at each request each document say which laws are going to apply is it FERPA is it FOIA is it both what role is the person who's asking for the document what role are they playing is it a board member is it a member of the public is it a parent is it a staff member what capacity is that staff member coming forward and asking for documents these are all really critical questions and the answer to each of those questions will determine who we have to turn documents over to and who we don't so again we tend to think in very very simple terms about Freedom of Information or FERPA but in their

application we oftentimes have to take a step back and rethink so I just everything I'm gonna say from there needs to be based on on those thoughts so as I indicated just reminding you what FERPA is it's that that law that assures parents and eligible students access to their educational records and protect student privacy from disclosure of Records FERPA only protects information that constitutes educational records and there's a very broad definition of what constitutes an educational record those are documents that are directly related to a student and are maintained by an educational agency or institution or by a party acting on behalf of that agency or institution so document that is related to the student and maintained by the educational agency that's going to be very very broad and that's going to cover many many

documents there are certain documents that are not educational records those are sole possession notes so if a teacher keeps a diary of notes or something along those lines they're not going to be covered under FERPA they still there may be other ways that documents like that may be acts again through litigation or something along those lines but under FERPA salt possession notes no and then just one other example I'll give is records that only contain information about an individual after he or she is no longer a student I did give you two handouts tonight they are rather lengthy the first one is 24 25 pages dealing with school records and the second document is on FOIA that's another 15 or so pages I'm not going to go through all that stuff I'm sure you're going

to be thankful for that but again I just want to make a couple of highlight highlighted issues the right to review and inspect documents so parents have a right and eligible students have a right to inspect and review a student's educational records upon request and those responses coming from the district have to be within a reasonable period of time but in no event more than 45 days after the request is made there's a caveat to that for special education students the timelines are a much shorter if there's a PPT pending and some other very specific requirements so again big broad rule under the federal law under Connecticut law with special education students there's a little you know quirkiness that we have to pay attention to as a general proposition this is what the board probably

needs to know most in most instances or in many instances I should say board members are not going to have access to student records but that is not an ironclad rule and that doesn't mean in every instance board members will not have access one way a board member might have access to student records as if they are also a parent and they would be able to access their own child's records another way is very specific is with residency hearings or transportation hearings or student disciplinary issues those are matters that specific records relating to specific students would rightly come before the board those are probably the most typical ones that come and then there may be other very specific issues involving litigation involving individuals and and matters like that so that's the big piece that the

board needs to take away with respect to to FERPA the the law specifically provides that school officials can have access to educational records where there's a legitimate educational interest that's the test okay so first we you need to determine what constitutes a school official board members your administration all your administrators are typically going to be considered school officials whether they have that legitimate educational interest is going to be the more specific test on a case-by-case basis so if somebody says I need to see student X's records right well the determination needs to be made does that administrator does that teacher does that board member have that legitimate educational interest to view those records in a specific instance okay questions okay [Music] so that's the big takeaway on FERPA again you can go through the materials

and if there are specific questions on anything at any time you can let me know I'm happy to to ask follow-up questions one thing that is also important to point out that there is no right to financial damages for FERPA violations that is something that's important for the district to be aware of often times when there are allegations of FERPA violations people will say I'm going to sue the district you've violated FERPA again there's no right to financial damage for those violations one piece on the Freedom of Information Act I wanted to mention that as it ties into FERPA because what sometimes somebody may do is say well I'm a happy eligible or otherwise able to access information under FERPA so I'll make an FOI request the Freedom of Information request and I'll get the

same information there's a whole list of documents that are excluded from disclosure under the Freedom of Information Act and one of those categories of documents is documents that are otherwise protected by FERPA so if a parent or not a parent if a third party comes in and says I'd like to see a student's records under FERPA they're not eligible under FERPA they say all right I'll make the request under foi they're also not eligible under foi in that particular instance so that's the the big takeaway there another issue that I was asked to just touch on is board member communications your board emails should be used for boarding for board business purposes but everybody should also keep in mind that to the extent that you use personal email for board business if Freedom of Information

requests are made for documents that relate to the business conducted as board members or administration for that matter that information could be subject to disclosure under the Freedom of Information Act so those are the the big takeaway points in a quick 10 minute presentation or so happy to answer questions and again you've got all the materials here to kind of keep you riveted on a nice cold winter night where ends up well I did have a question because they're not your example that you started your story it was one where they couldn't get information under FERPA by Pena foi and you had to get out of here for maybe they couldn't go what was that what was the corner from the first piece wasn't actually FERPA so that over yeah it was it was litigation

it was just a pure litigation story and in the litigation they were looking for documents and discovery that were related to the board's business and people who were I guess it was I don't remember the specific discovery requested this morning but they were lengthy and they were looking for all kinds of documents and in the litigation the attorneys were saying who were representing the district these are relevant or there it was confusing because thank you yeah and then and then you said know that exclusions that okay okay please stand just because I tend to be a little and the whole board knows this a little a wee bit obsessive about it what constitutes an illegal meeting with in regards to email communications between our members typically when you start having responses so anything that's going

to elicit a response and when there's responses that are going back and forth you know the the more it looks like a discussion between board members and particularly when an action is taken as a result of those communications that's where electronic communications can result in finding that that a meeting occurred okay can you do something such as like determine a date to meet back and forth or is even that if you know that yeah I think there's an exception under way I'd I don't have it at my fingertips but there's an exception for scheduling meetings and development of agendas it is okay but the ones you're starting to talk substance during the meeting callate if you veer into that granites okay correct you okay these are questions I appreciate the update yes very much thank
