001will be couple be sign huh that's [Music] spe begin e okay calling meeting to order at 6:30 pm Mar if you can help us with BR call today is a special board meeting of April 22 2024 at 6:30 pm members of the board and attendance president Corin ala present vice president Andres Kinto he's gonna be uh late but he's on his way clerk Andrea Shelton here member Linda Chavez present member mimf present members of administration interim superintendent Dr alazon present thank you Mar uh now I'm going to read the Our Land acknowledgement Board of Trustees of the alrock Union Elementary School District does hereby acknowledge that the district schools and Facilities sit on the traditional lands of the MMA alone people and the Board of Trustees further acknowledges with respect and reverence the mo Malone

002people tribe of the San Francisco Bay area for their stewardship of these lands if you can join me for the Pledge of Allegiance Al flag the United States of America and to the for it stands one nation God indivisible andice thank you uh now we uh go ahead and move on to item 2011 energy plan presentation uh Dr thank you board president um assistant superintendent Chang if you could please um present this uh board board item uh board agenda item great thank you um Dr amazan and good evening um board president and members of the board um tonight uh I want to welcome Mr Russell driver and his team from Arc alternative um who's going to be presenting kind of the outcome of the studies that they've been doing with um The District's energy usage

003and some potential energy plan um that the districts may want to consider um so without any further Ado Mr uh Russell thank you very much uh let me see if I can get the screen share going okay hopefully I've got the technology working yes all right and I was just gonna do a full screen on this so it's easier online bear with me for a second it's that button there we go great all right good evening everyone uh my name is Russell driver I'm uh principal and co-founder of Arc alternatives um see if I can get that um with me tonight is another principal and co-founder of our company uh Curtis Schmidt he's goingon to present the second half of uh our presentation tonight um where I wanted to start is uh to talk a

004little bit about our company and who we are just so um we're we're real clear on the kinds of things we do um versus vendors a lot of schools that we work with the boards and the staff are contacted by vendors of of energy programs and solar projects quite a bit and so I wanted to draw that distinction right off the bat we're an independent uh consulting firm that does Energy Engineering and energy Consulting and we sit in the role of uh an advisor to our school district clients um and others uh and act as an owner rep as well when when these projects oftentimes get into construction and through the procurement process um and so when we're going through our results of the energy study this evening um it's all from the point of

005view of providing advice to the district on your options uh and sort of the consequences of those options potential benefits and and potential costs uh and risks and so that's the framework that that we're looking at all this through we are not advocating particular outcomes other than outcomes that are going to be supportive of District policies uh and your objectives relative to uh energy programs in your faciliity um what I'm going to cover tonight in in Curtis as well with his help uh we'll go through uh a bit on the background of the project what our our scope is and some of the external drivers uh of the work we were doing particularly regulatory drivers which we'll talk about a lot more um and then we'll do a deep dive on the solar component of

006the program uh and we'll talk about um how we characterize the program with the scope of it is uh the the estimated costs and savings uh that come from doing solar and what the options are for for possibly implementing solar program across the district um and then we'll pivot and I'll invite Curtis to come up and talk about Energy Efficiency and decarbonization efforts um and he'll go through all of that and then we'll we'll sort of conclude with some recommendations and next steps what I'd like to do this evening is I'll pause uh sort of at the conclusion of each significant section of of the presentation for questions and answers um I'm concerned I have a tendency to talk a lot I'm concerned about going on for 45 or 15 minutes uninterrupted and putting you

007all to sleep um so I don't want to do that so we'll we'll we'll definitely pause so that that you can ask questions okay uh so let's jump in we were hired uh at the beginning of 2020 uh to develop a plan for for future energy improvements across the district the intent of the plan is to be comprehensive and integrated across Renewables Energy Efficiency and opportunities to decarbonize the district's footprint and what's meant by that mostly is electrification so if you're updating mechanical systems in your buildings or thinking about um your Fleet operations whether the schools buses or or trucks and vans as you think about the future is there a way to do that with electric energy as opposed to Natural Gas gasoline diesel that sort of thing so that's kind of what's meant

008by electrification as we talk about that uh we came on board as uh LPA was developing the facilities master plan for the district and so we spent a lot of time working with that team in in sort of bouncing our plans and thoughts um particularly around where solar systems could be located and which buildings it might be appropriate to touch in an Energy Efficiency Improvement kind of project with with what they were laying at um so so that was kind of the first phase of the project um and then the the other important piece of project background I wanted to talk about and touch on is that in the midst of of that in in 2020 towards the end of 2020 the California Public Utilities Commission Mission adopted a new rule that changed the way

009solar Works in California um and I imagine many of you have read about that but but what that was is it changed the net energy metering regulation in California from how it had been for the last several years to a to new program that has the net effect of reducing your savings from solar and so as a consequence of that we accelerate the component of the project related to solar um and the district uh directed us to secure grandfathering of the old rules on behalf of of the district to keep all of your options open where solar was concerned so as we'll get into more later on if the district is to implement solar and and we can get this done in a timely fashion um you will retain those higher benefits from doing solar

010projects because of the work we did in 2021 um it it was what we technically did was submit interconnection applications to the utility on behalf of the district um to secure to secure that uh what's called NM 2.0 so that was such a a big issue for our planning work and and I know it's gotten a lot of sort of press uh so I wanted to pause there and see if there were any questions about NM transition specifically and and what that meant for how we were planning this project because I know it doesn't yes I think for me uh you know I was aware of a deadline um so you answered that um and you it might be covered in the future but are there additional deadlines or we great question um yes there

011there was an initial deadline of of April 20123 for doing that work that we' done on the district's behalf and we did successfully sort of submit those applications and get you all in the CU and and C knows because there's a lot of Correspondence between the utility and the district and us to keep those applications sort of live and moving along the the other the sort of the backend uh deadline to that defines the window is that systems need to be built and and connected to pg& by April of 2026 to maintain that grandfather so at the time that those interconnection applications went in the the the utilities under the cpu's direction said you have a three-year window to get this project done so that's what we're still operating other questions okay I'll move on

012so let's talk in a bit more detail about solar projects um the methodology we followed uh was was as put on on the on the slide here we first determine how much solar is needed at a particular site and we do this for every site within the district to sort of Define a large portfolio and we do it from two points of view we look at all the utility bills and we figure out how much solar would be required to offset your entire electricity usage at any particular site and so there's an answer to that right so if your site uses 100,000 kilowatt hours of electricity every year we can back into the size system would take to produce that much electricity and so then the other thing we do independently is we look at

013the site and we see how much solar capacity would actually fit in a reasonable way on the School site and so what ends up happening is we go through a process and that's iterative we worked with LPA and with District staff to look at different options of where these systems might be located and at the end of the day you take the smaller of those two not so some there's a lot of room but you don't need it all and then what's more often the case particularly with with smaller more impacted School sites elementary schools um you don't have quite as much room as you'd like for all the solar that you might need and so that's how we try angulate on that we accelerated that process again sort of to the to the front

014end of the study we were doing it would have occurred later in order to hit this NM deadline that I was talking about because we need the system sizes to submit those applications to PG so we did all that work the applications went into PG and now those system sizes for each and we have this live application at each School site in the district has a system size on it um you can change it a little in PG service territory you can reduce that by 20% without losing you know the eligibility that that we have for the old better program so we have you know there's a window there's some flexibility you can't go bigger than we already submitted or they'll throw the application out and so you know that that's okay because we did

015the study we think we know how much is used it was very challenging of course because there's a lot of things in flux here at the district with the facilities master plan with different things going on uh how much energy you used in 2022 and thereabouts when we were doing these studies versus what you're going to be using five years from now they could be very different things right so some of this is a matter of of risk management as we think about those system sizes and what can go where um so that that isn't the final answer but we have a set of constraints now around around what can be solved and so that's important to understand um the so so we do the layouts and the system sizing submitted the applications and the

016next thing we do is we develop these uh economic models to forecast the costs and the savings uh associated with building those those projects out um do cash flows and some scenario analysis to see um you know what kind of makes sense among a range of options and so that's that's the work we all did and present to you tonight okay a word about where do you put solar systems on on school campuses because it's it's a little bit involved and and I have to imagine that that this board is very familiar with the vision of State architect and the uh the challenges of working with DSA on building things uh at schools and and solar systems are no different and there are a unique set of challenges uh created uh doing projects at schools

017versus the projects we do elsewhere even in the public sector for doing a project for a city or a county um that they aren't we don't face the same constraint that that we do at schools so some things to keep in mind as as we are are sizing and locating systems um that are general rules by and large you end up doing shade structures and carport structures which I'm sure you've seen at some of the other school districts locally and you don't end up putting solar on roods so much which is a little counterintuitive because that's typically more cost effective and that's because uh again of DSA requirements and what they require structurally if you're going to tie a solar system into an existing building it it both requires structural work usually though not always

018and a fair amount of a pretty destructive um sort of work on the roof surface itself so in our experience many school districts have uh quite a bit of deferred maintenance where their their roof Roofing is considered districtwide and there's oftentimes a philosophy if it ain't broke don't fix it and so most of the time when we work at school districts there's a lot of reluctance to create a lot of new penetrations and potentials for leak into into their roofing systems that they're just holding on and and so in most cases it requires a new roof on a building in order to cck solar on so you combine the heavy structural requirements with all of the penetrations and roof impacts it typically isn't all that cost effective to go up on a roof um with

019a school the other thing I would mention too is that unlike when we build carports and shade structures a a roof mounted solar system at a school district requires full DSA review so including the Engineering Process that's probably about a Year's worth of work and that drives costs with the solar vendors for carports all of the solar vendors use a DSA pre-approved or what they call it pre-check design there are three companies in California that make these and so whoever you might contract with to build solar at your school district I can tell you it be one of three companies that will do the carport structure um and they're all very good structures and they're all pre-approved and so they they go with an overthe counter review um with DSA very much expedit things so

020that's why we see systems and parking lots all the time the other time thing we're trying to do is minimize the distance between the system and the point of interconnection which is usually where the utility meter is and that's just a set of trade-offs we have to look out for um on site the big thing these days are uh ADA compliance uh if you touch a parking lot um you need to make uh accessible parking spaces available underneath the shade it's seen as an equal access issue and so you literally take a ratio of the number of site of of parking spaces you have in the lot what percentage of them are accessible and then apply the same ratio to the number of spots that end up underneath your solar structure and so it always

021requires some restriping and maybe some path of travel work and that sort of stuff um and so that that can either be a big deal or not depending on which site you're on but something to be very aware of even when you're putting shade structures these days didn't used to be true um in places other than parking lots you need to provide access to them for for uh a person in a wheelchair so if you put a shade structure in a field or in a field that's on an edge of a black top area um there needs to be a pad underneath that shade structure where some of in the wheelchair could could could go under and enjoy the benefit of the shape and so that creates path of travel issues as well so accessibility

022big deal um the other thing that we have to do is stay more than 20 feet away from an existing building or structure and that's fire code um we uh whenever possible want to group the solar arrays in the same location because it reduces construction cost uh and and then the second to last infographic I have there is we also want to do what we call T structures instead of L structures if you look at that graphic in that that's supposed to represent an elevation of one of these solar car ports the T structure has brawl intense close to the same amount of Steel in it as an L structure but almost twice the capacity for solar on top of it so when we're also painting these things around school sites where you have real

023narrow you know like single Bay parking lots up against the street those are really hard because those are all else they're all those all half width um structures and they're more expensive and then lastly and and you know very very importantly we need to minimize tree impacts too right no one wants to be in a situation where you're removing a lot of trees to add solar oftentimes some of that is unavoidable but but again it's one of the design challenges so I'm going to pause there again all all this was intended to sort of relay to you is that there's a lot of different rules in play as we're trying to fit a solar system in and none of that even accounts for your operational concern so then we start layering that on in conversations

024with staff and and others and it gets real fun trying to figure out where to fit these systems in so pausing here you had a question yes yeah is there a certain number of that needs for 8 um I'm not a an expert on Code Compliance but but it is more about the ratio as it applies to Soul so there's certainly a code requirement in any parking lot you have for a minimum number of ADA spaces and it's just how that's applied to those spaces that have to land underneath the shade structure the other thing that happens and it won't surprise you is if perhaps you have an older parking lot that maybe isn't currently in compliance the the solar project will trigger a compliance with you and so again the impacts can snowball a

025little bit just beyond solving sort of the solar problem so if you don't have enough accessible spots what we find with our other clients this was happening up at Fremont unified with us quite a bit is they were losing a lot of regular spaces that they couldn't afford to lose I mean it was it was really becoming a big space planning issue for them on a couple of sites yes um regarding trees though you said minimizing tree U loss but is there actual mandates or is there like a replacement there's no ratio like this that's for you all to decide oftentimes we do work in school districts that have a tree replacement policy um and so if you have one that's districtwide we would certainly make sure that that any contractor will comply with that

026alternatively we often include one in the contract if it's just important to have something specific about solar y that's a very common way to solve the problem I have a question about the uh reducing the 20 % um when you talked about uh is it what was already grandfathered in what has been submitted already Yes it cannot be 20% less than what was already submitted and or any um more than what was sub yeah that's in reference to system size so the utility will check your designs throughout the process and if you applied for a solar system that's 100 kilow um and you resubmit for one that's 50 they will kick it back to you and say oh you need to start the application process all over again which has the effect of you're losing

027your grandfathering under the old set of policies so you have to be between 80 and 100 in order for them to keep your application um liable that's right now I I will say and we'll get into this more when we talk economics losing grandfathering doesn't mean a project won't work it just means we have to think about it differently and you're going to have fewer savings coming out of that project so again maybe the way to think the way we think about this oftentimes is a whole portfolio you know you have 20 plus sites out there um if a couple of them fall out of the grandfathering that's an impact but it's not it's not so dramatic that it sort of tilts the the situation to uh to maybe we shouldn't do solar necessarily but

028if all of them fell out into NM 3.0 you you'd really have to question uh you know we'd have to relook at what all the all the savings might be other questions about sighting now in this presentation I don't plan to to go through it all I do have to refer to the the draft layouts that we created for all the school sites uh if we want to look at a couple at some point or if you have specific questions we can go into that but um I wasn't planning on running you through 23 or 24 different slides on it unless you really want to then I'm Happ okay I'll move on to the the next topic uh with solar so so the next thing that that I wanted to set the stage for before

029we got into the the savings numbers is some of the procurement procurement and financing options available to the district relative to solar and and what we typically talk about is a power purchase agreement um versus a direct purchase of the system by the district these options are similar to but a little bit different to the options you would have for Energy Efficiency projects largely because this power purchase agreement PPA for short is a very well established oh that's cool that you can do that um it's a very wellestablished uh financing mechanism for solar projects and so we see a lot of school districts take advantage of it because they've got other priorities for their debt capacity so ppas are well understood for solar they're executed all the time um there are agreements that that everyone

030has seen your legal support understands them it it's a fairly easy financing solution um the most important thing about a power purchase agreement to understand is that a third party would own the solar system a third party would Finance its construction and then operate it for the term of this agreement the district's obligation outside of the construction window which I can come back to if we want to get into the details your primary obligation is to purchase all of the energy produced by that solar system and that's essentially it is they'll Finance the construction of it and operate it and for that you have to buy all the energy that comes out of it for 20 or 25 years so it's what's nice about that is that's all off balance sheet in a sense right

031you don't have to raise funding or capital or or anything else and if if the program is developed well that payment stream to that third party is less than your utility bill and so it's a net savings that's the whole thing we're trying to that's the target trying to get with that so that's a third party PPA direct purchase is more like any other project you would do um you would have to finance it somehow or other um and then you would have a Debt Service obligation for the term of that debt uh and you would be paying that regardless of what's going on with your solar system so uh I think I have another slide on this that might get to it more specifically this is same topic just a little bit more information

032one of the one of the real like important but a little bit complicated implications here is that under a power purchase agreement the R risk around how well those solar systems perform is really on the vendor the third party because they only get paid for the energy it produces full stop so if the systems are down or they have warranty issues a bunch of add modules whatever it is you only get invoice into the energy that's produced so that risk is on them if you own the system it's flipped if you own the system and you finance the purchase of it your debt service payment is going to be do regardless of what's going on on the ground with that solar system right so it's on the district to manage the performance of the solar

033system and make sure those utility savings really show up and that they're sufficient to pay for the debt Sur okay models for doing that absolutely this is what I always say about making this choice is is sort of go with what the numbers tell you like if you could purchase it for a lot less then you could get it through a power purchase agreement that might be a good way to do it they're third party contractors who do the maintenance on it you can get performance guarantees from the vendors you know there were contractual ways to limit that performance risk I'm talking about but if the savings were kind of equal the power purchase agreement obligates the district to do a lot less in terms of taking risk and making sure that those systems are

034are operating proper the other thing that's new it used to be if I gave this presentation three years ago I'd say the power purchase agreement is the only way for the district to take advantage of the federal investment tax credit program um which is 30 to 50% as of uh two years ago with the passage of the inflation reduction act that's no longer true so non- taxpaying entities such as school districts can now take advantage of the investment tax credit as counterintuitive as that sounds in the form of a cash payment from the federal government and so if you were to finance and buy a solar system you could get 30 to 50% of the vet construction value of that system paid back to you by Feds that didn't used to be the case so

035that's kind of a new thing that has leveled the playing field a bit as far as that goes going to pause for questions on this okay all clears yes sir have you uh encountered any issues with BPA where they were set up um the companies went bankrupt and nobody was taking care of it and turn into a just want to yeah I think I think I can say yes to almost all of those things that you just asked about um what tends to happen in a power purchase agreement is is if there's a bankruptcy the agreement is seen as an asset that is is is has value in the bankruptcy and liquidation process because it repres reprs an income stream for a pretty long period of time so so long as the systems are constructed

036and operating and then there's a bankruptcy someone picks up that PPA and then continues to operate the systems and takes the PPA payments if there's a bankruptcy in the middle of the construction it's a lot harder to unwind than if you bought the project because there's an entity between you and the contractor and so there have been a couple of cases luckily not on one of our projects where the PPA entity went bankrupt and the the construction was half complete and that took a very long time to get sorted um the big in our experience there was a big company called Sun Edison that went bankrupt back in 2017 maybe um maybe it was earlier 2016 and uh like most of the projects were already completed and it was pretty seamless but we had a

037couple of them for clients that that we knew of that were Midway through construction that were it was difficult to sort yes yes I so how long does uh does an average PPA rent um 20 to 30 years and we advise everyone to to be on the 20-year side of that range and the reason ties back to this net energy metering policy because even though we grandfathered you that grandfathering is only good for 20 years once the systems turned on and so what what we don't what's challenging I should say is if you're looking at a savings cash flow for a 25 or 30-year deal and everything after year 20 you don't know how to assess what the saving side of that cash flow is going to look like we suggest not to do that

038the upside of the longer agreement is that the the power purchase rate the amount you're paying the solar vendor is lower the longer the agreement because they're spreading all those capital cost out over a longer period of time um but you're taking on risk on the back end so we used to do 25y Year ppas all the time starting with this NM transition we're sort of pulling them back to 20 okay so and then the second part is so at the end of the PPA uh the panel so District owns the panels not exactly so the PPA is an interesting one because all ppas um all I should say any any good PPA any PPA that you would sign would have three possible options at the end of the term option one would be to

039extend the term of the PPA more or less under the Cur current conditions of the agreement that was executed for another five or 10 years and that that those are baked in two the diser could purchase the asset from this third party at the end of the PPA for or um an amount that would have to be negotiated at the time recognizing a lot of different things in play and we can come back around to those specifics but you can buy it or third and this is also in every PPA the the owner of the system this third party would be obligated to remove it from your property and that's baked in there so that's kind of the default if you can't come to agreement on what to do with these things or to extend

040it or to buy it get it off my property is is the answer and they're obligated to do so contractually if they haven't gone bankrupt yes stop them changing their name and actually fulfilling 100% of the contract that was first written up and it seems to me on the PPA that um I see companies changing names all the time and not even saying that they're bankrupt just like credit cards you may sign up for one of them but you get a whole different percentage when somebody else appliers those loans or whatever yeah that's that's spoton that's a good observation and many of these deals are structured to do that on purpose they they uh trade these assets these these groups of projects around um all the time and they buy and they sell them and

041there are a lot of murgers and Acquisitions and in fact even if none of that's going on you would probably contract with a party to build all your systems and as soon soon as they were constructed and connected to the utility they do what's called a flip and they flip the ownership of all those systems into an LLC a limited liability company set up specifically to take advantage of the tax credits for the federal tax credits so yes there's almost a certainty that you would see some name changes on a deal like a PPA um but then as you say you know like who's to say five years from that point or 10 years down the road what what the name of the company would be I guess all I would say about that is

042is that the assets the solar systems themselves and the piece of paper that you've all signed called the PPA have intrinsic value in them and so these parties don't walk away from right if if it may not be the same party but they'll sell it to somebody somebody wants to be on the other side of those PPA payments that you make and if that weren't true then you'd have systems generating Electric and you be getting utility savings and not have a payment to a party that you know defaulted on the agreement so there's not really I've never seen anyone abandoned under a power purchase agreement but the parties change all the time and you you may feel more or less well served by by that new party for sure yeah so the tax credit is

043only if we do the 3 50% tax credit the cash payment of construction value you only get that if you purchase it out right there there are two ways that works yes you get it if you purchase it outright and then that check would come to the district pretty straightforward if you enter a power purchase agreement those folks on the other side of the transaction they get it and so the theory is you see a lower rate from them but it's a black box I mean you you don't know exactly how that translates but the theory is they're monetizing that investment tax credit and you are seeing some of the benefits you just don't how much which is why I would say also you don't want to get into a power purchase agreement without going

044through a competitive process of some kind and making sure these folks sharpen their pencils because they're happy to just pocket as much of that as they can as you would expect well I guess you know in my limited understanding of business contracts so um you know suppose you know vendor changes hand or gets bought you know entities change right uh you know my understanding is you know provided uh that a valid contract is signed you know the terms that that contract you know just you know you clarify the terms of the contract still remain unless renegotiated right absolutely and all these contracts have an assignment Clause to that gives you at least some limited review and approval right over assignment because of the way this flip works a a district wouldn't get like cart blanch

045assignment approval but they have to go through a process they have to notify you you you have to give approval not to be unreasonably withheld although that kind of vibe about it so it's not under the cover of Darkness or anything but what they're in fact doing is is signing your agreement to another party and so yes the terms would all would all hold okay okay thank you to the same no not yet you heard of Lo yes I am providing expert witness testimony and one right now do happen yes thank you and I I would say just for not to be so flipping about it the context there is that the district entered into a power purchase agreement in 2016 2017 without the assistance of legal support or Consulting a support that was really

046watching what was going on and and they missed a different version of this NM thing and they've been losing money on their solar ever since it it just costs them more with solar than it did without and uh and anyway so it sort of spun out of control from there so the most important thing you can do with us or anyone else helping you or no you know is like make sure the terms of the deal make sense and the numbers that you're looking at are appropriately conservative like you need to ask yourself what if it didn't work out the way this vendor this consultant is tell what then and and that's what we try to help our clients improve okay all right other questions about structure all right moving on um let me do

047a time check okay I'm G to wrap this up not too much longer and hand it over to Curtis because we also want to hear about Energy Efficiency projects uh because there there's some interesting opportunities uh okay so as far as the the analysis the economic analysis is concerned um we looked at 23 sites across the district uh we um benchmarked how much energy they were using based on the utility uh data that we had at the time we did the analysis um and we identified about four megawatts of power spread among those those 23 different sites um which are consistent with the interconnection applications that I referenced that we submitted last year in April um and all of that together would offset 90 to 95% of the consumption at those sites um which is

048which is Just a Touch under 7 million kilowatt hours a year um in terms of characterizing the sites instead of showing you you know 23 slides this sort of summarizes how it how it Stacks up in a nice infographic um so I gave you some of those uh metrics in the in the table already you can see the distribution of system sizes in the lower left um one kind of largest s sit a lot of smaller ones okay and so that makes things a little challenges from the logistics and construction perspective and will drive construction cost up a bit you can imagine if you were building four megawatts and four sites a megawatt each big high schools that that would be a more uh a lower cost construction effort than a whole number of sites

049at 120 a or thereabouts um and then we have a little pie chart that just shows the uh the different capacity of solar by by type of site uh and again with with a majority of it being across the elementary schools which isn't surprise because you have a lot of elementary schools um the next amount being sort of uh middle schools and then we got theems and others making up other being district office for the most part um there's a big there's a good opportunity at district office by the way that's that's one of the bigger potential sites um okay so last slide and then I'll I'll show you the the numbers the economics at the highest level around solar is super easy to understand and and the the two halves of the cash flow

050are completely separable and I always make that point as strongly as I can your Revenue comes from utility bill savings and it has nothing to do with the costs okay once these systems are built it is what it is based on the production of the solar systems the cost is either going to be construction cost as financed by you as we talked about or a PPA rate one of those two options you simply subtract one from the other and you get your your net benefit or net savings um it's important to understand that because as you get into the program oftentimes we encounter uh vendors who will want a change order or something something's different and they say it's all perfectly fine your utility rates have gone up uh and you're still saving money but

051what in effect they're doing is they're making a grab at your utility savings Revenue bucket to feed themselves instead of allowing you to direct that into your general fund like you should so uh there ain't nothing for free I guess I would say um and we can push things around separately on both different factors affect savings versus the cost um feeling like this is too much detail these are the assumptions that we built into our modeling uh around the the the savings analysis uh and so we use a very conservative utility annual utility escalation rate at 3 and a half% uh I'm sure you all know that in recent years your utility bills have been going up at a rate much faster than that we use a small number because if we're wrong and the

052rate is higher your savings will be higher if we put 5% in there and we were wrong and they were was really 3% your savings would be smaller and and when we're supporting decision makers like yourselves we want to make sure that we're conserving and if we're wrong things look better not worse so that's usually our starting point it's another point we argue with with the vendors over quite a bit um and so oh we also assumed that the LA we we secure and maintain the grandfathering for all these projects we did model them under the more beneficial net energy metering program NM 2.0 as it sometimes refer to okay on the cost side these are just cost assumptions uh I don't think it's it's all that interesting other than to say when we show

053you the purchase option we did assume that the district would get the benefit of the investment tax credit that we're talking about is Cash payment so these are the results um and and again there there's an opportunity I would say right away to do some updating of these because we we produced these several months ago and utility rates keep going up and while I don't like to use big numbers or models to project future utility rate increases it's always good to use the most current data because you know your Baseline goes up right your starting point for for all this analysis goes up so things could look a little more favorable than this um but I I wanted to keep this consistent with uh kind of the last version of our deliverable um that we

054delivered a little while ago um and so what we're projecting for the whole portfolio is uh just short of$ 15 million dollar a benefit for the cash purchase and I can't actually see what it is for the PPA because this little thing is in my way I wonder if I can move it oh I can great uh in almost 22 million for the PPA yeah sorry see the key word is right it's always right under [Laughter] that uh and you know we we tend to show as I mentioned before we're a lot about like understanding risks and ranges and so that's why the graph has some shaded areas around those lines because we we do want to make it clear that that the results could move around a bit depending on cost you get resulting

055from a procurement or utility escalation rate so there's we want to show you kind of high and M ranges around both of those numbers but right now based on the numbers we're putting into our models it look cash flow positive from year one uh with healthy savings over time uh across the the P folders this is detail on that if you wanted to like really get into it I I won't go through it but what I like about this view is you can see the last column whether that's positive or negative every year so it just helps you see what's going on year to year um but it's it's consistent with the the prettier picture that I showed before okay uh so how do we do this uh what what's next for solar um I

056wanted to emphasize again the deadlines around nem are are a risk to the and a concern and and there's a real stretchy point we're reaching with the vendor community in terms of whether they can deliver programs of this size by April 2026 now and so I think it's important collectively for all of us to figure out if we're going to proceed how and with what element of the portfolio that we might move forward with and start moving because if we start moving in six months from now a lot of those projects will fall out of the N project program and it will pretty significantly impact savings so I don't want to paint a dire picture and I don't want to put undue pressure on anybody associated with this but but the deadline doesn't move and

057that's our reality is we need to be decisive um at some point in the near future uh about what we're going to build relative to solar and and I do want to recognize that I my very limited understanding is there are a lot of moving pieces there were a lot of moving pieces with the uh facilities master plan um there you know it's important for solar to build it on sites that are going to be consuming electricity for the full duration of this power purchase agreement or 20 years essentially any way you look at it because as I said you stuck with the debt service and so if you don't have savings you go upside down so if there's risk of repurposing s or whatever might happen within a district don't put solar where there's

058risk that you won't be consuming a similar amount of electricity as you were when you started because these are not easy to move and it's not cost effective to pull them up and put them in different places or just get rid of them um if we go through a procurement if we bring back a contract for for your consideration at some point in the coming months power purchase agreement or direct purchase it's a significant commitment of capital and time or or you know future payments that you're going to have to make so we should all be very careful um about that as we go forward so uh I think that's it for me um I'll pause there again if you have thoughts about where I finished and where we go from here but I but

059I also want to give Curtis at least a little bit of time I have a quick question yeah um in have you had experience with other entities that have had to purpose sites and they were able to BAC in or to embed their their systems in placeat and say Hey you can use site as long as you figure reconfigure use it keep it going in limited ways we had a client that ended up leasing a site to a charter school that had a solar system and they sort of worked it into the overall deal so that that it made sense and then we had one site that I think because of a bomb project they they had to relocate a single array not the whole thing and so they had to embed extra money honestly

060into the bond project Capital cost to to move it um and it wasn't cheap I mean it was for for one piece of the array I mean I think it was a half a million dollar or thereabouts I mean it's you can imagine right all the steel and the foundations and just it's a lot to move on it so if it's risky you know the way I think think about it is what do we give up by not doing a project there versus what are the consequences five or 10 years down the line we got to start finding a lot of money to fix it what are the aside from having certainty in terms of science what are the other major St block our barrier that we have to get over in order to put

061an RFP and um I think there are very few because we we've done all the work essentially you know in terms of stuff we would have to share with potential vendors um and so it's a matter of getting through that process as efficiently as we can so that we can the most you know one of the most important things about going through an RP process right is confirmation of the of the cost numbers we're putting into our model right I mean we we've been wrong it's rare but you know we've been wrong in the past so we want to validate what we're showing you tonight with with hard bids that that say it looks the way it does and so we're ready I think we're ready to do that if we knew what what the

062the list of sites looked like you know and where that risk is and you know some of that can kind of worked on over time so long as it's in wholesale I mean if we're start you don't want to go from 24 sites to two the vendors will say you know I don't know how to price that but if there's some some movement on a couple or some questions we'll go get bids for them all and and figure that out later so I was leaving to the next so if we were to have let's say 10 s sites already firmed up ready to go and these are the one that would be a start and then potentially yeah that's that's another way to think about it yeah and again you wouldn't be able to get

063them under M2 but nem3 projects you know the future nem thing that's a real way to do things uh you just have to think about the projects differently they'd be a little bit smaller um you might have to add batteries to them to get them to work but that's absolutely a path for and a better path for than taking a lot of risk putting solar places where where it might not belong and then the switch have to go on in 202 April 2026 or like has to be operating but PG has to interconnect it so it's not just getting the contractor to to build it PG has to come around the other side yeah yeah yes you you had a question yeah so the you know like there's such a big difference between 30% and

06450% tax credit under the n two and N N3 does that make the difference in the amount the district would get that um they're they're totally separate policies so when you think about tax credit and NM they're they're separable they're completely separable and so what the tax credit does is it just buys you down on the system cost the N is what drives your utility savings so can you give me an example of what 30% would bring in and what 50% would bringing uh let me put on my glasses uh let's see if we've got the um sort of oh this is only showing PPA I I'll look on my computer while Curtis is presenting I don't have in front of me what the um oh the purchase costs 21 million and so it's whether

065it be 30 or 50% off of the $21 million estimated construction costs that we have in the model that still doesn't answer my question of what is the difference if we were to V if we were to decide this way or that way what would get us 50% and what would what what qualifies you for 50% verus 30% okay so 30% is the Baseline there are two 10% adders onto that under the new federal regulations Adder number one is a domestic content Adder that says if a sufficient portion of the equipment and materials used in the system and it's 40% or sourced domestically you get a 10 % bonus in that ITC the second Adder is whether your school district lies in what they defined as an energy Community which is sort of a a

066um environmental justice term to mean disadvantaged community that has had additional impacts due to energy infrastructure like refining oil refining and different things that that impact uh communities um and so if you fall within a certain map uh then you get another 10% so would us not being able to get um good um what should I say like the 5G in some spots it doesn't work would that qualify for the energy Community disadvantage we'll we'll take that away and I'll look at the published Maps uh of what defines the energy communities and and we'll bring back an answer for you I I didn't do that research before tonight based on our experience in other places in the Bay Area at least a portion of the district I believe is going to qualify as as an

067energy community so when you say Source domestic domestic C oh my God so domestic okay yeah so you're saying that if we were to do housing it would qualify housing yeah I I don't teacher housing would that qualify no it's all about the solar system okay this is this is an energy specific tax CR so only relates to qualifying Energy Systems so the components of the Energy System must be sourced domestically doesn't matter what building you put it off okay so that you called it equity and Materia or what did you call it um domestic content requirement is one and an energy Community is the second 10 and each of the 10% bump on your investment tax credit eligibility okay thank you welcome man okay uh just to clarify I Source domestically is that isn't

068that akin to something like bi American uh provision it's similar conceptually the requirements as you would expect are very specific and a little bit Arcane in terms of what that means and so there are different percentage requirements for things like steel and iron which is 100% uh and then they have for for for assembled materials assembled Goods products it has to do with with how deep into the supplier sub supplier Sub sub supplier value chain that you're going um and that's mostly about modules to be quite honest because when you think about a solar system that might get built for for you folks here Steel's going to be domestic it's all fabricated in California um the labor is all going to be domestic the inverters which is the other big sort of system cost it's

069easy to Source domestically there are several suppliers not an issue balance of materials which is to say AC panel boards you know electrical down boards wires conductors you get all that stuff domestically so it's all about the solar modules okay is what's left and so that's really the nut that you got to crack and I'd say you add up all that other stuff comes very close to 40% depending on the specific project so it like we're close we're close even even if you don't do anything special on the modules it's very close yes you mentioned that BSA already has three companies that are free approv off for the carport structors can we get those companies tonight certainly they are uh you want me to tell you right now sure it's easy um they all kind

070of sound the same though so the first one is MBL m is in Martin b l the second one is called M Bar C and that's spelled letter m b a r letter C and the third one is Tiger like the big construction company that does work Statewide those three Herer e e i c h e r t I think we're engine I never did well in spelling be yeah I think that's it so so it's those three tyer Kurt Kurt t i c h e r t yeah and and again we see those up and down the state building building the carport specifically for scho all right we we let the smart guy take over for a little bit because I'm all talked out all right Curtis is up for Energy Efficiency good evening

071everybody I'm Curtis Schmid I'm the uh L litzy energy person here every love solar we get to the efficiency stuff it's not always as exciting you don't always see it but uh it usually pays back better so when we do these plans we're usually uh looking at Energy Efficiency first Russell had mentioned some of those outside drivers sort of flipped it around but we were able to manage kind of how we approached this to ensure the best value for the district overall and that uh we found some Energy Efficiency projects that can be done they don't really impact the Sol that we would otherwise have uh um recommended in the sizing those two do duv tail very well together so what we usually do when we first start our Energy Efficiency work is we Benchmark

072all of your sites uh it just gives an idea of what uh each system each s excuse me each site is using and whether's heavy on gas use or electric use or light on either one to know what the Energy Efficiency opportunities are it sort of helps you see where each of your sites stack up to each other what we've done is just a heat map here kind of shows the R are the the high consumption uh uh sites and The Greener the better so sort of gives an informed view as we go into doing the Energy Efficiency identification and project identification another way of looking at it is sort of to give it context and we had a couple of of sites where we uh as examples and kind of the observation like this

073office has a a high eui which is energy use intensity uh for both gas and electricity that's what means there's probably a lot of savings opportunities here is because there's so many different systems are spread out you get down to something like uh the Chavez who have a a higher than average gas eui meaning there's a lot of gas use there represents an opportunity for perhaps for decarbonization to reduce that gas use turn it to electricity cleaner for the long term um so this kind of gives you some ideas of what how it informed the field that we did we did go through a really robust project identification process um as Russell mentioned we kind of got kicked off on this fact in h 2020 uh we did a lot of data Gathering and benchmarking

074that I just showed you there I we used uh the uh asset inventories that were being done as part of the facilities congestion assessment your master planning to leverage an understanding what the sites all were and what kind of systems were there and then we went out and did uh site visits to confirm the details and sort of our understanding and gather the specific information about the School site that would help frame up the savings do a lot of engineering analysis behind the scenes engineering calculations for most of our uh projects we use again like we do in solar we want to do very conservative estimates so we're not over promising savings uh we use the existing equipment and a proposed equipment and very concern ative assumptions just give you an assurance that the savings

075would be real when we come uh time to build the project and and see the reap the benefits we also use what's called a database for energy efficient resources there's some measures in there that are very standard like ovens and kitchens and schools somebody's gone out and figured out what an average oven you know consumes in a school uh same thing with water heaters and a few other things like that and so but those are really well established are some metrics that we can use that apply to the school sit and use the uh historic consumption and costree site and really fine-tune it we balanced everything we did uh on the historical site consumption and that Benchmark data that I showed you so we calculated the Baseline energy use for all that systems everything that

076at school site and made sure it's sort of balanced true again make sure that we're starting with the right starting point give you some conservative estimates of savings we did look at the current utility rates um we really analyzed what the current tariffs are by each site so each of our projects that we're recommending we not recommending uh are tailored to the specifics uh of each site cost estimates are based on on standard project costs uh and some recent history uh because this District did some lighting projects back in 201819 under prop 39 we did use that to inform our cost been escalated since um and then with some measures we did approach them different okay there's there might be more than one way to solve an energy problem uh and you can't do the

077same project of the same set of equipments more than once necessarily so where we have measures that we I broke them down to be the primary and ultimate measures I want to get this concept across a little bit that's important when we talk about the the recommendations going forward primary measures were kind of the simplest approach to provide the most coste effective uh savings to save energy now the alternate measures might affect that same piece of equipment but probably involves something like electrification where there's a lot of um infrastructure requirements and upgrades and other things that are going to best be done down the road when you're modernizing a building anyway so rather than go in now and then modernize the building in four five years we' rather you do that modernization in conjunction with

078the de with project so there sort of the primary and an ultimate measure approach that make sense questions on that we did economic calculations we really just used the simple payback for each measure as sort of the the litness test of what uh measures were recommended all the primary measures we did use the full cost and what I mean by that is full cost of project to actually go out and get it constructed today because you would be spending all that money to hire a contractor to come in and change the lights or change an air conditioning system the alternate measures because we're recommending that those be done in conjunction with a major renovation of the school site we look at what the incremental cost is going to be you're probably going to replace the

079hbac anyway let's what's the extra cost to make it all l so that's an incremental cost at that time you just spend perhaps Bond money or some other funding source to modernize that school what can we add to that to forther Value uh provide value to the district get savings so there's two different cost bases for those types of projects make sure that that's clear uh all of our project savings are done as Standalone projects a lot of times once you start putting things together the hbac does affect the lights affect the HVAC whether the electrification all these other things kind of come into play but we've sort of ignored say it's not the right word but uh We've really ignored the interactive and cascading effects of these projects so you can consider them eacha

080the individual project this time very uh it's kind of standard at this phas to consider them that way so we don't know how we'll bundle them together and the savings will change just a little bit between them it really depends whether you consider the lights to be done first or the hbac to be done first so but at this point we've kind of they're all Standalone measures and I will point out that the primary and Alternate measures are generally mutually exclusive you wouldn't do them both to the same piece of equipment just wouldn't be cost effective want to be good stewards of of the district funds and go forward with the smartest set of measures that we can any questions so far so what do we come up what kind of project do we come

081away with uh we came away with about 25 measures across all the school sites uh this is a list of them I won't read through all of them but the high level categories lighting is the big hit it's the uh the lowest cost and we'll give us some economics a minute hbhc projects is the other major thing all your hbac equipment whether it's Ro toop units or wall air conditioners stuff like that uh boiler Replacements there are some schools that have domestic hot water heaters and boilers that are uh uh gas using so we did focus on that because decarbonization is sort of a was a focus for us here uh and then controls and energy management systems you do have some energy management systems and there's some opportunities to uh install programmable thermostats where

082things are failing get into that in a minute and then last thing is the kitchen equipment again because there's a a high opportunity for decarbonization electrification in kitchens we looked specifically at those the underlined measures are the recommended projects when we get into it uh so as I mentioned LED lighting is a big one and then some uh heat pump Replacements uh and mini duct systems stuff like that on hbac and then really it's just uh down to installing smart thermostats and dishwasher Replacements in your kitchens and I have go ahead um is there um the centralization of like um I Haven what any EMS is but I'm guessing sort of there can be like a central place to control ther St that's not on site versus one yes is that that's what an EMS

083is an energy management system the district does have a couple iterations of vintages of energy management systems and we looked at them unfortunately the payback on that alone is a standalone project would exceed the life of of the measure so we're not recommending it as a recommended measure but it was evaluated uh what we recommend instead is is integrating it into a district standard and as you modernize the buildings you're going to touch the hbac anyway do the do the uh the energy management system at the same time to bring it all to current uh the latest gra version okay so it's on site control correct correct like Central in the central plan theice control it basically yes right I do have details on all these measures as backup slides but like Russell said won't

084bore you with 20 slides and there's a particular one of Interest yes you have a question can you identify which school sites condition poses an electrical Hazard safety hazard and which school would you uh modernized ver the uh the condition assessment that uh that LPA did and veras veros baros is name did the facility condition would have more of that than we do we looked at the Energy Efficiency side of things and what it would take to be more efficient not the safety side so no I I don't have those so you wouldn't know the safety conditions in any of our school sites is that what you're saying that's not this the focus of our study no the facility indes assessment did any other questions thank you yeah all right the recommended measures as I

085had mentioned um really were to do the lighting upgrades at uh at there's the difference between our led1 and led2 tier there is uh led1 is a whole site and led2 with some targeted limited um uh projects and those have paybacks in the four four to nine year range the The Limited one was a little bit longer it's smaller but 4.1 your simple payback on the lighting project is pretty good one so that's our recommended one of the recommended measures upgrading to tier two commercial dishwashers in your kitchens uh that has a 3.8 year simple payback definitely worth doing then hbac projects that are like for like measures I'll use that term kind of loosely and that really is is replacing a piece of equipment with something fairly similar doesn't require a lot of of

086infrastructure electrical upgrade or a structural upgrade uh and so where we can do a like for like it's pretty cost effective we would want to do those uh you can do those now as long as site's not going to be modernized or that portion of the site's not going to be modernized within the the simple payback of those projects which tend to be in the 10 to 20 year range any of the hbac projects that would require uh a deeper dive like the electrification project where you got a wall furnace here and a air conditioner up there we want to integrate those two systems into one and those are things we recommend be done during the modernization project spend the money do it all at that time rather than try and do anything ahead of

087that so it's a distinction between like for- like measures and the ones that require heavy infrastructure uh component and then the last one was installing districtwide programmable thermostats um there's there are some sites that are not on the EMS and some sites even within sites that are no longer on the em Ms and as those uh fail we would recommend putting a programmable thermostat that can be controlled at least by District staff uh to maintain the energy until the district the district site is modernized you can upgrade the EMS so all in all we did find around $1 million worth of projects that has a payback of just under 14 years carbon savings are also showed there for reference we're evaluating Department savings we did come across a lot of measures were that we investigated

088but not recommending um and that basically are the the longer payback projects 30 40 years would extend would be beyond the life of the equipment that we would be installing so at this time we wouldn't recommend those necessarily what we do recommend is when when you do a SCH modernization is look at the incremental cost at that time to bring those up to the most efficient units possible and consider that incremental cost to add value for the district next we did looked at the deeper dive on the electrification measures decarbonization unfortunately because today gas is relatively inexpensive and electricity a little bit more expensive on a per BTU basis most of these don't have a payback meaning that it's going to cost you more in in your energy bills uh to Electrify something so really

089recommendation for these to Electrify a boiler or an hbac system or a uh heating hot water pump um or heating water water heater sorry we recommend looking at those for carbon savings only and climate goals any questions so far is is there some sort of a credit tax incentive that we're getting as a result of um do another part Carion or is it just for for saing plan it's for uh policy goals at this point there there is no monetization of the carbon um that we figured into this sometime in the future that very well could be you know something that that comes to fruition but we're not seeing it monetized well enough that we're recommend assigning a value to it at this time in decision- making process any other questions there any sort of

090like uh systems that are both that run onck Elric you flip Elric vehicle I have um not not too much uh I mean there there are some business opportun there are some systems out there and some kind of there are some uh up and cominging uh newer Technologies and we don't always recommend the kind of the uh the groundbreaking stuff because it hasn't been proven and it ends up leaving the the maintenance folks with nightmares to try and keep up and running but there are some products out there that use um you know solar to offset some of the the the uh the energy use of an hbac system you know whether that's going to do better than putting solar and an HB system we don't think it's you know quite as proven yet so

091we don't really recommend this thing there are some uh some emerging Technologies out there any questions all right so our recommendations uh you know Russell kind of touched on the the solar I can touch on the on the Energy Efficiency part we really recommend those recommended measures those are ones that make sense to do now they have short enough paybacks that they'll pay back before you're going to modernize a building probably do want to do a mo a check on timeline to make sure that we're not creeping into a 10-year simple payback project on a site that's going to be uh you know got renovated or modernized the next five to seven years uh and then consider bundling any of those longer term projects uh like the electrification when you do the modernizations that's kind

092of the the two paths forward that we would recommend okay any other questions from me yeah not thinking about a little than you um two questions one just who benefited from the who benefited from oh that's a good one um is this a public meeting well let let me try to impartially describe sort of the policy argument in just like 30 seconds okay um so the the push back against the old or existing set of rules came from the following perspective that folks who were implementing solar were were getting too much value for the energy that their solar systems exported to the grid and because of this um they're utility bills were dropping too much and that money was being made up for from folks who didn't do solar who in general are of lower

093income than folks who are installing solar and so a lot of these arguments were were focused on the residential sector more than commercial like school districts um and so the thinking goes in literally what the policy does it's all about that exported energy like if you put a solar system in to one of your school sites and it was size small small enough or your school site used enough energy like we've got a client in in Silicon Valley right that runs some huge manufacturing operation you put a solar system on their roof and it's going to cover 2% of their annual load they will never export one kilowatt hour of energy out on the PG's grid so none of this matters to them the ne whole nem thing doesn't matter so if you're not exporting

094energy it looks just like one of the Energy Efficiency projects you know kilowatt saved or kilowatts earned you know know um and so n was created because solar's funky the way it works right it produces energy when you're not using it and instead of installing big batteries you can just push it out onto PG's grid where they can use it and that's what's created all per so the policy change devalues those exports instead of being the same value as the energy you're buying from the utility retail costs it resets the value with the marginal wholesale cost of energy to the utility that time during the day so if your solar system is way over producing in the summer when school's not in session in the middle of the day um it just so happens in

095California that energy ain't hardly worth anything the the utility doesn't have to spend very much to buy it because there's been so much solar installed in California that the marginal cost of energy in some of those Peak periods is very small in the spring it can be negative because there's so much solar putting out power so they don't reimburse you for it anymore and so that's kind of the equity argument and so that's why if you were to redesign you know reimagine your solar program under the new energy metering rules smaller systems attach to batteries so you're not pumping power out to the utility so that was the argument and it was successful that it's an equity issue um my second question thank you um is around just going back to the tax credit issue

096and um you had said obviously the direct payment that's a direct you know into our pigy bank directly that we would see could could a PPA RFP designed so that we said any any tax credit that you brought in you would need to see line items monetized in the way so like kind of RFP redesigned so that we see that we could sure make a run at it I haven't done that before but that's more like a reporting requirement you know rather than a transfer of funds if I'm understanding your your idea there um yeah you know back to you if they're going to have it help their bottom line we just want to see right yeah see the you know documentation of the transaction or the where how that credit yeah I think it's

097a really interesting idea and and I would be happy to Ed that into an RFP that we did yeah you don't see any barriers to that other than getting real accurate numbers I mean these folks all consider their their models and transactions to be pretty proprietary quite honestly and so we can get them to fill out forms that declare what those movements of funds look like at a high level but are they going to show you the receipts yeah oh here's that we yeah yeah some kind of Declaration on their part might might be possible more than yeah okay yeah interesting thought though I I thought you were gonna say can you have them deliver the money to you and then I'm like ah that is nice thought but yeah in doing so wouldn't you

098also limit the scope of the potential um what you're G to respond to I I see that is limiting because I I don't see why they would want to share more money or invo when they're going to be the third party depending on how the requirements written it could or could not like I said these these companies have different they're differently proprietary all that stuff some are better partner than others as far as that is concerned so that that would be a risk yeah thank you any other questions or comments um I know it's on for information only President do have to be open to public comment thank you I just was wondering if there was any other questions on us since they're up here okay thank you I'm GNA go ahead and open it

099up for a public comment should I take this off of the screen share now um I think our staff will take it off yeah or yeah I'm cheing yeah he's coming support with that thank you all right and I'll open it up for public comment at this time any members of the public wishing to address the board on this item okay seeing none all right we'll move on to item 202 uh approve resolution 52232 24 outdoor Equity grants program Grant fund okay thank you board president um it is recommended that the board approves this particular um resolution so that McCullum Elementary School can submit uh their outdoor education um program application um by April 26 uh they were just notified of this particular uh piece um just recently and so so um I'd like to

100recommend that move to approve okay moved by trusty fam and second by vice president Gino all right um I'm going to go ahead and open it up for public comments first and then come back uh to questions and comments from the board any members of the public wishing to address the board on this item we can come up to the podium okay seeing none we'll go ahead and uh come back to the board trustee Travis both one two and three and four they mention for one number one the sufficient funds to complete the program two and three they're talking about the sufficient funds again then on four it says payment requests would to be necessary for the completion of the grand scope how much money are we talking about um the school is applying for

101a total of 327,00 50 over the course of three years so that's uh roughly a little over 109,000 per year in Grants in the grant money so what payment are they requesting here number four it says um in the middle of the paragraph and payment requests which may be necessary for the completion of the gr scope what payment are they requiring um Mr FY do you have have um do you have that clarification for us and I think it says payment requests so what did even board members yeah good evening superintendent um as as far as uh we're applying uh for grant for $328,000 uh to basically uh support um bringing on a a part-time instructor who would actually lead lessons uh science-based lessons for the new generation science well align with the new generation

102science standards U with the different grade levels throughout the school year um and this grant is uh through the states and Recreation Department um and so I mean we the the grant looks strong and it looks like we we'd be able to obtain this um but but yeah we're looking at bringing in a part-time instructor teach these uh these lessons that are aligned um with the science standards throughout the school year there's a specific Focus per grade level for example Kinder in first is focused on pollinators and the um web um and watersheds permaculture different aspects of ecology and the environment and to really support our students with to have a better understanding on how to take care of the environment take care of the earth and to be real stewards as far as U

103having being you know socially conscious of their uh their role in in in creating a strong environment for uh for for our community um so yeah can you give me a dollar amount on the payment request that it's talking about here I yeah I can't give you a dollar amount I'm not I'm not sure exactly what that would yeah uh c yeah if I may clarify the request for payment is most of these grants are based on expenditure basis and so we would have to do reporting to the state and then they would reimburse us on whatever's been incurred so whatever that total Grant Mount is is what it is but as a ongoing basis we would have to provide the report and then request for the payment and then cdes would reimburse us so

104it's not us paying them it's them paying us yes but it says that on a payment requests that means that they're asking money from us actually how much I think he just explained that first he just explained that uh uh trusty Chavez it's a payment request that we will be submitting as a district based on the work that whether it's a shed or a teacher that showed up for 20 hours so a payment request EST EST up to the amount of 327,00 uh it might be at one lemon because all the program was done in one week or what I mean but it'll be payment requests that we're sending as a district so they can pay us back so you just said 37,000 327,000 and he said 328,000 I just wanted to know if in

105the future we can put a dollar amount on every item that we will be voting on because this was very vague and I understand that sometimes you have to submit these things in order to get the money back but I'd like to know from the GetGo before we vote on anything how much every has C in going forward thank you and so just uh sorry just to clarify and I'm not I'm just saying for the Public's sake I just want to clarify that this is not money that we're spending this is money that we're applying for to get on a grant uh trusty for Shelton thank you um is um this a program that if we W do are not awarded the grant that means we're not uh we're not administering the program right we're

106not participating right right it's only if we get the revenue only if we win this only we're awarded right and then I guess in my mind I'm thinking this is more like an invoice type situation where it's like we bought pollinators and then we say we bought pollinator please pay pay us for the pollat but okay I feel better because it's a it's like Net Zero to us it's only Revenue that we're going to generate and expend only yes only if we're awarded the the grant any other questions or comments okay thank you oh there so for 327,000 327,00 50 over the course of three years oh okay is there a reason why we didn't put that down in the resolution like flexibility I'm just saying seems like probably more comfortable putting a number down

107so I can give the um Grant scope cost estimate form to the board um I this this was the um proposed line items uh and just to give the board an idea um some of these activities are what Mr feny had already mentioned in addition to field trips and um that part-time uh person uh to help administrate or garden coordinator I'm sorry that's a part-time Garden coordinator um we we followed the um the the language of what the California state parks um had given us and this is also the same uh uh language or similar language that we had also submitted for the Russo mckinty um Grant about a couple years ago now two years ago so followed that format and we followed the um parameters of the of the grant for this resol work

108guess but I can give you I can give you this as well and I think I'll get to you all both in a little bit thank you so much uh and thank you so much for applying you know I think this is a great opportunity for our students in our community so hopefully we get the grant uh you know we always want uh funding that to come to our schools um and I think just based Maybe moving forward and others not you sorry uh Direction sounds like what would help our board is if we just saw an amount for how much for future hopefully there's you know so much money coming to our district that we'll have many more you know grants coming our way uh Grant funds and so just you know uh to

109know that amount and maybe an additional um if it's not in this because this is probably what's sent directly with the grant but if there's maybe an additional information for the board for us to know how much the amount is okay um so make it clear for us to understand the amount and then I saw trusty Flor Shelton and then trusty CH thank you um and then I'm assuming like if uh if awarded when it's time for like field trips and all that that will be all you know in our whatever the approval is for field trips right we'll see our yes right show that it's gra anded um could the maker of the motion just add you know that the Grant amount is approved up or the Grant application amount up to 32795 327

110327 950 yeah just for the record that's exactly what I was going to ask for so than you okay are you okay with that trusty P well just one question you know I don't want to preclude the district from ask you know applying for a larger Grant so you know is there just just to make clear is this it in terms of the dollar the proposed dollar amount this is the proposed costs under the grant that the school is asking for which is much less than what Russo mckinty had okay um proposed which theirs was around 700,000 at the time that we applied to two years ago so can the motion be and up up this is their propos proposal truste Chavez it's so if we are awarded cross fingers then that is that is

111it okay yeah I wish we could do more after the fact hey I'll just St the amendment yeah okay for the amendment of the amount all right U so any other questions or comments before we take it to a vote second second do you accept that uh yeah and I just U thank you to everybody who's involved in these to equity grants I think that's in line with um some of the work that's been done by in our community push for our kids who are in more urban areas to have access to um outdoor activities to be exposed to um the environment things of that sort remember that um a while back there was part of a a a fight to get into the East Hill Neighborhood at Park and I was working for at

112that time and it list did some really nasty horrible you know issues that and are brought to light this this this huge discrepancy this huge inequity that exists between kids who are locked in their neighborhoods because they don't have access to fancy cars to go out there and take advantage of these natural preserves that are Miles and Miles Away deep into the woods to get out and commune with nature or whatever as other folks do and you know it really really brought to light the the differences that exist in our own County where folks are voting for projects to tax themselves to go out there and support areas that they might never be able to go and visit uh because they're in their neighborhoods they're low-income folks um and so I'm really glad that we're

113doing that uh and thank you all for bringing this into our schools and uh educating our kids about you know accessing uh the environment with inter sites if they can't go out to the woods and commune with nature out there then you know we bring nature to them here School sites okay thank you all right um all those in favor please show by raising your hand all right motion passes unanimously moving on to item 203 uh the board will provide guidance and set parameters regarding the comprehensive budget solution plan um so I know uh board vice president GTO um requested this um and before uh I pass it over to see if he has any particular questions or um guidance uh just it is sp from getting receiving a letter from the Santa clar County

114Office of Education um as we've discussed in regards to uh as a board um looking at our budget and ensuring that um we are uh financially stable um and that uh we see where our budget is going but um after forwarding that letter um to my colleagues I received this uh request from vice president GTO I'll go ahead and turn it over to you at this time yeah uh thank you for for sharing the letter with us um I had intended to reach out in advance of that uh to see if we could take some proactive measures instead of waiting for the next board meeting and so this meeting actually helped helped helped address that issue that way we don't have to have multiple meetings and thank you for uh uling in this and uh

115thank you for our colleagues for listening um uh by the way um I've heard from other board uh other Bo other districts that we not by ourselves that there's a heightened scrutiny scrutiny of a lot of districts and that we're in good company with a lot of folks out here in the east side Alliance Peter District area um but um yeah I I think that we can take a page from the exercise that we engaged in for the workforce housing project in the committee uh is start looking at the uh I don't even know how to phrase it at the to set up some parameters that staff would be able to look at and get guidance rather than just simply let's figure it out and then give them something I think that we all intrinsically

116know that there are some areas that can't some some sites that can't be touched because of the fact that they just got built they just finished pay for sanona for example uh it would make no sense for us to look at uh the new San Antonio site um and there are areas that are at the last schools in a particular quadrant of our district and that it would make no sense to go ahead and Target them under normal circumstances maybe our our our our Middle School sites also probably would make no sense either to to Target so um the idea was to have a conversation here without the constraints of a large a very very heavy um agenda so that we can begin to have a conversation staff could take note of it and then

117and then eventually bring back some ideas that are that align with what we've discussed and so that was the whole purpose um looking forward to hearing the comments from our trust your FL thank you President and Vice President ketto um I think I did sit on that committee when we were kind of developing the criteria before I had to cycle off because I got appointed here so I do recall that process and um it does just give a framework right for everyone to kind of know and this was kind of my concerns at the night of um the aptitude conversation which was sort of you know so people kind of understand the general why um around and and there's so many there can be so many factors right but um we want to put things

118on balance in some way so um I didn't quite hear what you said about quadrants but I did you say the last um there are some some areas that have very low presence of alrock school sites in certain parts so let's say that you're at the very far south um okay then you know you wouldn't want to leave that area without and then all of a the inter distri the interdistrict transfers start happening to our neighbors and we wind up with last okay yeah and I just um yeah so I was thinking um along the lines of quadrants because I think that feeds into to sort of the issues we were concerned about with um walkability with access right are we making people cross full-blown you know Capital Expressway or things like that that would

119be concerning and probably a detriment to you know um enrolling in you know uh um that school so quadrant um I was also thinking of um you know the Deferred maintenance plan um you know those schools that potentially need so much investment right that um you know couldn't can we consolidate our investments um in certain places um I just want to really name something that I was concerned about that I heard from the community before and would like to sort of hear everyone's thoughts but like the whole performance issue I really was concerned about you know people uh people members of our community parents who all have valid you know um opinions but in terms of of using performance as a criteria I'm I just want to say I feel really concerned about that and

120I like not sure if that's a good um metric kind of to use but I just wanted to bring that up because these are the things we were kind of hearing that night as to um you know close that school because of this and that and I just it concerns me right it concerns me so I'm just kind of bubbling up um the things that are clear to me versus the things that are less clear to me as [Music] factors justy B you know uh in addition to that Madam president you know I would also wanna uh schools with special programs that we want to preserve should also be taken into consideration we want to preserve programs that uh a help boost enrollment uh and be you know uh programs that uh you know certain

121schools uh have a specialized skill at you know we want to make sure that we're able to provide you know for example to provide for our special education students as well as uh um you know preserving technical capabilities uh you know as well as uh you know uh you know and since uh we're on the subject of deferred maintenance uh you know it would be that uh schools with more recent you know we need to you know take a look at you know uh PRI you know where we are able to preserving schools with more recent facilities improvements in order to uh preserve those benefits for our Stu you know to the extent possible for our students going forward thank you trusty fam and I um I was also thinking of the time we had

122that meeting um and you know the time that we had with the committee and then members from the community part of that committee which is when uh Andre you were on there um and I'm wondering just as a thought because I think it's important you know looking at all those and talking about um all those uh with it the time it deserves I don't know if you were thinking of going to the schools right now or also um my understanding too is uh trusty Chavez you had an announcement about the budget committee and um I think at this time is it only you as a trustee that's chairing that am I correct to remember there's only one yes um and I don't know if any of my colleagues would be interested in maybe being you

123know there and if that would be an appropriate place to do that activity like we did um where we had you know the schools on the walls and then we had uh the time to do that at length so so I don't I'm just starting it out as a a possibility or do we want to do that as a board I'm just putting it out there I think it would be good trusty Chavis I think it would be good to First have the uh budget committee and um I did talk to Dr alasan about a date on uh May 28th it's a Tuesday at 6:30 to have the uh the budget meeting and also from there um I know that to reach out to unions as well to have their representation there and some teachers

124and I have two teachers that are already volunteer um as of the last time but um the budget committee never happened so it it is going to happen this time and um if there's any other stakeholders that want to come come and join us you know please feel free um and I was going to reach out to um Miss Sandra to let her know we just came up with a date this yesterday I think so um and and I and I did ask Mr P if if uh you had spoken to him already Dr and so just to let you know if you can um maybe ask him to to help with some of the information that we be okay saw trusty thumbs no I the second you know I guess first question uh do

125we have a second member of the budget committee I don't recall no she just confirmed it's just her just her so I just invited any of my colleagues who might want to join her okay the only other you know and I would offer this as a suggestion to my colleagues is you know given the you know the you know I I'm going to say this up front there you know this is going to be a a hugely politically charged issue especially in an election year and uh since uh if it's going to affect all five of us I I might suggest that maybe we should con you know might uh given the political implications maybe we should consider something akin to uh a committee of the whole to you know uh regarding this meeting and

126I I I am putting this out as a suggestion at this so so uh you know I you know uh for from for what it's worth you know I you know personally I do think that again this is huge you know I mean this is my you know I I would say hugely unchartered territory so uh given given the stakes you know it's something that we we I think we ought to consider seriously thank you TR vice president GTO I think we're here and we gave direction to last meeting and I'm assuming he's working on stuff and you probably benefit better for us giving you more information correct rather than holding off to the 28th or setting up some other board meeting I think more dialogue here would give him the ability to come back

127with a better better recommendations that am I accurate my my assumptions yeah I mean we're diligently working on it um and I think some Curly from the board would help um you know kind of Define um what the parameters are so that we can be focused on on the board's priority sorry go yeah so my suggestion would be for us to to identify the the sites that we think are would make absolutely no sense to and then that would give more freedom to C super to come back with recommendations that uh he and other staff members would be able to put together based on everything I was mentioned already the the ultimate sites are uh the fact some of them we haven't put in for example HB systems it might wind up making more [Music]

128more natural recommendation more SES to recommend Asos to trusty FL Shel she been sitting PA thank you um I uh regarding trusty fam's comments I agree with you on like the the whole conversation I do feel it could be like a twostep process though I personally don't feel um like naming schools is is where we're at like parameters and guidance to me feels like you know it's back to sort of what we do with Workforce housing I like here's some Criterion right here's some things to think about that we would prioritize for keeping or these are the things why you know so um and and that could be done in a committee or it's being done right now right then you know then that helps Drive the administration's recommendations to come back with sort of

129because at the end of the day it's a budget right it's like numbers it's numbers gain and then we would say how many how many schools are we really talking because those numbers every time I come to a meeting I feel like that number swings wildly right um so and I don't even want to name numbers or name schools um I really think and so when I say twostep we can either scrap the budget committee Alto together and twep it here tonight is the parameter setting right and then the administ ation comes back with sort of the parameters and the um that b is the basis of the number of schools um with options um like numbers of schools to close options I still think um like you mentioned middle schools I'm not sure why

130middle schools would be off the table um but I I do think again just to trusty fam special programs I mean our dual LAN anguage schools again it's not naming names but that's a special program that is one that it drives enrollment right so sort of just from that kind of bottom line kind of theory um you know again thinking out loud but at the same time I do think I agree with committee as the whole now less inclined to ship this off to two to two board members to kind of tackle um but do you think tonight I I'm not interested in naming naming schools and before okay sorry before I go to you sorry so I can say something because I think I went around at least once um I'm in agreement you

131know we definitely need to have that discussion whether it's today or uh whatever point I do feel that before the next board meeting is important I do think May 28th is a little too far um I think today's conversation is you know already giving some of that guidance like it says on the the item um and then for me it's important to make sure that we include our community so that it's not just today in the next month because and and you know we could decide to go that right I'm just one of five but you know I think it's important to include our community include our stakeholders um because it's going to be a decision that's going to be tough regardless and I think when we share right um all the things that we're

132looking at the amount of money that we're looking at it's not you know the the reasons why um and so I maybe an all board you know between now and next board meeting uh the next regular scheduled board meeting would be appropriate maybe to do some of that and dive deep to invite those stakeholders who want to have a say we can give them time and a date um that's just my thought you know when it comes to this I think it's important like it would be great if we could do it here and then next board meeting but I think we'll also miss our community where we didn't give them enough time to come here tonight to voice some of the these things and um invite our stakeholders trusty Chavez okay for one because

133you're going to close schools you don't just get rid of a budget commit that's not the way thing should be done there should always be a standing budget Committee in all school districts so that being said the closing of schools that's different the the budget committee that's looking into every everything into the where we could save money where we're maybe spending where we don't have to spend and that that should stay as the as it stand but if there is another committee that wants to do an audit committee then we have a separate audit committee and if we from there you go and start researching what schools you want to close then that's a separate one but you should keep both separate because you know what's happening over here and you know what's happening with

134the finances over here at all times so before when I was first president in 2019 we started looking into a lot of the finances in the budget committee and what was going wrong and what all of the repairs that weren't being repaired and so later on nobody wanted to vote for me to be on the budget committee that's fine but the thing is nobody stepped up to be on the budget committee to be looking at the finances and why are we here now 22 million in the whole because we weren't looking and following the money the whole time that I kept saying we need to look at the money we don't have all the money that we that is needed we don't have the Adas so to just scrap a budget committee I think that's

135totally wrong and keep it separate if if you don't that's fine one person should not be just chairing a committee and I would like it if somebody would step up and say hey I'll I'll join you don't have to show up to every meeting but you know what at least the committee is going and the other one would be an ad hoc committee because we're not always going to be needing an AIT committee and and and to be seeing how many schools we're going to close that should be the at hoc but it should always be a standing budget Committee in K thank you Linda yeah nobody I think was saying to cut that um and actually I believe uh trusty actually she Rose her hand to join you yeah can and well this is

136what I saw I saw your hand raising to join her in the budget commit um was what I saw is that yeah so um I'm sorry my rambling Point what I meant to say was um instead of doing because what I heard you kind of throw out there was like the workforce housing committee do the parameter setting in the budget committee and I think there should be a budget committee and that should go on but not not not I don't know what I use but basically no no no so no not do the parameter setting in the budget committee that's that's what I thought was being um suggested and so I agree that we should be having these conversations um as a committee of the whole at the board so my my what I was

137thinking is we're starting this conversation tonight we're giving direction to the administration the administration's gonna come back and I support what you're saying is because we need to do this as a regular board meeting that has Community input right regular public comment and regular you know um reactions to what this criteria looks like I just meant to say not do it in the budget committee not disband the the budget committee okay thank you uh vice president GTO well um I think that there is one uh and the fear of not meeting schools actually it's fine for the purpose of having not having people come in and say well you did it without it but there's one for example can T brand new we just built that we just paid for it it would make absolutely

138no sense and I would be very comfortable giving Administration Direction saying don't touch that school because they can't it doesn't make any absolutely any sense to touch the brand new SP school and it's we can agree to disagree or but that's fine um however uh rather than spending another 45 minutes to whether or not we should meet or not I think we should spend at least the next half hour giving a staff Direction and then possibly set up pre me before our regular next regular board me that's well advertised that allows us to really go into and allow staff to bring back ideas thoughts in open form that's well uh advertised to everybody or we really start looking at making those tough decisions because I think you're clock K we need to have some real

139answers and some real concrete steps that we've taken to address our our budget issues so that um we can deal with the county off the concerns they but yeah kicking off to the 20 is absolutely nonstarter we need to be we we need to staff feedback and a real plan I think by the next meeting so I I it would I would be I would sign up for a meeting prior to next meeting thank you trusty I'm gonna ask that everybody pull their calendars out now and let's set of date now uh trusty Flor Shelton um two quick comments one I'd like to ask the administration to let us know if they have a timeline for their consolidation plan and two I think special meetings are problematic for Community engagement I think the community knows

140there's the second Thursday of the month and that's when people know when to engage additional meetings I I get we need additional meetings but um I'd like to just hear from the administration first on what would be a what would be a reasonable timeline to come back and how that fits in with this meeting schedule over yes so if I can share kind of the framework and timeline um our thought process was that u based on tonight's meeting um the board would give some additional um guidance um we would incorporate that guidance into the presentation that we'll be presenting on May 9th um on May 9th we'll be providing the board with a options um in terms of you know immediate actions that we could take um action we can take in the third second

141or third year out and then a package deal different package deals in terms of numbers of schools for consideration um once that meeting is done um the board would then have maybe a week or two to kind of absorb some of that information and then have another uh board meeting within two weeks uh for the board to provide um some more concrete um Direction in terms of what was presented on May 9th what do you want to see um as a part of the budget for next year um because as you mentioned time is ticking um you know on June 13th um is when we're having the meeting to do the public hearing for the adoption of the board I mean the budget and then on June 27th is when the board uh will be

142asked to adopt the budget itself but even prior to June 13th we need to have a meeting with all the boards to make sure that we have all the information available to develop next year's budget and that needs to be done by June 13th so um after May 9th I think the sooner the better as long as the board has enough time to um absorb the information that's been presented um and then come back in a week or two to give more concrete directions um to the staff to the administration to be able to incorporate that into next year's budget so I think one second sorry sorry so it sounds like the direction kind of we're all heading in that we're kind of I hear in agreement is exactly what CA just said the community

143knows about may9th they will be here it'll be a part of that we'll have that meeting we'll have that presentation from uh the staff and then we'll do that final one after where we could also announce this is when uh we'll have our special board meeting um on May 9th because that's when our community knows to be here so um am I here that correctly Flor Shelton kind of like what you were talking about making sure our community is here they're here on May 9th they hear they give input we're still not doing the final one but sooner than later we get to so I think a week after that um is an appropriate time and then I saw um trusty Chavez's hand up okay so you want a meeting after the nth is that

144what you said yes so how about May 10th no I think uh I think he said A week I'm just saying May 9th is a meeting he saids we need another meeting after that how about May 10th why are we stretching I think it's important to give our community the ability it's hard for a single parent or parent to find daycare two nights in a row so they're here on May 9th they provide input and then we have the week after to do that work sounds like vice president kto talked today about making good use of this time to provide them with guidance to them bring back that presentation on May 9th um vice president GTO it takes back to the whole problem of special meeting since only regular board meetings are only acceptable how

145is it that we get over the problem of of having a super packed agenda we're going to have prob multiple presentations during the next meeting and it's going to be like let's get through this because it's already midnight I my concern is that we're not going to be able to go through a very well thought out discussion if we're if we're um having to be we're having to move through a very long agenda so do we fore the agenda to be incredbly one the next one or I think we this but I'm in agreement I think let's start today like you said 20 more minutes half hour I think that's a part of the work um and then on May 9th they're going to come back with that that's when the community comes and provides

146input because they're not here today but this way they're here then it's a second third of the month they're here they'll Hear It They'll give their input and then we'll do a final one after our final meeting to make the final decisions a week after whatever we decide but I think like I I'm in agreement with you let's make good use of our time now it's early you know um compared to our regular scheduled meetings relatively yes um so I mean I I've heard a lot of good guidance already so do you all want to hear back from staff to see what they've heard so far or you just just want to go down the list that you might have I'll start thr prii not in terms of you all give you all gave several

147so that's what I'm saying do we want to and there the issue with the sit that if you start taking onal sites then you just made those schools completely the the elementary schools fa useless for anybody who actually going to have to walk to a site or it's going to have to be taken so um protecting the quadrants protecting the middle schools so that you can make whatever is left there accessible to the to the elementary school sites um yeah and mentioned before um I guess acessibility in terms of public transportation should be should Place sites up up on the um on the um in terms of um yeah large thorough that are going to put kids lives at risk because they're going to have to go site should also be something that's taken into

148consideration um yeah those are some of some of my thoughts okay um and I also heard uh trusty fam say um to keep the programs that help boost enrollment such as just as an example our dual emersion programs um and things like that you know special education and also um uh with an eye towards preserving fa to the extent possible facilities that have recently uh received improvements we want to make those improvements last for our kids CH trust CH okay I I have one question for Mr COA and then I have my coms uh Mr COA do you thank you uh do you have a list of those sites now that you're considering can and if so can you please give it to us no we don't have the list of site and our intent

149was not to name any site um as we're asking the board to approve a a budget solution plan um the the plan is to ask the board to approve the numbers of sites to consider and so um that number and that budget will be incorporated into next year's budget and then um we would then take um sometime next year to get those input and feedback in term of criteria to consider as we're considering consolidating schools um we would start that process um either immediately after the next presis school year or as soon as school starts so we can get parents more engaged um that process then would then take three to four months to gather those um input and feedback from the community in terms of criteria to to consider um once we have that

150criteria then we use those criterias to identify school names um and that time frame would be around maybe December or January um once we identified the names of the schools we will bring back um an action for the board to consider um at that time we would be listing all the schools based on the criteria that we've been um you know Gathering ing from from stakeholders um then by January if the board approve um a plan and a number and the name of the schools the actual schools um that kind of aligned with our March 15 notice um in terms of layoffs for the upcoming year and then after that we would take from maybe January February through the end of the school year to work out um all the bumping all the movements of

151students student um what school is going to be so there's going to be a lot of work from February to June but those are kind of the time frame um or the framework and the timeline that we were looking atse so maybe I should have asked in a different way right now you know the budget situation so right now can you put a number on how many schools actually need to be closed and then I'll make my comments I'll present all that to the board at the midnight board no we're going to we're we're going to Pro provide some option so that it's not you know one number two number um yeah got so um I was also um considering what uh trusty fam said about the keeping the special EDS and the Dual programs

152and I would also like to see the ones that are doing very well for example mullum Lind Vista and the ones that are doing better that we keep them um because they're doing well why would we want to Target those schools and there's more on the list that I have but those just came to mind right now because I don't want to take up that much time thank you try so as a clarification based on what what I've heard uh Mr Chang uh at least there we have a assurance that the schools will be open until the end of the 2425 school year right so the the consolidations would would take effect with the with the start of the 2526 school year okay uh trusty FL Shelton thanks um just along back to the criteria

153um is there flexibility in the the grants we're getting for the wellness centers and the community School dollars so that like we named you know so just trying to consider if the wellness centers are supposed to be in XYZ places are are we putting those things at risk right we and I'm just saying from a criteria we'd want to know um if there are other things that are more important right can we have flexibility to say oh the wellness center actually needs to be here not here because we've come to some other decision about that school you we would have to have that conversation with the Valley Health foundation for Shelton um so obviously we have eight schools that just received the grant so that's definitely a consideration Within These parameters but that's a separate

154conversation that we would have to have and I I will ask that question okay um and then um just circling back on my like performance like like I I totally hear what you're saying Chavez um yet on the flip side I think there's been an argument made about um test scores and test scores not really telling us truly about how our kiddos are doing and our performance and and so I just I that's why I struggle I struggle because I don't think that really tells us really if a school is you know better or not so um I just want us to I am mindful of that and I think that um should be taken into consideration trusty Flor Shelton your other question about the Community Schools um we are still waiting for the um

155result of our application from the CDE so that's still TBD so but same same responses the Val Health we would have to you know yeah go back to CD and and get their their take on that vice president um I one of the I don't know CH was intended were you referring to Performance in terms of academic performance or in terms of enrollment that that some of them are doing really help in terms of enrollment make no sense to to uh split that school they're actually doing great in both so those are the ones that I would not want to touch enrollment and and academically and there's three higher than everybody else and two of the ones that I just mentioned and the other Jewel one is the third so those I think we should

156touch because it's working at those sites um thanks for that well yeah yeah I see it more as like it's more of if parents are Tre yeah tou it yeah yeah yeah and some of them do very well because they have performed higher than the other ones and they the parents make sure they bring them there because they better another thing that I wanted to mention is as we're moving forward uh and bringing back obviously it's going to be a tough I was here when we're talking to rers that wasn't even closure it was just an completely taking over it was rough people were really really upset angry we just saw what happened with um with aptitude previous we saw with the the consolidations of the of the other campuses it's not going to be

157easy however um while we're going through this I would also want sta to start thinking about how is it that we're going to guarantee or not guarantee but work to ensure that whatever to MOX doesn't happen to a bunch of our sites now we not in a situation that's the UniFi and Le two schools sitting their vac being vandalized and it's the real real mess um and so while we're setting up a plan uh we should be developing a strategy to ensure that our sites are not going to be vacant for the long term and then lead to destruction vand event you know some of San Jose has very ous for somehow sites always go burning up especially RoR downtown want to avoid that so that's something else I would like to throw on plate

158as we bring ideas are there strategies to start to ensure that they're not that we're not on the hook for a sight that's going to be yes thank you man president so I guess uh piggy backing on uh chusty Quinta's comment uh you know we need to have uh alternative use strategy for you know and make you know we we want to again you know uh we want to make sure that uh even even if they're not used you know able to be used for you know educational purposes we still want to make sure that uh the assets are you know we preserve to the greatest extent the assets you know uh the value of these assets and also uh maybe some way to to generate a little bit of Revenue so I I would

159you know so in that vein uh you know maybe some preparations or you know thoughts on Al you know alternative uses for Consolidated sites uh in the short to medium term uh you know is appropriate in this case as well thank you um before I go to you uh something that I just thought about you know I know we talked about um these areas of and they had a name for it but you know lower income type disadvantage I know there's you know not all of our schools are so also I think in relation to the quadrants that also the areas that fall under that area that we can make sure that we don't leave without a School site um I think that would be important uh for me and I don't know if it

160you know if it's in relation to the quadrant but ensuring that we don't leave that area regardless of test scores you know or um yeah enrollment to make sure that those areas aren't left without a School site um I think trusty Flor Shelton you had your hand up um so thank you uh tristes for bringing up what I would consider sort of the land use kind of considerations right so couple things one um and you're probably familiar with it but the city in the recession of' 08 had had to like basically cut many of its community centers and created it's called reuse policy um ended up managing those centers for some time and so there's um you know there's something to point to and how a public entity has um assets and facilities and are

161trying to figure out how to reuse those um the city does it at a no cost right um so so I think the other point um truste fam you're making um I do think the criteria could consider you know those schools that may have a higher um you know like kind of say for land use it's um highest and best use right is there some value um that can repurpose that land right that would help the bottom line it from a budgetary standpoint I know it just sounds so kind of crass right when we're talking about communities and schools and I just want to um recognize how hard this is and how tough this is when we're looking at things from a dollar and Cent standpoint we know this is like you know um immunity

162hubs right so but I do think that would be an interesting um component and I also think um sort of the environmental are there any of our schools where there's environmental in Justice around them that puts you know our our kids at risk and is that something that we want to consider again not naming names but I think that would be something we'd want to consider vice president kto yeah for example if we have uh two schools on one side that no longer since we have we have to spread it out uh and one of those be onage that makes it more feeling for an alternative use all the stuff that we have to pay for that's something I would be very much in support I think we could justify in public that you know

163we can get your kids into you have to be right off site very front we can make make that site more have an alternate use I might generate some revenue for a kid um and with regard to some of the comments that you made in terms of the timeline I for one uh believe that um you as you mentioned you can't kick the can down the road anymore um we we need to address it and I think that I would be more in support of the of what assistant superent Shang mentioned about immediately right after the new fiscal year beginning and Earnest a very very aggressive process to deal with this um so that we can completely tell the public we we went through this step by step we've dealt with it we've been informed

164um because it's going to be very painful um it's GNA Lot 10 times as many folks as we're here and I think that it needs to be a long a very thorough and um and it needs to start right in the beginning of the fiscal year we need to be very clear about what the very hard medicine we're going to have to take uh to to um write the the ship and so yeah I wouldn't for I wouldn't like to see it sck down anytime after the fiscal year I think we start right at the beginning uh I know those meetings in July usually in the summer are kind of sleepy it needs to be the the medicine taking time chesse Travis and also as we consider doing this and consolidating schools we also need

165to uh focus on some of the drops drop off sites because if we are going to have more of an influx of students coming in than parents so we need to consider you know if how easy it's going to be for them to enter and exit sometimes drop off in the morning can be happy thank you thank you all right um if any other as you think of some of the final ones um I know part of the request was for a week after the next schedule board meeting so we're here we can look at our calendar for the week after May 16th so this way it makes it easier to schedule you want the 15 instead uh vice president K just requested if May 13th Works 13th works or the 15th um we did

166open it up but I know this is important item so let me figure this out um um those are hard so 15th meetings so 15th or 16th and it doesn't give the week 16 16th 16 okay I think we have Quorum on the 16th so we'll go ahead and leave it on the 16th I'm available on the 16th um so May 16th it is all right um [Music] 6:30 I think is the appropriate time that works for all us all okay perfect we have a tentative okay well well never mind oh fine um there's Jubilee on our alamro calendar and I know a lot of parents plan for that and have been working on the 16 yeah so how about the 15th what about what time [Music] is is not it's not is tentative right

167now not set yeah or do we have like a site already how about the T to the I ask or May 22nd is that I mean for the June 13th uh timeline Co is that sufficient that's after May 22nd yeah May 22nd is that appro we should have enough time okay yeah all right okay 21st [Music] 21 or maybe we might just have to pull outside but um Let Me 2 23 23rd is a Thursday yeah May [Music] 23r um how about the 1 21st works okay yeah okay 21st what is it is that a Tuesday that is a Tuesday okay yeah okay what time 6:30 okay uh special board meeting okay all right thank you um any other thoughts and then also let's remember we have our one-on ones with staff so I know

168that I'm going to think of other stuff so make sure that we use our time wisely you know when we come um to our one-on ones and maybe in this next month maybe CA might be available um but yeah you know making sure that we get that those thoughts over to them and that we take advantage of the time with our one-on ones all right moving on to forgot to public comment on the I I had mentioned that I had already taken it but I heard what was being said public comment this item I opened it up with public comment but did I um Mariel can you please remind me I could be wrong it's okay let me see Mariel yes uh you did open it up with public comment okay yeah thank you that's

169that's why I thought that was what you were trying to say and I was trying to hear without okay not able to do that all right moving on to item 301 um consent calendar uh approve ratify notices of employment and changes of status April 22nd 2024 sorry president um this is for um uh contracts for coaches for our Copita tournament um this weekend um and so we are asking that the board approves um these contracts for that purpose approval to by vice president GTO second by trusty Flor Shelton all right and I just have some brief comments okay uh thanks for bringing coaches I know that some of the sites were short to participate as a result of not having volunteer coaches and so um this is going to be great to ensure that oh

172only lasts for so long that we started seeing real gains with the students for the lpac testing and there's the two-sided coin if we start with the younger students that were suggesting with these tosas that hopefully we'll catch them before they get a little bit too far behind but the gains that the third through eighth graders are getting right now with the implementation of toses if we're only going to have the program for one more year should we focus on our testing students as opposed to the pre- students so that was something that they would just like me to bring to your guys's attention thank you thank you any other members of the public wishing to address the board all right uh just Chavis uh Miss Sandra and I would recommend if or ask that
