have trustee Mary Harp. I pledge allegiance to the flag of the United States of America and to the republic for which it stands, one nation under God, indivisible, with liberty and justice for all. Roll call. >> Becca Chamblas >> here. >> Carlos Harp >> here. >> Mary Harp >> here. >> Cindy Holder >> with notice. >> Yep. >> Mark Kimble >> here. >> Chrisa McAlpine Taylor >> here. >> Gloria Thompson >> here. >> Okay. Public fundamental with public comments. Public input is fundamental to the operation of Madison District Public Schools. Our public has an opportunity to speak at every board of education meeting. A period of time known as public comment is set aside at each meeting to give parents and other citizens a chance to speak directly to the board about school related topics.

Anyone who wishes to speak to the board must fill out a request form and give it to the board secretary before the meeting begins. Comments are limited to three minutes. School employees will not use this forum to discuss job related topics. The board of education accepts comments made during public comment from anyone who follows these guidelines. Public comment is one of the many information sources that the board uses before making decisions in the best interest of the children who attend Madison District Public Schools. The board also works with the district staff to address citizens questions and concerns. Do we receive any request? No, >> ma'am. Okay. Next up, the consent agenda. All matters listed under the consent agenda are considered to be routine in nature by the board of education and will be acted upon

by one motion. There will be no separate discussion of these items. If any member of the board or any citizen requests discussion of an item, that item will be removed from the consent agenda and will become the first item of business under the board of education action items portion of the agenda. If there's no request, then I just need a motion. >> Madam President, >> Trustee Thompson, >> make a motion that the board of education approve the consent agenda as presented. >> Do we have support? >> Support. Okay, there's support. Any discussion? No discussion. All right, roll call. Rebecca Chamblas, >> yes. >> Carlos Harp, >> yes. >> Mary Harp, >> yes. >> Mark Kimell, >> yes. >> Chrisa McLeine Taylor, >> yes. >> Gloria Thompson, >> yes. Motion passed. Okay. The fiscal year 2025

audit presentation. Miss Perry. >> Good evening everyone. So, a couple of housekeeping items before we get started. Tonight, I will go over just the PowerPoint presentation like I did um last year for you, just highlevel summarization. Um but normally you get an extra report with this and a letter as well. Um but this year we haven't been able to finalize the single audit yet because we don't have a compliance supplement from the federal government. um you're in the same boat as all Michigan schools, all government, anyone with a single audit in the United States. So, the state is aware of it. Your audit was submitted timely and they basically changed the law um kind of at the last minute to say that we can submit that single audit with that letter um after we get

the compliance supplement. They're giving us 30 days to do so. So, just so you know, that's why it's all complete. We don't anticipate any changes with the other report either, but we can't fi like put the date on it until we have that. But that's the case for all all schools that got finalized by November 3rd to the state of Michigan. Um, but just so you know, and I think that was it. So, the actual audit has been done for quite some time, but we were kind of waiting, hoping we would get it before the deadline, but we did not because we like to date, us auditors, we like to date everything the same and not make different different changes. Um, so the first slide I'm just going to go over a little bit of

my background. My name is Jennifer Watkins. I am with Yo and Yo. Next year I actually have been auditing for 20 years school districts and I lead up our education line. So, we do over 80 um plus schools and I'm looking at all of those schools as well as sitting on some um committees at the state level. So, I really help with audits and working with schools. There's a ton of compliance work that goes into your business office team and a ton of things they do for that audit because they're doing those full acral statements and things that I think only accountants get into, but it's um quite difficult and things that only happen once a year. So, I'm happy to assist with all of those. The next slide goes over um two snippets on

this page and the next is right from your audit report. So the first is responsibilities of the district and it's really those day-to-day operations making sure that what's getting into the financial statements are GAP full approval that the numbers are correct and that you have the proper internal control structure. The next slide goes over our responsibility which is in the end of the day is to give you a opinion on these financial statements and be able to say that they are free from material misstatement. I'd be independent doing so. The next slide goes over your audit procedures. And I will not read all of these to you, but I like to point out um Yo and Yo always does a level of unpredictability because school audits a lot of what we look at is the

same. We always have to ask for fixed assets, bank reconciliations, many things are the same. So, we change something up every year, whether we're looking for um duplicate maybe bank accounts, maybe for payroll like ghost employee testing, related party vendors, we're always adding a test in each year and switching that um to make something unpredictable to the team. And then also just with the testing, there's a lot of because of your federal dollars, they have compliance testing, you have state compliance testing, and then extra rules for governmental auditing standards. So, we're we're testing a lot to make sure that everything's accurate for you guys. The next slide is your overall results and that you did receive an unmodified opinion, which is what you want. Um, it's also called a clean opinion on your financial statements.

And then following up on the next slide with your audit results. Um the first section goes over any findings which you had none. So we had no material weaknesses or significant deficiencies which those are classified as findings. And we also had no what they call material non-compliance. So overall no findings in your report. um for the governance letter that we had two what they call now comments for management's considerations and these are more recommendations or not considered findings um they're not to that level so the first was timely reconciliations and that's more I guess auditors we want to see that sign off we want to see the review we want to see the documentation of it and some were done 90% or 95% but not um you know finalized so we um talked to the

team about that and a lot of it has to do with you've had a lot of turnover so getting everything you know processes up and we go back through the whole year so we're looking at 2425. Um there was some slight budget overages but nothing material in nature so that's why it's not a finding and then also the deficit budget that was adopted for general fund for 2526 and that's a compliance item. Um so that's why that's there. The next slide is your balance sheet. And these are your governmental funds. So your normal funds that you um look at for budget purposes. And we had two other major funds besides general fund this year. The 2022 capital project fund, that's why it's shown separately, and the scing fund. And then all other funds like food

service, student activity are included in that non- major governmental funds column. Overall, your total assets were almost 7 million and total liabilities were 3.6 million. And this is just a snapshot of where things were as of June 30th, 2025. And we acrew things back like July and August state aid. Also, summer pay for teachers, including those summer benefits. So, everything gets acred back for this presentation. The next slide is a continuation of that balance sheet. um you had a slight amount of deferred inflows which you have an offsetting receivable for that amount that's just an accounting rule another rule that we have to follow um but 166,000 for that unavailable revenue and then below that is your overall fund balance so where you are as of June 30th for the district in total for all

funds you're at about 3.2 2 million and 511,000 of that is the general fund and all of which is either non-spendable or assigned for that budget um that was budgeted for 2526. The next slide is your overall revenues and expenses for those same funds. It's a little tiny and apologize but overall for the district you had an overall change um I think five lines up from the bottom. So change for the district in total was a decrease of 30 377,000. Um and then the next couple slides we go into strictly the general fund. And these look these are snippets actually right from your audit those financials. So if you wanted to see them differently or more detail they're section four of your audit report. Um the next two slides are piraphphs. The first one is

only general fund and revenue. So this just shows where your sources of revenue are coming from for general fund. Pointing out that if you add um state and local obviously your most of your revenue is based on FTE and that's a total of 86%. So that does contain some restricted state dollars but with the local in there which is property taxes in general that's state aid. So that's how much is coming from that um driven by those FTEES. The next slide is overall for expenditures again just for general fund and noting that again um if you add kind of the green and the orange together 98% of your overall bucket of expenditures was spent on directly on instruction or supporting services for those instruction. And then on to the next slide again focus just on

general fund. So this is your overall budget. You have original budget, final budget and actual and detail for this is included in your section five in your audit report if you want to see more detail of it. Um but overall you um approved a final budget of 1.3 million decrease in fund balance and you ended up um a little bit better at 890,000 of a decrease. And you'll see um you're so close. I mean revenue was on point. I don't think I've had many variances smaller than that. That budget was very good for revenue um under by less than 1%. And also your expenditure budget was also good at less than 3% under. And for your or expenditure, sorry, but your expenditures must be under budget. So if your expenditures go materially over budget, that's

actually a finding. So that's a requirement of the law that you have to stay with under in that um line item. in total. The next slide is overall um some percents that are commonly looked at. So the top line is kind of what the state uses now. Um they started using it probably 10 years ago now. I would say a couple of years, but it's been a little bit. Um so they're using that top column, but most districts and boards are commonly using that second line. So fund balance is the percent of really its current operating expenditures. So for 2025, fund balance as a p um percent of unrestricted revenues was about 4.4% and fund balance as a percent of current operating expenditures is 2.7%. And then the next two slides are just a history

um to show kind of the last 10 years in more of a graph form for you guys. Um, this is easy to see when COVID happened and the ESSER money and CO's money came in. Um, and the history of your fund balance for those last 10 years ending with the last year at 511,000. And the next slide is kind of the exact same, but it's as a percent of those um revenue numbers. And you can see it kind of follows the same pattern obviously. Um, however, revenues were up in those same years. So it's probably a little bit slightly different um from 2020 to 2023 and really ESSER was completely done almost before this year. Most of it was um pretty much spent and then there will be none going forward. And that's all I

had, but I'm happy to take any questions. And I just always want to mention that my information is included in here. But of course your team, both Patricia and Ebony have it. So if you ever need to get a hold of me um for any questions throughout the year, you guys can always contact me. I'm always happy to take any questions about the audit or about anything else that deals with district finances. Yes, sir. >> Yeah, I have a I have a question and there seems to be some confusion here. I'd like to clear the air on this. Uh, I looked in our bylaws. I only have an old set and incidentally I could not find the bylaws on our website whatsoever. >> Is there some secret to finding them? >> No, you just have

to know how to navigate it. >> Well, you put in the search and you say bylaws and education and you go to policies. It's right there in policies. Then you have to toggle down and click bylaw laws or policies. >> I did that was unsuccessful. But anyways, my question has to do with our bylaws. At least the old section was 6320, page one of two. And it states here that whenever we're spending, the district is spending $10,000 or more and need to get possibly three bids. But the confusion, maybe you can answer this as an auditor, when we take on the cost of something and it's under $10,000 and that cost keeps reoccurring after it crosses the $10,000, should that not be brought to the board for approval at that point in time according to

this policy? >> So I will always start with it depends because I do not have that policy in front of me. So, there was a change back when uniform grant guidance came out related to what they call a small purchase for federal dollars and there's some language in there for things over 10,000 and not strictly bids, but you have to get quotes. So, I don't know if it's referring to that. There's also caveats in school. >> I'm sorry. I'm sorry. My question was though, this is kind of a unique situation. Okay. when this approaches 10,000 or beyond at that point that should be brought to the board for approval. Right? So, in general, if your strict bid policy at your district, and again, I don't have it in front of me, is $10,000, let's say

you go to buy carpet and it's $9,800, but then you decide to do more the whole auditorium instead of partial of it and it moves up to $12,000, but it's two invoices for the same project. Yes, in that instance, I would say it should, but it depends. like professional services are not required to be bid. So I'd have to read the whole bid policy and MDE actually has a bid threshold that you have to comply with and I don't know the exact amount but it's like 34,680 or something like that and they change it every year. >> The actual is 30,500 with the state but that's not that's not my point. I understand the bid process, but my point is when this cost exceeds the $10,000 set forward by this board, should it not be

approved by the board to go further? >> Not talking about bids. >> Oh, you're not talking about bid policy? >> No, I'm talking about when this surpasses the $10,000 line, so to speak, should it not be brought to the board? >> What's this? What are you referring to? I'm referring to the consulting fees that we paid nearly $40,000 for that we had no idea we were spending that much money. I >> think that's a legal question in my opinion. I think that that's something we need to have a conversation with our >> Now, this has to do with our bylaws and the fact that the $10,000 was crossed many times over and was never brought to this board. You have said in your defense that it was on the check register, so it's okay. The

point I'm making, it's not okay. When it surpasses $10,000, that should have been brought to this board for approval. >> It's that simple. >> Do >> That's the only point I'm trying to make. >> Do we have something for a yell and yell regarding the audit? Any questions? >> Well, I'm questioning an auditor as regards to our bylaws. >> She doesn't know our bylaws, so that would be something that >> Well, she can take my word for it. It's right here. $10,000 is the threshold. >> But she give legal advice. But we can I can ask President Holder to send that question. >> I'm not asking for legal advice. I'm asking for her advice as an auditor. >> What I say is true. The bylaw is $10,000. >> So I thought your beginning question asked

for bids. The question he's asking is, we had a consulting agency that was training a new staff member. The fees for that consulting agency were present on every check registry and approved by the board. After a certain amount of time, it was brought up during a financial meeting. It and it all through various things came to light and the board requested those um consulting fees and everything to stop. those consulting fees exceeded the $10,000 um threshold which is in our bylaws requiring three bids and everything like that. So he's asking if something like that is happening where it's a known expected reoccurring cost like a consultant um should the should it have to come for board approval because even though if the first or individual fees are not over 10,000 they will knowingly get there

over 10,000 eventually. Is that correct? >> So, I would say I would get I mean I'm not I'm not legal, but it's confusing because it references bids and schools technically don't have to get bids for professional services. You can at any time and you can choose to approve something in more detail. Technically, some field check register is approval. If it's saying bids, it might professional services, which consulting would be is carved out, but the board can choose to have a detailed contract. I mean, be, you know, it requires much transparency as possible. >> I'm not talking about I'm talking about authorization to spend that kind of money. We have a guideline in the bylaws that says over $10,000 >> to have three bids and approved by the board. >> No, it still needs to be

approved by the board. And that's the point I'm getting to. This was never approved by the board. It was never brought to the board. >> I'm wondering >> as it escalated. >> I'm wondering if that's out of her scope. That's my That would be my only question. >> I'm just saying like some of them are reoccurring. So like legal fees, they probably charge you by the hour. That's why sometimes professional services aren't. But if there's a specific situation like the board can always ask for more detail obviously for anything. Um, but like consumers energy like that will reach over $10,000, but you wouldn't want something like those are thought of as reoccurring charges. This is a specific situation. So, obviously, >> this was a specific charge. It's not the normal course of business. >> Well,

can I say something, President Vice President? I would not say it's not the normal course of business because like you said with legal fees, we have reached well over $10,000 and we've never had to bring it back to the board to say, "Hey, I need this approved." Now, if this is something that we want to do moving forward, then we need to establish that. But for us to come here tonight and make it seem like we you guys did not approve the consulting fees has nothing to do with the auditors. However, moving forward, we can have a conversation as a board and say, "Hey, moving forward, when fees exceed $10,000, whether it be Amazon, whether it be law fees, whether it be sync and fund fees, then we can come up with that in our

bylaws that are found on the website that we have access to. So, they are posted on the website." As an auditor, I would I would suggest getting a legal opinion because I think of things just as you're talking like um substitute teachers or anyone you really have like more of a contract and not a W2 with. So, you want to get that legal opinion and they can be as specific, you know, as the board approves it to be. But >> that's the key word there though. The board approves. The board did not approve the policy. It was never brought to the board. All right. Well, that was my question. Thank you. >> Any more questions for >> Thank you so much. >> I appreciate you guys. Thank you for having me tonight. >> Thank you.

>> Harry, do you know um what meeting it was that we approved the consulting agency to originally start? Do you happen to remember? >> We didn't. We did not. And you >> that was never brought in front of us. We never approved that. >> I would just ask out of professional courtesy as we have always if you guys have questions that you need answers on, if you could ask me 12:00 p.m. before the day of the meeting because right now I don't have anything with me to give you that. But if that was something that you guys request, just send me an email and I can show you the meeting where you guys approved us having the consulting service. >> No, you're fine. I just wanted to go back and look at it. I wasn't

trying to One second. Trustee Kimell, do you want me to request President Holder ask legal about that? >> I'll I'll talk to Cindy about it when she's back. >> Okay. Okay. Um, close session for strategy and negotiation sessions connected with the negotiation of a collective bargaining agreement pursuant to section 8C of the open meetings act. I just need a maker of a motion. >> Madame President, I make a motion to go into close session. >> Support. >> Trustee Thompson. Roll call. >> Rebecca Chamblas. >> Yes. Carlos Harp. Yes. >> Mary Harp. >> Yes. >> Mark Kimble. >> Yes. >> Chris Sterah McAlpine Taylor. >> Yes. >> Gloria Thompson. >> Yes. >> Motion pass. >> Okay. It is 7:27. We are going into closed. >> Show you guys where the So you went to board of

education looking in this stuff. It's right here. >> All right. And here's >> Mark. Here's where it is on the the website. >> Where's bylaws? >> So this is the Madison. I just went to board of education >> on this side right here. Board resources yellow policy >> and we're policies. It didn't come up. I couldn't policies bylaws. >> Okay, perfect. It's there. >> You just loaded that before the meeting. >> We did not use the computer. Feeling like that today. Thank you. I swear I was on my website today. I was doing apologize. >> Oh jeez. >> I'm sorry. >> Is that what it was? >> That spot again. No. Okay, it is 7:48 and we are back. Um, old business. This is the second reading of policy updates. PO754, PO7310, PO6550, PO5500, PO5340,

PO5330. I don't actually have to read any of them, right? >> Okay. Is there any discussion on those? >> No auditor RFPs. We just want to let you guys know that we did send out the RFPs for for some new auditing firms. We did get two back already and they said that they were not willing to take us on. So once we I think we gave how many weeks? >> Three weeks and then we will let you guys know what comes back in three weeks. actually at the next board meeting December. >> Miss Perry, >> um did they happen to mention why they would not? >> No, they just said at this time they are not taking us on. >> Okay. Anybody have anything? Okay. And then adoption of policy updates. PO7540, PO7310, PO6550, PO5500,

PO5340, PO533. Um, oh, I'm sorry. Adoption of policy updates PO7540.90 PO7310 PO6550 PO5500 PO5340 PO 5330.02. It is recommended that the board of education adopt the policy updates as presented by Niola to ensure continued compliance with current state and federal regulations. The proposed updates include revisions to the following policies. PO7540.90 artificial intelligence. PO7310 disposition of surplus property. PO6550 travel payment and reimbursement. PO 5500 student conduct. PO 5340 student accident reporting. PO 5330.02 opioid antagonists. These updates reflect recent legislative changes, align with best practices, and clarify administrative procedures to maintain effective and compliant district operations. I need a maker. >> Madam President, >> Trustee Thompson, >> I'd like to make a motion that the board of education adopt the Neola policy updates mentioned policies as presented. >> Do we have support? I support >> any discussion.

>> All right. Roll call. >> Rebecca Chamblas. >> Yes. >> Carlos Harp. >> Yes. >> Mary Harp. >> Yes. >> Mark Kimble. >> Yes. >> Chris Sarah Mal Pine Taylor. >> Yes. >> Gloria Thompson. >> Yes. >> Motion passed. >> Okay. Uh approval of Plant Maran Real Point owner representative services amendment number four. Plant Maran Real Point PMR currently serves as the owner's representative for the Madison District Public Schools 2021 bond issue projects and the 10-year scing fund. The original agreement was executed on March 1st, 2022 with subsequent extensions to support ongoing bond and syncing fund work. In January of 2025, the board approved amendment number three extending PMR services. However, the reimburseable amount was not adjusted at that time. PMR and district administration have since reviewed project timelines and support needs and determined that

an increase is necessary to ensure continued oversight and project completion. The reimburseable amount covers necessary project related expenses that support PMR's ongoing management of the district's bond and syncing fund projects. These expenses are limited to items directly related to project oversight and are reviewed and approved by the district before payment. Do I have a maker of this motion? >> Madam President, >> Jesse Thompson, >> I'd like to make a motion that the board of education approve amendment number four to the Flint Marray and Real Point owner representative services agreement in to increase the reimburseable amount of 10,000 dollars to support the extension of services related to the 2021 bond issue projects and the 10-year syncing fund. >> Do we have support? I'll support discussion. >> Okay. Roll call. >> Rebecca Chamblas, >> yes. >> Carlos

Harp, >> yes. >> Mary Hartp, yes. Mark Kimell, >> yes. >> Chris Sarah McAlpine Taylor, >> Gloria Thompson, >> yes. Motion passed. Okay. Um, budget amendment number one, Miss Perry or Ebony. >> Good evening. I'm passing out the voters for the budget amendment one. >> Last week when we had or was it last week or two weeks ago? >> Two weeks ago when we had our budget amendment. Um, we just wanted to make sure you guys, we sent out the copies via email, but we just wanted to make sure you guys had a hard copy >> and to see if you guys had any questions. So, that's why we put it back on the agenda. I don't think you guys received this last week. We just or two weeks ago. >> Okay. Any discussion? Anybody

have anything? >> Well, I think it's looking much better than it, you know, than we had previously talked about what we were going to be expecting to see on these on the budget. So, I mean, it's still tight and it's still rough and it's going to be we're going to have to keep a close watch on it and, you know, monitor every dollar we spend, but I think that it's a six times more than what we expected. So, I think it's you guys have done a phenomenal job tightening the belt, looking for revenue streams that are maybe, you know, non-traditional and just always working so hard to get every opportunity and every, you know, monetary amount that you can. So, I just want to say thank you. You guys did a phenomenal job. This is

so much better. Anything else? No. Okay, we will move on if everybody's okay with that to the 2026 meeting dates. So, I sent you guys in your packets um via email the meeting dates for 2022 and I wanted to see I mean sorry 2026 and I wanted to see if you guys had any questions. Some of the things that stood out we made sure that we had two meetings in August just to make sure that we are ready just you know when the new new year starts and we hire new teachers. So, I did not make copies of this. It was in your packet that I sent out, but I'll pull it up real quick for you. So, 2026 meeting dates. The first organizational meeting will be January 5th, 2026. Moving in February, we will

have one meeting. March one meeting, April, one meeting. May will be two meetings. In June, we asked for two meetings so that we can conduct my evaluation and also have the truth and taxation meeting and the budget hearing. July was one meeting, two meetings in August, and two meetings in November. And we already have the date picked for the November 26 audit presentation. It will be November 23rd. So, some of the things that we did differently was just identify special topics that we needed to look at during those meeting dates. Did I miss anything? >> So, I think we don't approve this until January 5th, but I just wanted to be on your radar that our first meeting in January January would be the 5th. Is that good for everyone? The 5th. Um, did the

board did we want to do any additional uh second meeting of the month uh additional planning meetings or workshop meetings outside of what's already been proposed? >> We my opinion is we absolutely should. >> Yes, >> because I know we've I brought that up in the past, but again that was up to the board, not the administration all but that was up to the board, right? Yeah, we've been talking about it for a couple years >> and we need to stick to workshop meetings. >> Yeah. So, um I'll I'll review this again, Miss Perry, and then give any feedback on that. >> Okay. >> Um could I also ask and I apologize I didn't look at this beforehand, so my apologies um for I don't so me in November with the election stuff. So typically

I'm involved in a lot of election work. Is there any way we could not do a Monday meeting right before the election because I will probably never make that meeting if I have to be up way too early Tuesday morning. So >> so we can do it this so we would just have a meeting that particular month cannot be the first Monday. It can be the second Monday. I don't know if you guys want to check your bylaws that's on the website to see if that's going against the bylaws, but I will need your direction on that. >> What month? That was the first meeting in November. >> In November typically, >> so I'll change it to the 9th tentatively until you guys look at the bylaws and let me know. I mean I I

would I mean if it is I know it is said in the bylaws it has to be the first month first Monday of the month but could we make a change maybe a oneoff change to that >> to that? Yes, >> I would definitely uh support that or or bring that up if that needs to be done >> the board and we vote on it. >> Yeah, we just got to make a motion. So um >> I put it on the next agenda >> you guys want. Well, I think we would have to approve the >> January 5th. >> Yeah, we have to approve this list of dates in January. And then at that meeting, >> Carlos could make a motion to um amend the dates, but we would have to probably do it at

the January meeting. >> Last year, we had the closed session. And it was a late night and we all had to be up at like too early in the morning. >> Okay. Um >> are we still discussing calendar and stuff? >> No, ma'am. >> Um were you just asking that or did I don't want to interrupt you?
