Don, would you do the roll call? Yes. Ms. Chesney? Here. Ms. Kerns? Here. Mr. McMillan? Here. Ms. Miller? Here. Mr. Moore? Here. Ms. Veal? Here. Ms. Williams? Here. All right. Let's stand for the pledge, please. >> [snorts] >> I pledge allegiance to the flag of the United States of America, and to the republic for which it stands, one nation under God, indivisible, with liberty and justice for all. Can I have a motion for approval of the agenda? I motion. Thank you. Can I have a second? I'll second. Thank you. Ms. Chesney? Yes. Ms. Kerns? Yes. Mr. McMillan? Yes. Ms. Miller? Yes. Mr. Moore? Yes. Ms. Veal? Yes. Ms. Williams? Yes. All righty. Dr. Hitchcock, we're ready for you. Yes, thank you very much. First, I just want to thank everybody for taking the time this
morning to review this agenda item. I know everybody has busy schedules and outside of me, I set aside your schedules, so thank you so much. Uh you have two documents in the agenda. One is a budget overview of the agreement that Leader Construction and St. Joseph School District have with Crest for the battery wall project. Uh the two main factors in that contract is you have a price for general conditions. That's basically the cost of time material that Leader would have on that contract, and then you have a percentage of that is paid to Leader to organize, manage, and make sure the contract is completed uh as expected. So, that percentage is 4.5% uh total construction. And so, the first time around as we had a look at estimates on this project, uh that amount
was about $377,000. Uh so, if you look at that from a perspective of around $400,000 times 4.5%, you know, that's somewhere around $18,000 uh for the percentage that would be paid to Leader Construction. Uh if you look at the AIA contract, which is the actual contract, uh it stands for American Institute of Architects. That's the standard contract used for construction managers when you create a contract with the district. Uh page 21 has those same terms that you see on the summary page with the 4.5% and then the general conditions price uh for Leader. So, with that being said, we're happy to answer any questions. Dr. Hitchcock, thank you. Uh just a couple. Uh let's see. You had mentioned earlier meetings that um you know, you had a pretty good idea of what is, you know,
industry [clears throat] standard, reasonable for this, and I I assume then that that they're, quote, met that. Yes, so your typical standard for CM contract is 3 to 5%. And 4.5 lies within that standard. Uh you get closer to 3% when you have construction projects that are 5, 10, 20 million. Uh because this is, you know, under half a million dollars, that's why you see it 4.5. Okay. Thank you. And um you know, when we when we looked in the past at um this sort of thing, we So, I got we got some feedback that maybe we signed a contract for too long um in the past with with with, you know, when we looked at the new high school, for example. And so, I saw that in this contract, it it sort of extended
a year past when we were to uh complete the project. Could you speak to that a little bit? Is that Is that standard? And um is that a Is that a good thing? Yes, sorry. It's hard to hear. I think you're asking about timeline completion of the project. Is that correct? No, I'm actually asking about um the the fact that the contract runs a year past when we expect the work to be done. And so, I just want to make sure we're not signing up for something too long. But yeah, this contract is just for uh this project. So, uh if there was another contract, let's say next summer, uh this does not lock us into using Leader if we were to do that. Uh the reason you have this timeline additionally is uh you
know, you have your punch list at the end of the contract, and let's say let's say in October, November, uh something happened with the electrical that wasn't installed um during the summer. How do you think something like that? Uh that way, you know, Leader is still there to ensure that uh the contract with the district is laid and they work together to get something off. Okay. Thank you. I just have a couple questions. Um I was not at the meeting Monday evening. Okay, but when I was looking at the agenda items, I noticed, you know, that all the information for all of the bids were not on the agenda. And I know that I would appreciate it. I mean, of course I trust your leadership and your judgment. You know, I know that I would
appreciate looking at all the bids in the future. I have another question. What's I was looking at the attachments and everything was run by legal, correct? So, the A&E contract is run by legal. And you have a yes or 4.5% on the conditions. So, the overall contract is run by legal. Those A&E contracts are standard and it's basically a template that you use and then you insert, you know, the percentage and your general conditions that you're adding on that contract. And this was run by legal after Monday's meeting? So, the template of the contract was inserting the 4.5% and 25,000 plus or zero conditions is just what you input. And so, that is that is something that doesn't need to be reviewed. That that is just the amount that is inserted in those areas. Okay.
And so, my understanding is that legal approved the template. Correct. And then admin input the information. Yeah. And we approved it after was the 4.5% and 25,000 plus zero conditions. Okay. And legal approved the template when? What a while back, wasn't it? Could you repeat that? I'm sorry. Yeah. So, the only additions that you see in the contract haven't been made by legal. And what was the timeline on that? The meeting went by that Yes, sir. Yeah. This last month before we select the A&E. Okay. So, as long as legal's been contacted, I mean, I know that it's been hard to get a hold of them lately. And so, I'm just making sure that we're being legally compliant in all that we do. Yeah. And then, to answer your question earlier about the the we
didn't do that RFP or proposal. We put out an RFQ. And so, what was the attorney asked for qualifications of the firms that were interested in the project. And then, the eight-member committee makes the score of the qualifications. So, there weren't any proposals or bids to submit. It was an ask for qualifications. So, that's why you didn't see anything as far as what the companies bid on the project. It was without qualifications. Okay. I see. And then, the meeting for the closing of the B&E and the FEC Yes, I understand. And the meeting that went Last Friday. It was last Friday. Who was on that committee? So, you had myself, Kate and I, Casey Halpin, Dr. Dennis, uh Daniel. And Daniel, you had Dr. McMillan, you had Bonnie Chesney and Mike Moore. Okay. Perfect. Thank
you. Any other questions? Okay. Do I have a motion to accept the selection of the construction manager agent? Motion. Thank you, Jennifer. Second. I'll second. Thank you. Any further discussion? Okay. Don, would you call the roll, please? Ms. Chesney? Yes. Ms. Burns? Yes. Mr. McMillan? Yes. Ms. Miller? Yes. Mr. Moore? Yes. Ms. Beal? Yes. Ms. Williams? Yes. Thank you. Motion passes 7-0. Yep. Can I have a motion to adjourn, please? So moved. Sorry. I'll motion. [clears throat] Thank you, Jennifer. Who seconds? Uh Daniel. Ms. Chesney? Yes. Ms. Burns? Yes. Mr. McMillan? Yes. Ms. Miller? Yes. Mr. Moore? Yes. Ms. Beal? Yes. Ms. Williams? Yes. Okay. Meeting adjourned.
