Good evening. Um, this is the uh January 26, I'm sorry, January 20th, 2026 meeting for the Foundation for Abington School District. I note the attendance of Dr. Maui, Mr. Muhammad, uh, Dr. Fetcher, myself, and our newest member, uh, Mrs. Denna who um is a member of the board by virtue of her uh position as the CFO of Abington School District. Mr. Lionetti having retired is no longer on the board. So we welcome uh Miss Denakola. Um we're supposed to stand for the pledge of allegiance. So please stand for the pledge of allegiance. Oops. I pledge allegiance to the flag of the United States of America and >> to the republic for which it stands. One nation, >> one nation under God, >> indivisible with liberty, liberty and justice for all for all. >> Okay. Um,
the foundation for Abington School District has convened this evening's meeting via Zoom. It is being broadcast live on the Abington School District's YouTube channel. This is also being recorded and will be accessible on the district's website and cable channel no later than Friday, January 23rd to allow those members of the public who cannot participate to view the proceeding at a later time. Comments from citizens are being conducted by phone. The phone number to participate is 2677153717 and is being displayed on the screen at this time. You'll be able to join the meeting by calling on your mobile or landline phone. So, Rich, you'll let me know when we've uh reached the time of uh for people to have called in. >> Yes. >> Perfect. We have no callers on the line. >> We're going to
close public comment. Um, and actually I'm going to flip-flop these next items. I'm going to um we're going to elect the officers before we approve the minutes if that's okay. Um, so would anyone care? We we this is our annual meeting which means that we need to appoint our officers for the the calendar year. Um, I would uh entertain a motion to appoint uh Dr. Mauy as president, Dr. Fetcher as vice president, Mrs. Denna as treasurer, and myself as secretary. Would someone care to make that motion? Melissa, second by Jeff. U any discussion? All those in favor? I I Jeff and Patty >> I. >> All right. Motion carries. Uh Dr. Murray, I turn the meeting over to you for the approval of minutes. >> Okay. Um so what am I supposed am I supposed
to >> just ask for a motion to approve the minutes? >> Okay. Can I have a motion to approve the minutes, please? >> Motion. >> Second. >> Okay. Uh, is this a vote by acclamation? >> Yes. >> Okay. Uh, all those in favor? >> I I >> I. >> The eyes have it. The motion passes. >> And that takes us on to the treasures report. >> Yes. I make a motion that we uh approve the treasurer's report uh as presented. >> Second. And then >> Oh wow. 89 cents, huh? >> Then I guess if Mrs. Denol has anything to add about the financial report that this would be the time. >> Nothing to add at this point. >> All right. Are we doing a roll call or vote by acclamation? >> You can you can
vote all by acclamation as long as can reflect how everyone voted. >> All right. All those in favor say I. I. >> The eyes have it. The motion passes. So now we're on to the authoriz I would make a motion that we uh authorize Fispatrick and SWAN to prepare the 990 for 2025. >> Okay. Um can I have a motion to authorize the foundation to engage Fitzpatrick and Sir Wonka to prepare and file an IRS 9990 for 2025? I'll make the motion. >> Oh, you make the motion. >> She She made it. >> I'll second. Then Yasine will second it and then we'll >> Okay. >> Um, so how are we paying for the tax preparation? >> The 990, it's a 990N. It's basically a postcard filing. So, >> okay. >> Zanca is not going
to be um >> asking us to pay for that. >> Okay. All right. Thank you. You're welcome. >> All right. Um, all those in favor? >> I >> The eyes have it. The motion passes. Um, okay. That takes us to item seven, the discussion of operating creation and dissolution costs. >> Yes. Last year, we had been uh asked by the board to um look into these costs uh both for the creation originally and potentially for the the dissolution as well as for operating. And the numbers that um Mr. Lionetti had gathered were that the the costs of putting the organization together totaled approximately was exactly $10,835. The estimated cost to dissolve that we had were 8,000. We I I asked and got for another proposal from another firm anywhere from 4 to $7,000. Um and
the um the ASD recurring costs were essentially the facilities over time to operate the meeting in person. Um that was really the only recurring cost that the the district was incurring. Um which was uh about $215 per meeting. So, um, >> and do we do we avoid most of that cost if we meet online? >> I would believe I believe we do, Jeff. I'm not 100% sure. >> Um, we still have tonight. I think yes. Um, in terms of personnel. >> Okay. >> But no custodial costs or >> Right. no custodial and our um our tech components this evening are salary employees. >> Okay. >> Well, I I again unless there's at this point it is cheaper to continue to exist than it is to stop existing. Uh I know it is there's not a
lot it's not very fulfilling but but it it is a vehicle should another opportunity arise. Um so that's all I had. >> Okay. Anyone else? I would just uh propose that we uh continue to meet with these virtually to keep any expense factors down uh until unless we have a necessary to meet in person. Um and I would also ask that if we could um look at what legal obligations we have u to meet and the number of times we have to meet. Um, so before our next meeting, if we could just do some of that research uh to see if we could um possibly, you know, not put it on hold, but at least um meet only as needed or or something of that nature or look at our bylaws to see if there's
anything uh we can do. So to ask Justin, if you could look into that, I would appreciate it. >> See what we can figure out. Um Justin, I heard you mention that the uh initial cost of creating uh this foundation was about $10,000. Um is that just the setup of legal documents and getting particular status in place with state and federal entities and things like that? What do we >> correct? It's the drafting of bylaws and and I was not intimately involved in the creation of the entity. there were some some uh specific requirements from the donor as to the nature of the organization, but uh so you've got to prepare the bylaws filings with the state and the federal government to get your not just your tax ID number, but then for your 501c3
status. Um, I believe there are some other miscellaneous paperwork, but it's not something that I have, frankly, done before. So, I wouldn't I wouldn't be uh wouldn't be able to tell you everything that involved, but it's it's filing fees, it's those costs, um, and bylaws, and that's about it. >> Yeah. Yeah. Yeah. I would agree with Jeff then. just keeping things going and trying to minimize as much as possible just in case we we need this. Makes sense to me. >> Yeah, I agree. I'll see if there's any I I know our bylaws do in I believe include a reference to the Sunshine Act which means that things that ordinary corporations could do by say unanimous consent where there's no physical meeting we can't do because our bylaws say we've complied with sunshine. we have
to physically or or virtually meet um and and have that public stance. Whether we could change our bylaws to allow terms to be for two years and authorizations to be for two years. Again, I I'd have to take a look at that. It's it's a little bit out of where where I what I do for a living. So, um, but, uh, but I can see if we can if I can, uh, call in some favors and see if I can get some resources to to bring some resources to bear to the benefit of the foundation to see if there's a way to do that. But >> that would be great. I'm not super optimistic at this point in time that we'll be able to get it down to more than, you know, once a year,
but that's what we're >> once a year is fine as far as I'm concerned, but if we could, if it's possible to amend the bylaws so that we're only doing, you know, terms and meetings are um no less than by annual. That would be okay with me. >> I'll see what we can do. >> Okay. Any further discussion? Okay. Uh so we need to schedule the meeting for 2027 >> to propose a meeting for next year on January 19th, 2027 at 6 PM on Zoom. >> Is that a Tuesday? >> That is a Tuesday in between our two Okay. >> Works for me. What about you, Yene? >> Works for me. >> Okay. >> Good for me. >> All right. >> Okay. >> Then we'll proceed with that as the meeting for next year. And
then that brings us to our final section of public comments. >> Correct. >> Okay. The number for public comment is 2677153717. If anyone is out there, they can call in from their landline or their mobile phone. We have no callers on the line. >> Okay, that concludes our final uh section of public for public comment. Uh any further comments from f from board members? No. All right, the meeting is adjourned.
