Welcome everyone to the legal and contracts committee meeting. I am the chair Nathan Gerace. Joining me is vice chair Phil Montgomery. I will be waiting on member Hall shortly. Could I have a motion to approve the meeting the minutes of the last meeting? I so moved. All right, and seconded by the chair. All in favor indicate by saying I. I. I. And with two votes, we will move on to the second item of public comment. I did not see anybody sign up for public comment, but is there anyone here that would like to address the committee? Um Um Sure, go ahead. Come on up. >> [clears throat] >> And if you would just state your name and then feel free to share your remarks. Hi, um Yeah. Hi, my name is Deborah Davis. Um I

work for Templeton Transportation. It's my first year working. And so I'm here. I understand that you guys have a special meeting today. And I'm just kind of here uh to see what's going on. I don't know if you're going to discuss the contracts today, so um that's what I'm All right, thank you Deborah. Is there anyone else here for public comment? Seeing and hearing none, we'll go ahead and move to the first item of business, which happens to be just an update on the van driver contract. So Mr. Sapusik, would you mind giving an update? Thank you, Mr. Chair. Um So with the van driver transportation contracts, uh the administration recently received uh request to engage appropriately for the uh citizen's question, uh to engage the vendors uh in discussions about uh the upcoming contracts

for uh 2026-2027 school year. Uh and so the superintendent uh has reached out this afternoon. They should be receiving uh communications inviting inviting them to a first meeting uh to review and discuss uh the agreements heading into next school year. Any questions by members of the committee? Yes, member Hall. Thank you. Um When you said them, who is who who are they that can come and do this review? The van companies. >> The current ones that we have now? >> van, yes. >> Okay. Do you have any new or this is just the two current companies that we have? It's the existing contracts with the two current vendors. Thank you. You're welcome. Seeing no other questions, we'll move on to item 3.02, which is just the renewal of administrative contracts. And with that, the next

steps will just be a discussion with the superintendent to see what steps she would like to take moving forward. And then if there is any action or suggestions, we'll move to one of the board meetings for an executive session. Next we'll move to 3.03, and there are several contracts. I will say in the past week there were two other agenda items that were in this section. It was Granite and AT&T contracts, but those were already voted on. So if you saw it last week and saw those contracts and then they're not here now, it is because the board already voted on them. And so Mr. Sapusik, would you like to give an update on the contracts that are currently listed under the April 2026 contracts that renew, expire, or require board action? Uh sure, and

I'll also invite uh business manager Deborah Folk uh to provide support uh on some of these agreements. Uh but Ace of Diamonds Enterprises uh contract is for the lining of all grass fields within the district. Uh current contract expires June 30th of this year uh per board action of last April. And the athletic department is going to be seeking quotes regarding uh the lining of the fields. Any questions about this item? And so which month might board action take place? Uh the prospective board action would be prior to June 30th. Prior to June 30th, so between now and June 30th, some action will be required on that contract. Okay. Yes, member Hall. Thank you, um chair. Um So my question is with the lining of the field, this is lining all of the schools. Is

this the football field or is this all the types of lining? Is this baseball? Is this everything or just football? My and uh correct me if I'm wrong, Deborah. My understanding it's all grass fields. >> These are actually the football fields that are grass and the practice fields for football there are grass. They can be used for soccer. These will not necessarily be baseball because season will be done. Okay. And then just a follow up. Okay, so I know for some of our schools that don't have actual game fields but more so practice fields. We only line those fields with like maybe twice a year. Is that correct? Also, I'll just It's going to be Frank. So for East High School they practice on that field but what I'm hearing is it's only lined maybe

a couple times out of the season. So by the time that they can you know really get into practicing, there's no lines. Cuz we don't line that field like we would line a actual field that that they would play on. >> If that is his concern, we can certainly bring that to the athletic director Mr. McKinnon and and work with the contractor. Thank you. Yes, thank you. Any other questions or comments about that item? Okay, we'll move on to the next one the YMCA of Akron, Ohio. YMCA of Akron, Ohio is for the safety around water program summer swimming program elementary camp in June of 2026. Planning is underway and a new contract is going to be forthcoming. And is that also expected before a certain deadline? That would be probably before July 1. Okay.

Excuse me, I'd like to make an update because the program is in June. I would think it would have to come in May. >> May. Okay. Thank you. Thank you Director Folk. Thank you. Any questions about the YMCA of Akron contract? Seeing hearing none, we'll move on to the next one Republic Services. There is an attachment on the board agenda on board docs for that if any member needs to take a look at that. This new contract sorry No, go ahead. This contract was approved in April 2025. Services from May 2025 through June June 30th of this year with two additional years of service through June of 2028 at no increase in cost to the district and Deborah so no action recommended at this time. >> No action recommended at this time. Any questions about

the contract? Okay. Next item will be the Southeast Security LLC. This is a one-time upgrade regarding the district electronic badge system. So Southeast Security was approved in April of for the purchase of district-wide conversion of our ID electronic badge system. And there is no further action needed at this time but that agreement runs through June of 2027. Any questions on this contract? Yes, member Hall. Thank you. Quick question. I know I've talked to the superintendent about potentially having students with badges and I know that's probably like in the future but I wanted to you know have a school be a pilot. Would this program work with student badges too? If if that's something that we did would do. That is something that we're looking into with Alan Jones head of our security department and our

school leadership executive directors. We just actually met Tuesday and they're supposed to bring a proposal to us. So we'll circle back and let you know. >> Okay, please keep me in the loop on that. Thank you. Because they wanted it as well. >> [clears throat] >> Did you have anything to add attorney? No, ma'am. Any other questions on the Southeast Security contract? Seeing hearing none, the last one here under April is Scholastic Inc. And I'm going to ask Deborah Folk if you could. >> These are items that are usually purchased for the 2026 summer experience program which is currently being planned should they be needed. No recommendation is provided at this time because we do not know what items are currently going to either be reused from previous stock that we have or items that

would be additionally needed as they set up the program. So we're going to expect a timeline of maybe around May? It usually does come in May. That is correct. All right, excellent. Any questions about Scholastic Inc? Seeing and hearing none, we'll move into new business just overviewing the contracts that might have action in May. The very first one here is Children's Hospital Medical Center. Thank you Mr. Chair. Akron Children's Hospital the Board of Education approved a agreement for school health services at the meeting of May in 2024 for a three-year term. So this is an agreement that runs through June of 2027 and no action is required to be taken at this time. Any questions regarding the Children's Hospital Medical Center contract? Seeing hearing none, we'll move on to Xerox Corporation ComDoc and there are

three contracts I see that are under this item. Okay. Thank you. This is again for information status update. The Board of Education approved a agreement renewal for maintenance of three units located in the APS print shop in March of 2024. This agreement is effective through June 2027 and no action is being requested at this time. Any questions? Go ahead member Hall. See I don't have my computer in front of me but when it says three times you're saying three units three different locations. This price is all budgeted together, right? It's not three separate contracts. They are actually three separate contracts for each unit because they are each a different type of machine. They are located only in the print shop which is located at the central distribution center. Okay. So they are the software maintenance

agreements for each of those machines but they are all contained in the funding for the print shop. Okay. But if we're using the same company, I hope we got a good deal, right? Oh, we did. Okay. Go ahead. Seeing no other questions or comments, we'll move on to the next item which is Education Alternatives. Thank you Mr. Chair. And actually if I may Education Alternatives and the next one Total Education Solutions Inc. are both related to special education services. I know Director Frymier is here. But these are in the works is my understanding and I don't want to misrepresent these agreements but Education Alternatives is a tuition agreement for APS students that need services as determined and assigned by our office of special education. That is expiring in June of this year 2026 and as

students become identified, Ms. Frymier and her team will put those together and we'll have those shortly. Yeah, go ahead member Hall. Could you just explain a little bit more in depth? I know we talk about things on the floor about you know if students special needs have to go to another school and things like that. Is that what we're talking about when you say pay tuition? What are you talking about? Can you describe? So I'll lean on the experts. I appreciate that. All right, good evening members of the board. Yes, so Education Alternatives TES, they are places where we pay the tuition for the students attend there. So there's a multitude of reasons why they may attend these locations. Some of it may be through the decision of the IEP team which then that's where

we offer FAPE as well as sometimes students are court placed through the courts to these other facilities and then we have to pay the tuition or the education of those students at those facilities. So it's just paying for the education at those facilities. You're welcome. Any other questions about either Education Alternatives or Total Education Solutions Inc? Seeing hearing none, next one is Edmentum Inc. and there are two contracts under that vendor. Mr. Sapusek. Thank you Mr. Chair. Edmentum is purchasing service agreements for educational programming for digital learning for students in grades 5 through 12 and credit recovery approved by the board in July of 2025 with a contract running through June of 2028. So there is no action required at this time. And then any questions regarding Edmentum? Seeing hearing none, we'll move on to

Amplify Education Inc. Thank you Mr. Chair. Amplify Education Inc. was approved by the board in July of 2024 and expiring in June of 2026. Action coming out of this item will be related to a service agreement for the Summit County Juvenile Detention Center. If you want additional information, we can refer to Deborah or Dr. Lash. >> Sure, would you like to elaborate on the services being offered through this contract? >> We certainly do offer educational services for the uh students that are of educational opportunity assigned to be at the Juvenile Detention Center. This is the program that they actually use under our supervision and Mrs. Green Pilati is the administrator that handles our Juvenile Detention location for that particular contract. Thank you. Any questions? Yeah, go ahead member Hall. You know, I didn't know that

this really was a thing. You know, I mean I know the students are being educated but you know, being on the outside looking in and now I'm here, I didn't really learn about that until I went to a conference last year and I I some people and I said, well, what do you do in the schools? And she said, I go to the juvenile detention and I teach the students. I'm like, Oh, [groaning] okay. Um, so quick question, with the students that are in those situations, um, once they complete school, say they would graduate, but they're not, you know, at a traditional high school, do we do a graduation for them? Do they get a diploma? I mean, I know that they may be in another circumstance, but how does a student graduate from these

programs? >> be honest with you. I'm not the person that oversees that part of the program. I might advise that a student that truly would be within an Akron public school setting would certainly receive those credits and obtain that graduation from us. But since the detention center also services other school districts and we help provide the services for those students as well, I can't advise that how every school district handles it and I don't want to be, um, forthcoming with information I can't provide. Sounds like new information to you, too, cuz you said, hmm, who is that person that would be over that again or maybe I can just learn a little bit more from them. Currently, it's, uh, Mrs. Becky or Rebecca Green Pilato. She is also your a principal over at the Akron

Alternative Center. So she handles both. Thank you so much. >> You're welcome. Any other questions regarding Amplify Education Inc.? Seeing and hearing none, thank you very much, Director Folk. The other two items were two things we talked about previously about the van driver contract updates of both Templeton Transportation LLC and Buckeye Logistics and Transit LLC and those are already begun with the process of renegotiating moving forward. >> [snorts] >> With that, is there any other new business, any questions or comments from any of the members of the committee? So seeing and hearing none, the next Legal and Contracts Committee meeting will be May 20th from 4:30 to 5:30 p.m. in the Reverend Dr. Curtis T. Walker Board Room. Is there a motion to adjourn? So moved. Is there a second? Second. >> All in favor?

Enter I. I and we are adjourned. Thank you, everyone.
