Happy new year everybody. Calling this meeting to order in on January 8th, 2026. Uh this is an organizational board meeting. Uh the regular board meeting is at 6:00 pm following this meeting. Jake, could you call the role? >> Yes. Bailey >> here. >> Potter >> here. >> Myers >> here. >> Thank you. Now >> here it go. >> Sorry. I didn't take a breath of that one. That's that's all here. And then moving on with the items under the organizational meeting. Now, this is where we have new board members take their oath of office. We elect a president and vice president. and we then uh go through committee appointments etc. So it's a little bit different than our regular meeting and happens once a year at the beginning of the year. This is an exciting
day because every other year we swear in new candidates who have been elected and there have been three new candidates elected for a four-year term starting January 2026. and our treasurer Jane McGrath has the honors of swearing each of you. >> Paul, you be first. Go. We'll go after. So, if you want to come up here. Yeah, you gota you got to do the whole thing. I >> I state your name. >> I, Paul, >> do solemnly swear >> that I will support the Constitution of the United States >> that I will support the Constitution of the United States >> and the Constitution of the State of Ohio >> and the Constitution of the State of Ohio. and that I will faithfully >> and that I will faithfully >> and impartially >> discharge my duties

I 15 >> do solemnly swear >> do solemn solemnly swear >> that I will support the Constitution of the United States >> that I will support the Constitution of the United States >> and the Constitution of the State of Ohio

Thank you. We'll wait till Kim finishes signing her
oath and then um go to the next item, election president and the oath of office taken by the president. Um, this requires first a motion to open nominations followed by nominations followed by a vote. And each board member votes by stating the name of the candidate whom they support. So, do I have a motion to open nominations for board president? >> So, move. >> A second. I second. Thank you. Um, as president, current president, I will take the prerogative of nominating Amy Bailey for the position of board president. Amy has been very helpful as I dealt with some health issues during the last three months last year and into this one here and brings experience. We were both we both started together two years ago. And so she comes with that experience and a record
of service to the board. Are there any further nominations? Do I have a motion to close nominations? >> So move. >> Second. >> Thank you. You'll get used to it. Uh now, now we move to a vote for president by stating their name. >> We got a >> Oh, we have to vote. >> Roll call to close. >> Okay. First roll call and then >> Yeah. And then you would state your Bailey. >> Yes. >> Paul, >> yes. >> Myers, >> yes. >> Conor, >> yes. >> Michael Derfer, >> yes. >> And now the vote for president. >> Yes. >> By stating the name of the candidate. >> Bailey. >> Harrison. >> Bailey. >> Myers. >> Amy Bailey. >> Potter. >> Bailey. >> Reler. Bailey. >> Amy Bailey will be the president of the board
for 2026. >> Oh, I don't. >> Hi, St. L. I, Amy Bailey, >> do solemnly swear >> that I will support the Constitution of the United States >> that I will support the Constitution of the United States >> and the Constitution of the State of Ohio >> and the Constitution of the State of Ohio >> and that I will faithfully >> that I will faithfully >> and impartially >> discharge my duties as board president >> of the said Yellow Springs Exempted Village School District >> of the said Yellow Springs Exempted Village School District. Green County, Ohio. >> Green County, Ohio. >> To the best of my ability. >> And in accordance with the laws now in effect. >> And in accordance with the laws now in effect. >> And hereafter to be enacted. >> During
my continuence in set office. >> During my continuence office. >> And until my successor is chosen and qualified. >> And until my successor is chosen and qualified. Thank you. Okay. So now we move on to 2. All right. Moving on to item 2.3, which is the election of the vice president and oath of office. So, do I have a motion to open nominations for the vice president? >> Is there a second? I second. I will go ahead and I would like to nominate Christy Myers for vice president. Um, I will nominate Kim. >> No. Okay. >> Go ahead. And close nominations. >> Is there a motion to close? >> Yes. >> Is there a second? >> Second. >> Bailey. >> Yes. >> Arizona. >> Yes. Myers, >> yes. >> Otter, >> yes. >> Recorder, >>
yes. >> Motion's opposed. >> There's a slight typo in the agenda for vice president. At the bottom, >> it says vote for president. It's actually vice president. >> Okay. Um, you vote by saying their name. Bailey >> Myers Dorfin >> Myers >> Christina Myers will be the vice president of the board for >> I state your name. I, Christina, >> do solemnly swear >> that I will support the Constitution of the United States >> that I will support the Constitution of the United States >> and the Constitution of the State of Ohio >> the Constitution of the State of Ohio >> and that I will faithfully >> and impartially >> discharge my duties as board vice president >> discharge my duties as board vice president >> said Yellow Springs Exemptive Village School District >> of
the Yellow Springs Exempted Village School District >> Green County, Ohio. >> To the best of my ability. >> And in accordance with the law of sound now and effect. >> And in accordance with the laws of sound and effect. >> And hereafter to be enacted. >> During my continuence in set office. >> And until my successor is chosen and qualified. >> And until my successor is chosen and qualified. All right. Um, moving on to item three, which is very long item for tonight. So, this is a consent calendar. So, we will go ahead and um have a motion to open all of these items and then I believe we don't vote to the very end. Correct. >> Correct. So I make a motion we open all the calendar >> second. >> All right. So the
first item 3.2 is to appoint a board member as treasure pro 10. So um what that person does is um if Jay is unable to attend the meeting um this person will be the person who comes and takes the meeting minutes and um provides them to him for recording. So, um, do I have anybody willing or interested in taking on that? All right. So, we will appoint Paul as the 2026 treasur. All right. 3.3 appoints board members as leaison. So we have four um four different liaison to appoint. The first one is the student achievement liaison. Um so this this particular person is receives information from Ohio school board association. Um and it's not really too time consuming. It can be kind of as much or as little as a position as you'd like it
to be. Um, is there anybody interested in And on number two, in December of last year, we talked about having or actually November, we talked about having two legislative. >> Yeah. So, we'll Yeah. So, the next one is the legislative leazison. So, we'll Yeah. Let's talk about two appointees maybe that can work together um because it is such a heavy lift. >> I don't know if we need a formal amendment to that. >> I think we need a name too. Okay. So is there anybody interested in being primary? >> I'm interested. >> Yeah. So we will be doing. All right. Next um leazison is the village of yellow springs uh council leaison. Um so this position um I think mostly is in case we need to go to a council meeting and speak on behalf
of the school district. Um our administration does a lot of work with the council administration. So there's not too much um that has to happen with this position. I'm happy to take this position as the board president since typically that's the person who would go and speak on behalf of the board. Um unless anybody else >> that also makes sense because in our all right moving on to active transportation. Y okay with that moving along >> and Dorothy will be a great resource for both legislative and the act of transportation um as she was doing those in the past. So I know she's eager to hopefully continue to give advice that we are searching for. So all right so we are moving on to 3.4 which is to appoint board members to committees. Um so
we have a handful of committees that are required either by our board policies by negotiate agreements or by other organizations. Um so the first is the uh student review board. Um my understanding this does not meet too often. It's kind of as needed right once a year with high school students and high school. >> Okay. I think I I did this um maybe two years ago when we met when they reviewed the um the student handbook. So, it's an interesting position. It's nice to go and the students and interact with them. Is there anybody that's interested in that? >> And if we get through all of these, some of them are heavier lists than others. we get through them and we think we've overcommitted or under committed we can go back. All right. So the
board will be proceeding. >> All right. Next one is the insurance committee. This is >> the insurance committee is in case we uh it's as needed. Um it is with the heads of the unions. If we get our insurance renewal and we decide that we want to go out and get a different insurance or shop for insurance, the committee gets together to to review the options. Um I would say our our health insurance um health vision has has been relatively low for the past three four years. So, um, I usually reach out to them and say, "Are we interested in shopping this out?" And, um, so far we have not had to because the increases have been slight. So, chances of us meeting are low and and I hope that continues on is so interesting
on the insurance. >> It is an easy one. Sounds terrible. >> Faculty advisory committee. So we will look for two board members to be a part of this uh committee. This is an important committee. Um it meets quarterly three four times a year. Yeah. Um and it's with basically all of the important people in the district. Um the union, our building administrators, um Dr. Holdman, I believe Jay in the meeting for acts. Um and it no okay um and they meet to kind of discuss things that are happening within the district on an operational basis which would be a variety of different topics but it's a way for the board to stay connected with staff and administration and the um union. So, um, two board members and both aren't required to attend, but it's >>
just for scheduling purposes. This is a meeting because teachers are involved. So, um, I have done it in the past and I think one thing that they have requested that the union has requested is that it be continuous. the the two people that do decide to do this committee are continuous for the next two years just for sake of being consistent. I am happy to continue to do that if there's anybody else that wants to join >> interested moving on to Yellow Springs Development Corporation. Uh Rebecca has been the standing member that um is participating in that group. You have anybody >> I'm willing to continue. >> And then also with the YCC um it is typical that we have um Dr. Holden attend as well and I think um that will be continue more
as an as needed basis. Um >> yes my so my role on that is just simply because for me so I think just in respect for her time I think unless there's something pressing on the agenda that we would need her to send that we'll allow our buckets to represent the districts in that organization. Yes, we are. We have one representative and they are voting member. >> All right, moving on to the records retention committee. >> This takes place um once a year um 15 minutes prior to a regular board meeting. Um whenever we we are we collect a lot of uh records that occasionally can be disposed of and when we're ready to dispose of those records we have to um the committee has to approve itself. It is a commitment of 15 minutes
prior to a regular board meeting is as when I normally do it. We get a scheduled list of items and we're just approving that those are going to be disposed of >> anybody interested in that. All right, moving on to um committees that are not required but that we um have recommended uh Rebecca and I and our administration have recommended during agenda planning to continue on into uh 2026. Um and the first one's actually new. Um so the finance committee will be somebody who works closely with Jay and um potentially a couple of community members um to work through some of those finance questions and communication open. Is there anybody interested interested in finances? >> All right. All right. And the heavy lift, the facilities support team. So, this position is um we're asking for
two board members. And it doesn't have to necessarily be two board members that will always be at the core team meetings, but that at least one will be there to represent, one maybe as an alternate. Um so this meeting the the catch to this is that it's during the day during the week. Um every second every t every two Tuesdays the meeting starts at 12:30 for a walk through of the buildings and then we also meet um in the board office for um with the construction crew and the architect crew to go over everything to do with the master. I've been doing it um as of last year. Um I'm happy to continue doing it. My schedule allows for that meeting. It's in my calendar. So I'm happy to be the primary and then if
there's somebody else that's interested and wants to participate, everybody's welcome to come, but if you're not able to come, that's fine, too. Anybody interested? >> Kim, with that, it's very it's fun. You get to see the buildings every two weeks. >> I would say It is a pretty understand. Moving on to the policy committee. So, this committee meets more frequently recently than it has in the past because of all of the changes that happened um with the laws. So this is a committee that works with our administration and then who is our um the company that operates our policies and we need so there's a two update packages generally one early fall one in the spring and so sometimes those update packages are light sometimes they might policies so try to try back it up
to agenda review, but it doesn't have to be backed up to agenda because I think that was just based on schedule perhaps. Um, but it allows us to go through a few recommended policy changes. Generally, most recommendations are changing because we've done a lot of policy updates. So, one would think that I'd be willing to do that in the legislative calendar. meets once per year, right? Generally once per year. This year we'll meet in the spring calendar 27 28 28 at most two meetings. >> What time of day is that? Is that like during the school time? >> Okay. >> Because school staff were involved. >> Okay. >> So it's >> interested. Yeah. >> All right. Pretty smoothly. All right. So, moving on from May's the next item is 3.5 to approve the date time
in place of our board meetings. Um so this um we have in here as a recommendation from our agenda review um the second Wednesday of the month and the fourth Wednesday of the month for our work sessions um at 6 pm here in the Mills gym that will change after the location might change after our facilities are finished this year but um I know we do have a conflict with a fourth the fourth Wednesday of the month for the work session Um so we should discuss alternate options for that. I know in the gender review we talked about consistency of the day of the week. Does it be important for everybody to remember and for the community members to know um what are what is what are everybody's thoughts on >> Third Wednesday. So do
second Wednesday and third Wednesday for our meetings. Okay. And then um I know we have 6 PM in here, but I would like to recommend that we try to maybe do this a little bit earlier um if we can if it works for everybody. Um 5:30 if possible. >> Yeah, just to keep it consistent. Um, I think that it allows for our administration to if there are after school activities happening, plays, games, things like that, when we're out of current time at, you know, by seven to make it to those events. Um, does anybody have a conflict? We don't have a conflict, but I am concerned that pushing it to 5:30 would make it hard for particular parents and other community members to attend the meeting. Um, I'm also wondering, you know, we have the
awards including an athlete award and just recalling that my kids were playing sports and it seems like that would run into conflict more. than later. But I'm not sure about that. Maybe Jack can speak to that. >> I think either time >> they're gonna have conflict. Yeah. And I think well and I understand that point. Um and it if for some reason we're running into, you know, parents or kids can't make it for the awards or we might push that later into the agenda and then it's not so early in the agenda. >> And then also my own my own work schedule. So, I'm taking medical leave this semester, so it won't be a problem. But I know in the fall 5:30 a difficult time since I finished with work usually around 5 would be
tough. So, I can imagine I don't know if anyone else has con >> It depends on the day for me. >> On the day. Okay. >> Are Wednesdays at 5:30 generally. Okay. for now. Okay. >> So, can we try 5:30 and then reevaluate >> when that work for administration second? >> 5:30 is a conflict. >> Oh, okay. >> The one that we already have. >> The third Wednesday is the governance governance session. I think we'll keep the same. >> Start this in February. >> Yeah. Yeah. I think that was Yeah. My intention at least was to keep the date. So our work session which we're probably going to mention at the end of our next meeting, our next work session will be on Wednesday, January 28th. Um because that's just what our standing schedule was
before we Okay. So, regular board meetings will be the second Wednesday of each month at 5:30 here at Milan Gym. Work sessions when we need them. Third Wednesday of the month, 5:30 here at Gym. All right. Approve board affiliations. So, this is just um approving our um membership with OSPA and all of our organizations. I don't think anybody have any questions or anything over that vote on it. So, all right. Board compensation 3.7. So, uh per the Ohio Revised Code, um the maximum amount per meeting that board members are entitled to earn is $125 per meeting. Um, our policy now states that we are limited to 24 payboard meetings per year. Um, hopefully we will never have to go over that. Um, but some things to keep in mind with our compensation, we are able
to change it if we would like to in terms of the number of meetings that were paid for. any changes that we make as a board do not go into effect for any of us during our ter this current term. So if we make any changes it'll be for anybody in the next term. So um the only changes we could make would be to extend the number of board meetings that can be paid for which can be paid for up to I think 40 board meetings per year. Um and then the other thing though um per the Ohio code we are able to also be compensated for um uh conferences, trainings, things like that. Um, so that could be something we look at in the future to maybe add in if we want to add
that in >> total compensation for that and >> right. So, I think it's recommended that um by OPA if if we want to look at changing any of this that we do it in the fall. Um and then it's we vote on it and then it's ready for the next board that starts for the next year. Um so we can either do it this fall or next fall. It won't affect any of us. But just something to look at us. So >> but then in two years affect us If like if I were to run again and get elected, then I would be entitled to the new >> but only newly elected >> only new. So you guys will be just paid what we're paying currently for the next four years. >> Yes. We didn't
visit this. I do just to keep it in the back of our minds when we pick this up again in the fall, which I think we should. I do like the idea of incentivizing training and attending the OSA conference and also providing some compensation for those who are taking work time off if that is financial impact for them. That makes sense. So that will stay the way it is for now. All right. Moving on to the district district uh violence rates. Uh Dr. the updated the current 2026 rate at 725 cents per mile. So that would be the mileage rate 3.9 the civil rights compliance officer and that's student services. Okay. Anybody have questions about that? uh approving standing authorizations for superintendent. Um this is for us giving Dr. authorization to uh employ temporary personnel
and accept resignations to appoint negotiate personnel to enter contractual agreements for services as needed in emergency situations and to approve applications to professional meetings. Any questions on end? Next is authorizing the board president to wave the reading of the minutes of the previous meeting provided that they have been submitted in advance. 3.12 Set the bonds for the superintendent and board president. It's recommended that we set the bonds at $20,000. 3.13 uh setting bond for the treasur and that is a little bit higher at $50,000 questions. 3.14 authorizing the treasur to sign federal state private fund reports and applications. questions 3.15 authorizing the superintendent to employ legal counsel which is great and quiet and more and questions 3.16 adopt existing bylaws and policies. So this is where we um adopt all of our current bylaws policies.
Um, also do want to say that at any time any board member can recommend that we put anything on our agenda to review or update or change policies. So this is just adopting what we currently have. Questions 3.17 designating the official newspaper. We would love to uh designate the official newspaper as the YS news. Anybody have any objections for that? Great. Yes, they are. All right. 3.18 Banks of Depository. This is for proving where we keep our money. US Bank and Star Ohio Bank. 3.19 authorizing the treasur as a public records training designate. Questions about that? All right. 3.20 standing authorizations for the treasurer. Oh, looks like to request advances of tax settlements to authorize and sign district checks and use signature plates to invest in active funds and to pay all bills modify appropriations.
Advance cash and to issue with blanket purchase orders not to exceed $500,000. And then finally, we have >> Right. So yes, vote on all everything you just talked about. >> Okay. >> Bailey, >> yes. >> Potter, >> yes. >> Myers, >> yes. >> Greger, >> yes. >> Motion passes five to zero. >> Do I have a motion to adjourn from our organizational meeting? >> Izzar. >> Yes. Regular Derper. >> Yes. >> Bailey, >> yes. >> Myers, >> yes. >> Motion pass five to zero. We are adjourned from the organizational meeting at 5:44.
