001Roll call. Mr. Kevin Merritt. Here. Ed the board. Here. Monica Hargenrader. Here. Ronnie Erwin. Here. Latasha Manney. Here. Sean Murphy. Here. Jeff Rose. Here. Tammy Silvas. Here. Jerry Veneral. Here. Please stand for the pledge. I pledge allegiance to the flag of the United States of America and to the republic for which it stands one nation under God, indivisible, with liberty and justice for all. Notice of the executive session of April 27, 2026 for potential litigation from 7:42 p.m. to 7:58 p.m. And then on May 11, 2026, personnel administration and real estate at 7:55 p.m. to 8:20. And we did not have anybody sign up for public comments for the agenda. And then I think we only have Cockerton here. Right? And um Yep. Go ahead. Good evening. It is nice to see you all. Our
002spring sports are wrapping up wrapping up and then heading off to playoffs. Our baseball team is 4 and 12 overall with 4 and 8 in conference. They will have a playoff game on May 21st against West Middlesex. Our fastball our softball team had their first playoff game today and finished their season 15 13 overall and 8 to 2 in conference. Our boys volleyball has wrapped up the regular season as well and is 13 to 7 and 1 overall and 5 to 2 conference rankings. They're heading on to playoffs and will face Maplewood first round on Tuesday the 19th. Sydney Moran, Addison Miller, and Nolan Minnick participated in track districts this past weekend. Addison and Nolan both received medals. Our clubs and activities have also been doing amazing. Our foods class partnered with our junior class
003to fundraise and will be hosting a chicken and biscuit dinner tomorrow evening. On Wednesday May 6th, our entire building had the first annual STEM Fest at the Bird's Nest. Most of our staff and much of the student body came together to showcase the STEM curriculum we have been developing for almost a decade. The event's success far exceeded our expectations with an estimated 350 plus visitors taking part in the action. We would like to thank the administration and board members who were able to come out and enjoy the event. We would also like to extend our gratitude to our corporate and community sponsors, the Crawford Central Community Foundation, Aggie Tech, Allegheny College, and the NTMA for helping make it a huge success. We have already gathered feedback to make next year's event even bigger and better.
004Along with that, CHS had their prom on May 1st at Sunset Ridge, which was very successful as in the students had a blast. As our school year is wrapping up, there are a lot of field trips and activities happening. On Wednesday the 27th, our students who participate participate in STEM are taking the day off to go on a field trip to Cedar Point. The next day, our seniors are taking their class trip to the Gateway Clipper and to Kennywood. Um they are also having a homecoming to elementary school to walk the halls one last time. After that, they're having a fun day of food trucks, slip and slides, cornhole, and other activities. And our graduation will be held on June 5th at 7:00 p.m. We hope you all have a good rest of month. Thank
005you. Thank you. Thank you. Nash is not going to be here tonight. Meadville Area Middle School, Tara. Good evening, everyone. I apologize. My two reps were not able to make it this evening. I am Tara Kellyman. I'm the student council representative or student council advisor. And here are our May's minutes for the month of May. Our spring sports have also completed for the year. Track had four meets with a one and three record. The boys lacrosse um ended their season with a record of 18 and three, 18 three and one. The girls soccer finished their season with a record of two and nine, and the boys soccer ended their season with a record of nine and two. We are beginning our May Museum projects to wrap up our school year. These are cross-curricular projects that
006each pod or team works on. The Explorer pod or team is focused on a passion project. The Explorer team is part of the seventh grade team. Um students select something that is very special to them and create a project related to that. The Seekers and Visionary pods, so the Seekers are the seventh grade, the other seventh grade team, and the Visionary pod is one of the eighth grade teams. They are working on content-specific projects. The Quest pod, which is the other eighth grade team, has a uh theme which is called Road Trip Across America. These students do research including a travel budget, create a tri-fold display in a 3D model of their famous United States landmark. They then present their road trip to the class. All of the students' work is displayed and presented to
007the public on June 4th at Meadville Middle School from 5:00 to 6:30. We invite everyone to come and see all the hard work the students have done, and again that date is June 4th from 5:00 to 7:30 or 5:00 to 6:30, excuse me. Um our pod pod wars, which we do every year, for the seventh and eighth grade school has ended last week with a culminating and very competitive game of Smash Brothers, um which is a video game if you don't know that because I don't do video games, so um for those of us who don't know what's a video game, I think Mario Brothers it's similar to Okay, yes. Um so the Quest pod won the pod wars for the fifth straight year, um unbiased, but I am one of the Quest teachers. Um
008so the kids were saying all year long um one for the thumb as as they were doing. So they did get one for the thumb. The Visionaries came in second place, the Seekers came in third place, and the Explorers came in fourth place. Our eighth grade WEB leaders also finished their year off by attending Play Sport in Erie on May 8th. This is an arcade up there. The kids said they had a great time and really enjoyed the experience. And then on May 29th, which is next Friday, our seventh grade students will have a field day at the Meadville Area Rec Complex. So those students who earned this reward will get to enjoy time spent outside and the use of the pool facilities. Our eighth grade students who have earned the trip will be traveling
009to Kennywood in Pittsburgh on that same day. All students who participate in the field day and field trip earned this reward by showing good behavior, good attendance, and passing grades. As always, we would like to thank our school board and administrators for dedicating your time and energy to our school district. Thank you. Thank you. Moving on, approval of the minutes, resolved that Board of School Directors of Crawford Central School District hereby approves the following minutes. Regular board meeting of April 27th, 2026, which is attachment one, and Committee of the Whole meeting of May 11th, 2026, which is attachment two, and I need a motion. So moved. Ron. Second. Monica. Any corrections, additions, questions? If not, all in favor, please say aye. Aye. Opposed, same. Motion carried. Committee reports, food service, Monica. Approval of the food
010service budget for the 2026 to 2027 school year. All in favor, please say aye. Opposed, same. Motion carried. Approval of the increase of adult meals for the 2026-2027 school year. Resolved that the Board of School Directors of Crawford Central School District hereby approves increasing the price of adult meals to $3.05 for breakfast and $5.05 for lunch at the start of the 2026-2027 school year. And I so move. Second. Roll one. Any questions? Not all in favor, please say aye. Aye. Opposed, [clears throat] say. Motion carried. Buildings and grounds. Ron. Approval of the solar agreement for Meadville Area Middle School and Meadville Area Senior
011High School. And I believe Austin has an update for the board. Yes, we received some contracts from McClure. Um, with Rachel's help, we looked them over. Um, there's some things with the um, termination clause in in the agreement that I think you guys should know. It's a 20-year termination clause. Uh, each year has a differentiating amount for what that term uh, that the clause would be. Um, so for instance, in in year one, that amount is different than say year 17. Um, the termination fees are high. Um, it's you know, high-cost system. Believe, you know, I just got a little update from from Damian. Um, he can probably explain it better. There's more things that go into that that termination. Um, there's some removal of the actual equipment, things like that. Um, but the fees
012started around five and a half million and by the end of that 20 years, around three million dollars. Um, so that the um, the termination fees are high. The other thing is the um, and I didn't get a 100% certain on this from the from McClure Group, but our interpretation of it um, was the performance guarantee is a um, performance guarantee of the array, not so much like a hey, if it doesn't do X, Y, and Z, we're going to cut you a check, make sure you save all your you know, you save the money. It's based off of um, what the output of the array. So I believe it's at a 90% so if it creates 90% of what they estimate it should make then it's met that goal and we would not get
013a check or anything like that based off the performance of the unit. And Damian please correct me if I'm if I'm speaking out of line. You're doing pretty good. >> Okay. I'll clean up when you're done. I'm not a solar guy but so that's over a two-year period so it's an average between those two years and any in those two years anything above and beyond that it made more of it would carry over into those following years. Um so it's a little nuance with that. Um there is a formula that creates the what we would get back I believe in a in a in a check and there's some values in there that I'm not sure how they're created. So I think Damian could probably speak a little bit more on that. >> an answer
014on that too. Okay. But I didn't want to interrupt you. Okay. No I'm I'm good. Does everyone understand what I'm talking about with the performance guarantee? Okay. Okay. And I'll put in my two cents in going back to the early termination fee. Just so we're clear that at the end of 20 if in the 20th year cuz remember it's like a 20-year contract right? Okay so an early termination would be anything before that end of the 20 years but it's true that if for some reason there was an early termination during the 20th year it would still be quite expensive at that point. If you make it through the whole 20 years then that's just the end of the term of the contract. It's there's not you know it's not going to cost you a
015handful of million dollars if you see the contract through but right up until the second to last day of the contract it's a multi-million dollar proposition to terminate that contract. Um and it's gets less expensive as you go down through the 20 years right? Um and then the calculation of the um Performance I call it performance guarantee. >> Yeah, yeah, yeah, whatever. Yeah, the the guaranteed minimum um whatever the the difference is. The there is a formula and it goes it what it kind of does and I'll let Damien explain it explain where they get the numbers from. Um but what it does is yes, there's like a threshold um over [clears throat] which you don't get paid any difference. So there could be a 10% difference between the estimated projected um production and what
016you actually get and you would not be cut a check for any of that 10%. Then once you hit below that, it gets multiplied by a factor if we have if if the array has basically gotten less sun than what we would expect it to normally get and that's where I'll let him explain where they get those numbers. Um but uh then the you don't get cut back a check just for the exact amount of the difference. It's also then could be lowered if the production was lower because it was cloudy. Basically. That's an that's a really super simplification, but I'll I'll let Damien clean up. I think I think guys Do you want jobs? Um so I'll start with I think the production guarantee is probably the easier one to explain. Um so the
017production guarantee, there's a a table in the contract that says on this year it's going to produce it should produce this much. And so we're we're guaranteeing the production of the system and then there's an allowance, you know, cuz of the system decays and oddities happen. And so it's 90% of the guarantee. So if it if we're only able to produce 80% that year, the first thing we're going to do is make sure that it was a normal year. So let's say that, you know, Ohio was on fire again and we had those nice beautiful red sunsets. You know, with all that particular matter in the in the air, it could affect generation. And so that's an uncertainty that can't be, you know, anticipated in any of the forecasting formulas that we use. And so
018it gives us an allowance to make that. That data comes from a national database and and I I saw tonight that we don't actually have where it's coming from in the contract. It'll be in there. It's called it's a national database and there's a a method it means in a method to do the calculation. So it's not like us going through and taking off days. There's a formula. I mean, we'll show our math and it'll say that you know, if it if we only hit uh 85% you know, with the weather correction it might be 87% and we would still owe you the delta up to the the floor of the guarantee. So and it does happen. I mean, and it might not be for weather. Um you know, it might be the utility company
019that that has a problem, takes the system offline due to, you know, electrical shortage and you're not getting the production, you know, the LLC would pay to bring it back up to the minimum guarantee at that point in time. So. Any questions on on that part? Do we get paid for the overages or how's that work? Let's say that it's generating 110%. So this arrays not So the the the Crawford schools were the over producers. And one like one was at 97, the other one was 133 and they balanced to 120. So that you would get that over production that extra 20% would come back to the school in a check. Okay. So since the the Meadville school's 65% ish, um there is no overproduction that's going to be realized at the school. It would
020just reduce the bill further. Right, so it wouldn't be a check being paid out, but it would maybe go to 73% then you would just have lower bills because it's still covered that extra 8% of utilities. From from who? Like Penelec or somebody like that? >> Let's say your bill was $100, it's covering 65% of the we guarantee and it produces 73% for that year, then you would actually have $73 instead of $65. Off the bill. But that does come to the school district and knocks off the bill, right? >> Correct. Okay. >> It's your meter. Everything goes through the school's meter. Right. Right, I understand that. >> um yeah, the whatever we whatever the array can push out to the grid is you know, we use the meter to to you know, for our
021accounting and the utility doesn't see our accounting, it just sees its meter. So, that would lower the you know, distribution charges, transmission charges. All right, is everybody an expert on guaranteed production? Well, that's what we're seeing, yeah, the guaranteed production of the 90% um but you know, we're still curious on the guaranteed saving side of it. I do believe it doesn't seem like there's as much savings as what was uh initially promised verbally um and then you know, and I'm not seeing it real quick here looking through it, but other documents you put out showed you know, an an estimate has been calculated but the year one um was a negative um you know, production and so you know, if we're going to move forward, we would want to know that we're going to be
022saving money from day one of you know this one online. It's It's a good comment. The you know, we're guaranteeing production. Like nobody knows what the utility rate's going to be. And so we can't say that you're you're going to save 50 bucks. But you know, the utility rate might be the So the savings comes from your rate and the utility. So that delta is how we calculate anticipated savings. So if you know, or panel light goes up to $15 at a kilowatt, your savings are going to be huge. If it stays steady and it continues to escalate at 3%, they are what they are. Um you know, year over year we've been seeing you know, historically it's been about 3.35. We modeled conservatively using 3%. I don't think we've seen 3%. We went back
023with um Lockton Energy, their uh energy consultant, and we've seen some some weird years. COVID, obviously, um polar vortex 2014 was another weird year where you get these increases. Um year over year and at least back to what we could pull out, which I think was 2011, we're not at 3 and 1/2% I think that's credits to our our broker locking in you know, right now we're locked in through 2029. We're not even on the contract that we locked in before the 2029 contract. So he's looking years and years out and we locked those in last year. So he locked in all the way through up to 5 years of energy seeing this you know, AI bubble and the data data center bubble and things like that. And I expect him to do the same
024moving forward. You know, this guy that's why I don't watch the energy market every day. We We have someone that does that for us um because they truly are doing that. Um so he could come next year and say, "Hey, we're going to lock in a rate at 11 cents kilowatt and it's going to push you out through 2033. That could happen. He could say in 2029, "Hey, there's no better deal than 14 cents a kilowatt." You know, that's just the reality of it. Same thing with insurance, property, all this. >> it's it's a crap shoot no matter what we do. It It could be. I do know that that we have great rates until December of 2029. That That I know for certain. What's your current rate? Do you know? Um delivered 10.38 kilowatt.
025And what you guys's rate you're in charge of for solar? Yeah, I I knew it was 11. 11. And you guys go up 3% every year? 2% every year in the contract. So. So, I mean, that's the thing, and I just want to make sure we're all clear because it's not a guarantee It's not a guaranteed savings. This isn't the same as McClure's Giza stuff. There's no guaranteed savings. This is a a a I want to say guaranteed production, but it's it's what it is it's a an estimated production. And then if there if it falls significant if actual production falls significantly below that, then there are um the terms in the contract to make up at least some of that difference. Um It's It's a hedge. It's a hedge against the spike. Yeah. Yeah,
026the You're asking if there's going to be guaranteed savings in years one. There's There's absolutely not guaranteed savings in year one. Year one is not going to save. Um the question is 4 years from now, 5 years from now, 15 years from now. And then if we have a biomass situation where the bottom drops out of the production cost, you know, I mean, it is like no right answer. There just really is no right answer. If you look at the 20 years, at the end it'll show you what your electric rate will be in 20 years. So, estimate. No, you're No, you're No, no, you're locked in. Oh, oh, well, yeah, you're There's a table in the contract that has, you know, what the cost, how to raise it 2%. >> That's for solar. Correct.
027So, you would be the everything else that the solar don't generate. Right. Correct. That's still the other 35%. >> to know we got two electric vehicle service. >> [laughter] >> So. And then just so it was one of the Cockeysville schools that you remember the smaller one cuz it was more expensive first year of the building. Right. That was negative in year one. But, you know, that helped contribute to our overproduction you know, to to net those out at about 120% of the those two schools' demand. So. Awesome. Did you get anything back from insurance? Um well, I we didn't get numbers back from insurance, uh but the question posed uh and a again, this is working with very, very large carriers, went out to our brokers immediately. They pushed that information They pushed the
028questions out to the carriers that then developed prices um and pulled things back. It is renewal time, so all those carriers are in the buildings, they're busy, they're writing stuff. So, we didn't get any numbers back in terms of what an increase in insurance would be having that asset on our roof. Um but I don't believe any increase to our insurance was taken into account with the savings. Is that right, Damien? So, any increase at all, whether it's a thousand dollars a year, thousand dollars a month, would come off the top of the savings. Um through 20 years. And when you when you [clears throat] had called me about some of this and said what was happening, did you um get any clarity on structural? Was there any weight? We did not. We're hoping that
029Was there a constructional uh a structural engineer study done? an engineer study done on the roof that it can handle the weight or it can Okay. It The answer is no. Okay. But, that's part of when we go into permitting and design, but you know, we're going to have to study structural engineering review. Part of the UCC Yeah, state application requires a structural engineer to stamp that the roof can hold it. And then the racking vendor will also do a a stamp drawing to say that it'll stay on the roof. And so, that that's We can't get it past the state without those. >> Okay. And then that doesn't affect if say there is hey, you're going to you need a two extra beams here and it's going to cost $10,000. That That isn't Is
030that coming out of our pocket then? The the upgrade structurally to house >> [clears throat] >> the the array? Yeah, I mean well, first thing we would do is probably try and relocate the panels. We've done that before where we can just it's deck chairs. You know, they're Legos. We can redistribute change spacing to try and lighten that area to remove panels. Um we can switch to a foam-based you know, a different type of racking type. And even beyond that is we could attach with the school's permission, district permission directly to the roof to decrease the weight load in that area. So, there there's a lot of levers to pull before we come back and say you need to you know, string new beams all the way across the school. And at that point in
031time, full disclosure, we come back and say it's going to be $50 to $2 million to upgrade the roof. There's an out clause for both of us in the contract. Ken, I hate to put you on the spot, but did you happen to look into the instructional benefit? I don't like with the kiosk if, you know, incorporating into some of the science or the STEM programs or >> Not in a full detail and there there's some nice pieces that you can do with it. That as a supplement to it, but I didn't look at it as whole, like how do we write this into a full-blown science curriculum. We had a little smaller scale one that wasn't for energy, but we just used it for some curriculum stuff that a teacher wrote. It was a
032long time ago, though. I talked to the teacher who told me about that. It was at the mash. Yeah, she was very excited about that, for sure. We've worked with some of the other schools and their teachers have developed plans and they've been very open with us. >> [clears throat] >> I've got those videos. Um we also wrote a white paper on you know, solar heat islands and the theory that if you have a solar array in your backyard, you're heating up the neighborhood. And so we're working with several different schools, like Erie CTC is going to do one. Bloomsburg on the other side of the state has one set up and uh Portage in the middle of the state. And so you know, we would give the school, you know, the white paper on
033how to proceed with that. You know, and we would support in the background that that study. So there's there's an an opportunity there and we'll also introduce you to you know, some of the different organizations that all they do is push out solar education. And if you want those now, we can get those to you ahead of time. I know it doesn't sound like much, Austin, but we're at um like way three quarters of a cent. Okay, well less than that. What does that equate to? Cuz we're going to pay more. What does that equate to in dollars and cents to us? That we're to I mean I'm leaning towards a biomass situation here. Everything sounds good, but then it looks like not so good, but if we're going to pay more for electric even
034though we don't know where our 10.38 cents is going, we know theirs is going to go up 2%. But if we stay at 10.38 and we go up 2% we're still better off where we're at. We can walk at any time to another carrier without paying any kind of buyout. Yeah. Yeah, like our >> I I mean I I just don't know. I mean I'm sitting here thinking and I've this has been on my mind since they presented the last time and I think Ron had pointed it out. If we ask you what your your rate is and if we're going to pay 11 but we're only paying 10 something Mhm. I can do some math unless I'm the guy on the other end it's not making a whole lot of sense. And the way
035these things go, our previous contract to our our 8 cents contract that we're on now was um without distribution it was it was a little over 10 cents a kilowatt and probably delivered you're looking at 12. Um so we we dropped 2 cents, you know. So over four you know, we had the existing contract at 10 for 2 years and then now we're pushed out at um or sorry at 12 for 2 years and then we're now we're pushed out at 10.38 for for 4 years. So that's I mean that's just the way it goes, you know. Gas goes up and down, same with electric. >> Very interest rates are you know Interest rates are up and down. The other thing we have to take into consideration is panel that's a raise on it that's
03665% of school. Right. Mhm. So we've still got 35% where we're paying >> pay for. So when his rates go up again let's say the broker and panel like raises it we're going to be paying both rates. We could stay the same or we're going to pay more. Either way we you know. Not sure what you >> I I guess the question I would have is can we negotiate the your 2% increase year after year to more of a a flat instead of you know, cuz like we're locking in for 5 years at a time, right? 3 years or 5 years? >> Usually two. Are you You mean what we're currently doing? Yeah. Usually two, sometimes it's one. It's It's depending on the market. Okay. >> You know. But you know, I mean that to
037me would be a better thing if we can lock in similar what we're doing with our rate now versus having that increase year after year. But then we still have the early termination fee. That That is a very large thing. Yeah, I I guess the question would be why Why Why would we want to terminate early? I guess that would be the question. Well, well, um They're not going to The early termination fee just So, it's early termination fee is scaled. So, you know, the the array cost $100 to build. On year 20, it's going to cost, you know, $80 to take off the roof. It's a high number. There's a tax reason behind it. And so, if we were to say that, you know, that it'll cost a dollar to remove, it really doesn't
038look like we were ever in business to do a power purchase agreement. It was a way to transfer the asset to the school without, you know, circumventing some of the laws. I'm not a tax expert. And that is the two-cent overview I have on on how that works. So, it's a contractual thing, which is why at the end of, you know, 20 years, like we're done, you're done. We pull it off the roof and walk away. But if on year 19, you're like this doesn't work for us anymore, it's a early termination fee or fair market value. Now, keep in mind that these arrays have, you know, a 30-to-40-year life cycle on them. We're doing a 20-year contract. And so, the fair market value, you know, of the system is going to be established, and
039there's terms and conditions on how it's established in the contract. Um or there's the table. And so, there's It's not It's high, yes, but it's for a reason. So, at the end of 20 years, is there a buyout fee if we want to keep it? Yes. Okay. >> It would be fair market value at that point in time. Okay, for the used panels. Cuz that's what I was thinking, okay, we potentially have 10 years of, you know, um, free electric on that, but what if we have to still have to buy them out? And so, the the design life on the panels, you know, is 30 years. Is there warranty that they're going to produce? You know, and it's just like your car, you know, it it doesn't stop magically working the day that you
040hit your vehicle warranty. It just has a difference. And so, the panels, I mean, they're guaranteed to produce. They drop at 1/2% a year. It's an entire curve, which is why the production follows that that same similar curve. And so, at the end of year uh, 30, you know, they're about 80% efficiency. So, there's still 80% life in there. You can run them 10 years, or longer if you want to at that point in time. But, the the LLC will maintain the equipment up until that point in time. So, if a panel goes bad during a annual inspection, you we just take the panel off, send it back to the manufacturer, and we replace it. And so, the production of the of the array on the glass part's guaranteed by the manufacturer. Inverters is around
041the same rate. But, inside the power purchase agreement, or the contract, you know, we're carrying money to replace those inverters. Which, cuz they have about, you know, you can get warranties on those, you know, 5, 10, 15-year warranty. But, they have about a 15-year life cycle. It doesn't mean they're going to last 15 years. They may die on year one, or they may make it to 50 years. And so, but we have to anticipate that cost. So, the LLC carries money to replace equipment in year throughout the term of the contract.
